TheContractorshallprovideapolicythatcoversdamagetoKittitasCountyfacilities,includingbuildings,equipment,grounds,etc.Suchpolicyshallprovidethefollowingminimumcoverage:•$peroccurrenceOUmbrellaCoverageUmbrellapoliciesshallprovidecoverageatleastasbroadasspecifiedforunderlyingcoverages(CGL,Auto,Employer'sLiability)andcoverthoseinsuredintheunderlyingpolicies,includingadditionalinsured.•AmountrequiredforthisAgreement:$ContractorshallfurnishtheCountyaCertificateofInsurancetoincludethePolicyEndorsements/ExclusionsasevidencethatpoliciesprovidinginsurancerequiredbythisAgreementareinfullforceandeffect.Contractorherebywaivesallrightsofrecourse,includinganyrighttowhichanothermaybesubrogated,againstKittitasCountyforpersonalinjury,includingdeath,andpropertydamage.Contractor'sinsurancepoliciesrequiredaboveshallbeprimaryinsuranceandshallbenon-contributingwithanyotherinsurancemaintainedbyKittitasCounty.TheContractorshallassumefullresponsibilityforalllossordamagefromanycausewhatsoevertoanytools,Contractor'semployee-ownedtools,machinery,equipment,ormotorvehiclesownedorrentedbytheContractor,ortheContractor'sagents,suppliersorcontractorsaswellastoanytemporarystructures,scaffoldingandprotectivefences.TheContractorshallhavesoleresponsibilityforensuringtheinsurancecoverageandlimitsrequiredareobtainedbysubcontractors.NOTE:NocontractshallformuntilandunlessacopyoftheCertificateofInsurancewithEndorsements/Exclusions,properlycompletedandintheamountrequired,Isattachedhereto.FailureoftheContractortofullycomplywiththeaboveinsurancerequirementsduringthetermoftheAgreementshallbeconsideredamaterialbreachofcontractandcauseforimmediateterminationoftheAgreementattheCounty'sdiscretion.Altematively,theCountymayprocureandmaintain,attheContractor'ssoleexpense,insurancetotheextentdeemedproperuptotheamountoftherequiredcoverage(s).TheCountymayoffsetthecostofsuchinsuranceagainstpaymentduetotheContractorunderthisAgreement.ProfessionalServicesAgreement(rev.09/24/2018)Page17of17
