NOTICE REQUIREMENTS <br />Required Notice to DOL: <br />Agent has an affirmative duty to notify DOL if Agent becomes aware of any of the following: <br />• If any Agent VLR or Subagent VLR is no longer acting as a VLR for the Agent or Subagent. <br />• If any Agent VLR or Subagent VLR engages in any Prohibited Activity as provided in <br />Section 13 — Level III Breach Prohibited Activities or other actions that may cause the Agent <br />or Subagent to be in a Level III Breach. <br />• If Agent, Agent VLRs, Subagents, or Subagent VLRs ever use the Confidential Information <br />in a manner that violates and/or exceeds the Permissible Uses as stated herein. <br />7. AGENT VLO CLOSURE <br />Upon the expiration or termination of this Agreement or upon the closure of the Agent business, <br />Agent shall permit and/or facilitate the following: <br />(a) Agent shall preserve all records, monies, supplies, inventory, and equipment, and keep the <br />same secure until they are audited and/or otherwise in the possession of DOL. DOL will <br />immediately perform an audit on all of the Agents business practices related to this <br />Agreement. <br />(b) Agent shall cooperate and permit DOL to conduct an audit on all of Agent's transactions, <br />operations, accounting, inventory, and equipment related to this agreement. <br />• Prior to the audit, Agent is prohibited from altering, removing, destroying, or otherwise <br />manipulating equipment, documents, records, files, negotiable items including money, and <br />any other materials in any manner not related to the proper fulfillment of services under <br />this Agreement. <br />(c) Agent will permit DOL to take possession of all remaining supplies, inventory, and <br />equipment, provided under this Agreement. <br />(d) Agent will permit DOL to take possession of all vehicle and vessel title and licensing related <br />fees and taxes collected, <br />(e) Agent shall pay all applicable fees owing to DOL. <br />WA State Department of Licensing Page 21 of 26 DOL Reference # K6984 <br />Version: January 2020 Attachment A — Statement of Work County Reference # V01901 <br />
