RELATING TO: <br />AGREEMENT FOR PROFESSIONAL SERVICES <br />BElWEEN THE CITY OF ELLENSBURG <br />AND <br />KITTITAS COUNTY CHAMBER OF COMMERCE <br />VISITOR INFORMATION CENTER OPERATIONS <br />T~I~ LUMP SUM AGR~,l;~ENT Is made and entered into this /C(fh day of WO t/ t N\ 0« , 20_fil ("Effective Date"), by and between THE CITY OF <br />ELLENSBURG, municipal corporation of the State of Washington, (hereinafter called <br />the "CITY") and Kittitas County Chamber of Commerce, a Washington non-profit <br />organization authorized to do business in the state of Washington (hereinafter called the <br />11CONSUL TANT1. <br />1. RECITALS. <br />1.1. The CITY desires to obtain professional services for work related to the <br />operation of the Visitor Information Center for tourism within the CITY. <br />1.2. :· The CITY has solicited for such professional services as required by law, <br />including RCW Chapter 39.80 if applicable. <br />1.3. CONSUL TANT represents that it is available and able to provide qualified <br />personnel and facilities necessary for the work and services contemplated herein, and <br />can accomplish the work end services within the required time period and in accordance <br />with CllY's specifications and professional standards. <br />1.4. CONSUL TANT agrees to perfonn the work and services specified herein <br />in accordance with the terms and conditions of this Agreement. <br />NOW, THEREFORE, in consideration of the above representations and the <br />terms, conditions, covenants, and agreements set forth below, the parties hereto agree <br />as follows:·'. , <br />2. SCOPE OF WORK. <br />2.1. The scope of professional services to be performed and the results to be <br />achieved by the CONSUL TANT shall be as detalled In the attached Exhibit A and shall <br />Include all services and material necessary to accomplish the work C-Servicesu). <br />2.2. The CITY may review the CONSULTANT'S work product, and if it is not <br />satisfactory, the CONSULTANT shall make such changes as may be required by the <br />CITY.
