DocuSign Envelope ID: 4166FC64-6496-4305-B555-38A174BDAA73 <br />"Breach" means the unauthorized acquisition, access, use, or disclosure of Confidential <br />Information that compromises the security, confidentiality, or integrity of the Confidential <br />Information. <br />"Budgeting, Accounting and Reporting System" or "BARS" or "BARS Manual" The BARS <br />Manual prescribes accounting and reporting for local governments in accordance with RCW <br />43.09 .200 and found at this website http '.llwww.sao.wa .gov/lo0al/PagesJBarsManu0l.aspx. <br />"Business Associate" means a Business Associate as defined in 45 CFR 160 .103, who <br />performs or assists in the performance of an activity for or on behalf of HCA, a Covered Entity, <br />that Involves the use or disclosure of protected health information (PHI). Any reference to <br />Business Associate in this DSA includes Business Associate's employees, agents, officers, <br />Subcontractors, third party contractors, volunteers, or directors. <br />"Business Days and Hours" means Monday through Friday, 8:00 a.m. to 5:00 p.m., Pacific <br />Time, except for holidays observed by the state of Washington. <br />"Centers for Medicare and Medicaid Services" or "CMS" means the federal office under the <br />Secretary of the United States Department of Health and Human Services, responsible for the <br />Medicare and Medicaid programs. <br />"Centers for Medicare and Medicaid Services School-Based AdminlstratiVe Claiming <br />Guide" or "CMS Gulde" or "Gulde" means the document issued by CMS in 2003 and any <br />supplements, amendments or successor; incorporated herein by reference which provides <br />guidance to States for developing and managing Medicaid Administrative Claiming programs. <br />"Certified Public Expenditure" or "CPE" means the sources of funds certified as actual <br />expenditures by a local or public governmental entity and used as the State share in order to <br />receive federal matching Medicaid funds, or Federal Financial Participation (FFP). <br />"CFR" means the Code of Federal Regulations. All references in this Contract to CFR <br />chapters or sections include any successor, amended, or replacement regulation. The CFR <br />may be accessed at http://www.ecfr.gov/cgl-bln/ECFR?page=browse. <br />"Claiming Unif' means the individual contractor eligible to submit a claim for reimbursement <br />to HCA, and includes all of its subunits. <br />"Client" means an individual served within budget unit or cost center of the Contractor. <br />"Cognizant Agency" means the federal agency responsible for reviewing, negotiating, and <br />approving Indirect Cost Rates. <br />"Confidential Information" means information that may be exempt from disclosure to the <br />public or other unauthorized persons under chapter 42.56 RCW or chapter 70.02 RCW or other <br />state or federal statutes or regulations.
