1 LAUCHE& ARA NA ILL CLARKE <br />LLP ATTORNEY AT L -AW <br />GovERNM'ENT AFFAIRS <br />November 2, 2018 <br />Commissioner Laura Osiadacz <br />Commissioner Obie O'Brien <br />Commissioner Cory Wright <br />Kittitas County Board of Commissioners <br />205 W 5th Ave, Suite 108 <br />Ellensburg, WA 98926 <br />Re: Extension of Professional Services Agreement <br />Dear Commissioners Osiadacz, O'Brien and Wright: <br />The Kittitas County Board of Commissioners entered into a Professional Services Agreement <br />("Agreement") with our firms on December 30, 2013, for a scope of work with an initial term ending <br />on May 31, 2014, which has since been subject to a number of extensions as our work on water <br />resource matters continues. The latest extension was from June 30, 2018 to December 31, 2018. <br />Section 12 of the Agreement allows for written modifications. We propose to extend the term of our <br />scope of work until December 31, 2019, under the same scope of work and terms and conditions of <br />the original Agreement, with the exception that the monthly fee is reduced to $8,000. We will <br />continue to provide the county with monthly invoices including time and subject descriptions. <br />We believe that significant progress has been made under the original scope of work and that this <br />term extension will enable Kittitas County to complete several water banking transactions, necessary <br />permitting, addressing legislative issues, and other actions relating to water resource management <br />issues. <br />A proposed modification is attached for your review and approval.
