Agreement. In addition, the EBDA shall maintain all accounting records in a tonn necessary to assure <br />proper accounting of all funds paid pursuant to this Agreement. All of the above shall be subject at all <br />reasonable times to inspection, review, or audit by either party, its authorized representative, the state <br />auditor, or other governmental officials authorized by law to monitor this Agreement <br />D. Amendments/Modifications. Any amendment or modification of this agreement shall be <br />in writing and shall be executed with the same formalities as this agreement. <br />E. Insurance. The EBDA shall maintain in full force and effect public liability insurance in <br />an amount sufficient to cover potential claims for bodily injury, death or disability and for property <br />damage, which may arise from or be related to projects and activities of the EBDA undertaken pursuant <br />to this Agreement, naming the City as an additional insured. <br />F. Hold Harmless. The parties to this Agreement shall defend, indemnify and save one <br />another harmless from any and all claims arising out of the performance of this Agreement, except to the <br />extent that the hann arises from the sole negligence of one of the Parties. <br />G. Severability. In the event any provisions of this Agreement shall be determined to be <br />unenforceable or otherwise invalid for any reason, such provisions shall be enforced and valid to the <br />extent permitted by law. AU provisions of this Agreement are severable and the unenforceability or <br />invalidity of a single provision herein shall not affect remaining provisions. <br />H. Filing of Agreement.
