E. The EBDA will work closely with existing organizations and corporations to strengthen <br />the network of support for new and existing businesses, to coordinate resources for effective delivery of <br />services. <br />F. The EBDA will promote small business and entrepreneurial efforts in this area and will <br />seek to recruit those companies which fit the area needs and resources. <br />O. The EBDA will coordinate resources for effective delivery of services to area business. <br />H. Broader economic development objectives or activities may be developed as needs are <br />identified, but shall be complementary to the nature and intent of a public development authority; the <br />EBDA will attempt to avoid competitive delivery of services within the area. <br />II. COLLATERAL SERVICES: The EBDA will, in conformance with the attached 2016 <br />work plan (Schedule A), provide professional services to include but not be limited to: <br />A. Maintenance of demographic, database records and other infonnation that will assist <br />local business and provide timely response to companies looking to locate. <br />B. Working with local, state and federal organizations and representatives to maximize the <br />assistance resources needed to conduct effective economic development. <br />C. Working with City administration and staff and other governmental agencies, as needed, <br />to assist with growth planning and infrastructure needs to accommodate economic development, <br />corrununity and business needs. <br />D. Conducting or sub-contracting as appropriate, within the compensation provided by this <br />Agreement, training, seminars, needs assessment surveys, educational assistance and other related <br />programs to improve local business. <br />III. GENERAL CONDITIONS: <br />A. The EBDA shall maintain (andlor contract for) qualified, well-trained stafi'to meet the <br />objectives and goals set forth by the Board of Directors. <br />B. The EBDA shall provide a semi-annual progress report regarding its operation ofthe <br />Ellensburg Business Incubator to the City Manager for distribution to the City Council. Each report shall <br />address progress towards EBDA goals. <br />C. The EBDA shan prepare and submit a quarterly report covering fmancial expenditures. <br />The EBDA will provide a fmancial repOlt to the City Manager within one month of the end of each <br />quarter. EBDA understands that as a public development authority a State audit will be conducted in <br />compliance with state law and monies for payment of that audit will be a part of the annual budget <br />request. <br />D. The EBDA shall schedule and conduct general building maintenance for timely and <br />reasonable care of the Ellensburg Business Incubator and its occupants, meet insurance requirements <br />and other issues consistent with management of the facility. <br />E. EBDA will consult with the City to address structural and/or maintenance decisions <br />estimated to exceed $5,000 regarding the Ellensburg Business Incubator. <br />F. The EBDA shall comply with all federal, state, and local laws prohibiting discrimination <br />on the basis of any legally protected class. <br />G. The Executive Director of the EBDA shall provide a summary report of Board activities <br />to the City Counci1 at the Council's first meeting in June and December. <br />2016 City/EBDA Interlocal Agreement for Professional Services - 2
