INTERLOCAL AGREEMENT FOR PROFESSIONAL SERVICES <br />Between the City of EUensburg and <br />The Ellensburg Business Development Authority <br />This Professional Services Agreement (the "Agreement'') is entered into this l(;1~ay of <br />~~'t ' 2016 by and between The City of Ellensburg, a municipal corporation (the "City"), <br />and The Ellensburg Business Development Authority, a public development authority chartered under <br />Washington law (the "EBDN,), and collectively referred to together as the "Parties." <br />WHEREAS, the EBDA is a public development authority created by the City of Ellensburg <br />under Title 35.21 RCW and Chapter 1.62 ECC, as amended, and operates under its adopted Charter and <br />Bylaws; and <br />WHEREAS, the EBDA' s primary purpose is dedicated to promoting economic development <br />projects within the territorial limits of the City and outside the territorial limits of the City to the extent <br />authorized by RCW 35.21.740; <br />WHEREAS, the City is the owner ofthe "Ellensburg Business Incubator" which is leased and <br />operated by the EBDA for the purpose of supporting new or recently fonned businesses in Ellensburg to <br />help promote the City's economic development opportunities; and <br />WHEREAS, the City wishes to engage the EBDA for professional services on the tenns and <br />conditions set forth below; <br />NOW THEREFORE, in consideration of the above recitals and the mutual promises and benefits <br />contained herein, the Parties hereby agree as follows: <br />I. INCUBATOR MANAGEMENT SERVICES. <br />The EBDA will provide the following services regarding incubator businesses, generally, and the <br />Ellensburg Business Incubator: <br />A. The EBDA, in conformance with the City's broad policy guidance, shalJ provide for the <br />operation and management of the Ellensburg Business Incubator and the coordination of services <br />provided to tenants and to community businesses. The City of Ellensburg (City) previously entered into <br />a lease agreement with the EBDA of the Business Incubator building, located at 1000 Prospect Street, <br />Ellensburg, Washington on September 15. 1994. The lease agreement is referred to and by this reference <br />incorporated into this agreement. <br />B. Provide reasonable cost, flexible space within the incubator facility to start-up and early <br />stage finns needing special assistance to succeed. <br />C. Manage and develop the Microloan Funds to assist local business growth. <br />D. Develop and deliver a mixture of administrative, business and facility services that will <br />either lower start-up costs or provide accessibility for businesses to increase their rate of achievable <br />success.
