Suncadia, Notice of Assignment
ACTION REQUESTED: Request to Approve Resolution and Exhibit.
BACKGROUND:
Kittitas Board of County Commissioners on October 101, 2000, entered into a Development Agreement (DA) for
the Mountain Star Master Plan Resort, now known as Suncadia. Since entering into this DA there have been
additional amendments to the DA, with the most recent in May of 2026, and notice of assignments.
Escalante Tumble Creek Development L.L.C. has acquired a portion of the Suncadia Master Plan Resort, commonly
known as Tumble Creek. Under Section 9.2 & 9.3 of the Development Agreement, County approvals are required
for the assignment or transfer of ownership and associated Development Agreement rights and obligations.
Escalante Tumble Creek LLC confirmed and acknowledged through the Notice of Partial Assignment and related
assignment documents that the property remains subject to the Development Agreement, including the Second
Amendment of the Amended and Restated Development Agreement, applicable project, and continuing conditions
of approval.
The proposed approval recognizes Escalante Tumble Creek Development L.L.C. as the successor and Suncadia
LLC are responsible for the applicable Development Agreement obligations. The resolution also preserves the
County's enforcement authority. Approval of the partial assignment does not release, waive, modify, substitute, or
otherwise diminish Suncadia Resorts LLC's obligations unless the County expressly approves such a release or
modification through a separate written instrument. Kittitas County retains all rights, remedies, security interests,
enforcement authority, and claims under the Development Agreement, its amendments, applicable project permits,
and state and local law. The resolution further provides that it will become effective only after the expiration of the
applicable 45-day notice period, which ended on October 261, 2026
STAFF REVIEW:
Kittitas County Community Development Services Department (CDS) has reviewed the information submitted in
support of the assignment request, including the proposed partial assignment, Notice of Partial Assignment,
applicable property information, and the continuing Development Agreement obligations. Staff finds. that the
requested assignment is consistent with the transfer provisions in Section 9.2 & 9.3 of the Development Agreement.
Staff supports approval of the requested partial assignment as Escalante Tumble Creek Development L.L.C. has
acknowledged its responsibility to comply with the applicable Development Agreement requirements for the
transferred Tumble Creek property.

ESCALANTE TUMBLE CREEK DEVELOPMENT LLC
RELATING TO THE DEVELOPMENT COMMONLY KNOWN AS TUMBLE CREEK, A
PORTION OF THE
SUNCADIA MASTER PLANNED RESORT AND SPECIFICALLY IDENTIFIED IN EXHIBIT
A; NOTICE OF PARTIAL ASSIGNMENT
WHEREAS: The Kittitas Board of County Commissioners did on October 10', 2000, entered into a
development agreement for the Mountain Star Master Plan Resort, now known as
Suncadia; and
WHEREAS: Section 9.2 and 9.3 of said Development Agreement contains certain requirements
including County approval for the transfer of ownership of the identified property within
Exhibit A, which is attached hereto and hereby incorporated by this reference; and
WHEREAS: Escalante Tumble Creek Development LLC has indicated through the agreed upon Notice
of Assignment that they understand the property is subject to the requirements of the
Second Amendment of Amended and Restated Development Agreement By and Between
Kittitas County, Washington and Suncadia Resort LLC Relating to the Development
Commonly Known as Suncadia Master Planned Resort and project permit and will comply
with all requirements set forth in those documents (Recording # 202605280003); and
WHEREAS: Pursuant to the agreed upon Assignment between Suncadia LLC and Escalante Tumble
Creek Development LLC there is no intent to enter into an agreement that would release
Suncadia from requirements and obligations of the Development Agreement; and
WHEREAS: Kittitas County does not constitute a release, waiver, modification, or substitution of
Suncadia LLC's obligations unless the County expressly approves one in a separate written
instrument; and
WHEREAS: Kittitas County retains all rights, remedies, security interests, enforcement authority, and
claims under the Development Agreement, amendments, project permits, and applicable
law; and
WHEREAS: This Resolution is effective upon expiration of the applicable 45-day notice period, which
ended on October 26', 2026, provided all conditions of approval have been satisfied; and
NOW, THEREFORE, BE IT RESOLVED, by the Board of Kittitas County Commissioners,
Kittitas County, Washington authorizes Suncadia LLC to transfer ownership of described property, as
presented in Exhibit A to Escalante Tumble Creek Development LLC.

PARTIAL ASSIGNMENT AND ASSUMPTION OF DEVELOPMENT AGREEMENT
SUNCADIA MASTER PLANNED RESORT
THIS PARTIAL ASSIGNMENT AND ASSUMPTION OF DEVELOPMENT AGREEMENT
("Assignment") is dated, for reference purposes, the day of , 2026, by
and between by and between Suncadia Resort LLC, a Delaware limited liability company ("Suncadia
Resort"), and Escalante Tumble Creek Development LLC, a Delaware limited liability company
("Bscalante Development").
RECITALS
A. Suncadia Resort and/or its predecessors in interest and Kittitas County, a Washington
municipal corporation (the "County") previously entered into certain documents pertaining to the
development of property located in Kittitas County in the State of Washington now known as the Suncadia
Master Planned Resort including, but not limited to, the following:
1. Development Agreement by and Between Kittitas County, Washington, Trendwest Resorts,
Inc. And Trendwest Investments, Inc., Relating to the Development Commonly Known As
Mountainstar Master Planned Resort dated October 10, 2000, adopted by the County
pursuant to Ordinance No. 2000-16, and recorded under Kittitas County Auditor's File
No. 200010240006 (the "2000 Agreement");
2. An Ordinance Amending Ordinance 2000-I5, Ordinance 2000-16, and MountainStar
Conditions related to Condition C-34, adopted by the County September 4, 2001, pursuant
to Ordinance No. 2001-14 (sometimes referred to as the 1" Amendment of the 2000
Agreement)
3. An Ordinance Amending Ordinance 2000-16, adopted by the County April 29, 2002,
pursuant to Ordinance No. 2002-005
4. An Ordinance Amending Ordinance 2000-16, adopted by the County September 2, 2003,
pursuant to Ordinance No. 2003-13
5. Resolution Amending the Development Agreement Between Kittitas County and Suncadia
LLC Relating to the Development Known as Suncadia Master Planned Resort to Allow for
the Use of Binding Site Plans, resolved December 5, 2006, under Resolution No. 2006-
170 (sometimes referred to as the 2nd Amendment of the 2000 Agreement and referred to
hereinafter as the "Binding Site Plan Amendment")
6. Resolution Amending the Development Agreement Between Kittitas County and Suncadia
LLC Relating to the Development Known as Suncadia Master Planned Resort Setting
Specific Dates for Fire Station Construction, resolved February 12, 2007, under
Resolution No. 2007-11 (sometimes referred to as the 3`d Amendment of the 2000
Agreement)
7. Resolution Amending Conditions C-45 and C-46 of the Development Agreement Between
Kittitas County and Suncadia LLC Relating to the Development Known as Suncadia
Master Planned Resort, resolved September 18, 2007, under Resolution No. 2007-119
(sometimes referred to as the 4t' Amendment of the 2000 Agreement)
8. Comprehensive Plan Amendments adjusting the MPR boundaries approved under
Ordinance Nos. 2002-23, 2003-18, 2004-44, 2005-40 and 2006-63 and the resultant
adjustments to the Master Planned Resort Zoning District (collectively, the "MPR
Boundary Adjustments")

9. Resolution Adopting the Fifth Amendment to Development Agreement By and Between
Kittitas County and Suncadia LLC Relating to the Development Known as Suncadia
Master Planned Resort, resolved April 1, 2008, under Resolution No. 2008-61 which
resolution was subsequently rescinded by Resolution No. 2009-37
10. Amended and Restated Development Agreement By And Between Kittitas County,
Washington and Suncadia LLC Relating To The Development Commonly Known As
Suncadia Master Planned Resort, dated December 2, 2008, adopted by Kittitas County
pursuant to Resolution Adopting the Sixth Amendment to Development Agreement By and
Between Kittitas County and Suncadia LLC Relating to the Development Known as
Suncadia Master Planned Resort, dated April 7, 2008 and adopted under Resolution No.
2009-37 (said resolution referring to itself as the Sixth Amendment to the 2000
Agreement), and recorded April 16, 2009, under Kittitas County Auditor's File No.
200904160090 (hereinafter the "Amended and Restated Development Agreement")
11. Resolution Adopting the Seventh Amendment to Development Agreement By and Between
Kittitas County and Suncadia LLC Relating to the Development Known as Suncadia
Master Planned Resort, resolved June 2, 2009, under Resolution No. 2009-78 (said
resolution referring to itself as the Seventh Amendment the 2000 Development Agreement
and referred to hereinafter as the "First Amendment of the Amended and Restated
Development Agreement")
12. Resolution Authorizing the Transfer of the Suncadia Property and Development Agreement
and its Entitlements, Obligations, Covenants and Conditions entered into March 30, 2012,
under Resolution No. 2012-032, together with Resolution to Authorize Assignment of
Rights in Matter of Suncadia adopted August 21, 2012 under Resolution No. 2012-101
and Agreement Ratifying and Confirming Development Agreement by and between Kittitas
County, Washington, Suncadia LLC, and New Suncadia LLC (the "Transfer to New
Suncadia")
13. Resolution Authorizing the Transfer of the Suncadia Property and Development Agreement
and its Entitlements, Obligations, Covenants and Conditions entered into July 6, 2021,
under Resolution No. 2021-100 together with Agreement Ratifying and Confirming
Development Agreement by and between Kittitas County, Washington, New Suncadia LLC
and Suncadia Resort, LLC (the "Transfer to Suncadia Resort")
14. Second Amendment of Amended and Restated Development Agreement By And Between
Kittitas County, Washington and Suncadia Resort LLC Relating to the Development
Commonly Known as Suncadia Master Planned Resort dated May 18, 2026, adopted by
the County under Resolution No. 2026-091 and recorded under Kittitas County Auditor's
File No. 202605280023 (the "Second Amendment of the Amended and Restated
Development Agreement")
For purposes of this document, (a) the amendments to the 2000 Agreement which are identified in
Sections A(2) through A(8), collectively, shall be hereinafter be included in the definition of the "2000
Agreement" and (b) the Amended and Restated Development Agreement and First and Second
Amendments of the Amended and Restated Development Agreement (collectively, the "Restated
Agreement"), together with the Transfer to New Suncadia, Transfer to Suncadia Resort, and such portions
of the 2000 Agreement which are not superseded by the Restated Agreement including, but not limited to,
the 2000 Exhibits and the Binding Site Plan Amendment, shall, together with MPR Approvals and
Subsequent Actions and all other underlying documents defined, attached or referenced therein, be referred
to collectively as the "Development Agreement". All terms used with an initial capital letter in this

Assignment and not otherwise defined in this Assignment have the meaning given them in the Development
Agreement.
B. Suncadia, as successor in interest under the Development Agreement to Trendwest Resorts,
Inc., an Oregon Corporation, Trendwest Investments, Inc., a Washington corporation, MountainStar
Development, LLC, a Delaware limited liability company, Suncadia LLC, a Delaware limited liability
company, and New Suncadia holds all rights and obligations of developer of the Suncadia Master Planned
Resort (the "Resort") as described in the Development Agreement.
C. Suncadia and the County entered into a Memorandum of Understanding for establishing
an annual review of compliance with Development Agreement Conditions of Approval, dated May 19th,
2026, (the "MOU"), together with a matrix used to track the status of the continuing obligations under
conditions A-1 through G-1 of Exhibit F-1 of original Development Agreement (the "Compliance Matrix").
D. A portion of the Resort, the majority of which lies westerly and southerly of the Cle Elum
River, has been developed by Suncadia Resort and/or its predecessors in interest and is sometimes referred
to as Tumble Creek and the balance of the Resort is sometimes referred to as Suncadia. For purposes of this
document, "Tumble Creek" shall mean that portion of the Resort which lies westerly and southerly of the
line described on Exhibit A and generally depicted on Exhibit B, both of which are attached hereto and
incorporated herein by reference, and "Suncadia" shall refer to the balance of the Resort.
E. Suncadia Resort and Escalante Development are parties to that certain Real Estate Purchase
and Sale Agreement executed April 30, 2026 (the "Development Purchase Agreement") pertaining to that
portion of Tumble Creek described on Exhibit C and generally depicted on Exhibit E, both of which are
attached hereto and incorporated herein by reference (the "Development Property").
F. Tumble Creek Golf, LLC, a Washington limited liability company, an affiliate of Suncadia
Resort, and Escalante Tumble Creek LLC, a Delaware limited liability company ("Escalante Golf"), an
affiliate of Escalante Development, are parties to that certain Real Estate Purchase and Sale Agreement
executed April 30, 2026 (the "Club Purchase Agreement") pertaining to that portion of Tumble Creek
described on Exhibit D and generally depicted on Exhibit E, both of which are attached hereto and
incorporated herein by reference (the "Club Property").
G. The Development Property and the Club Property were conveyed by Bargain and Sales
Deeds recorded under Kittitas County Auditor's File Nos. 202607020017 and 202607020011, respectively
pursuant to the provisions set forth in the Development Purchase Agreement and the Club Purchase
Agreement (collectively, the "Purchase Agreements"). In addition to the conveyance of the properties, the
Purchase Agreements provide in part for the post -closing assignment of development rights pertaining to
the Development Property and the Club Property and specifically, all right, title and interest in and to the
Development Agreement to the extent they affect the Development Property and Club Property, arising
from and after the Effective Date. Such assignment and assumption are intended to include the provisions
and agreements set forth in the MOU and the Compliance Matrix as it exists as of the Effective Date.
Exhibit F attached hereto and incorporated herein by reference, identifies which party is responsible for
each continuing obligation under the Development Agreement (the "Allocation Matrix").
H. Pursuant to Section 9.2 of the Development Agreement, County consent of the assignment
set forth herein is required, which consent is expected to be granted, by adoption of a resolution or execution
of written consent approved by the Kittitas Board of County Commissioners. The date such consent is

obtained shall be the "Effective Date" and the parties recognize and agree this Partial Assignment is not
effective unless and until said consent from the County is obtained.
NOW, THEREFORE, for good and valuable consideration as cited and paid under the Purchase
Agreements, the receipt and sufficiency of which are hereby acknowledged, the parties hereto hereby agree
as follows:
AGREEMENTS
1. Defined Terms. Except as specifically provided herein, defined terms used herein shall have the
same meaning as set forth in the Development Agreement.
2. Assignment and Assumption.
a. As of the Effective Date, Suncadia Resort hereby assigns, sells, transfers, sets over, and delivers
unto Escalante Development all right, title, and interest in and to the Development Agreement including,
but not limited to all property rights and entitlements under the Development Agreement, as the same
pertain to the Development Property described on Exhibit C and the Club Property described on Exhibit D.
This assignment and transfer is made together with and subject to the provisions in the MOU and those
items identified in the Allocation Matrix attached as Exhibit F as being either a shared obligation or the
obligation of Escalante Development_
b. As of the Effective Date, and in the event and to the extent any right, title and/or interest in and
to the Development Agreement with regards to the property located within Tumble Creek but outside of
the Development Property and the Club Property (the "Tumble Creek Remainder") is needed to permit
Escalante Development and/or Escalante Golf to fully develop the Development Property and/or the Club
Property as the case may be, Suncadia Resort hereby assigns, sells, transfers, sets over, and delivers unto
Escalante Development all right, title, and interest in and to the Development Agreement, and all
entitlements under the Development Agreement, as the same pertain to the Tumble Creek Remainder,
together with and subject to the provisions in the MOU and those items identified in the Allocation Matrix
attached as Exhibit F as being either a shared obligation or the obligation of Escalante Development.
c. As of the Effective Date, Escalante Development hereby accepts the assignments set forth
above in Section 2a and 2b and agrees to assume and agrees to be bound by all of the terms of the
Development Agreement, the MOU and those items identified in the Allocation Matrix attached as Exhibit
F as being either a shared obligation or the obligation of Escalante Development, and agrees to keep,
perform, fulfill, and observe all of the terms, covenants, obligations, agreements, and conditions required
to be kept, performed, fulfilled, and observed by Suncadia Resort in the Development Agreement, the MOU
and those items identified in the Allocation Matrix attached as Exhibit F as being either a shared obligation
or the obligation of Escalante Development from and after the Effective Date of this Assignment as the
same pertain to said assignments with regards to the Development Property, Club Property and Tumble
Creek Remainder, respectively. The Parties intend for Escalante Development's assumption of all of the
terms and conditions of the Development Agreement to fully and forever release Suncadia Resort and its
successors and assigns from all obligations under the Development Agreement which pertain to the Real
Property described on Exhibits C and D.
d. Suncadia Resort retains and does not assign its rights under the Development Agreement with

regards to the real property described and referred to as Suncadia in Recital C and generally depicted on
Exhibit B.
3. Cooperation and Coordination. The Development Agreement exists for the benefit of the entirety
of the Resort. No party to this Agreement shall take or permit any action or fail to take any required action
which would in anyway jeopardize any other parry's rights under the Development Agreement. The parties
shall cooperate with each other to ensure full compliance with the Development Agreement and the MOU
and shall, when and as necessary, coordinate their actions to facilitate the successful development of the
Resort. Suncadia and Escalante shall jointly engage in annual performance reviews with Kittitas County
Community Development Services Department as provided for in the MOU.
4. Indemnification. The parties hereto, and each of them, for themselves and on behalf of their
respective successors and assigns, agree to indemnify, defend and hold each other harmless from and
against any and all liability, loss, cost, damage and expense (including, without limitation, reasonable
attorneys' fees and costs) directly or indirectly arising out of or based upon their respective failure to keep,
perform, fulfill and observe any of the terms, covenants, obligations, agreements, and conditions required
to be kept, performed, fulfilled, and observed by them under the Development Agreement from and after
the Effective Date of this Assignment.
5. Counterparts and Digital Signatures. This Agreement may be executed simultaneously in two or
more counterparts, each of which shall be deemed an original and all of which, when taken together,
constitute one and the same document.
6. Survival. This Assignment and the provisions hereof shall inure to the benefit of and be binding
upon the parties to this Assignment and their respective successors, heirs, and permitted assigns.
7. No Third Party Beneficiaries. Except as otherwise expressly set forth herein, the parties do not
intend, and this Assignment shall not be construed, to create a third -party beneficiary status or interest in,
nor give any third -party beneficiary rights or remedies to, any other person or entity not a party to this
Assignment. Notwithstanding the restrictions of this paragraph, no rights or obligations of the County
under the Development Agreement, MOU or Compliance Matrix shall be affected thereby.
8. Recordation. This Assignment may be recorded at the request of the County; provided, however,
in no event shall the Compliance Matrix, or Exhibit F, the Allocation Matrix, be recorded.
9. Governing Law. This Assignment shall be governed by, interpreted under, and construed and
enforceable in accordance with, the laws of the State of Washington.

On this day, before me, the undersigned, a Notary Public in and for the State of Washington, duly
commissioned and sworn, personally appeared Mark Thorne, to me known to be a Senior Vice President
of LCIF Suncadia LLC, a Delaware limited liability company, the Manager of Suncadia Resort LLC, a
Delaware limited liability company, the company that executed the foregoing instrument, and
acknowledged that the said instrument to be the free and voluntary act and deed of said company, for the

There are 139 conditions from the Development Agreement. These conditions are described in
the body of the Development Agreement and are summarized on the "Suncadia DA Terms
Conditions Matrix". The matrix is the document that Suncadia and Kittitas County have agreed
to review on an annual basis to ensure compliance. For the purposes of this memo and for
planning, the conditions are broken down into 3 Types:
1. Conditions that have been documented as fulfilled and closed. These conditions were
previous documented as closed with Kittitas County and no further action is needed on
these conditions.
2. Assigned to each developer. These are the conditions that are applicable to both Suncadia
and Escalante individually and will be "assigned" to each developer. Each developer will
be responsible for adhering to these conditions. Following the partial assignment of the
Development Agreement to Escalante, they would become responsible for these
conditions.
3. Joint responsibility. These are the select conditions that require cooperation or joint
responsibility. Suncadia and Escalante will need to agree to work together to regularly
review these conditions and share in responsibility as needed. These conditions are
identified in the conditions matrix (and have been copied to the top of the matrix) and
area also itemized in Table 1 below. Table 1 includes a description of how the
responsibility would be shared. Only the conditions identified in Table 1 will be shared
