Request to Approve Chair's Signature on Revised Change Order No. 2 with Nor-Pac Seating Company: Stacey stated there was a mathematical error that needs to be corrected. The revised change order corrects the error and allows the contract to be closed. Commissioner Leichleiter moved to authorize signature on revised change order number 2 with Nor-Pac seating. Chairman Wachsmith seconded. Motion passes 2-0 2. Request to Ratify Event Center Director Signature on Change Order No. 10-R1 with Cascade Construction Per Porterfield, Change Order No. 10-R1 will credit the County back $13,672.17. To receive the credit, Porterfield executed the change order, as it was no cost to the County and not restricted by purchasing authority. Commissioner Leichleiter made a motion to ratify the Event Center Director's signature on Change Order No. 10-R1 with Cascade Construction. Chairman Wachsmith seconded the motion. Motion passes 2-0. 3. Request for Approval of a Resolution Establishing the Kittitas County Sponsorship and Donation Policy Porterfield reported that Legends Casino and Hotel (Yakama Nation) does not sign formal agreements for sponsorship via the information received from Chelsea Hajny, the contracted sponsorship consultant. The proposed amendments to the policy attached to the Resolution provide exception for formal agreements for sponsorship arrangements with tribal partners, but keep the remaining requirements the same for all other sponsors. Murphy asked if this was reviewed by DPA? Porterfield said yes. Commissioner Leichleiter made a motion to approve Resolution 2026-157 Establishing the Kittitas County Sponsorship and Donation Policy. Chairman Wachsmith seconded the motion. Motion passes 2-0. 2026-09-28 MINUTES 4. Board Discussion and Direction on Bowling Alley Parking and Lessee Exercising Option to Purchase: Stacey stated lessee wants to purchase the bowling alley. The parking is used during Fair and Rodeo. Murphy stated there are legal concerns with enforcing a parking lease on new property owners, if the original buyers were to sell it. The KVEC Director negotiated a 10-year sponsorship of the parking lots for the Fair and Rodeo, with the first option to lease the parking lots at fair market value after that time or renew another sponsorship agreement for free use. Porterfield stated the lessee does not plan to be open during Fair and Rodeo, alleviating concern about competing uses. If the property is sold by the current lessee (after becoming owner), it would be difficult to enforce the sponsorship or lease agreement. Murphy said the best route for protection for the County would be to record the lease on the title of the property. Stacey stated the lessee is wanting to refinance and is concerned about an encumbrance on the title of the property, if a lease was recorded on it. Chairman Wachsmith wondered why it would cause issues with refinancing. No one was sure of an answer to that question. Murphy stated that the sale agreement could possibly include that they will be closed during Fair and Rodeo, which would help with parking. Can't enforce that beyond the next property sale though. Direction from the Board to staff: a meeting needs to be scheduled with Charlie, Kady, and the lessee to discuss the issues of recording the lease on the title. 5. At 10:28 a.m. Chairman Wachsmith announced the board would recess into Executive Session, for 10 minutes under RCW 42.30.110 (i) To discuss with legal counsel representing the agency matters relating to agency enforcement actions, or to discuss with legal counsel representing the agency litigation or potential litigation to which the agency, the governing body, or a member acting in an official capacity is, or is likely to become, a party, when public knowledge regarding the discussion is likely to result in an adverse legal or financial consequence to the agency. No action was anticipated. At 10:38 a.m. the board reconvened out of executive session. At 10:38 a.m. the board recessed into executive session for 3 minutes. At 10:41 a.m. the board reconvened out of executive session with direction to staff to take lead on responding to received letter. 6. Request for Review of Proposal and Approval of the Event Center Director to Execute a Purchase Agreement with 2027 Budget Impacts: In 2025, Porterfield began working with a new golf cart vendor for the Fair due to the poor condition of the carts provided by the 2026-09-28 MINUTES 2 prior vendor. During the 2 years with the new provider, the carts have been running well and offer safety features such as headlights. After the conclusion of the 2026 Kittitas County Fair, and prior to the 2027 preliminary budget workbooks being finalized, Porterfield submitted a special capital request for a proposed golf cart purchase. The vendor presented Porterfield with a very favorable and time -sensitive opportunity the week after fair. The vendor explained that the current business model is no longer financially feasible and plans to sell its existing fleet. Due to the business relationship already established, the vendor has offered KVEC the opportunity to purchase carty by the trailer load at 30-50% below current market value for the carts. Currently the fair spends an excess of $20,000 a year for the cart rentals. That covers 13 four -passenger carts, 3 utility carts and 6 six -passenger carts. The vendor is offering the following (guaranteed to be in good operating condition): 10 four -passenger carts, 2 utility carts and a trailer for each, and 3 six -passenger carts. Including tax and delivery, the total would be $59,327.80. In addition to the carts significantly reducing the rental need and expenses for carts during fair, it will also offer another revenue stream for KVEC. The carts can be rented as an amenity for events. If 2 carts are rented for 25 days this year at a rate of $100 per cart per day, the revenue could total approximately $5,000 yearly. We would also save approximately $13,000 per year on rental fees during fair. With this budget model in mind, the carts would nearly pay for themselves within 3 years. The budget would not be impacted until 2027, but the carts would be delivered in 2026 to decrease storage costs for our vendor in lieu of waiting for purchase payment until the upcoming January. Chair Wachsmith asked what the expected lifespan of the carts is? Porterfield estimates about 10 years. Porterfield also stated risk management has been consulted, and they have no major concerns as far as using them as a rentable amenity. Rental contracts will be reviewed and updated once a decision on the purchase is made. Chair Wachsmith stated he is in favor of moving forward. Commissioner Leichleiter agreed. Direction has been given for Porterfield to move forward with acquisition of the golf carts. 7. Updates to Winter Season Event Calendar: As a cost reduction measure, KVEC will be limiting availability of Bloom Pavilion on Friday afternoons, and Saturday will be limited to one ride. Currently, the Tuesday to Saturday Maintenance Technician position is vacant. Last 2026-09-28 MINUTES year, employed staff took turns covering the arena each weekend, but that is not a sustainable model for the long run. There are generally only three bookings (two hours each) on Friday and Saturday, totaling $6,600 in revenue for the season (November to March). By leaving the position vacant, we will save approximately $36,000 in personnel costs. Chairman Wachsmith is in support. Commissioner Leichleiter also expressed support for the decision and mentioned possibly a rate increase should be looked at for Bloom in the future. 8. 2026 Kittitas County Fair Recap Porterfield gave a succinct recap of the 2026 Fair. Admission revenues were down by current estimates, but attendance was on par. Parking was up by 7%, vendor concessions were up by 3%, and Frontier Village was up by 20%. Carnival was down 5%, but are quite happy with the numbers given the weather. 9. The Department Director, Elected Official, or authorized designee would prepare and retain a written disclosure statement documenting the terms of the sponsorship and any recognition, promotional, or naming rights provided. BACKGROUND: Kittitas County's sponsorship and donation policy provides the framework for the County to accept financial support, in -kind contributions, and sponsorships that further County programs, facilities, events, and services. Sponsorship and donation arrangements can provide meaningful public benefit by supplementing County resources, supporting community activities, and creating partnerships with businesses, organizations, and other entities. At the same time, these arrangements require clear administrative standards to ensure County decisions are consistent, transparent, and aligned with applicable financial, contractual, ethical, and operational requirements. The proposed policy additions provide specific procedures for sponsorships (including title/naming rights sponsorships) involving Tribal partners. It has been advised by contracted sponsorship consultants that Tribal partners will not sign a formal sponsorship agreement. Therefore, given the unique nature of Tribal procedures, the policy adapts other written approval and disclosure requirements that will help ensure the County maintains a complete record of the arrangement, its terms, and the benefits to be provided. DISCUSSION: The proposed addition of Section 5.6.3 establishes requirements specific to sponsorships with Tribal partners. The amendment requires these sponsorships to receive written pre -approval from the Department Director/Elected Official. It further requires the Department Director/Elected Official or designee to prepare a written disclosure statement consistent with Section 5.4 of the policy. The disclosure statement must identify any traded benefits that the sponsor may receive, ensuring that the County documents both the sponsorship and the consideration provided in return. The written pre -approval and disclosure requirements are intended to create an appropriate and transparent administrative record without unnecessarily limiting partnership opportunities. The requirements will help ensure that the County clearly identifies the nature of the sponsorship, the anticipated public benefit, the benefits or recognition provided to the Tribal partner, and the responsible County official's approval. These records will also assist with internal oversight, public records retention, and consistent application of County policy. The proposed addition of Section 5.7.3 provides a tailored documentation process for title sponsorships involving Tribal partners. Rather than requiring a formal sponsorship agreement, the proposed language allows the Department Director, Elected Official, or authorized designee to prepare and retain a written disclosure statement. The statement must document the sponsorship terms and specifically describe the rights granted, including any recognition, promotional, or naming rights addressed under Section 5.7.1. This approach provides administrative flexibility while maintaining documentation of the County's commitments and the sponsor's rights. In considering the amendment, the County should ensure that written disclosure statements are sufficiently detailed to identify the sponsored asset or activity, the duration of the sponsorship, the value or nature of the contribution, any required County obligations, applicable naming or promotional rights, conditions for modification or termination, and the official responsible for approval. Clear and complete documentation will help preserve the County's ability to administer title sponsorships consistently and respond effectively should questions arise regarding the arrangement's scope or terms. The original RFP for leasing the bowling alley provided an option for the lessee to purchase the facility. The lessee's proposal provided the county with an offer that was included in the original lease agreement. BRIEFING SUMMARY: - Following the conclusion of the 2026 Kittitas County Fair and Rodeo, and before the 2027 preliminary budget workbooks were finalized, the KVEC Director submitted a special capital request for a proposed golf cart purchase. - The vendor presented KVEC with a highly favorable, time -sensitive purchase opportunity during the week following the Fair. While prompt action is needed to secure the offer, the expenditure would not affect KVEC's budget until January 2027. - The total purchase amount exceeds the KVEC Director's authorized purchasing threshold. If the Board of County Commissioners supports the proposal, BOCC authorization is required to allow the KVEC Director to enter into a purchase agreement. BACKGROUND: KVEC started working with a new golf cart vendor in 2025 after identifying a need for more reliable, higher -quality carts to support Fair operations. The vendor's fleet included carts equipped with headlights, which improved the safety of shuttle operations during evening and low -light Fair activities. Based on the quality of the equipment and the vendor's responsive service, KVEC continued the partnership for the 2026 Fair. Over two years, the KVEC Director developed a strong and productive business relationship with the company. The Fair spends over $20,000 a year on its golf cart rentals. The rental fleet includes 13 four - passenger carts, 3 utility carts, and 6 six -passenger carts. Following the 2026 Fair, the business owner shared that the current rental model was no longer financially sustainable because of the labor, hauling, and delivery costs associated with transporting carts. The company is changing its business model and plans to sell its existing fleet. Because of KVEC's established relationship with the vendor, the company has offered KVEC an opportunity to purchase carts by the trailer load at an estimated 30% to 50% below the market value for used carts. This opportunity aligns with an identified operational and customer -service need. KVEC has received several inquiries from upcoming large events asking whether golf carts are available for rent to assist with moving around the grounds during event setup and operations. This is particularly valuable for events with older volunteers, guests, or staff who may have mobility limitations. Offering golf carts as an event rental amenity would create a new revenue opportunity while reducing the Fair's ongoing operating rental expense. KVEC staff have previously discussed establishing a cart rental program, and Grounds staff have confirmed they have the capacity and technical ability to maintain and repair the carts as needed over their useful life. DISCUSSION: The specially priced offer includes the following fully serviced carts, each guaranteed to be operational before delivery: 10 four -passenger carts 2 utility carts including a utility trailer - 3 six -passenger carts The sub -total for all 15 carts would be $54,200, plus a delivery fee and sales tax, which would bring the total purchase price to $59,327.80. KVEC conservatively estimates that the carts could be rented for approximately 25 days during the first year, driven by larger events and anticipated demand from wedding rentals. Assuming an average of two carts rented per event at a rate of $100 per cart per day, rental revenue could total approximately $5,000 annually. In addition to rental revenue, owning the carts is expected to avoid at least $13,000 per year in Fair -related cart rental costs. Together, these savings and new revenues would create an estimated positive annual budget impact of $18,000. Based on conservative revenue and cost -savings estimates, the investment is expected to recover its cost in approximately three years. The carts will provide year-round value by supporting Fair operations, event rentals, and customer service needs. Once the initial investment has been recovered, the County can continue to realize ongoing savings from avoided cart rentals and generate additional rental revenue. KVEC knows the quality and condition of the carts after use over the course of the 2026 Kittitas County Fair, and so they are expected to remain reliable assets for many years beyond the payback period, further strengthening the long-term return on investment. The facility will close on Friday afternoons and be limited to one Saturday booking, reducing the need to staff short -duration weekend arena work. - In prior years, hourly rentals at Bloom Pavilion have required staff coverage for Saturday arena work -ups, typically totaling only one to three hours of work. This limited workload does not justify hiring an additional full-time employee solely to provide weekend coverage. - Bloom Pavilion is typically rented for an average of six hours across Friday evenings and Saturdays, generating approximately $330 in revenue per weekend. - The estimated daily wage cost for a first -year full-time employee is approximately $157, or $314 for Friday and Saturday combined, before accounting for additional fuel, tractor, and operational costs associated with preparing and maintaining the arena. - Existing KVEC staff can adequately maintain the grounds and support the reduced winter event schedule. However, the KVEC Director has determined that maintenance and event activity from November through March is insufficient to support a full-time position. - By not hiring an additional FTE for the five -month winter period, the County is projected to save approximately $35,940.42 in personnel costs (salaries and benefits). - Over the approximately 20-week period from November through March, the maximum potential revenue from Friday and Saturday Bloom Pavilion rentals is estimated at $6,600, assuming consistent bookings, including holiday weekends. Historically, this level of booking is not typical. - Even if KVEC forgoes the full estimated $6,600 in potential rental revenue, the County would still realize a minimum net savings of $29,340.41 during the winter season, excluding additional savings from reduced fuel, equipment use, and operating costs.
