<br />INTERLOCAL AGREEMENT
<br />BETWEEN KITTITAS COUNTY, THE CITY OF ELLENSBURG, THE CITY OF KITTITAS,
<br />THE CITY OF CLE ELUM, THE CITY OF ROSLYN, THE TOWN OF SOUTH CLE ELUM,
<br />AND CENTRAL WASHINGTON UNIVERSITY
<br />FOR THE KITTITAS COUNTY REGIONAL ADVOCACY AND FUNDING CONSORTIUM
<br />
<br />THIS INTERLOCAL AGREEMENT ("Agreement") is entered into pursuant to the Interlocal Cooperation Act,
<br />chapter 39.34 RCW, by and among Kittitas County, the municipalities of Ellensburg, Kittitas, Cle Elum, Roslyn,
<br />and South Cle Elum, and Central Washington University (collectively, the "Parties"), all located in Kittitas
<br />County, Washington.
<br />WHEREAS, the Parties recognize that coordinated federal advocacy, legislative monitoring, appropriations
<br />support, strategic funding planning, and grant consulting can advance public priorities in Kittitas County;
<br />WHEREAS, RCW 39.34 authorizes public agencies to enter into interlocal agreements to jointly exercise
<br />powers and perform functions for the benefit of their communities;
<br />WHEREAS, the Parties desire to establish a consortium to coordinate and fund a countywide regional advocacy
<br />and federal funding platform, while preserving each Party's independent legal authority and control over its
<br />projects and priorities;
<br />WHEREAS, the Parties seek to define roles, responsibilities, governance, and funding mechanisms for the
<br />Consortium under the coordinating oversight of the Kittitas County Conference of Governments ("COG"); and
<br />WHEREAS, Kittitas County will serve as the administrator and will contract with The Ferguson Group, LLC
<br />("TFG") for the services described in Exhibit A.
<br />NOW, THEREFORE, the Parties agree as follows:
<br />1. PURPOSE.
<br />1.1 Establishment. The Parties establish the Kittitas County Regional Advocacy and Funding Consortium
<br />("Consortium") to coordinate, govern, fund, and administer a countywide regional advocacy and federal funding
<br />platform.
<br />1.2 Countywide Platform. The Consortium will support a Countywide Platform of shared priorities for federal
<br />advocacy, legislative and regulatory engagement, appropriations strategy, strategic funding planning, grant
<br />consulting, and related activities. The Countywide Platform may include priorities relating to transportation,
<br />infrastructure, water, utilities, public safety, wildfire resilience, housing, economic development, workforce,
<br />recreation, natural resources, community facilities, and other public purposes identified by the Parties.
<br />1.3 No Separate Entity or Transfer of Authority. This Agreement does not create a separate legal entity,
<br />municipal corporation, joint board with independent taxing authority, or separate public agency. No provision of
<br />this Agreement transfers a Party's governmental powers, property, personnel authority, budget authority, land-
<br />use authority, grant authority, contracting authority, or legal responsibilities to another Party.
<br />2. ADMINISTRATION, COG, AND PARTY ROLES.
<br />2.1 Designation of Administrator. Because this Agreement does not create a separate legal entity, Kittitas
<br />County is designated as the administrator responsible for administration of the joint undertaking for purposes of
<br />RCW 39.34.030(4).
<br />2.2 Administrator Authority and Limits. The County's authority as administrator is limited to administering this
<br />Agreement and the County-TFG contract, including contracting, invoicing, payment processing, recordkeeping,
<br />reporting, and enforcement of payment terms. The County may issue notices to TFG only under the County-
<br />TFG contract. The County has no authority under this Agreement to bind a Party, approve or commit a Party's
<br />funds, alter a Party's project or priority, or represent that a Party supports a position without that Party's
<br />affirmative written authorization.
