BOARD OF COUNTY COMMISSIONERS <br />COUNTY OF KITTITAS <br />STATE OF WASHINGTON <br />RESOLUTION <br />NO. <br />RATIFYING THE CHAIR OF COUNTY COMISSIONER'S SIGNATURE ON THE TRUST <br />WATER RIGHTS PURCHASE AND SALE AGREEMENT WITH SUNCADIA RESORT LLC <br />AND AUTHORIZING CHAIR SIGNATURE ON CLOSING DOCUMENTS <br />WHEREAS: Kittitas County maintains a water banking program approved by the Washington State <br />Department of Ecology and administered by the Public Works Department; and <br />WHEREAS: Suncadia Resort LLC is the beneficial owner of Teanaway River and Swauk Creek <br />surface water rights assigned Certificate Nos. 34-83719-J, 54-85214-J,54-85212-J, and <br />54-8521l-J (Phase I Water Rights); and <br />WHEREAS: Suncadia Resort LLC is the beneficial owner of a Teanaway River surface water right <br />assigned Certificate No. 54-83717-J (Phase 2Water Right); and <br />WHEREAS: on January 26,2026, the Kittitas County Board of Commissioners entered into a <br />Purchase and Sale Agreement for the beneficial interests in the Phase 1 and Phase 2 <br />Water Rights; <br />WHEREAS: the Purchase and Sale Agreement identifies several contingencies that must be satisfied to <br />close each transaction; and <br />WHEREAS: one identified contingency requires the Kittitas County Board of Commissioners to pass a <br />resolution, in the ordinary course of business, ratiffing the Purchase and Sale Agreement; <br />NOW, TIIEREFORE BE IT RESOLVED that the Board of County Commissioners, in the best interest <br />of the public, hereby ratifies the Chair of the Board of County Commissioners' signature on the January <br />26,2026, Trust Water Rights Purchase and Sale Agreement with Suncadia Resort LLC. <br />BE IT FURTHER RESOLVED, that, once all contingencies in the Purchase and Sale Agreement have <br />been met, the Chair of the Kittitas County Board of Commissioners is authorized to execute any further <br />documents on behalf of Kittitas County necessary to close the transaction. <br />DATED this 3'd day of February 2026, at Ellensburg, Washington. <br />BOARD OF COUNTY COMMISSIONERS <br />KITTITAS COLINTY, WASHINGTON <br />ABSENT <br />Cory Wright, Chairman <br />the Board- Julie Kjorsvik <br />SLAlest: <br />Q, <br />tr Deputy Olerk o{the Bgard- Mandy Buchholz <br />Brett W
