FIRSTAMENDMENT TO <br />THE AGREEMENT <br />F'OR <br />OPERAIION OF TRANSFER STATIONS; <br />IIAIJLING AND DISPOSAL OF MI.'NICIPALSOLID WASTE; <br />IIALILING Or INERT DEMOLITION DEBRISI WASTE; AI{D <br />HAULING, PROCESSING,AND MARKETING OF RECYCLABLES <br />This First Amendment to the Agreement for Operation of Transfer Stations; Hauling and <br />Disposal of Municipal Solid Waste; Hauling of Inert Demolition Debris Waste; and Hauling, <br />Processing, and Marketing of Recyclables (this "Amendmenf') is entered into and effective as <br />of July 1,2025 (tre"Effective Date") by and between WASTE MANAGEMENT OF <br />WASHINGTON, INC. ("Cornpany") and KITTITAS COUNTY, a municipal corporation <br />created under the laws of the State of Washington ('County"). Company and County shall be <br />collectively refened to herein as the "Parties" and individually as a "Palt5i", unless specifically <br />identified othenvise. Capitalized terms used in this Amendment and not othenvise defined shall <br />have the meanings ascribed to such terms in the Agreement. <br />RECITALS <br />WHEREAS, County and Contractor are Parties to that certain Agreement for Operation <br />of Transfer Stations; Hauling and Disposal of Municipal Solid Waste; Hauling of Inert <br />Demolition Debris Waste; and Hauling, Processing, and Marketing of Recyclable Materials, <br />effective as of July 1,2020, (the "Agreemenf'); <br />WIIEREAS, the Parties now desire to amend the Agreement to, among other things, <br />extend the term and update or add cer|ain provisions related to Recyclable Materials operations, <br />rates, and closure notifications. <br />AGREEMENT <br />NOW THEREFORE, in consideration of the mutual benefits and covenants contained <br />herein, the receipt and sufficiency of which are hereby acknowledged, the Parties hereby agree <br />as follows: <br />2. Section 4. Definitions. <br />Seotion 4, Definitions, is amended by adding the following definitions <br />Commercial Customer means those customers whose Solid Waste is generated <br />by commercial or business activities at commercial or business premises such as <br />offrce buildings, shops, restaurants, and other such for-profit enterprises; <br />however, a business conducted at a single-family premises that is permitted under <br />applicable zoning regulations, but is not the primary use of the premises, are <br />excluded." <br />First Amendment to the Agreement for Operation of Transfer Stations; <br />Hauling and Disposal ofMunicipal Solid Waste; <br />Hauling of Inert Demolition Debris Waste; and <br />Hauling, hocessing, and Marketing of Recyclables <br />(y) <br />Page I of6
