The Gounty and Contractoragree as fullows: <br />General Conditione; Exhlbit A (Amended Scope of Work); Exhibit B (Amended <br />Componsation); Exhibit C (Proof of Insurance) <br />copies of whlch are attached hercto and lncorporated hereln by this reference as fully as if <br />set forth hereln. <br />The term of this Agreement shall commence on the dqtg it,ls elgned and continue <br />until completion of the project or depletion of funds, Kittitaa County Board of County <br />Commissioners Resolution #2024-171 to hlre a qualiffed practitloner to provide behaviorat <br />health related needs at the Klttitas Gounty Jail utllizing the 1/10h of 1o/o Mental Heahh and <br />Chemical Dependency Tax with an expectod tennination date of December3l, 2027 unless <br />notified in advance of any extenelon or depleted funds, Any party may terminate this <br />Agreement by glving thitty (30) days' notice in writing either pereonally delivered or mailed <br />postage-prepaid by certlfied mall, return recelpt requested, to the party's last known address <br />for the purposee of glving notlce under this paragraph, all subJect to $edlons 12 and 14 in <br />the GeneralConditions <br />Contracbr acknowledges and by signing thi* Agreement agrees that the <br />lndemnification provlslons sot forth in Paragraphs 7 (lndependent Contractor), 9 (Taxes), <br />15 (Defense and ln{emnlty {greement), 21 (PatenU0opyrbht lnfrlngement) and 24 <br />(Confidentlality), are totally and fully Fart of this Agreoment and have been mutually <br />negotlated by the parties. <br />Profsselonal Services Agreement (rev. 09/241201 8) <br />Pagei of18
