PROFESSIONAL SERVICES AGREEMENT <br />This Agreement is made by and between Kittitas County (hereinafter "the County") <br />and CompassDirect Healthcare (hereinafter "Contractor or "CompassDirect Healthcare.... <br />The County and Contractor agree as follows: <br />General Conditions; Exhibit A (Amended Scope of Work); Exhibit B (Amended <br />Compensation); Exhibit C (Proof of Insurance) <br />copies of which are attached hereto and incorporated herein by this reference as fully as if <br />set forth herein. <br />The term of this Agreement shall commence on the June 1, 2025 and continue until <br />completion of the project, Kittitas County Board of County Commissioners Resolution 2024- <br />139, contract number SHJ24-012, to hire a qualified Medical Assistant to provide reentry <br />service and navigation to those incarcerated at the Kittitas County Jail utilizing the <br />Washington State Healthcare Authority 1115 reentry initiative funding with an expected <br />termination date of June 30, 2028 unless notified in advance of any extension or depleted <br />funds. Any party may terminate this Agreement by giving thirty (30) days' notice in writing <br />either personally delivered or mailed postage -prepaid by certified mail, return receipt <br />requested, to the party's last known address for the purposes of giving notice under this <br />paragraph, subject to section 14 in the General Conditions <br />Contractor acknowledges and by signing this Agreement agrees that the <br />Indemnification provisions set forth in Paragraphs 7 (Independent Contractor), 9 (Taxes), <br />15 (Defense and Indemnity Agreement), 21 (Patent/Copyright Infringement) and 24 <br />(Confidentiality), are totally and fully part of this Agreement and have been mutually <br />negotiated by the parties. <br />Professional Services Agreement (rev. 09/24/2018) <br />Page 1 of 18 <br />
