BOARD OF COI]NTY COMMISSIONERS <br />COUNTY OF KITTITAS <br />STATE OF WASHINGTON <br />RESOLUTION*o-And6cL20 <br />RATIFYING THE CIIAIR OF'COUNTY COMMISSIONER'S SIGNATURE ON THE TRUST <br />WATER RIGHTS pURCHASE AND SALE AGREEMENT FOR CERTIFICATE NOS S4-83717-J' <br />s4-83719-J, S4-85214-J, S4-85193-J AND S4-85211-J WITH SI]NCADIA RESORT LLC AND <br />AUTHORIZINGCHAIRSIGNATI'JREoNCLOSINGDOCUMENTS <br />WHEREAS: Kittitas County maintains a water banking program accepted by the Washinglon State <br />Department oiecology and administered by the Public Works Department; and <br />Suncadia Resort LLC is the beneficial owner of surface water rights Teanaway River, First <br />Creek (a tributary to Swauk Creek) and Swauk Creek, assigned Certificate Nos. 54-83717- <br />J, 34-83719-J,54-85214-J, 54-85193-J and 54-8521 l-J; and <br />On Decemb er 23,2024 the Kittitas County Board of Commissioners entered into a <br />purchase and sale agreement for the beneficial interests in the Water Rights assigned <br />'Certificate Nos. 54-837 17-J,54-83719-J, 54-85214-J, 54-85193-J and 54-85211-J; and <br />The purchase and Sale Agreement identifies several contingencies that need to be satisfied <br />to close the transaction; and <br />One identified contingency is for the Kittitas County Board of Commissioners to pass a <br />Resolution in the ordinarycourse of its business ratiffing the Purchase and Sale <br />Agreement. <br />WHEREAS: <br />WIIEREAS: <br />WHEREAS: <br />WHEREAS: <br />NOW, TIIEREFORE BE IT RESOLVED that the Board of county commissioners, in the best interest <br />of the public, does ratiff Chair of County Commissioner's Signature on the Trust Water Rights Purchase <br />and Sale Agreement foi Certificate Nos. 34-83717-J, 54-83719-J, 54-85214-J, 34-85193-J and 54-85211-J <br />with Suncadia Resort LLC. <br />BE IT FURTHER RESOLVED, once all contingencies in the Purchase and Sale Agreement have been <br />met, the Chair of the Kittitas County Board of Commissioners is authorized to execute any further <br />documents, on behalf of Kittitas Counly, necessary to close the transaction. <br />DATED this 21't day of January 2025, at Ellensburg, Washington' <br />BOARD OF COUNTY COMMISSIONERS <br />, WASHINGTON <br />Board- Julie Kjorsvik <br />Cory Wright,Vice-Chairman <br />ABSENT <br />rJ. <br />I <br />7 <br />co <br />() <br />O <br />Clerk of the Board- MandY Buchholz1. <br />Brett Wachsmith, Commissioner
