TRUST WATER RIGHTS PURCHASE AND SALE AGREEMENT THIS TRUST WATER RIGHTS PURCHASE AND SALE AGREEMENT ("Agreement") is made and entered into this |tL duy of D.ce^n L"f , 2024, by and between KITTITAS COLINTY, a political subdivision ofthe State of Washington ("County"), and JAMES P. ROAN and JAN ROAN, Husband and Wife, and/or assigns ("Seller"). Factual Background A. Seller is the beneficial owner of surface water rights from First Creek, assigned Certificate Nos. 54-85121-J and 54-85198-J: Qa (CU) 22.81, 7.9 Period April l to Oct. 15 Oct. 16 to March 3L Certificate No. v-85121-I 9-85198-J Use Authorization more particularly desuibed in Exhibit A ("Water Rights"). Seller entered into a Trust Water Right Agreement with the Washington Department of Ecology ("Ecology") pursuant to Chapter 90.42 RCW, on August 7,2012. The Trust Water Right Agreement is attached hereto as Exhibit B. Under the Trust Water Right Agreement, Seller may assign the Agreement or assign the beneficial interest in the Trust Water Right Agreement andlor the Water Rights to another parry. B. Sellerowns WaterRight PermitsNos. G4-3554I,G4-35542,G4-35543,G4-35544, G4-35545,G4-35546,G4-35547 and G4-35548 ("Water Right Permits"). The Water Right Permits are mitigated by the Water Rights as follows: Qa (CU) Period 13.91" April l. to Oct. L5 7.31,6 October 15 to March 3L G4-355 41. throu gh G4-355 48 The originally issued Water Right Permits are attached hereto as Exhibit C. Originally, the Water Right Permits authorized up to 145 equivalent residential units.(ERUs). The Seller has sold the majority of the ERU units to third parties. At the time of signing this Agreement, there are l6 ERU (2.354 acre-feet annually) remaining for assignment to third parties under the Water Right Permits. C. At the time of signing this Agreement, the Seller has one pending Groundwater Mitigation Agreement for 0.137 acre-feet annually ("Quinn Agreement") of the Water Rights, that is still pending review with Ecology, attached hereto as Exhibit D. t
