PROFESSIONAL SERVICES AGREEMENT <br />AMENDMENT #1 <br />This Agreement is made by and between Kittitas County (hereinafter "the County") <br />and CompassDirect Healthcare (hereinafter "Contractor"). The County and Contractor agree <br />as follows: <br />GeneralConditions; ExhibitA (Amended Scope of Work); Exhibit B (Amended <br />Compensation); Exhibit C (Proof of lnsurance). <br />copies of which are attached hereto and incorporated herein by this reference as fully as if <br />set forth herein. <br />The term of this Agreement shall commence on the date this siqned and continue <br />until completion of the project, Kittitas County Board of County Commissioners Resolution <br />#2023-2015 to hire a qualified practitioner to provide behavioral health related needs at the <br />Kittitas County Jail utilizing the 1/1Oth of 1o/o Mental Health and Chemical Dependency Tax <br />with an expected termination date of December 31, 2025 unless notified in advance of any <br />extension or depleted funds. Any party may terminate this Agreement by giving thirty (30) <br />days' notice in writing either personally delivered or mailed postage-prepaid by certified mail, <br />return receipt requested, to the party's last known address for the purposes of giving notice <br />under this paragraph. <br />Contractor acknowledges and by signing this Agreement agrees that the <br />lndemnification provisions set forth in Paragraphs 7 (lndependent Contractor), 9 (Taxes), <br />15 (Defense and lndemnity Agreement), 21 (PatenUCopyright lnfringement) and 24 <br />(Confidentiality), are totally and fully part of this Agreement and have been mutually <br />negotiated by the parties. <br />P rofessional Servi ces Ag reem ent (rev . 09 I 24 I 20 1 8) <br />Page 1 of 18
