WSPContractNo.CRDOO160LAESSNANTONNAPSAUSRERL)EMENTThisAgreement,enteredintobetweentheWashingtonStatePatrol(hereinafterreferredtoas"WSP"),anagencyoftheStateofWashington;andKittitasCountySheriffsOffice,(hereinafterreferredtoas"theUser"),witnessesthat:TheWSPisanagencyoftheStateofWashingtonauthorizedbylawtoestablishandoperateanAutomatedBiometricIdentificationSystem(ABIS)capableof,butnotlimitedto,reading,classifying,matching,andstoringfingerprints,andmaintaininginformationbasedonfingerprintidentification.ABISforwardsthecriminalhistoryrecordinformationtotheWashingtonStateIdentificationSystem(WASIS)whereitisstoredandmaintainedbytheWSP.TheWSPhasenteredintoagreementwiththeWesternIdentificationNetwork(WIN)forABISservices.TheWINsupportsABISprocessingforthefollowingeightstates:Alaska,Idaho,Montana,Nevada,Oregon,Utah,Washington,andWyoming.TheUsermayutilizeLivescanequipmenttocapturebiometricfingerprintimagesandrecordrelatedpersonalidentifiableinformationandsubmittoABISforauthorizedpurposesasallowedbystateandfederalstatutes.NOWTHEREFORE,inlightoftheforegoingrepresentationsandthepromises,conditions,andothervaluableconsiderationsmorefullysetoutorincorporatedhereinbyreference,theparties,bytheirdulyauthorizedofficials,domutuallyagreeasfollows:I.PERIODOFPERFORMANCEThisagreementreplacesanypreviousLivescantoWINABISUserAgreementbetweentheWSPandtheUser.ThisagreementiseffectiveonthedateofthelastsignatureandcontinuesuntilstatusofservicesortheUsersignatorychanges.II.DEFINITIONSAsusedthroughoutthisAgreement,thefollowingtermsshallhavethemeaningssetforthbelow:"ConfidentialInformation"meansinformationthatmaybeexemptfromdisclosuretothepublicorotherunauthorizedpersonsundereitherchapter42.56RCWorotherstateorfederalstatutes.ConfidentialInformationincludes,butisnotlimitedto,PersonalIdentifiableInformation(PII),agencysourcecodeorobjectcode,andagencysecuritydata,includingLivescandataasdescribedherein."SubcontractofmeansonenotintheemploymentofapartytothisAgreement,whoisperformingallorpartofthoseservicesunderthiscontractunderaseparatecontractwithapartytothisAgreement.Theterms"subcontractor"and"subcontractors"meansubcontractor(s)inanytier.III.SECURITYREQUIREMENTSThissectionwilloutlinesecurityrequirementsinreferencetoLivescandevicesdefinedasdevicesthatcollect,process,store,communicate,retrieve,display,orprintLivescaninformation.ApprovedastoFormbytheWashingtonAttorneyGeneral2018LivescantoWINABISUserAgreement05/08/2018Page1of7 WSPContractNo.CRDOO160WSPrecognizesthattheFBICJISSecurityPolicyisaminimumstandardandthatcircumstancesareencounteredthatcreateaneedforadditionalsecuritymeasures.ThesestandardsareinadditiontothecurrentCJISSecurityPolicy.a.Livescandeviceswillcomplywiththefollowingsecurityrequirements:i.UnauthorizedunescortedphysicalandlogicalaccesstoLivescandeviceswillberestricted.Insomeenvironments,itmightnotberealistictoexpectabsolutecontroloveraLivescandevice100%ofthetime.Intheseenvironments,acceptableriskmitigationswillbeprovidedinlieuof100%controlthroughescortedaccess.TheWSPreservestherighttoobjecttoequipmentsecuritymeasuresandtosuspendorwithholdserviceuntilsuchmattersarecorrectedtothereasonablesatisfactionofWSP.ii.Livescandeviceswillbesinglepurposeworkstations.Thatis,applicationsusedontheworkstationwillbeusedonlyforfunctionsinvolvingLivescans.iii.WhenCJlistransmittedoutsidetheboundaryofthephysicallysecurelocation,thedatashallbeimmediatelyprotectedviaencryption.Whenencryptionisemployed,thecryptographicmoduleusedshallbeFIPS140-2certifiedanduseasymmetriccipherkeystrengthofatleast128bitstrengthtoprotectCJI.iv.Livescandeviceswillhaverestrictedinternetaccess(i.e.authorizedvendorsupport).v.Livescandeviceswillnothostemailclientsthatcanreceiveemailfromtheinternet.vi.LivescandeviceswillnotbeusedtodisplayoreditdocumentsexceptforreportsproducedbytheLivescandevice(wordprocessing,spreadsheets,PDF's,etc.),vii.Livescandeviceswillnotbeconnectedtoanyexternalmedia,exceptforthepurposeofperformingsoftwareandapplicationupgrades.ThemediashouldbeusedonlyonLivescandevices,Ifthemediaisusedonanon-Livescandevice,itwillbeerasedandanewimagewillbeplacedonthemediabeforeitisusedwithaLivescandevice.viii.LivescandeviceswillbeprotectedfromworkstationsthatdohavegeneralworkstationfunctionsbyfirewallsthatprohibitexternalaccesstoLivescandevices,ix.TheLivescanwillbelocatedinanareathatisphysicallyrestrictedtothepublicorotherunauthorizedusers.WhentheLivescanisnotinuseandleftunattended,itmustbeloggedoffandpasswordprotected.InthecasesofportableLivescans,theLivescanwillnotbeleftunattendedinanon-securearea.b.AllsecurityexceptionsmustbedocumentedinwritingandapprovedbyWSPandWIN.c.Thethreatvectorscurrentlyaddressedare:i.Physicalaccessissuesii.Multiplelsharedfunction(duetosecurityissuesraisedbyco-residentapplications)iii.UnrestrictedinternetaccessApprovedastoFormbytheWashingtonAttorneyGeneral2018LivescantoWINABISUserAgreement05/08/2018Page2of7 WSPContractNo.CRDOO160iv.Emailaccessv.Accessingdocumentsthatcouldhavebeenmaliciouslycraftedvi.Externalmediavii.Contactwithotherworkstationsoverthelocalnetworksegmentthatareathigherriskforinfection/compromisevili.Lackoffirewallseparation/overlypermissivefirewallconfigurationIV.SYSTEMSMANAGEMENT(UserAgency)shallensureallLivescansystems,includingportablesystemsaremaintainedwiththebestsecuritypracticesincludingbutnotlimitedto:a.updatingantivirusb.maintainingcurrentlevelsofsecuritypatchesonoperatingsystemsc.utilizefirewallsd.maintainphysicallysecureareasforinformationsystemse.reportanybreachestotheWSPCriminalRecordsDivisionV.OTHERTERMSANDCONDITIONSBysigningthisagreement,theWSPandtheUserwillmutuallyagreetothefollowing:a.TheWSPwillprovidetheUser,asallowed,withinformationavailableinWASIS,ABISandWINABISfiles.TheWSPwillserveasthemeansofexchangeofcomputerizedcriminalhistoryinformationandbiometricdata.b.ThenetworkconnectionwillbemadeviaanapprovedmethodidentifiedbyWSP.c.TheUserwillsubmitLivescandata(fingerprints,palmprints,mugshots,etc.)andrelateddemographicinformationelectronicallytotheWSPforthepurposeofidentificationandwhenapplicable,inclusiontotheWINABISandWASIS.d.Forapplicantsubmissionsrequiringafee,theUserwillestablishabillingaccountwiththeWSP.Byestablishingabillingaccount,theUseragreestocollect,hold,andreconcilefeeschargedbyWSP.Ifasubmissionissentinerror,theUserisresponsibleforallfeesassociatedwiththatsubmission.e.TheUseragreesthatWSPwillprovideauthorizationtoconnecttotheABISandWINABISdatabaseswithcertainrestrictionsasfollows:i.TheUserwillsubmitLivescandataandrelateddemographicinformationforidentificationsearchandpossibleinclusioninABIS,WASIS,andWINABISdatabasesasallowedbystatute.ii.TheUseragreestocomplywithstatutorymandatesconcerningthesubmissionofcriminalandcivilfingerprintsubmissionstoWSP.f.TheUserisresponsibleforallpersonnel,operating,maintenanceanddatatransmissioncoststosubmitLivescandataandrelateddemographicinformationasrequiredunderstatestatutesand/orlocalordinances.g.TheUseragreestoassignaLivescanpointofcontacttoserveastheprimarycontactpersonforanyLivescantoABISconnectionrelatedissues.TheUsermustnotifyWSPassoonaspossibleiftheLivescanpointofcontactchanges.h.TheWSPwillscheduleandprovideLivescantrainingtoUserpersonnelatlocationsandtimesspecifiedbyWSP.LivescantrainingmayalsobeprovidedbytheLivescanvendor.VI.WASHINGTONWORKINGLAWApprovedastoFormbytheWashingtonAttorneyGeneral2018LivescantoWINABISUserAgreement05/08/2018Page3of7 WSPContractNo.CRDOO160UnderWashington'srecentlypassedKeepWashingtonWorking(KWW)law,theWSPisgenerallyprohibitedfromenforcingfederalimmigrationlaw.SeeRCW10.93.160.Thisprohibitionisinrecognitionofthefactthat,standingalone,anindividual'sunauthorizedpresenceintheUnitedStatesisnotaviolationofstateorlocallaw.Thus,neitherWSPnoranyofitsmembersmaycontractinanywaytoprovidecivilornon-criminalimmigrationenforcementassistance,includingthroughagreementsfortaskforceparticipation,mutualaid,datasharing,communicationsdispatch,oranyotheragreementthatsharesresourcesand/orprovidesdataasdescribedherein.Therefore,tocomplywithKWW,theKittitasCountySheriffsOfficeshallnotuseorshareWSPresourcesand/ordata,includinganyindividuals'personalinformationascertainedbytheWSPoritspersonnel,withanythirdpartiesortosupportorengageincivilornon-criminalimmigrationenforcementactivities.Theprohibitiononinformationsharingincludesplaceofbirth,presentlocation,releasedatefromdetention,ifapplicable,andfamilymembers'names,absentacourtorder,judicialwarrant,orasmayberequiredbythePublicRecordsAct(PRA),chapter42.56RCW.IncidentsofdisclosureofsuchpersonalinformationshallbeconsideredabreachofthisagreementandshallbereportedtoadesignatedWSPofficial.VII.COMPLIANCEa.TheUserwilloperateLivescanequipmentandmaintainstrictcompliancewithapplicablepoliciesandproceduresasidentifiedinthisAgreement.b.Fingerprintidentificationand/orcriminalhistoryrecordinformationwillnotbefurtherdisseminatedbytheUsertoanyotherperson(privateorpublic)orentity,exceptasrequiredincriminalproceedingspursuanttostateand/orfederallaws.c.UserssubmittingLivescandataandrelateddemographicinformationviaLivescantotheWSParesubjecttoauditperFBICJISSecurityPolicystandards.VIII.SUSPENSIONANDTERMINATIONa.TheWSPmaysuspendserviceshereunderwhen,initsreasonableestimation,theUserhasbreachedanymaterialtermoftheAgreement.ForthepurposesofthisAgreement,theviolationofanyspecifictermofthisAgreementorofanysubstantiverequirementorlimitationimposedbythefederalorstatestatutes,regulations,orrulesincorporatedintothisAgreementwillbedeemedabreachofmaterialtermoftheAgreement.b.TheWSPmayterminatethisAgreementiftheUsercommitsanymaterialbreachofanytermofthisAgreement,whichbreachisnotcorrectedwithinthirty(30)businessdaysafterreceiptofnoticefromWSP.Bothpartiesmay,bymutualagreement,terminatethisAgreementontermsacceptabletothem.c.NeithertheWSPnortheUserwillbeliableforanyindirect,incidental,consequentialorspecialdamageunderthisagreementarisingsolelyfromtheterminationofthisAgreementinaccordanœwithitsterms.IX.HOLDHARMLESSTotheextendallowedbylaw,theUseragreestoholdharmlesstheWINanditsemployeesandtheStateofWashington,theWSPanditsemployeesfromandagainstanyandallclaims,demands,actions,suits,includingbutnotlimitedto,anyliabilityfordamagesbyreasonoforarisingoutofanymisuseoftheABIS,WASISandWlNABISdatabases,erroneousidentifications,oranycauseofactionwhatsoever,againstanyloss,cost,expense,anddamageresultingtherefrom,includingattorneyfees.ApprovedastoFormbytheWashingtonAttorneyGeneral2018LivescantoWINABISUserAgreement05/08/2018Page4of7 WSPContractNo.CRDOO160X.RECORDSMAINTENANCEANDINSPECTIONThepartiestothisAgreementshalleachmaintainbooks,records,documents,andotherevidencewhichsufficientlyandproperlyreflectalldirectandIndirectdelivery,receipt,safeguarding,andusesoftheDatasharedunderthisAgreement.Theserecordsshallbesubjecttoinspection,review,orauditbypersonnelofeachparty,orotherpersonnelauthorizedbyeitherparty,theOfficeoftheStateAuditor,andfederalofficialsauthorizedbylaw.Eachpartyshallretainallbooks,records,documents,andothermaterialrelevanttothisAgreementinaccordancewiththestateretentionschedulesapplicabletotheiragency.TheOfficeoftheStateAuditor,federalauditors,andanypersonsauthorizedbyeitherpartyshallhavefullaccessandtherighttoexamineanyofthesematerialsduringthisperiod.XI.CONFIDENTIALITYDataprovidedpursuanttothisAgreementincludesConfidential,Personalidentifiableinformation(jointly"ConfidentialInformation").EachPartyacknowledgesandagreesthatithasacontinuingobligationtocomplywithallfederalandstatelaws,regulations,andsecuritystandardsasenactedorrevisedovertime,regardingDataSecurity,electronicdatainterchangeandrestrictedPermissibleUsesofsuchinformation.AsagenciesofthestateofWashington,thesestandardsmustminimallymeetallregulationssetforthbytheOfficeoftheChiefInformationOfficer(OCIO)underOClOpolicy141.10.XII.SAFEGUARDINGOFCONFIDENTIALINFORMATIONEachPartyshallprotectandsafeguardallConfidentialInformationprovidedunderthisAgreementagainstanyandallunauthorizeddisclosure,use,orlossbecauseeachpartyisregulatedbyOClOstandardsforthesafeguardingofConfidentialInformation,eachpartymustconformtoitsownstandards.Eachpartyshallnotifytheotherpartyinwritingwithin24hoursuponbecomingawareofanyunauthorizedaccess,use,ordisclosureofConfidentialData.Eachpartyshalltakenecessarystepstomitigateanyandallharmfuleffectsofsuchuseordisclosure.XIII.AUDITBothpartiesareobligatedtomaintaincurrentstandingwithallOClOauditrequirements.Additionally,WSPresentestherighttomonitor,audit,orinvestigatetheuseofConfidentialInformationcollected,used,oracquiredbytheUserthroughthisAgreement.XIV.DISPUTESIntheeventthatadisputearisesunderthisAgreement,itshallbedeterminedbyaDisputeBoardinthefollowingmanner:EachpartytothisAgreementshallappointonemembertotheDisputeBoard.ThememberssoappointedshalljointlyappointanadditionalmembertotheDisputeBoard.TheDisputeBoardshallreviewthefacts,agreementtermsandapplicablestatutesandrulesandmakeadeterminationofthedispute.ThedeterminationoftheDisputeBoardshallbefinalandbindingonthepartieshereto.Asanalternativetothisprocess,eitherpartymayrequestinterventionbytheGovernor,asprovidedbyRCW43.17.330,inwhicheventtheGovernor'sprocesswillcontrol.XV.GOVERNANCEThisAgreementisenteredintopursuanttoandundertheauthoritygrantedbythelawsofthestateofWashington,andanyapplicablefederallawsandWSPpolicy.TheprovisionsofthisAgreementshallbeconstruedtoconformtothoselawsandpolicy.IntheeventofaninconsistencyinthetermsofthisAgreement,orbetweenitstermsandanyapplicablestatute,rule,orpolicy,theinconsistencyshallberesolvedbygivingprecedenceinthefollowingorder:ApprovedastoFormbytheWashingtonAttorneyGeneral2018LivescantoWINABISUserAgreement05/08/2018Page5of7 WSPContractNo.CRDOO160a.Applicablestateandfederalstatutes;b.OClOpolicy141.10andrulesandWSPpolicy;c.TermsandConditionsofthisContractXVI.ASSIGNMENTTheworktobeprovidedunderthisAgreement,andanyclaimarisingthereunder,isnotassignableordelegablebyeitherpartyinwholeorinpart,withouttheexpresspriorwrittenconsentoftheotherparty.Consentshallnotbeunreasonablywithheld.XVII.WAIVERAfailurebyeitherpanytoexerciseitsrightsunderthisAgreementshallnotprecludethatpartyfromsubsequentexerciseofsuchrightsandshallnotconstituteawaiverofanyotherrightsunderthisAgreementunlessstatedtobesuchinawritingsignedbyanauthorizedrepresentativeofthepartyandattachedtotheoriginalAgreement.XVIII.RIGHTSOFINSPECTIONEachpartyshallproviderightofaccesstotheotherparty,itsofficers,oranyotherauthorizedagentorofficialofthestateorfederalgovernmentatallreasonabletimes,inordertomonitorandevaluatethefollowing:Performance,compliance,orqualityassuranceofinternalpoliciesandprocedures,orrecordsrelatingtothesafeguarding,use,anddisclosureofConfidentialInformationobtainedorusedasaresultofthisAgreement.Eachpartyshallmakeavailableinformationnecessaryfortheotherpartytocomplywithaclient'srighttoaccess,amend,orreceiveanaccountingofdisclosuresoftheirConfidentialInformation.XIX.SUBCONTRACTINGApartymayonlyenterintosubcontractsforanyoftheworkorservicesunderthiscontractifitfirstreceiveswrittenapprovalfromtheotherparty.Consentshallnotbeunreasonablywithheld.ThisclausedoesnotincludecontractsofemploymentbetweenapartyandtheirpersonnelwhohavebeenassignedtoworkunderthisAgreement.Eachpartyisresponsibleforensuringthatallterms,conditions,assurances,andcertificationssetforthinthisAgreementarecarriedforwardtoallsubcontracts.IftheUsergrantsanysubcontractoraccesstoanyconfidentialinformation,itmustfirstcarryforwardallterms,conditions,andrestrictionsofthisagreementtothesubcontractor.TheUserremainsresponsibleforanyviolationcommittedbyasubcontractor.XX.SEVERABILITYIfanyprovisionofthisAgreementoranyprovisionofanydocumentincorporatedbyreferenœshallbeheldinvalid,suchinvalidityshallnotaffecttheotherprovisionsofthisAgreementwhichcanbegiveneffectwithouttheinvalidprovision,ifsuchremainderconformstotherequirementsofapplicablelawandthefundamentalpurposeofthisagreement,andtothisendtheprovisionsofthisAgreementaredeclaredtobeseverable.XXI.ALLWRITINGSCONTAINEDHEREINThisAgreementcontainsallthetermsandconditionsagreeduponbytheparties.Nootherunderstandings,oralorotherwise,regardingthesubjectmatterofthisAgreementshallbedeemedtoexistortobindanyofthepartieshereto.XXII.CONTRACTMANAGEMENTApprovedastoFormbytheWashingtonAttorneyGeneral2018LivescantoWINABISUserAgreement05/08/2018Page6of7
