Section 8. Termination.
The County may, by written notice thereof to Contractor, terminate this Agreement as to all or any
portion of the Services not yet performed, whether or not Contractor is in breach or default. Upon

which will be deemed an original, but all of which together will constitute one and the same
instrument.
f. Contractor warrants to the County that the individual signing on Contractor's behalf has the
requisite power and authority to enter into and to perform Contractor's obligations under
this Agreement. Contractor further warrants to the County that Contractor has made no
misrepresentation or misleading statement in connection with this Agreement, and is not in
violation of any applicable law, ordinance, or regulation the consequence of which will or
may materially affect Contractor's ability to perform its obligations under this Agreement.
g. lf any term or condition of this Agreement or the application thereof to any person(s) or

upon delivery of written notice from one party to the other within 24 hours of the receipt of
notice of the prediction of any of the above occurrences. To the extent feasible within the
constraints imposed by any event of the type described above, the parties agree that if the
triggering event is of apparently or likely transitory effect, the parties may negotiate such
amendments to the agreement that are mutually satisfactory and not otherwise contrary to
law, including but not limited to a change in the dates for completion of any portion or the
entirety of this agreement.

PUNCH was founded in March 2006, when a group of artists from rural central
Washington sought to participate in the cultural exchange resulting from the
emergence of artist-run galleries two hours west in Seattle. From its 1O-year
history as a gallery in Seattle, to its current initiative as a rural arts collective,
PUNCH has worked to promote visual dialogue between urban and rural art
communities and seeks to support the cultural vibrancy of rural art scenes by
spurring creative awareness, cross-cultural engagement and economic vitality.
ln the fall of 2021, we signed a lease on the old fire house in the small rural-
community of Thorp and began our post-Covid re-emergence with what we call
the "Fire House Project" - creating a space that now, after our first year, houses a
gallery, outdoor stage/performance area, and an upstairs residency space for
visiting out-oftown artists. Exhibitions in the gallery change monthly and we have
musicians and other performers on the stage Saturdays, May-October. We are
currently open one-day per week with volunteer staff. ln our second year, we plan
to add a hospitality component and increase public programming to include
workshops and more events. Our request for Lodging Tax Funds is to pay talent
fees for artists and musicians and to markeUpromote monthly gallery exhibitions,
stage performances and workshops.
The past year has shown steady growth in attendance. ln a town with a population
of approximately 200, recent Saturdays have had attendance in excess of 60
visitors (approx. 15% out-of-county). Retail sales for 2022 have also increased
each month and we are on target to breakeven in our first year. As we increase
our operating hours, programming and retail offerings in 2023, we are seeking
ways to invest in infrastructure, operations and marketing/promotion to reach a
broader audience and a sustainable path fonruard.
Though PUNCH has been in existence since 2006, the "Fire House Project" is just
completing its first year. This is a new project for us, in a new space, with many of
our visitors discovering us for the first time. Visitors to our space have been a mix
of folks who knew us in Seattle, some who have discovered us as they pass by on
Thorp Hwy enroute to raft or fly fish, others who have bicycled the scenic byway
from Roslyn to Ellensburg, regulars from Ellensburg and upper county, and even
some who simply see our sandwich board at the Thorp freeway exit while stopping
for gas and snacks.

Why would tourists travel to Kittitas County to attend your evenUactivity/facility?
Between 2006-2016 PUNCH mounted over 110 exhibitions at its gallery space in
Seattle's Pioneer Square. We built relationships with countless artists, curators,
critics and arts patrons. Since moving our operations back to central Washington,
many of those folks have continued to stay in touch and make specialtrips over
the mountains to come visit our new location. They often combine a visit to our
gallery with a visit to other arts organizations in and out of the county such as
Gallery One in Ellensburg, Twisp Works to the north or Mighty Tieton to the south
We are currently open every Saturday and new exhibitions open on the first
Saturday of the month. This follows the First Friday Artwalk in Ellensburg, giving
visitors the perfect opportunity to make a weekend of art in central Washington.
We are perfectly placed on the scenic byway halflruay between Roslyn/Cle Elum
and Ellensburg. This location has allowed us to connect with river rafters, fly
fishermen and bicyclists who have discovered us on their path, enriching their visit
and experience within Kittitas County. We plan to take advantage of this
combination of arts and culture mixed with outdoor recreation for a "come for the
art, stay for the adventure" approach to our marketing.
We have a history and proven track record of creating exhibitions and creative
projects that draw large audiences. For our 2023 general programming, we plan to
continue monthly exhibitions in the main gallery that will attract and appeal to
visitors beyond Kittitas County. From May-September on our backyard stage, we
plan to grow and expand our performance programming, providing opportunities
for local musicians every weekend as well as more regionally recognized
performers on opening weekends. New for 2023 wlll be the addition of a multi-day
screen printing workshop which is not broadly offered in our region, thus creating
draw from beyond the county and overnight stays.
Considering our unique mix of art exhibitions in our gallery space, performance on
our backyard stage, an upstairs residency space for visiting artists, and a
workshop space for lessons and demonstrations, there is a lot to see and
experience at PUNCH Projects. Our central location, adjacency to the scenic
byway, and rural appeal are perfect publicity talking points to draw-in new visitors
and tourists.

LTAC Clerk Review
Describe the prior success of your evenVactivity/facility in attraction tourists.
ln 2017 and 2018 the PUNCH Projects "Barnstorm" event temporarily activated an
underutilized warehouse space on the backside of Bluestone Academy in what we
call the 'SODO" district of Ellensburg, breathing new life into it for short-term
events that featured contemporary visual art, performance-based works and live
music, coupled with great drinks and an inspiring atmosphere. The events were
overwhelmingly received, with over 500 folks in attendance at the 2018
"Barnstorm." The interest and excitement we've witnessed at these pop-ups, as
well as the exhibitions and other events we've hosted over the years here in our
community, prove that there is not only a demand, but a need for spaces that
combine inspiring social interactions with exhibition and performance venues. And
while our community is a strong supporter of the visual arts, with opportunities to
visit exhibitions at a small number of galleries during our First Friday Artwalk,
there are few spaces that combine that with a strong hospitality experience, live
music, film, or performance.
After moving into the historic fire house in Thorp in October 2021, we quickly
expanded from just a gallery and exhibition space in the front of the building, to an
upstairs summer residency space for visiting artists in partnership with
Ellensburg's Gallery One, and a backyard stage for musicians and performers.
During our first year, we tracked attendance from '111712021 -911712022 and
recorded 1127 visitors over 40 Saturdays with an estimated 16% out-of-county.
We achieved this with publicity in the Daily Record and consistent posting to
Facebook and lnstagram. We suspect that with a professional marketing plan and
assistance with ad buys and content development, we can at least double that
number.
From our past experience of operating a visual arts space in Seattle to a
successful firslyear with our Fire House Project, coupled with our community's
ovenvhelming need for a creative venue that merges the arts, live performance,
good drinks and food, we feel uniquely poised to create a destination that not only
supports rural vitality in the small unincorporated Thorp, but also builds bridges
between the urban cultural centers of the Northwest and the smaller communities
among the fertile landscape from which PUNCH originated.

Measuring Results*
LTAC Clerk Review
Describe how you will promote your evenvactivity/facility to attract tourists.
We have already started initial conversations with a local agency to assist in the
development of a strategic marketing and promotions plan. We intend to focus on
PUNCH Projects as a year-round arts and culture destination while highlighting
some of our more significant events such as "Barnstorm," our summer concert
series, and our workshops. We also want to collaborate with Ellensburg
organizations such as Gallery One and the Clymer to promote First Friday in
Ellensburg and First Saturdays in Thorp. And as mentioned before, we believe
that the "weekend roadtrip" approach and "come for the art, stay for the
adventure" is great for editorial promotion.
Our marketing strategy will be a mix of boosted Facebook and lnstagram ads,
radio spots, print ads, and editorial features. Radio spots outside the county will
consist of more general promotions, while local radio ads will be short-term to
promote weekly performers and events to attract tourists already intown.
A group of six visitors to PUNCH Projects recently said they were staying at an
AirBnB up the road. When they searched "things to do in Thorp" the only result
they got was the Thoip Mill. So we also want to expand our website content to
improve SEO and search results when tourists are looking for things to do when
planning trips.
We currently have an email list with 1303 subscribers to which we send a monthly
update. As we work with a professional agency to develop our marketing and
promotion strategy, we will be looking to grow our number of subscribers and take
full advantage of direct marketing via email to promote events, encourage
attendance, and increase overall sales.

Our most significant collaboration to-date has been with Gallery One in
Ellensburg. During summer 2022, we worked together to create a "visiting artist
program." We provided living quarters for 1-2 weeks and Gallery One provided
studio space for out-oftown artists to visit and create work in our community.
These artists gave a presentation at Gallery One and were a draw for folks who
wanted to experience the creative process first-hand by accomplished artists from
outside our area.
Historically, we have also partnered at various levels with the following businesses
and organizations.
('1). lron Horse has supplied beer for events and we created the mural in their new
tasting room. We also used one of their warehouse spaces for an event in
December 2019 called "Boxing Day" for which we installed projected videos,
custom lighting design, and hundreds of cardboard boxes to create an immersive
community experience for families to build forts, giant robots and cardboard
sculptures while a DJ played music and lron Horse poured beers.

Describe how you will promote lodging establishments, restaurants, and business located in Kittitas County
Over the past year, we have already created a list of hotels and restaurants that
we provide to folks coming from out-of-town. This is a list that goes to our visiting
resident artists, exhibiting artists and guest speakers. With the addition of multi-
day workshops, we would include this information as part of the signup process for
attendees. As our audience and attendance continues to grow, we also want to
partner with a hospitality vendor or food truck and look fonivard to finding ways to
bring more businesses to Thorp.

5l Future Plans
Please explain what plans exist to allow this project to become self-sustaining. Include any plans for ticket
sales, event sponsors, and other cost-recovery models.
Future Plans*Our most significant source of revenue during 2022 has been retail sales and
application fees to submit artwork for our "Barnstorm" juried art exhibition. Retail
sales include artwork and our own line of PUNCH merchandise such as t-shirts,
hats and totes. We do not charge an admission fee to enter the gallery or attend
performances. Currently operating with a volunteer staff and a shoestring budget,
we are on track to break even for 2022.
With the develop of a marketing and promotions strategy and a budget to support
that initiative, we expect to significantly expand our attendance, audience and
supporiers, allowing us to expand revenue in severalways, including, but not
limited to the following:
(1) We have submitted an application for a "Snack Bar" license which will allow us
to sell beer and snacks.
(2) We will continue to expand and sell merchandise on-site.
(3) We are in process of adding e-commerce to our website, giving us the ability
to sell art prints and PUNCH merchandise to a broader audience across the world.
(4) We will host workshops that require a fee to attend.
(5). Select events will feature talent of notoriety, allowing us to charge an
admission fee.

Additional lnformation ln the fall of 2021, PUNCH Projects signed a lease on a building in the small rural-
community of Thorp and began our re-emergence with what we call the "Fire
House Project" - creating a space that now, after our first year, houses a gallery,
outdoor stage/performance area, and an upstairs residency space for visiting out-
oftown artists. Exhibitions in the gallery change every month and we have
musicians and other performers on the stage Saturdays, May-October. ln our
second year, we plan to add a hospitality component, be open additional days,
and increase public programming to include workshops and more events.
Our re-emergence over the past yeBr has shown steady growth in attendance,
with recent opening receptions totaling an excess of 60 visitors (approximately
15% of them out-of-county) and a total visitor count of 1127 over 40 weekends
between November 2021 and September 2022. Retail sales for 2022 have also
increased each month and we are on target to breakeven in our first year. ln the
attached budget, note that 2021 numbers are Nov-Dec and 2022is Jan-Sept.
Combining both will you give you a one-year snapshot.
An investment in our marketing/promotions and talent fees is not only a benefit to
our organization, but to the community of Thorp. We are the only public gathering
place with regular hours in Thorp, filling a void left behind after the demise of
popular Thorp businesses such as the Rills General Store and the T&E Tavern.
Thorp Hwy has always been a popular scenic byway for road trippers,
motorcyclists and bicyclists, but has dropped in popularity since the loss of places
to stop, rest, get a beer or beverage, and take in the beauty of the valley for a
moment.
Part of our mission has always been to bridge the urban rural divide and connect
communities across Washington state and the Greater Northwest. We hope to
become a popular destination for visitors and out-of-towners to mingle with locals
while experiencing art, music and other events. We want central Washington to be
known as an arts destination and we want to contribute to the plethora of reasons
to visit Kittitas County from galleries and museums, to food, adventure and more.
Lodging Tax Funds will enable us to bring talented artists to the county, expand
our programming and most importantly, spread the word across the Northwest to
get butts in seats, heads in beds and provide opportunities to experience the
wealth of activities and attractions in our county.

Please explain.
Staff tracked our total visitor count of 1127 over 40 weekends between November
2021 and September 2022 by marking a "visitor count" sheet as folks entered the
building. Anybody not recognized was asked "where are you coming from today?"
and an additional mark was made if they were from out of the county. The total
number of visitors is highly accurate. The percentage of visitors from outof-county
is more informal and should be considered an estimate.

What changes will be made if funding for your request is not available or recommended?
lf PUNCH Projects receives no support through the Lodging Tax Fund it will not
impact our ability to continue operating as we have this past year. We will still be
able to present exhibitions and host performances. Without Lodging Tax funding,
however, our ability to grow our audience through out-of-county marketing will be
limited as will our ability to feature more prominent performers and presenters.
With a limited marketing/promotions budget, we will forgo the professional
development of a cohesive marketing strategy and restrict our advertising to
mostly un-boosted social media posts. Our audience will remain mostly local.
