24. PURPOSE & DESCRIPTION:
The objective of the Federal Fiscal Year (FFY) 2022 Homeland Security Grant Program (22HSGP) Is to fund state, local, tribal, and territorial
efforts to prevent terrorism and prepare the nation for threats and hazards that pose the greatest risk to the security of the United States.
22HSGP provides funding to implement Investments that build, sustain, and deliver the core capabilities essential to achieving the National
Preparedness Goal of a secure and resilient nation. 22HSGP supports core capabilities across the five mission areas of prevention, protection,
mitigation, response, and recovery based on allowable costs. HSGP Is comprised of three Interconnected grant programs: State Homeland
Security Program (SHSP), Urban Areas Security Initiative (UASQ, and Operation Stonegarden (OPSO). Together, these grant programs fund a
range of preparedness activities, Including planning, organization, equipment purchase, training, exercises, and management and
administration.
The Department Is the Recipient and Pass-through Entity of the 22HSGP OHS Award Letter for Grant No. EMW-2022-SS-00056501 ("Grant"),
which is Incorporated In and attached hereto as Attachment C and has made a subaward of fund to the Subreciplent pursuant to this
Agreement. The Subreciplent Is accountable to the Department for use of Federal award funds provided under this A reement.
IN WITNESS WHEREOF, the Department and Subreciplent acknowledge and accept the terns of this Agreement, including all referenced attachments
which are hereby Incorporated, and have executed this Agreement as of the date below. This Agreement Face Sheet; Special Terms & Conditions
(Attachment A); General Terns and Conditions (Attachment B); DHS Award Letter (Attachment C), Work Plan (Attachments D-1, D-2, D-3), Budget
(Attachment E), Timeline (Attachment F); and all other documents and attachments expressly referenced and incorporated herein contain all the terms and
conditions agreed upon by the parties and govern the rights and obligations of the parties to this Agreement. No other understandings, oral or otherwise,
reoarding the sublect matter of the Agreement shall be deemed to exist or to bind any of the parties.
In the event of an inconsistency in this Agreement, unless otherwise provided herein, the inconsistency shad be resolved by giving precedence in the following
order:
1. Applicable federal and state statutes and regulations 4. Special Terms and Conditions
2. OHS/FEMA Award and program documents 5. General Terms and Conditions, and,
3. Work Plan, Timellne, and Budget 6. Other provisions of the Agreement Incorporated by reference.

2)Itemswithacurrentper-unitfair-marketvalueinexcessoffivethousanddollars($5,000)mayberetainedorsold.TheSubrecipientshallcompensatethefederalawardingagencyinaccordancewiththerequirementsof2CFR200.313(e)(2),ix.RecordsforequipmentshallberetainedbytheSubrecipientforaperiodofsix(6)yearsfromthedateofthedisposition,replacement,ortransfer,Ifanylitigation,claim,orauditisstadedbeforetheexpirationofthesix-(6-)yearperiod,therecordsshallberetainedbytheSubrecipientuntilalllitigation,claims,orauditfindingsinvolvingtherecordshavebeenresolved.b.TheSubrecipientshallcomplywiththeDepadment'sPurchaseReviewProcess,whichisincorporatedbyreferenceandmadepadofthisAgreement.Noreimbursementwillbeprovidedunlesstheappropriateapprovalhasbeenreceived.c.AllowableequipmentcategoriesforthegrantprogramarelistedontheAuthorizedEquipmentList(AEL)locatedontheFEMAwebsiteathttps://www.fema.gov/qrants/guidance-toolslauthorized-equipment-list.ItisimportantthattheSubrecipientandanynon-federalentitytowhichtheSubrecipientmakesasubawardregardtheAELasanauthorizedpurchasinglistidentifyingitemsallowedunderthespecificgrantprogram;theAELincludesitemsthatmaynotbecategorizedasequipmentaccordingtothefederal,state,local,andtribaldefinitionsofequipment.TheSubrecipientissolelyresponsibleforensuringanddocumentingpurchaseditemsunderthisAgreementareauthorizedasalloweditemsbytheAELattimeofpurchase.IftheitemisnotidentifiedontheAELasallowableunderthegrantprogram,theSubrecipientmustcontacttheDepartmentKeyPersonnelforassistanceinseekingFEMAapprovalpatoacquisition.d.Unlessexpresslyprovidedotherwise,allequipmentmustmeetallmandatoryregulatoryand/orDHS/FEMAadoptedstandardstobeeligibleforpurchaseusingfederalawardfunds.e.Iffundingisallocatedtoemergencycommunications,theSubrecipientmustensurethatallprojectscomplywithSAFECOMGuidanceonEmergencyCommunicationsGrants,locatedathttps://www.cisa.govlsafecom/funding,ensuringtheinvestmentsarecompatible,interoperable,resilient,andsupportnationalgoalsandobjectivesforimprovingemergencycommunications.f.EffectiveAugust13,2020,FEMArecipientsandsubrecipients,aswellastheircontractorsandsubcontractors,maynotobligateorexpendanyFEMAawardfundsto:i.Procureorobtainanyequipment,system,orservicethatusescoveredtelecommunicationsequipmentorservicesasasubstantialoressentialcomponentofanysystem,orascriticaltechnologyofanysystem,ii.Enterinto,extend,orrenewacontracttoprocureorobtainanyequipment,system,orservicethatusescoveredtelecommunicationsequipmentorservicesasasubstantialoressentialcomponentofanysystem,orascriticaltechnologyofanysystem;oriii.Enterinto,extend,orrenewcontractswithentitiesthatusecoveredtelecommunicationsequipmentorservicesasasubstantialoressentialcomponentofanysystem,orascriticaltechnologyaspadofanysystem.Thisprohibitionregardingcedaintelecommunicationsandvideosurveillanceservicesorequipmentismandatedbysection889oftheJohnS.McCainNationalDefenseAuthorizationActforFiscalYear2019(FY2019NDAA),Pub.L.No.115-232(2018).RecipientsandsubrecipientsmayuseDHS/FEMAgrantfundingtoprocurereplacementequipmentandservicesimpactedbythisprohibition,providedthecostsareotherwiseconsistentwiththerequirementsoftheManualandapplicableNOFO.Persubsections889(f)(2)-(3)oftheFY2019NDAA,and2CFR200.216,coveredtelecommunicationsequipmentorservicesmeans:i.TelecommunicationsequipmentproducedbyHuaweiTechnologiesCompanyorZTECorporation,(oranysubsidiaryoraffiliateofsuchentities),DHS-FEMA-HSGP-SHSP-FY22Page6of44KittitasCounty,E23-116
ii.Forthepurposeofpublicsafety,securityofgovernmentfacilities,physicalsecuritysurveillanceofcriticalinfrastructure,andothernationalsecuritypurposes,videosurleillanceandtelecommunicationsequipmentproducedbyHyteraCommunicationsCorporation,HangzhouHikvisionDigitalTechnologyCompany,orDahuaTechnologyCompany(oranysubsidiaryoraffiliateofsuchentities);iii.Telecommunicationsorvideosurveillanceservicesprovidedbysuchentitiesorusingsuchequipment;oriv.TelecommunicationsorvideosurveillanceequipmentorservicesproducedorprovidedbyanentitythattheSecretaryofDefense,inconsultationwiththeDirectorofNationalIntelligenceortheDirectoroftheFederalBureauofInvestigation,reasonablybelievestobeanentityownedorcontrolledby,orotherwiseconnectedto,thegovernmentofacoveredforeigncountry.g.ForOPSGSubrecipients,itemsbudgetedasequipmentinanapprovedOperationsOrdershouldbemarkedprominentlywith"PurchasedwithDHSfundsforOperationStonegardenIJse"whenpracticable.h.TheSubrecipientmustpassthroughequipmentandsupplymanagementrequirementsthatmeetorexceedtherequirementsoutlinedabovetoanynon-federalentitytowhichtheSubrecipientmakesasubawardoffederalawardfundsunderthisAgreement.5.ENVIRONMENTALANDHISTORICALPRESERVATIONa.TheSubrecipientshallensurefullcompliancewiththeDHS/FEMAEnvironmentalPlanningandHistoricPreservation(EHP)Program.EHPprograminformationcanbefoundathttps://www.fema.qov/qrants/quidance-toolslenvironmental-historicallofwhichareincorporatedinandmadeapartofthisAgreement.b.Projectsthathavehistoricalimpactsorthepotentialtoimpacttheenvironment,including,butnotlimitedto,constructionofcommunicationtowers,modificationorrenovationofexistingbuildings,structures,andfacilities;ornewconstruction,includingreplacementoffacilities,mustpadicipateintheDHS/FEMAEHPreviewprocesspriortoprojectinitiation.Modificationofexistingbuildings,includingminimallyinvasiveimprovementssuchasattachingmonitorstointeriorwalls,andtrainingorexercisesoccurringoutsideinareasnotconsideredpreviouslydisturbedalsorequireaDHS/FEMAEHPreviewbeforeprojectinitiation.c.TheEHPreviewprocessinvolvesthesubmissionofadetailedprojectdescriptionthatincludestheentirescopeofwork,includinganyalternativesthatmaybeunderconsideration,alongwithsuppodingdocumentationsoFEMAmaydeterminewhethertheproposedprojecthasthepotentialtoimpactenvironmentalresourcesand/orhistoricpropedies.d.TheSubrecipientagreesthat,toreceiveanyfederalpreparednessfunding,allEHPcompliancerequirementsoutlinedinapplicableguidancemustbemet.TheEHPreviewprocessmustbecompletedandFEMAapprovalmustbereceivedbytheSubrecipientbeforeanyworkisstartedforwhichreimbursementwillbelaterrequested.E×pendituresforprojectsstartedbeforecompletionoftheEHPreviewprocessandreceiptofapprovalbytheSubrecipientmaynotbereimbursed.6.PROCUREMENTa.TheSubrecipientshallcomplywithallprocurementrequirementsof2CFR200.317through200.327andasspecifiedintheGeneralTermsandConditions(AttachmentB,A.10).b.Forallsolesourcecontractsexpectedtoexceed$250,000,theSubrecipientmustsubmittotheDepartmentforpre-procurementreviewandapprovaltheprocurementdocuments,suchasrequestsforproposals,invitationsforbidsandindependentcostestimates.Thisrequirementmustbepassedontoanynon-federalentitytowhichtheSubrecipientmakesasubaward,atwhichpointtheSubrecipientwillberesponsibleforreviewingandapprovingsolesourcejustificationsofanynon-federalentitytowhichtheSubrecipientmakesasubaward.DHS-FEMA-HSGP-SHSP-FY22Page7of44KittitasCounty,E23-116
7.SUBRECIPIENTMONITORINGa.TheDepartmentwillmonitortheactivitiesoftheSubrecipientfromawardtocloseout.ThegoaloftheDepartment'smonitoringactivitieswillbetoensurethatagenciesreceivingfederalpass-throughfundsareincompliancewiththisAgreement,federalandstateauditrequirements,federalgrantguidance,andapplicablefederalandstatefinancialregulations,aswellas2CFRPart200SubpadF.b.Todocumentcompliancewith2CFRPart200SubpartFrequirements,theSubrecipientshallcompleteandreturntotheDepartmentanAuditCertification/FFATAform.Thisformisrequiredtobecompletedoncepercalendaryear,perSubrecipient,andnotperagreement.TheDepadment'sContractsOfficewillrequesttheSubrecipientsubmitanupdatedformatthebeginningofeachcalendaryearinwhichtheSubrecipienthasanactiveagreement.c.Monitoringactivitiesmayinclude,butarenotlimitedto:i.Reviewoffinancialandperformancerepods;ii.MonitoringanddocumentingthecompletionofAgreementdeliverables;iii.Documentationofphonecalls,meetings(e.g.,agendas,sign-insheets,meetingminutes),e-mails,andcorrespondence;iv.ReviewofreimbursementrequestsandsupportingdocumentationtoensureallowabilityandconsistencywithAgreementWorkPlan(AttachmentsD-1,D-2,D-3),Budget(AttachmentE),andfederalrequirements;v.ObservationanddocumentationofAgreement-relatedactivities,suchasexercises,training,events,andequipmentdemonstrations;andvi.On-sitevisitstoreviewequipmentrecordsandinventories,toverifysourœdocumentationforreimbursementrequestsandperformancereports,andtoverifycompletionofdeliverables.d.TheSubrecipientisrequiredtomeetorexceedthemonitoringactivities,asoutlinedabove,foranynon-federalentitytowhichtheSubrecipientmakesasubawardasapass-throughentityunderthisAgreement.e.Compliancewillbemonitoredthroughouttheperformanceperiodtoassessrisk.Concernswillbeaddressedthroughacorrectiveactionplan.8.LIMITEDENGLISHPROFICIENCY(CIVILRIGHTSACTOF1964TITLEVI)TheSubrecipientmustcomplywiththeTitleVIoftheCivilRightsActof1964(TitleVI)prohibitionagainstdiscriminationonthebasisofnationalorigin,whichrequiresthatsubrecipientsoffederalfinancialassistancetakereasonablestepstoprovidemeaningfulaccesstopersonswithlimitedEnglishproficiency(LEP)totheirprogramsandservices.ProvidingmeaningfulaccessforpersonswithLEPmayentailprovidinglanguageassistanceservices,includingoralinterpretationandwrittentranslation.ExecutiveOrder13166,ImprovingAccesstoServicesforPersonswithLimitedEnglishProficiency(August11,2000),requiresfederalagenciestoissueguidancetorecipients,assistingsuchorganizationsandentitiesinunderstandingtheirlanguageaccessobligations.DHSpublishedtherequiredrecipientguidanceinApril2011,DHSGuidancetoFederalFinancialAssistanceRecipientsRegardingTitleVIProhibitionagainstNationalOriginDiscriminationAffectingLimitedEnglishProficientPersons,76Fed.Reg.21755-21768,(April18,2011).TheGuidanceprovideshelpfulinformationsuchashowarecipientcandeterminetheextentofitsobligationtoprovidelanguageservices,selectinglanguageservices,andelementsofaneffectiveplanonlanguageassistanceforLEPpersons.Foradditionalassistanceandinformationregardinglanguageaccessobligations,pleaserefertotheDHSRecipientGuidanceathttps://www.dhs.qov/quidance-published-help-depadment-suppoded-organizations-provide-meaninqful-access-people-limitedandadditionalresourcesonhttps://www.lep.cov.9.NIMSCOMPLIANCEa.TheNational[ncidentManagementSystem(NIMS)identifiesconceptsandprinciplesthatanswerhowtomanageemergenciesfrompreparednesstorecoveryregardlessoftheircause,size,location,orcomplexity.NIMSprovidesaconsistent,nationwideapproachandvocabularyforDHS-FEMA-HSGP-SHSP-FY22Page8of44KittitasCounty,E23-116
multipleagenciesorjurisdictionstoworktogethertobuild,sustain,anddeliverthecorecapabilitiesneededtoachieveasecureandresilientnation.b.ConsistentimplementationofNIMSprovidesasolidfoundationacrossjurisdictionsanddisciplinestoensureeffectiveandintegratedpreparedness,planning,andresponse.NIMSempowersthecomponentsoftheNationalPreparednessSystem,arequirementofPresidentialPolicyDirective8,toguideactivitieswithinthepublicandprivatesectoranddescribestheplanning,organizationalactivities,equipping,training,andexercisingneededtobuildandsustainthecorecapabilitiesinsupportoftheNationalPreparednessGoal.c.InordertoreceivefederalpreparednessfundingfromtheDepartment,theSubrecipientmustachieve,orbeactivelyworkingtoachieve,alloftheNIMSImplementationObjectiveslocatedathttps://www.fema.govlemergency-managers/nimslimplementation-training.B.HSGPSPECIFICREQUIREMENTS1.TheSubrecipientmustuseHSGPfundsonlytoperformtasksasdescribedintheWorkPlan(AttachmentsD-1,D-2,D-3),asapprovedbytheDepartment,andincompliancewiththisAgreement.a.SHSP-fundedprojectsmustassiststate,local,tribal,andterritorialeffortstobuild,sustain,anddeliverthecapabilitiesnecessarytoprevent,preparefor,protectagainst,andrespondtoactsofterrorism.b.UASI-fundedprojectsmustassisthigh-threat,high-densityUrbanAreaeffortstobuild,sustain,anddeliverthecapabilitiesnecessarytoprevent,preparefor,protectagainst,andrespondtoactsofterrorism,c.OPSG-fundedprojectsmustsupportenhancedcooperationandcoordinationamongCustomsandBorderProtection,UnitedStatesBorderPatrol,andfederal,state,local,tribal,andterritoriallawenforcementagenciestosuppodjointeffodstosecuretheUnitedStates'bordersalongroutesofingresslegresstoandfrominternationalborders,toincludetravelcorridorsinstatesborderingMexicoandCanada,aswellasstatesandterritorieswithinternationalwaterborders.State,local,tribal,andterritoriallawenforcementagenciesutilizetheirinherentlawenforcementauthoritiestosupportthebordersecuritymissionanddonotreceiveanyadditionalauthorityasaresultofparticipationinOPSG.d.Stateagencies,includinglawenforcement,mustcomplywithRCW43.17.425andmaynotuseagencyfunds(includingthisgrant),facilities,property,equipment,orpersonnel,toinvestigate,enforce,cooperatewith,orassistintheinvestigationorenforcementofanyfederalregistrationorsurveillanceprogramsoranyotherlaws,rules,orpoliciesthattargetWashingtonresidentssolelyonthebasisofrace,religion,immigration,orcitizenshipstatus,ornationalorethnicorigin,exceptasprovidedinRCW43.17.425(3).2.TheBudget(AttachmentE)mayincludethefollowingcapsandthresholds:a.IffundsareallottedforManagementandAdministration(M&A),suchexpendituresmustberelatedtoadministrationofthegrantThemaximumpercentageoftheGrantAgreementAmountthatmaybeusedforM&AcostswhenallocatedunderthisAgreementshallnotexceedfivepercent(5%)butmaybeless,b.Atleastthirtypercent(30%)ofthecombinedHSGPawardallocatedunderSHSPandUASImustbededicatedtolawenforcementten·orismpreventionactivities(LETPA).Tomeetthisrequirement,theSubrecipienthasagreed,ataminimum,tomeettheLETPApercentageindicatedintheBudget.IftheSubrecipientanticipatesspendinglessthantheindicatedamount,abudgetamendmentisrequired.c.ThemaximumpercentageoftheGrantAgreementAmountthatmaybeusedforpersonnelexpensesunderthisAgreementisidentifiedintheBudget,iftheSubrecipientanticipatesspendingmoreonpersonnelcosts,anamendmentisrequired.Additionalapprovalstepsmayalsoberequiredbeforethepersonnelpercentagecanbeincreased.3.IffundingisallocatedtoaFusionCenterinvestment,theSubrecipientmustensureallFusionCenteranalyticalpersonneldemonstratequalificationsthatmeetorexceedcompetenciesidentifiedintheCommonCompetenciesforstate,local,andtribalintelligenceanalysts,whichoutlinestheminimumDHS-FEMA-HSGP-SHSP-FY22Page9of44KittitasCounty,E23-116

A.13LEGALRELATIONSItisunderstoodandagreedthatthisAgreementissolelyforthebenefitofthepadiestotheAgreementandgivesnorighttoanyotherpany.NojointventureorpartnershipisformedasaresultofthisAgreement.Totheextentallowedbylaw,theSubrecipient,itssuccessorsorassigns,willprotect,saveandholdharmlesstheDepartment,thestateofWashington,andtheUnitedStatesGovernmentandtheirauthorizedagentsandemployees,fromallclaims,actions,costs,damagesorexpensesofanynaturewhatsoeverbyreasonoftheactsoromissionsoftheSubrecipient,itssubcontractors,subrecipients,assigns,agents,contractors,consultants,licensees,invitees,employeesoranypersonwhomsoeverarisingoutoforinconnectionwithanyactsoractivitiesauthorizedbythisAgreement.Totheextentallowedbylaw,theSubrecipientfurtheragreestodefendtheDepartmentandthestateofWashingtonandtheirauthorizedagentsandemployeesinanylitigation;includingpaymentofanycostsorattorneys'feesforanyclaimsoractioncommencedthereonarisingoutoforinconnectionwithactsoractivitiesauthorizedbythisAgreement.Thisobligationshallnotincludesuchclaims,costs,damagesorexpenseswhichmaybecausedbythesolenegligenceoftheDepadment;provided,thatiftheclaimsordamagesarecausedbyorresultfromtheconcurrentnegligenceof(1)theDepartment,and(2)theSubrecipient,itsagents,oremployees,thisindemnityprovisionshallbevalidandenforceableonlytotheextentofthenegligenceoftheSubrecipient,ortheSubrecipient'sagentsoremployees.Insofarasthefundingsource,FEMA,isanagencyoftheFederalgovernment,thefollowingshallapply:44CFR206.9Non-liability.TheFederalgovernmentshallnotbeliableforanyclaimbasedupontheexerciseorpedormanceof,orthefailuretoexerciseorpedormadiscretionaryfunctionordutyonthepartofafederalagencyoranemployeeoftheFederalgovernmentincarryingouttheprovisionsoftheStaffordAct.A.14LIMITATIONOFAUTHORITY-AUTHORIZEDSIGNATUREThesignatoriestothisAgreementrepresentthattheyhavetheauthoritytobindtheirrespectiveorganizationstothisAgreement.OnlytheDepadment'sAuthorizedSignaturerepresentativeandtheAuthorizedSignaturerepresentativeoftheSubrecipientorAlternatefortheSubrecipient,formallydesignatedinwriting,shallhavetheexpress,implied,orapparentauthoritytoalter,amend,modify,orwaiveanyclauseorconditionofthisAgreement.Anyalteration,amendment,modification,orwaiverofanyclauseorconditionofthisAgreementisnoteffectiveorbindingunlessmadeinwritingandsignedbybothparties'AuthorizedSignaturerepresentatives,exceptasprovidedfortimeextensionsinArticleA.3.Further,onlytheAuthorizedSignaturerepresentativeorAlternatefortheSubrecipientshallhavesignatureauthoritytosignreimbursementrequests,timeextensionrequests,amendmentandmodificationrequests,requestsforchangestoprojectsorworkplans,andotherrequests,cedificationsanddocumentsauthorizedbyorrequiredunderthisAgreement.A.15LOSSORREDUCTIONOFFUNDINGIntheeventfundingfromstate,federal,orothersourcesiswithdrawn,reduced,orlimitedinanywayaftertheeffectivedateofthisAgreementandpriortonormalcompletionorenddate,theDepadmentmayunilaterallyreducetheworkplanandbudgetorunilaterallyterminateallorpadoftheAgreementasa"TerminationforCause"withoutprovidingtheSubrecipientanopportunitytocure.Alternatively,thepartiesmayrenegotiatethetermsofthisAgreementunder"AmendmentsandModifications"tocomplywithnewfundinglimitationsandconditions,althoughtheDepartmenthasnoobligationtodoso.A.16NONASSIGNABILITYNeitherthisAgreement,noranyclaimarisingunderthisAgreement,shallbetransferredorassignedbytheSubrecipient.A.17NONDISCRIMINATIONDuringtheperformanceofthisagreement,theSubrecipientshallcomplywithallfederalandstatenondiscriminationstatutesandregulations.Theserequirementsinclude,butarenotlimitedto:a.NondiscriminationinEmployment:TheContractorshallnotdiscriminateagainstanyemployeeorapplicantforemploymentbecauseofrace,color,sex,sexualorientation,religion,nationalorigin,creed,maritalstatus,age,Vietnameraordisabledveteransstatus,orthepresenceofanysensory,DHS-FEMA-HSGP-SHSP-FY22Page16of44KittitasCounty,E23-116
mental,orphysicalhandicap.Thisrequirementdoesnotapply,however,toareligiouscorporation,association,educationalinstitutionorsocietywithrespecttotheemploymentofindividualsofaparticularreligiontoperformworkconnectedwiththecarryingonbysuchcorporation,association,educationalinstitutionorsocietyofitsactivities.b.TheSubrecipientshalltakeactiontoensurethatemployeesareemployedandtreatedduringemploymentwithoutdiscriminationbecauseoftheirrace,color,sex,sexualorientationreligion,nationalorigin,creed,maritalstatus,age,Vietnameraordisabledveteranstatus,orthepresenceofanysensory,mental,orphysicalhandicap.Suchactionshallinclude,butnotbelimitedto,thefoilowing:Employment,upgrading,demotion,ortransfer,recruitmentorrecruitmentselectionfortraining,includingapprenticeshipsandvolunteers.A.18NOTICESTheSubrecipientshallcomplywithallpublicnoticesornoticestoindividualsrequiredbyapplicablelocal,stateandfederallawsandregulationsandshallmaintainarecordofthiscompliance.A.19OCCUPATIONALSAFETYlHEALTHACTandWASHINGTONINDUSTRIALSAFETY/HEALTHACT(OSHA/WISHA)TheSubrecipientrepresentsandwarrantsthatitsworkplacedoesnoworwillmeetallapplicablefederalandstatesafetyandhealthregulationsthatareineffectduringtheSubrecipient'sperformanceunderthisAgreement.Totheextentallowedbylaw,theSubrecipientfurtheragreestoindemnifyandholdharmlesstheDepartmentanditsemployeesandagentsfromallliability,damagesandcostsofanynature,including,butnotlimitedto,costsofsuitsandattorneys'feesassessedagainsttheDepadment,asaresultofthefailureoftheSubrecipienttosocomply.A.20OWNERSHIPOFPROJECT/CAPITALFACILITIESTheDepartmentmakesnoclaimtoanycapitalfacilitiesorrealpropertyimprovedorconstructedwithfundsunderthisAgreement,andbythissubawardoffundsdoesnotandwillnotacquireanyownershipinterestortitletosuchpropedyoftheSubrecipient.TheSubrecipientshallassumeallliabilitiesandresponsibilitiesarisingfromtheownershipandoperationoftheprojectandagreestoindemnifyandholdtheDepartment,thestateofWashington,andtheUnitedStatesgovernmentharmlessfromanyandallcausesofactionarisingfromtheownershipandoperationoftheproject.A.21POLITICALACTIVITYNopodionofthefundsprovidedhereinshallbeusedforanypadisanpoliticalactivityortofudhertheelectionordefeatofanycandidateforpublicofficeorinfluencetheapprovalordefeatofanyballotissue.A.22PROHIBITIONAGAINSTPAYMENTOFBONUSORCOMMISSIONTheassistanceprovidedunderthisAgreementshallnotbeusedinpaymentofanybonusorcommissionforthepurposeofobtainingapprovaloftheapplicationforsuchassistanceoranyotherapprovalorconcurrenceunderthisAgreementprovided,however,thatreasonablefeesorbonafidetechnicalconsultant,managerial,orothersuchservices,otherthanactualsolicitation,arenotherebyprohibitedifothePNiseeligibleasprojectcosts.A.23PUBLICITYTheSubrecipientagreestosubmittotheDepartmentpriortoissuancealladvertisingandpublicitymattersrelatingtothisAgreementwhereintheDepartment'snameismentioned,orlanguageusedfromwhichtheconnectionoftheDepartment'snamemay,intheDepadment'sjudgment,beinferredorimplied.TheSubrecipientagreesnottopublishorusesuchadvedisingandpublicitymatterswithoutthepriorwrittenconsentoftheDepartment.TheSubrecipientmaycopyrightoriginalworkitdevelopsinthecourseoforunderthisAgreement;however,pursuantto2CFRPad200,315,FEMAresentesaroyalty-free,nonexclusive,andirrevocablelicensetoreproduce,publishorotherwiseuse,andtoauthorizeotherstousetheworkforgovernmentpurposes.PublicationresultingfromworkperformedunderthisAgreementshallincludeanacknowledgementofFEMA'sfinancialsuppod,bytheAssistanceListingsNumber(formerlyCFDANumber),andastatementthatthepublicationdoesnotconstituteanendorsementbyFEMAorreflectFEMA'sviews.A.24RECAPTUREPROVISIONIntheeventtheSubrecipientfailstoexpendfundsunderthisAgreementinaccordancewithapplicablefederal,state,andlocallaws,regulations,and/ortheprovisionsoftheAgreement,theDepadmentreservestherighttorecapturefundsinanamountequivalenttotheextentofnoncompliance.SuchrightDHS-FEMA-HSGP-SHSP-FY22Page17of44KittitasCounty.E23-116
ofrecaptureshallexistforthelifeoftheprojectfollowingAgreementtermination.RepaymentbytheSubrecipientoffundsunderthisrecaptureprovisionshalloccurwithin30daysofdemand.IntheeventtheDepadmentisrequiredtoinstitutelegalproceedingstoenforcetherecaptureprovision,theDepartmentshallbeentitledtoitscostsandexpensesthereof,includingattorneyfeesfromtheSubrecipient.A.25RECORDSa.TheSubrecipientagreestomaintainallbooks,records,documents,receipts,invoicesandallotherelectronicorwrittenrecordsnecessarytosufficientlyandproperlyreflecttheSubrecipient'scontracts,subawards,grantadministration,andpayments,includingalldirectandindirectcharges,andexpendituresintheperformanceofthisAgreement(the"records").b.TheSubrecipient'srecordsrelatedtothisAgreementandtheprojectsfundedmaybeinspectedandauditedbytheDepartmentoritsdesignee,bytheOfficeoftheStateAuditor,DHS,FEMAortheirdesignees,bytheComptrollerGeneraloftheUnitedStatesoritsdesignees,orbyotherstateorfederalofficialsauthorizedbylaw,forthepurposesofdeterminingcompliancebytheSubrecipientwiththetermsofthisAgreementandtodeterminetheappropriateleveloffundingtobepaidundertheAgreement.c.TherecordsshallbemadeavailablebytheSubrecipientforsuchinspectionandaudit,togetherwithsuitablespaceforsuchpurpose,atanyandalltimesduringtheSubrecipient'snormalworkingday.d.TheSubrecipientshallretainandallowaccesstoallrecordsrelatedtothisAgreementandthefundedproject(s)foraperiodofatleastsix(6)yearsfollowingfinalpaymentandclosureofthegrantunderthisAgreement.Despitetheminimumfederalretentionrequirementofthree(3)years,themorestringentStaterequirementofsix(6)yearsmustbefollowed.A.26RESPONSIBILITYFORPROJECT/STATEMENTOFWORKlWORKPLANWhiletheDepartmentundertakestoassisttheSubrecipientwiththeproject/statementofwork/workplan(project)byprovidingfederalawardfundspursuanttothisAgreement,theprojectitselfremainsthesoleresponsibilityoftheSubrecipient.TheDepartmentundertakesnoresponsibilitytotheSubrecipient,ortoanythirdparty,otherthanasisexpresslysetoutinthisAgreement.Theresponsibilityforthedesign,development,construction,implementation,operationandmaintenanceoftheproject,asthesephrasesareapplicabletothisproject,issolelythatoftheSubrecipient,asisresponsibilityforanyclaimorsuitofanynaturebyanythirdpanyrelatedinanywaytotheproject.Priortothestadofanyconstructionactivity,theSubrecipientshallensurethatallapplicablefederal,state,andlocalpermitsandclearancesareobtained,including,butnotlimitedto,FEMAcompliancewiththeNationalEnvironmentalPolicyAct,theNationalHistoricPreservationAct,theEndangeredSpeciesAct,andallotherenvironmentallaws,regulations,andexecutiveorders.TheSubrecipientshalldefend,atitsowncost,anyandallclaimsorsuitsatlaworinequity,whichmaybebroughtagainsttheSubrecipientinconnectionwiththeproject.TheSubrecipientshallnotlooktotheDepadment,ortoanystateorfederalagency,ortoanyoftheiremployeesoragents,foranyperformance,assistance,oranypaymentorindemnity,including,butnotlimitedto,costofdefenseand/orattorneys'fees,inconnectionwithanyclaimorlawsuitbroughtbyanythirdpartyrelatedtoanydesign,development,construction,implementation,operationand/ormaintenanceofaproject.A.27SEVERABILITYIfanycourtofrightfuljurisdictionholdsanyprovisionorconditionunderthisAgreementoritsapplicationtoanypersonorcircumstancesinvalid,thisinvaliditydoesnotaffectotherprovisions,termsorconditionsoftheAgreement,whichcanbegiveneffectwithouttheinvalidprovision.Tothisend,thetermsandconditionsofthisAgreementaredeclaredseverable.A.28SINGLEAUDITACTREQUIREMENTS(includinqallAMENDMENTS)TheSubrecipientshallcomplywithandincludethefollowingauditrequirementsinanysubawards.Non-federalentities,asSubrecipientsofafederalaward,thatexpend$750,000ormoreinonefiscalyearoffederalfundsfromallsources,directandindirect,arerequiredtohaveasingleoraprogram-specificauditconductedinaccordancewith2CFRPart200SubpadF.Non-federalentitiesthatspendlessthan$750,000ayearinfederalawardsareexemptfromfederalauditrequirementsforthatyear,exceptasnotedin2CFRPart200SubpartF.Asdefinedin2CFRPad200,theterm"non-federalentity"DHS-FEMA-HSGP-SHSP-FY22Page18of44KittitasCounty,E23-116
