reimbursementAfterRecording,ReturnTo:Name:CityofEllensburgPublicWorksDirectorAddress:501N.AndersonStreetEllensburg,WA98926LATECOMERAGREEMENTFORRElMBURSEMENTUNDERWATERANDSEWERFACILITIESACT(CHAPTERRCW35.91)FORSEWERANDWATERFACILITIESThisAGREEMENT,madethisdayof,2022,betweenKittitasCounty("Owner"),amunicipalcorporatlonoftheStateofWashington,actingbyandthroughKlttitasCountySolidWaste,andtheCityofEllensburg("City"),amunicipalcorporationoftheStateofWashington,referredtocollectivelyas"theParties."WHEREAS,theOwnerhasmadeapplicationtotheCityforpermissiontoconstructWater,Sanitarysewerand/orStormDrainageimprovements;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereaftersetforthitisagreedbyandbetweenthepartlesheretoasfollows:A.RECITALS1.TheCity,asamuniclpalcorporationorganizedundertheOptionalMunicipalCode,title35ARCW,locatedinKlttitasCounty,Washington.ownsandoperatesmunicipalwaterandsewerutilitysystemswithinandadjacenttoitscitylimits.2.Chapter2.50oftheEllensburgCityCode,"DeveloperReimbursementAgreements,governstherightsandproceduresforestablishmentofareimbursementareathatallowsdevelopersand/orownerstorecoveraportionofthoseimprovementcostsincurredasaconditionofdevelopmentapprovaliftheimprovementbenefitsotherpropertydevelopers.3.OnMay13,2021,theCltyapprovedtheKlttitasCountyShortPlat,#20-015,atwo-lotshortplatforthedevelopmentofanewcountysolldwastetransferstation(the"Owner'sDevelopment").B.FACILITIES1.TheOwnerhasconstructedcertainwaterandsewerImprovementsunderthisAgreementwiththeCity,pursuanttotherequlrementstoservewaterandsewertotheShortPlat.CertainextensionstosaidsystemsaremoreparticularlyshowninFigures1and2,attachedheretoandincorporatedhereinbythisreference(theLatecomerAgreementforReimbursement-Page1of7 "Facilities").TheseadditionsarecapableofservingtheOwner'sDevelopmentandotheradjacentareas.TheimprovementsinvolvedInstallingsewerandwaterIlnesintheStateRoute97andtheEast/WestCollector(alongsouthernboundaryofshortplat)Right-of-WaystoservetheDevelopment.ThisAgreementisforthevalueofCitystandard8"utilltymains.2.TheextensionstosaidsystemshownonFigures1and2arelocatedwlthintheareaservedbytheCityandwillbeacceptedbytheCItyformaintenanceandoperation.C,FACILITESCOSTS-AMOUNTOFREIMBURSEMENT1.ThecostofconstructionoftheextensionsshowninFigures1&2areshownonattachedExhiblts:ExhibitA:SewerMainExtension$329,204.62ExhibitB:WaterMainExtension$473,871.87ExhlbitC:SewerSystem-Oversizing$28,103.85ExhibitD:WaterSystem-Oversizing$30,735.542.ThePartiesagreetÑattheareabenefitedbysaidextensionsamountsto3,420feetofsewermaininSR97andthenewcollectorstreetand4,425feetofwatermainofwhichfrontagesa4uttingthenewwaterandsewermainsabuttingKltfitasCountySolidWaste(KCSW)propertyisattributabletothedeveloper(KCSW).Theremainingbenefitedproperty(futureservicearea)resultinglnafairproratashareofthecostofconstructionofsaidextensions,tobecollectedfromtheownerorownersofanyparcelbenefitedtherebywhotaporconnecttosaidsystem.Thenewextensionsshallbereimbursedonafront.footageandorsquarefootagebasis.Thereimbursementforthesewerrnainshallbeaperfootchargeof$88.04($101.25with15%AdmlnistrationCost)andwatermainshallbeafootchargeof$50.07($57.58with15%ÀdministratlonCost)tothepropertlesindicatedonFigure1andFigure2.3.Thepartiesfurtheracknowledgethat$28,103.85ofthecostoftheimprovementforthesewermainandthat$30,735.54ofthecostoftheimprovementforthewatermainrepresentsthecostofoversizingoftheutilltleswhlchbenefitstheentireCitysewerandwatersystemsandwereinstalledforthepurposeofservicingfuturesewerandwatersystemcustomers,andforwhichtheCitywillpaytotheOwnerunderseparateagreement.D.OWNERSHIPANDMAINTENANCEOFFACILITIES1.OwnershalltransfertitleoftheFacilitiestotheCityfreeandclearofallencumbrancesbyaBillofSaletobeexecutedanddeliveredbyOwnertotheCityuponacceptanceofsaidextensions.formaintenancebytheCity.SaldinstrumentshallcontalnOwner'swarrantythattheyhavegoodtitleandtherighttoconveysaidextensions,andthattheywlllwarrantanddefendtheCityagainstanyclaimo.finterestLatecomerAgreementforReimbursement-Page2of7 thereinassertedbyanythirdperson,thattheywillguaranteetheworkmanshipandmaterialsinsaidfacilitiesforaperiodofoneyearafterdateofacceptancebytheCity,andthattheywarrantsaidextensionstobefitfortheuseforwhichtheyareIntended.2.OwnerhasfurnishedtheCitywithanltemizedwrittenstatementofallcostsincurredfortherequiredimprovements,includingallchargesincurredformaterialsandlaborthathavebeenpaidbyOwner,andOwnerwarrantstherearenoliensagainstthepropertyorimprovements.3.OwnerfurtherwarrantsthatitistheownerIntitleabsoluteoftheextensionsshowninFigure1and2,thatithasneitherpermittednorsufferedanypersonorotherentitytotapontosaidextensionspriortothedateofthisAgreement;thatthesumof$88.04($101.25with15%AdministrationCost),forsewer,and$50.07($57.58with15%AdrninistrationCost),forwater,perlinealfrontfootIsafairproratachargetobeassessedagainsttheowner(s)ofeachparcelwithinthebenefitedpremises(futureservicearea),asshownonFigure1and2,whosubsequentlytapontoorconnecttosaidfacility,andtofurtherwarrantthattherearenopersons,firmsorcorporationswhohavefiledorhavetherighttofilealienagainstsaidextensionsperprovisionsofTitle60RCW.intheeventanylienorotherclaimagainstsaidextensionsisassertedafterconveyancetotheCity,whichlienorclalmaroseonorpriortosuchconveyance,thentheOwnershalldefendandsaveharmlesstheCityfromlossonaccountthereof,andintheeventtheCityshallbeputtoanyexpenseindefenseofsuchclaimorotherwise,thentheCityshallhavealienagainstanyfundsthenorthereafterdepositedwlthitpursuanttothisAgreement.4.InconsiderationoftheconveyanceoftheFacilitiesshowninFigure1and2,theCityagreestoacceptsaidextensionsformaintenanceasapartofitsfacility,afterinspectionandtestingbytheCity.E.ASSESSIVIENTANDCOLLECTIONOFLATECOMERFEESII1.TheCityandtheOwnerdesiretoandintendbythisAgreementtoprovideforcollectionofthefairproratashareofthecostofconstructlonofsaldextensionsfromtheowner(s)ofthebenefltedpropertiesshownonFigure1and2whodidnotcontributetotheoriginalcostthereof,undertheprovisionsoftheMunlclpalWaterandSewerFacilitiesAct,Chapter35.91RCW,provided,however,thatnothingcontainedheremshallbeconstruedtoaffectorimpairinanymannertherightoftheCltytoregulatetheuseofitssaidsystemsofwhichtheFacilitlesshownonFlgure1and2shallbecomeapartunderthetermsofthisAgreement,pursuanttoprovisionsofanyResolution,orpolicynoworhereafterineffect.TheimpositionbytheCityofanysuchrequirementsshallnotbedeemedanimpairmentofthisAgreementthoughitmaybeimposedinsuchmannerastorefuseservicetoanownerofthebenefitedpropertytosecurecompliancewithsuchrequirementsofthecity.2.TheCityfurtheragreestocollectfromtheowner(s)oftherealpropertybenefitedbysaidFacilitieswhohavenotheretoforecontributedtothecostofLatecomerAgreementforReimbursement-Page3of7 constructionthereof,andwhosubsequentlytapontoorusethesame,afairproratashareofthecostofsuchconstructlonbaseduponthesumof$88.04($101.25with15%AdministrationCost)forsewerand$50.07($57.58with15%AdministrationCost),forwaterperlinealfrontfoot;unitchargesshallbeconclusivelypresumedtobeafairproratachargeagainstthebenefitedparcel(s),inaddltiontotheamountsagreedtobecollectedbytheCityInthisparagraph,theCltyshallchargeinadditiontoitsusualandordinarychargesmadeagainstpersonsapplyingforservicefromsaidfacilltyasumequaltofifteenpercentoftheamountagreedinthisparagraphbytheCitytobecollectedforOwnerfrompersontappingontosaidfacility,whichsumshallbeusedbytheCltytodefraythecostoflabor,bookkeepingandaccountingpursuanttothetermsofthisAgreement.3..TheCityshallpaytotheOwnerthesumsagreedbyIttobecollectedpursuanttotheprovisionsoftheprecedingparagraph,within.sixty(60)daysafterreceiptbytheCityattheaddressoftheOwnerassetsforthhereinafteroratsuchotheraddressastheOwnershallprovidebyCertiftedmail,IfsaidpaymentsarereturnedtotheCityuncialmedbytheOwnerorlftheCityisunabletolocatetheowner,aftersix(6)months,theCityshallretainallsumsthenrecelvedandallfuturesumscollectedunderthisAgreement.4.Intheeventof‡heassignmentortransferoftherightsoftheOwnervoluntarily,involuntarily,orbytheoperationoflaw,theCityshallpayanybenefitsiaccruinghereunder,afternotice,tothesuccessoroftheOwnerastheCity,initssolejudgment,deemsentitledtosuchbenefits;andintheeventconflictingdemandsaremadeupontheCityforbenefitsaccruingunderthisagreement,thentheCitymayatitsoptioncommenceanactionininterpleaderjoininganypartyclaimingrightsunderthisAgreement,orotherpartieswhichtheCltybelievestobenecessaryorproperandtheCityshallbedlschargedfurtherliabilityuponpaylngthepersonorpersonswhomanycourthavingJurisdictlonofsuchinterpleaderactionshalldetermine,andinsuchactiontheCityshallbeentitledtorecoveritsreasonableattomey'sfeesandcosts,whlohfeesandcostsshallconst|tuteaIIenuponallfundsaccruedoraccruingpursuanttothisagreement.5,.TheCityagreesnottoallowanyowneroruser.ofanybenefitedproperty.asdëscribedinFigure1and2(futureservicearea)toconnectortapontosaidfacilitywithoutsuchowneroruserhavingfirstpaidtotheCityasumequaltothefairproratachargehereinabovesetforth.6.TheCityshallbeentitledtorelyontheprovlslonsofthisAgreementwithrespecttothefalrnessoftheproratachargehereinprovided,anduponthedescriptionofthebenefitedpropertiessetforthinFigure1and2(futureservicearea).7.ThetotalamounttobereimbursedtoOwnerunderthisAgreementshallnotexceed$657,301.29(the"MaximumReimbursementAmount").UponconfirmationbytheCityandtheOwnerthattheamountsremittedtotheOwnerpursuanttoparagraphareequaltotheMaximumReimbursementAmount,theCityshallceaseitsLatecomerAgreementforReimbursement-Page4of7 collectionofLatecomerChargespursuanttothisAgreement,andthisAgreementshallhavenofurtherforceoreffectF.UNAUTHORIZEDCOLLECTIONWheneveranyconnectionismadeintotheFacilitleswhichisriotauthorizedbytheCity,theCityshallhavetheabsoluteauthoritytoremoveorcausetoberemovedsuchunauthorized-connectionsandallconnectinglinesorpipes,locatedintheright-of-wayoronCityproperty.TheCityshallincurnoliabilityforanydamagetoanypersonorpropertyresultingfromremovaloftheunauthorizedconnection.G.MISCELLANEOUS1.ThisAgreementshallbecomeoperativeuponitsbelngrecordedwiththeAuditoroftheCountyinwhichanyofthebenefitedlandsaresituated,attheexpenseoftheOwner,andshallremaininfullforcearideffectforaperiodoftwentyyearsafterthedateofsuchrecording,oruntiltheOwner,ortheirsuccessorsorassigns,shallhavebeenfullyreimbursedasaforesaid,whichevereventoccursearlier,provided,thatintheeventtheadditionsshownonFigure1&2oranyportionsthereofshall,duringthetermofthisAgreement,berendereduselessbytheredesignorreconstructionintheabsolutejudgmentoftheCityEngineer,thentheCity'sobligationtocollectfortheOwnerofthetappingorconnectionchargesprovidedpursuanttothisAgreementshallcease.2.AllnoticesunderthisAgreementshallbewriting,andshallbedeliveredormailedbycertifiedmail,returnreceiptrequested,andshallbeeffectiveasofthedateofdellvery,onthedateofreceiptasshownbythereturnrecelpt,orthreedaysafterthepostmarkdateifthereisnoreturnreceipt.Noticesshallbeaddressedtothefollowingaddressesortosuchotheraddressasapartymayspecifyinwriting:City:Owner:CityofEllensburgKittitasCounty,byandthroughKittitasCityEngineerCountySolidWaste501N.AndersonSt.PattiStacey,DirectorEllensburg,WA98926925IndustrlalWayEllensburg,WA08926OwneracknowledgesandagreesthatcommencingeverytwoyearsfromthedatethisAgreementisexecuted,theyprovidetheCitywithinformatlonregardingtheircurrent-addressandtelephonenumber.IftheOwnerfailstocomplywiththenotificationrequirementsofthissubsectionwithinsixtydaysofthespecifiedtime,thentheCitymaycollectanyreimbursementfundsowedtothepropertyownerunderthisAgreement,whichshallbedepositedinthecapitalfundoftheClty.LatecomerAgreementforReimbursement-Page5of7 3.ThlsAgreementshallbeacovenantrunningwiththelandandbebindingontheDeveloper,itssuccessors,heirsandassignsandshallbebindingonthelegalownersofallpropertieswithintheBenefitBoundaryandthelrsuccessors,heirsandassigns,4.Exceptasotherwiseprovidedherein,Ownerreleasesandagreestodefend,indemnifyandholdharmlesstheCityandallofitselectedandappolntedofficialsanditsemployeesfromallliability,claimsandcostsarisinginconnectionwiththeenforcementofthisAgreement,excepttotheextentresultirigfromanygrossnegligenceorintentionalactoromissionoftheCityoritsofficers,agentsoremployeesinperformanceoftheAgreement.5.VenueandjurisdictiontoenforceallobligationsunderthisLatecomerAgreementshalllieintheKittitagCountySuperiorCourbTheobligationsofthepartieshereundermaynothavean.adequäteremedybywayofanactionfordamagesandmaybeenforcedbyanactionforspecificperformance.6.Intheeventa.courtofcompetentjurisdictiondeclaresanymaterialprovisionofthisLateconherAgreementinvalid;unconstitutional,orotherwiseunenforceable,anypartymayelecttoterminatetherernainderofthisAgreement.Intheeventanon-materialprovisionofthisLatecomerAgreementisdeclaredInvalid,unconstitutional,orotherwiseunenforceable,suchprovlsionshereofasarenotaffectedbysuchdeclarationshallremaininfullforceandeffect.7.ThlsLatecomerAgreementmaybemodifledonlybywritteninstrumentdulyexecutedbyallpartiesafterapprovatoftheEllensburgCityCouncil.INWlTNESSWHEREOF,thepartieshavehereuntosettheirhandsandofficialsealsthedayandyearfirstabovewritten.CITYOFELENSBURGCityApproveastoform:CityAttorneyLatecomerAgreementforReimbursement-Page6of7
