SECTION4:DEFINITIONS4.1Attachment:AdocumentprovidedbytheSubrecipient(application,budgetplan,etc.)thatisalsomadepaitofthisagreementandincorporatedbyreference.SeealsoExhibit.4.2MLE:ThefederallyfundedMarineLawEnforcementProgramadministeredbyWashingtonStateParksandRecreationCommission(WSPRC).ForpurposesofthisagreementMLErepresentstheStateofWashington.IfMLEceasestoexistorisnolongerthestateprogramdesignatedtoadministerthisfederalprogram,thenreferencestoMLEwillbeunderstoodtobetheStateofWashington.4.3Equipment.Equipmentmeanstangiblepersonalpropertyhavingausefullifeofmorethanoneyearandaper-unitacquisitioncostwhichequalsorexceedsthelesserofthecapitalizationlevelestablishedbythenon-Federalentityforfinancialstatementpurposes,or$5,000.4.4Exhibit:AdocumentprovidedbytheMLEProgramthatisalsoapartofthisagreementandincorporatedbyreference.SeealsoAttachment.4.5RBSOfficer:RecreationalBoatingSafetyOfficerisafullycommissionedlawenforcementofficerinWashingtonStateandhastheauthoritytoenforcethelawsofthestateofWashingtonandlocalordinances.TheRBSOfficermusthaveattendedtheWashingtonstateBasicMarineLawEnforcementAcademyoranequivalentrecognizedbyMLE.4.6BoatingSafetyInspection:Afullinspectionforallsafetyequipment,vesselregistrationwhenrequiredandmandatoryboatereducationcompliancewhenrequired.TheresultsoftheinspectionshallbedocumentedthroughWashingtonstatesStatewideElectronicCollisionandTicketOnlineRecords(SECTOR).ThismaybedoneatthetimeoftheinspectionorwhenSECTORisavailabletotheRBSOfficer.4.7LawEnforcementVessel:Avesselusedbyalawenforcementagencyandshallbeequippedwithpropermarkingsshowingittobeanofficiallawenforcementvessel.4.8RecreationalVessel:Definedinfederalregulation50CFR85.11asavesselownedandoperatedprimarilyforpleasure;oravesselleased,rented,orcharteredtoanotherforrecreationaluse.4.9Subrecipient:ANon-Federalentitythatreceivesasubawardfromapass-throughentitytocarryoutpartofafederalprogram;butdoesnotincludeanindividualthatisabeneficiaryofsuchprogram.Inthisagreement,thesubrecipientisthesuccessfulapplicantwithwhomWashingtonMLEawardsaFederalFinancialAssistanœGrant(See2CFR200.93).4.10SubrecipientGrantAgreement:Alsoknownasasubaward.Definedinfederalregulationas"anawardprovidedbyapass-throughentitytoasubrecipientforthesubrecipienttocarryoutpartofafederalawardreceivedbythepass-throughentity.Itdoesnotincludepaymentstoacontractororpaymentstoanindividualthatisabeneficiaryofafederalprogram.Asubawardmaybeprovidedthroughanyformoflegalagreement,includinganagreementthatthepass-throughentityconsidersacontract(See2CFR200.92).MLE123-122SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page2of64 7.1.2DesignPreparation.TheSubrecipientshalldesignaprojectthatwillhaveareasonablylikelihoodofpositivelyimpactingthereductionofboatingaccidents,boatinginjuries,andboatingfatalities.SuchdesignshallincludeapplicableitemsontheChecklistforPlansandSpecificationsasprovidedintheSubrecipient'sMLEGrantApplication(Attachment"A").7.1.3Purchase.TheSubrecipientshallmakenopurchasesinexcessof$2,500.00withoutpriorwrittenauthorizationbyMLE.AllpurchasesmustbeinthefurtheranceofrecreationalboatingsafetyandmustadheretotheguidelinessetoutintheintheAllowableCostsandExpendituresforStateVesselRegistrationFeesandFederalAssistanceGrantsmanual.(Attachment"C").7.1.4PeriodicInspections.SubrecipientherebygrantstotheRecipient,oritsauthorizedrepresentative,aright,equalintimetosixyearsfromthedateofthelastsignatureonthisdocument,toenteruponSubrecipient'spropertyasdeemednecessarybytheRecipientforinspectiondocumentsandanyequipment.Theseperiodicinspectionsareintendedtoensurecontinuedcompliantuseoftheawardedfundstowardrecreationalboatingsafetyenforcementandeducation.materials,products,andworkmanshiptotheoriginalapprovedplansandspecifications.Theseinspectionsrequirea30-dayadvancenotificationtotheSubrecipientofsuchinspectionoraccess.7.1.5CommercialandOtherUses.a.ForpurposesofthisSection7-ResponsibilitiesofEachPady,CommercialUsemeansanyactivityonoraffectingtheProjectthatwasnotdescribedintheSubrecipient'sproposal,ornotapprovedinwritingbyMLE,wheretheSubrecipient:1.hasfinancialprofitasagoal,2.chargesanyfeesorreceivesanybenefittoprovideservices,suppliesorgoods,or3.allowsthirdpartiestochargeanyfeesorreceiveanybenefittoprovideservices,suppliesorgoods.b.SubrecipientmustrestrictuseoftheProjectfundstoonlyrecreationalboatsboatingsafetyenforcementandeducation.7.1.6Publications&Advertising.TheSubrecipientshallincludethefollowingstatementifpublishinganyreport,newsreleaseorpublicationregardingthisproject:"PadialfundingwasthroughtheWashingtonStateParksandRecreationCommissionMarineLawEnforcementProgram,andincooperationwithU.S.RecreationalBoatingSafetyAct"7.1.7ProjectSign.TheSubrecipientmaypostinaconspicuouslocationonthevessel,asignidentifyingWSPRC,may,FederalAgency'sandspecificfederalgrantprogram'spadicipationintheProject.TheSubrecipientshallincludethefollowingstatementifpublishinganyrepod,newsreleaseorpublicationregardingthisproject:"PadialfundingforthisprojectwasprovidedbytheWashingtonStateParksMarineLawEnforcementProgram.ThisprogramisfundedbytheUS.C.G.throughtheSpodFishRestorationandBoatingTrustFund,whichMLE123-122SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page5of64 isMnancedbyyourpurchaseofmotorboatfuelsandMshingequipment."7.1.8PublicAccesstoProject.DuringthetermofthisAgreementtheSubrecipientshallallowopenandunencumberedpublicaccesstotheProjecttoallpersonswithoutregardtorace,color,religiousorpoliticalbeliefs,sex,nationalorigin,orplaceofprimaryresidence.7.1.9Payments.Subrecipientagreesto:a.Makepaymentpromptlyasduetoallcontractors,subcontractors,vendorsoranyotherpersonssupplyinglaborormaterialsfortheProject;b.Allemployers,includingSubrecipientthatemploysubjectworkersshallprovideworkers'compensationinsurancecoverageforthoseworkers,unlesstheymeettherequirementforexemption.Subrecipientshallrequireandensurethateachofitssubcontractorscomplieswiththeserequirements(unlessinapplicableasamatteroffederallaw);andc.NotpermitanylienorclaimtobefiledorprosecutedagainstWSPRC,duetoanyconstructionormaintenanceactivitiesattheProject.7.1.10AlternativeDisputeResolution.ThePartiesshouldattemptingoodfaithtoresolveanydisputearisingoutofthisagreement.Thismaybedoneatanymanagementlevel,includingatalevelhigherthanpersonsdirectlyresponsibleforadministrationoftheagreement.Inaddition,thePartiesmayagreetoutilizeajointlyselectedmediatororarbitrator(fornon-bindingarbitration)toresolvethedisputeshortoflitigation.7.1.11IndemnificationbySubrecipient'sContractors.ForpurposesofthisSection7.1.11--IndemnißcationbySubrecipient'sContractorstheterm"contractor"meansactorsdownstreamoftheSubrecipientwhetheritbeacontractor,asubcontractor,ordownstreamsubrecipientoftheSubrecipient.TheSubrecipientshalltakeallreasonablestepstocauseitscontractor(s)toindemnify,defend,saveandholdharmlesstheStateofWashingtonanditsofficers,employeesandagents("Indemnitee")fromandagainstanyandallclaims,actions,liabilities,damages,losses,orexpenses(includingattorneys'fees)arisingfromatortcaused,orallegedtobecaused,inwholeorinpart,bythenegligentorwillfulactsoromissionsofSubrecipient'scontractororanyoftheofficers,agents,employeesorsubcontractorsofthecontractor("Claims").ItisthespecificintentionofthePartiesthattheIndemniteeshall,inallinstances,exceptforClaimsarisingsolelyfromthenegligentorwillfulactsoromissionsofthe7.2ResponsibilityofMarineLawEnforcementProgram(MLE):7.2.1MLEshallpaySubrecipientasdescribedinSections8-ConditionstoDisbursementandSection9-ReimbursementandPaymentTerms.SECTION8:CONDITIONSTODISBURSEMENT8.1Eligibleprojectexpensesincludeonlythoseitemsfromthelistbelowthatareinyourapprovedprojectbudget:8.1.1GrantfundsmaybeusedonlyforactivitiesunderWAC352-65-040,thetenelementsnecessarytoaccomplishtheRecreationalBoatingSafety(RBS)mission.MLE123-122SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page6of64 8.1.2RBSsalariestoincludetime,salaries,benefitsandwagesforofficersordeputieswhopossessaWashingtonStatePeaceOfficersCedification,arefullycommissionedtoenforcethelawsofWashingtonstateandwhohavecompletedanRBScoursesacceptabletoStateParks(BMLEorequal).8.1.3Time,salaries,benefitsandwagesforofficersordeputieswhopossessaWashingtonStatePeaceOfficersCertification,arefullycommissionedtoenforcethelawsofWashingtonstate,andwhohavenotcompletedaBMLEcourseisacceptableONLYwhenworkingwithanRBStrainedofficerANDwhentheagencyhasawritten"two-officerpolicyforofficersonmarinepatrolforthepurposeofofficersafety.8.1.4ProvidinginstructorsfortheAdventuresinBoatingcoursethatqualifiesgraduatesfortherequiredmandatoryboatereducationcard.Costmayincludeclassroomsupplies,lightrefreshments,othergoodsandservicesnecessarytopromoteandteachclasses,andofficersalaries,benefitsandwages.OfficersalarieswillonlybereimbursedforthoseofficerswhohavesuccessfullycompletedStateParksAdventuresinBoatingInstructorTrainingClassandarelistedonourfiles.8.1.5RBStrainingasoutlinedintheAllowableCostsandExpendituresforStateVesselRegistrationFeesandFederalAssistanceGrants(Attachment"C")8.1.6RBSEquipmentasoutlinedintheAllowableCostsandExpendituresforStateVesselRegistrationFeesandFederalAssistanceGrants(Attachment"C").Anyequipmentexpendituresovertwothousandtwohundredandfiftydollars($2,250.00)mustreceiveauthorizationfromstateparkspriortopurchase.8.1.7EducationalpublicationswhichpromoteRBSeducationthatarealreadypreparedorthecreation,designandprintingofpublications8.1.8PromotionofAdventuresinBoatingclasses,includingpresentationmaterials,lightrefreshmentsandroomrentalforclasses.8.1.9OtheritemsasdeemedbyMLEtobenecessarytocompletetheproject8.1.10SupportoftheBasicMarineLawEnforcementAcademybyagencieswhoprovidedMLErecognizedinstructors8.2Non-AllowableCostsandExpenditures.8.2.1Bulletproofvestsarebeneficial,however,equipmentofthisnatureisnotessentialformeetingtheestablishedcriteriainWAC352-65-040norisitrelatedtotheperformanceoftheRBSprogrammissionandisconsideredalocalagencyresponsibilitytopurchase.8.2.2Equipmentusedinrecoveroperations(diveequipment,etc.)whilebeingusedinanRBSsearchorinvestigationmodeare100%eligible.OncethisequipmentisusedforrecoveryoperationsitmustbeproratedbetweenRBSmissionsandrecoverymissions.8.2.3Handheldorportablenightvision,FLIRorthermalimagingdevicesarea100%allowableexpensewhileinRBSpatrol,searchorinvestigationmode.Oncethisequipmentisusedforrecoveryoperationsitmustbeprorated.PermanentlymountedandelectricallywiredFLIRandthermalimagingdevicesare100%allowableexpenses.MLE123-122SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page7of64 8.2.4HomelandSecuritymissions(weapons,etc.),oranyotherequipmentdeterminedasunrelatedbytheboatingprogramisnotanallowableexpense.8.2.5Firefightingequipmentisnotanallowableexpense.8.2.6Anyequipmentorvehiclesnot100%dedicatedtotheRBSmissionmustbeprorated,documentingtheamountoftimetheequipmentorvehiclewasdedicatedtotheprogram.8.2.7Operatingcostsforlawenforcementvesselsboats(staff,fuel,fluids,repairs,maintenance)oroperatingcostsforboatsusedtoservicefloatingrestrooms(staff,fuel,fluids)8.2.8Documentedstafforcontractlaborassociatedwithroutinecustodialandnon-routinemaintenanceandrepairs,thecostofthatpersonoperatingormaintainingthesystem.8.2.9OtheritemsasdeemedbyMLEtobenecessarytocompletetheproject8.3ConditionsPrecedenttoAnyReimbursement.MLEshallnotbeobligatedtodisburseanyofthegrantfundstoreimbursetheSubrecipientforProjectcostshereunderunlessMLEhasreceivedfromtheSubrecipient:a.PriortoProjectplans,specifications,andcostestimate(s),statementofwork,requestforproposalorotherdocumentationfortheProject,documentsmustbeinformandsubstancesatisfactorytoMLE;b.ReimbursementRequestsmustbesubmittedontheapprovedMLEGrantReimbursementformalongwithallsupportingdocumentation.ReimbursementsshallbeproratedbetweenthePartiesbasedonthepercentageoftheirrespectivecashorin-kindcontributionsassetforthinSection7-ResponsibilitiesofEachPartyandSection9-ReimbursementandPaymentTerms.Supportingdocumentsmust:•Benumberedintheupperrightcornerandcorrespondtothe"Document#"columnonyourReimbursementRequestForm•Bedated.Thedateoftheinvoicemustbewithintheperiodofperformanceofthisaward•HaveSubrecipient'sbusinessnameclearlyidentified•Clearlyidentifythecostandtheamountpaid&showzero-balancedueIfareceipt,invoice,orstatementincludesexpensesnotrelatedtotheMLEproject,thosecostsmustbehighlightedandnotedas"ineligiblecosts".c.MLEwillreimburseSubrecipientforeligibleactivitiesonlyafterMLEhasacceptedtheworkascomplete-expenditureasanallowablecostandallproperdocumentshavebeensubmittedwiththereimbursementrequest.Reimbursementrequestsmustbesubmittedonaquarterbasisandduringthequarterthattheexpenditurehastakenplace.ReimbursementfromMLEshallnotexceedfiftypercent(50%)ofthetotalprojectcostfromeligiblegrantexpenses.Totalreimbursementunderthisgrantagreementshallnotexceedtheawardamountof$9,981.99.MLE123-122SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page8of64 d.MLEwillreimburseSubrecipientuptoanadditional$5,000.00whosupplyarecognizedBMLEinstructorfor80hours.Forinstructorserviceslessthan80hours,asumof$500.00perdaywillbeawarded.TheadditionalawardisavailableforusecommencingonJune1,2022.e.TheSubrecipientmaynotexceedtheapprovedbudgetwhichwasproposedbytheSubrecipientaspartoftheSubrecipient'sSubrecipientGrantApplicationthatwasacceptedbyMLE.TheSubrecipient'sbudgetisattachedtothisagreement(Attachment"B").IftheSubrecipientwouldliketochangetheallocationsoffundstotheoriginalbudget,abudgetamendmentrequestmustbesentinwritingviaemailtoMLEinadvanceoftheexpensebeingincurred.f.Ifaboat,avehicle,orequipmentisusedpartiallyforotherpurposes,costsmustbepro-ratedforthatportionoftheirusethatisforRecreationalBoatingSafetyActpurposes.8.4ConditionsPrecedenttoPartialProgressPayment(s).MLEshallnotbeobligatedtomakepartialprogressreimbursementpayment(s)hereunderuntiltheappropriatesupportingdocumentationandreimbursementformhasbeensubmittednolessthanonaquaderlybasisofthepercentageofProjectcompletionhashavebeenreceived,reviewedandapprovedbyMLE.InnoeventshallMLEdisbursemorethanfiftypercent(50%)oftheamountindicatedinSection9.2-GrantFundsasprogresspayments.8.5ConditionsPrecedenttoFinalPayment.MLEshallnotbeobligatedtomakefinalpaymenthereunderuntilthefollowinghavebeencompletedorsupplied:a.SuppodingdocumentationinformandcontentdetemlinedbyMLE,hasbeenreceivedreviewedandapprovedbyMLE;andb.Subrecipientprovidessummaryofwod<achievedpursuanttotheSOWasprovidedwiththegrantapplicationtoMLEwithfundingtheProject;andc.InspectionandapprovaloftheProjectbyMLEProgramstaff.SECTION9:REIMBURSEMENTANDPAYMENTTERMS9.1FederalFundApproval.MLEhasreceivedagrantfromtheUnitedStatesDepadmentofHomelandSecurity,UnitedStatesCoastGuardasdescribedpursuantto2CFR200.331onExhibitB.Inaccordancewith2CFR200.330,MLE'sdeterminationisthattheotherpartytothiscontractisasubrecipientandisthereforeasubrecipientoffederalfunds.9.2GrantFunds.Uponapprovalbyitsgoverningbodyorbodies,MLEshallprovidefederalgrantfundsintheamountof$9,981.99totheSubrecipienttofundtheProject.9.3Match.TheSubrecipientshallcontributeatleasttwenty-five(25%)ofthetotalprojectcostascostsharingornon-federalmatchasdescribedintheapprovedprojectbudget.Suchcostsharingormatchmaybeprovidedascashcostsorin-kindservicesprovidedsuchsenticesarereasonableandnecessaryforgrantpurposes.VesselRegistrationFeescannotbeusedasmatch.Thesearenon-reimbursableitems.AllowabilityofanycostMLE123-122SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page9of64 sharingormatchshallbedeterminedinaccordancewith50CFRPart85;and2CFRPart200asapplicableandasadoptedinregulationby2CFR1402.100.TheSubrecipientshallmaintainrecordsthatadequatelydocumentthevaluationofnon-federalmatchlin-kindservicesinaccordanœwith50CFRPart85;and2CFRPad200asapplicableandasadoptedinregulationby2CFR1402.100.TheSubrecipientshallsubmitasummaryofthevaluationtoMLE.FudherinstructiononadequatevaluationofmatchexpensescanbeprovidedbycontactingtheMarineLawEnforcementCoordinatorortheProgramManager.9.3.1MatchingCashFunds.TheSubrecipientshallcontributethetotalsumof$2,495.50incashorin-kindmatch.Itisunderstoodthatmatchcannotbefromanotherfederalsourceandarenon-reimbursablecosts.Inaddition,VesselRegistrationFeefundscannotbeusedasmatch;however,in-kindmatchasreportedintheVRFExpenditureRepodcan.9.3.2MatchingNon-cashResources.Non-cashresources,in-kind;matchisallowableundertheFFAgrant.Anyexpenditurethesubrecipientincursinsupportoftheirrecreationalboatingsafetyprogramcanbeusedasnon-cashmatch.9.4AllowableCosts.AllcostschargedbytheSubrecipientmustbeeligible,necessary,andreasonableforpeiformingthetasksoutlinedintheapprovedprojectworkplan.Thecosts,includingmatch,mustbeincurredduringtheperiodofperformanceoftheprojectandsubmittedforreimbursementduringthequarterwhichthecostsareincurred.Thecostsalsomustbeallowableandwelldocumented,inconformancewithspecificfederalrequirements(50CFRPad85;and2CFRPart200asapplicableandasadoptedinregulationby2CFR1402.100.9.5Payments.AftertheSubrecipientawardsthecontractfortheProject,andactivitiescommence,MLEshall,uponreceiptoftheSubrecipient'srequestforreimbursementandappropriatedocumentationallinformandsubstancesatisfactorytoMLE,disbursefundstotheSubrecipientinaccordancewithSection8-ConditionstoDisbursement.Subrecipientmayrequestreimbursementsnolessthanonaquarterlybasisandduringthequarterforwhichtheexpenditureshavebeenincurredforprojectexpenses.ReimbursementshalltakeplaceafterSubrecipientsubmitsaproperlycompletedReimbursementRequestForm(providedbyMLE),alongwithrequiredsupportingdocumentation.RequestsshallonlybeallowedwhenrequestedontheproperformsprovidedbyMLE,referencethisagreementnumberandaccompaniedwithappropriatesupportingdocumentation.Subrecipientshallbereimbursedfortheactualprojectcostsincurred,uptothetotalreimbursementamountdefinedaboveaslongasgrantfundsremainavailable.Accountingproceduresmustprovideforaccurateandtimelyrecordingofreceiptoffundsbysource,expendituresmadefromsuchfunds,andofunexpendedbalances.Controlsmustbeestablishedwhichareadequatetoensurethatexpendituresareforallowablepurposesandthatdocumentationisreadilyavailabletoverifythatsuchchargesareaccurate.Theburdenofprooflieswiththesubrecipienttoprovideclearinformationastotheexpenseandformofpayment.MLE123-122SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page10of64 9.6CostOverruns.CostoverrunsaretheresponsibilityofSubrecipientandmustbebornebySubrecipient.9.7Overpayment.IntheeventthattheaggregateamountofMLE'sinterimprogresspaymentstotheSubrecipientexceedstheallowablereimbursablecostsoftheSubrecipientfortheProject,theSubrecipientagreestorefundtoMLEtheamountpaidinexcessofsuchallowableexpenseswithinthirty(30)daysofSeptember30,2022.9.8OffsetorReduction.TheSubrecipientagreesthatpayment(s)madebyMLEunderthisAgreementshallbesubjecttooffsetorreductionforanyamountspreviouslypaidhereunderthatarefoundbyMLEnottoconstituteallowablecostsunderthisAgreementbasedontheresultsofanauditexamination.Ifsuchdisallowedamountexceedsthepayment(s),theSubrecipientshallpayMLEtheamountofsuchexcesswithin30daysafterwrittennoticeofdisallowedcostsisprovidedbyMLE.9.8.1EntertainmentCosts.Inaccordancewith2CFR200,thecostofamusement,diversion,socialactivities,ceremonials,andcostsrelatingthereto,suchasmeals,lodging,rentals,transpodation,gratuitiesandalcoholicbeveragesarenotallowableexpenses.9.8.2PriorCosts.MLEwillnotreimburseSubrecipientforanycostsincurredpriortotheeffectivedateofthisagreementOctober1,2021.SECTION10:REPRESENTATIONSANDWARRANTIESSubrecipientrepresentsandwarrantstoMLEthat:10.1Subrecipientisalawenforcementagency,dulyorganizedandvalidlyexisting.SubrecipienthasthepowerandauthoritytoenterintoandperformthisAgreement.10.2ThemakingandperformancebySubrecipientofthisAgreement(a)havebeendulyauthorizedbySubrecipient,(b)donotandwillnotviolateanyprovisionofanyapplicablelaw,rule,regulation,ororderofanycourt,regulatorycommission,board,orotheradministrativeagencyoranyprovisionofSubrecipient'scharterorotherorganizationaldocumentand(c)donotandwillnotresultinthebreachof,orconstituteadefaultorrequireanyconsentunderanyotheragreementorinstrumenttowhichSubrecipientispanyorbywhichSubrecipientmaybeboundoraffected.Noauthorization,consent,license,approvalof,orfilingorregistrationwithornotificationtoanygovernmentalbodyorregulatoryorsupervisoryauthorityisrequiredfortheexecution,deliveryorperformancebySubrecipientofthisAgreement,otherthanthosethathavealreadybeenobtained.10.3ThisAgreementhasbeendulyexecutedanddeliveredbySubrecipientandconstitutesalegal,validandbindingobligationofSubrecipientenforceableinaccordancewithitsterms.10.4Subrecipienthastheskillandknowledgepossessedbywell-informedmembersoftheindustry,tradeorprofessionmostcloselyinvolvedinprovidingtheservicesunderthisAgreement,andSubrecipientwillapplythatskillandknowledgewithcareanddiligenœtoperformitsobligationsunderthisAgreementinaprofessionalmannerandinaccordanœwiththehigheststandardsprevalentintherelatedindustry,tradeorprofession;andMLE123-122SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page11of64 10.5Subrecipientshall,atalltimesduringthetermofthisAgreement,bequalified,professionallycompetent,anddulyliœnsedtoperformitsobligationsunderthisAgreement.TherepresentationsandwarrantiessetforthinthisSection10-RepresentationandWarrantiesareinadditionto,andnotinlieuof,anyotherrepresentationsorwarrantiesprovidedbySubrecipient.SECTION11:GovERNINGLAWANDCONSENTTOJURISDICTIONThisAgreementshallbegovemedbyandconstruedinaccordancewiththelawsoftheStateofWashingtonwithoutregardtoprinciplesofconflictsoflaw.Anyclaim,action,suitorproceeding(collectively"Claim")betweenMLEoranyotheragencyordepartmentoftheStateofWashington,orboth,andSubrecipientthatarisesfromorrelatestothisAgreementshallbebroughtandconductedsolelyandexclusivelywithintheSuperiorCourtforThurstonCounty,StateofWashington;provided,however,ifaClaimMUSTbebroughtinafederalforum,thenitshallbebroughtandconductedsolelyandexclusivelywithintheUnitedStatesDistrictCourtfortheWesternDistrictofWashington.InnoeventshallthisSection11-GoverningLawandConsenttoJurisdictionbeconstruedasawaiverbytheStateofWashingtonofanyformofdefenseorimmunity,whethersovereignimmunity,govemmentalimmunity,immunitybasedontheeleventhamendmenttotheConstitutionoftheUnitedStatesorotherwise,toorfromanyClaimorfromthejurisdictionofanycourt.SUBRECIPIENT,BYEXECUTIONOFTHISAGREEMENT,HEREBYCONSENTSTOTHEINPERSONAMJURISDICTIONOFSAIDCOURTS.SECTION12:EQUIPMENT:OWNERSHIP,MAINTENANCE,USEFULLIFE&DISPOSAL12.1OwnershipOfEquipment.Exceptasotheaviseprovidedherein,Subrecipientshallretainownershipofequipmentpurchasedpursuanttothetermsofthegrant.Subrecipientmaynot,duringthetermofthegrant,transferorconveyitsownershipinterestintheequipment.Subrecipientshallnotatanytimeduringthetermofthegrantconvertanyfacilityequipmentwhichwasacquiredpursuanttothegranttoauseotherthanthoseforwhichtheassistancewasoriginallyapproved.EquipmentpurchasedwithRecreationalBoatingSafetyActfundsshallbeusedonlyforthepurposeforwhichitwaspurchasedandnootherpurpose,whetherornottheSubrecipientcontinuestobesupportedbyRecreationalBoatingSafetyActgrantfunds.Observed/reportedincidentsofunauthorizeduseofMLEequipmentshallbeaddressedbythefollowing:1)Anyobserved/reportedincidentofunauthorizeduseofMLEfundedvesselswillbefollowed-upbyMLEcommunicationwiththeSubrecipient.MLEmayconductsitevisitsorcontactareaboatersforsupplementalinformationasnecessary.2)InthoseinstanceswheretheMLEdeterminesthatanunauthorizeduseofaMLEfundedvesselhasoccurred,theMLEwillprovidewrittennotificationtotheoperatorofitsdeterminationwithawarningthatcontinuedmisuseorabuseofMLE-fundedvesselsandequipmentmayresultin:a)theremovalofmisusedequipmentfromthefacility;and/orb)anassessmentagainsttheoperatorforreimbursementofthefederalcontributionagainstthecurrentmarketvalueofthevessel.MLE123-122SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page12of64 12.2Title.TitletoequipmentpurchasedunderthisAgreementshallvestintheSubrecipient.IftheSubrecipientdeterminesthatitcannotusetheequipmentforthestatedgrantpurposesatanypointpriortotheendoftheequipment'susefullife,butaftertheendofthisawardperiodandanyextensionsthereof,theSubrecipientshallinformMLEinwritingwithin30daysofsuchdetermination.SuchequipmentshallbetransferredbytheSubrecipienttoathirdpartyapprovedbyMLEforuseforgrantpurposesinaccordancewithapplicableprovisionsofstateandfederallaw.ShouldtheequipmentnotbetransferredtoanotherstateparksRBSapprovedlawenforcementagencyinaccordancewiththisprovision,theequipmentshalleitherbereturnedtoMLEforuseforgrantpurposes,oritshallbedisposedinaccordancewith50CFRPart85;and2CFRPart200.12.3UsefulLife.Beyondtheacquisitiongrantperiodofperformanceandthroughoutthedurationoftheequipment'susefullife,theequipmentmustcontinuetobeusedintheprogramorprojectforwhichitwasacquired,asRecreationalBoatingSafetyActProgram.Whennolongerneededfortheoriginalprogramorproject,equipmentmaybeusedinotheractivitiesinthefollowingorderofpriority:a.ActivitiessupportedunderaFederalawardfromtheFederalawardingagencywhichfundedtheoriginalprogramorproject;thenb.ActivitiesunderFederalawardsfromotherFederalawardingagencies;thenc.AnyactivitiesconsistentwiththeadministrationoftheWashingtonStateParksandRecreationCommission.12.4SpecialSurvivorshipNote:Ownershipisnotabsolute.Regardlessofagreement'sexpiration,anythingtangible,intangible,orintellectualpropertythatwaspurchasedorcreatedfromfederalfundsorfundedwithfederalfundsmaintainsfederalandstateMLEentanglements,requirements,orconditions(conditionalownership)unlessluntilreleasedbytheMLEorfederalgovernmentinwriting.Whileotherconditionsmayapply,typicallyareleasewouldoccurupontheMLEorfederalgovernmentbeingcompletelysatisfiedthattheiteminquestionhasreachedtheendofitsusefullifewhichisusuallyadollarvalue.DeterminationofvalueissolelyatthediscretionoftheMLEorfederalgovemment.Shouldprofessionalappraisalservicesbeneededtodeterminevalue,thesecostsshallbebomebytheSubrecipient.SelectionofanappraisalservicesfirmissubjecttothewrittenapprovaloftheMLEorfederalgovernment.12.5UseandMaintenance.TheSubrecipientshalloperateandmaintaintheequipment,purchased,constructed,installed,renovated,operated,repaired,ormaintainedwithMLEgrantfundstofunctionasintendedforthefullperiodoftheirusefullifeandinamannerthatprovidesadequateservice,promotesuse,andprotectspublichealth.Suchconditionsinclude:12.5.1SubrecipientshalloperateandmaintaingrantfundedequipmentinaccordancewithallapplicableFederal,Stateandlocallaws,orders,regulationsandpermits.12.5.2Operationshallincludehavingtrainedpersonnelavailabletofacilitateoperationoftheequipmentandascheduleformaintenance.12.5.3LawEnforcementvesselsshallbeoperatedbytrainedpersonnelwithavalidStateofWashingtonBoaterEducationCardorequivalentandbeagraduateofstateparksBasicMarineLawEnforcementAcademyorequivalent.12.5.4LawEnforcementvesselsshallbeequippedwithallfederallyrequiredsafetyequipmentMLE123-122SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page13of64 andprovideandensureappropriatepersonalflotationdevicesarewornatalltimeswhenonthevesselordock.12.5.5Alllawenforcementvesselsshallhavearoutinescheduleformaintenance.12.5.6Asaconditionofreceivingthegrantfunds,Subrecipientshallactivelymaintainthevesselforthefulldesignlifeoftheequipmentprovidedfromthisgrant.12.5.7Subrecipientshallberesponsibleforalloperation,maintenance,andrepairofallvesselsandequipmentprovidedfromthisgrant.12.6EquipmentReplacement.WhenoriginalorreplacementequipmentacquiredunderthisawardisnolongerneededortheSubrecipientisnolongerabletosupporttheRBSmissionandthedispositionoccursduringthegrantperiod,dispositionoftheequipmentshallbemadeasfollows:•Theequipmentmaybetransferredatnocosttoanotherlawenforcementagencywithastateparksapprovedmarinelawenforcementprogram(e.g.,cityorcountylawenforcementagency)ifsuchequipmentwillremaininuseandbededicatedtotheMLEprogram.TheconditionsforsuchtransfershallbestipulatedbytheMLEandshallincludethesamerequirementsasthoseimposedintheoriginalgrant.Anycashorin-kindmatchpaidwhentheequipmentwasoriginallypurchasedwillbeforfeitedintotal.•Iftheequipmentcannotbetransferredtoanotherlawenforcementagencywithastateapprovedmarinelawenforcementprogram,itmustbesoldatthediscretionoftheMLE,andtheSubrecipientshallpayMLEtheproceedsofthesaleorthefairmarketvalueoftheequipment,whicheveristhegreatest.12.6.1EquipmentBreakdownIntheeventanequipmentbreakdownoccursduringthegrantperiod,SubrecipientshallnotifyMLEwithinten(10)workingdaysofbreakdown.Theequipmentmustberepairedandfullyoperationalwithinthirty(30)workingdaysafterthebreakdownwherethebreakdowncanberemediedwithnormalexpectedrepairsforonethousanddollars($1000)orless.Forrepairsgreaterthanonethousanddollars($1000)theequipmentmustbefullyoperationalwithinsixty(60)daysafterthebreakdown.AwrittenreportforallbreakdownsmustbesubmittedviaemailtoMLEwithintwo(2)weeksofthebreakdowndescribingtheproblem(s),repair(s),andthecost(s).AfailuretonotifyMLEofanequipmentbreakdownandplanforrepairsmayresultinthewithholdingofgrantfunds.12.7AccidentReportSubrecipientsorSubrecipient'sstaffinvolvedinanaccidentmustremainatthesceneandassistanyothervesselorpersoninvolved,ifpossible,withoutendangeringtheirsafety,theirownvesselorthepeopleaboard.SECTION13:OWNERSHIPOFWORKPRODUCTMLE123-122SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page14of64 13.1AsusedinthisSection13-OwnershipofWorkProductandelsewhereinthisAgreement,thefollowingtermshavethemeaningssetforthbelow:13.1.1ProjectOwnership.MLEacknowledgesandagreesthattheProjectistheexclusivepropertyoftheSubrecipient.MLEisneitherresponsiblenorliableinanymannerfortheconstruction,operationormaintenanceoftheProject.13.1.2SpecialSurvivorshipNote:Ownershipisnotabsolute.Regardlessofagreement'sexpiration,anythingtangible,intangible,orintellectualpropertythatwaspurchasedorcreatedfromfederalfundsorfundedwithfederalfundsmaintainsfederalandstateMLEentanglements,requirements,orconditions(conditionalownership),unlessluntilreleasedbyMLEorfederalgovernmentinwriting.Whileotherconditionsmayapply,typicallyareleasewouldoccurupontheMLEorfederalgovernmentbeingcompletelysatisfiedthattheiteminquestionhasreachedtheendofitsusefullifewhichisusuallyadollarvalue.DeterminationofvalueissolelyatthediscretionoftheMLEorfederalgovemment.Shouldprofessionalappraisalsenticesbeneededtodeterminevalue,thesecostsshallbebornebytheSubrecipient.SelectionofanappraisalservicesfirmissubjecttothewrittenapprovaloftheMLEorfederalgovernment.SECTION14:NODUPLICATEPAYMENTTheSubrecipientshallnotbecompensatedfor,orreceiveanyotherformofduplicate,overlappingormultiplepaymentsforthesameworkperformedunderthisAgreementfromanyagencyoftheStateofWashington,including,butnotlimitedtotheWashingtonStateParksRecreationCommission,ortheUnitedStatesofAmericaoranyotherpany.SECTION15:coNTRIBUTIONONTHIRDPARTYCLAIMS15.1Ifanythirdpartymakesanyclaimorbringsanyaction,suitorproceedingallegingagainstaParty(the"NotifiedPady")withrespecttowhichtheotherParty(the"OtherParty")mayhaveliability,theNotifiedPartyshallpromptlynotifytheOtherPartyinwritingoftheThirdPartyClaimanddelivertotheOtherParty,alongwiththewrittennotice,acopyoftheclaim,processandalllegalpleadingswithrespecttotheThirdPartyClaimthathavebeenreceivedbytheNotifiedParty.EachPartyisentitledtoparticipateinthedefenseofaThird-PartyClaim,andtodefendaThird-PartyClaimwithcounselofitsownchoosing.ReceiptbytheOtherPartyofthenoticeandcopiesrequiredinthisSection15-ContributiononThirdPartyClaimsandameaningfulopportunityfortheOtherPartytoparticipateintheinvestigation,defenseandsettlementoftheThird-PartyClaimwithcounselofitsownchoosingareconditionsprecedenttotheOtherParty'scontributionobligationunderthisSection13-OwnershipofVVorkProductwithrespecttotheThird-PaltyClaim.15.2WithrespecttoaThirdPartyClaimforwhichMLEisjointlyliablewithSubrecipient(orwouldbeifjoinedintheThirdPartyClaim),MLEshallcontributetotheamountofexpenses(includingattorneys'fees),judgments,finesandamountspaidinsettlementactuallyandreasonablyincurredandpaidorpayablebySubrecipientinsuchpropoltionasisappropriatetoreflecttherelativefaultofMLEontheonehandandofSubrecipientontheotherhandinconnectionwiththeeventsthatresultedinsuchexpenses,judgments,finesorsettlementamounts,aswellasanyotherrelevantequitableconsiderations.TherelativefaultofMLEontheonehandandofSubrecipientontheotherhandshallbedeterminedMLE123-122SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page15of64 byreferenceto,amongotherthings,theParties'relativeintent,knowledge,accesstoinformationandopportunitytocorrectorpreventthecircumstancesresultinginsuchexpenses,judgments,finesorsettlementamounts.MLE'scontributionamountinanyinstanceiscappedtothesameextentitwouldhavebeencappedunderWashingtonlawiftheStatehadsoleliabilityintheproœeding.15.3WithrespecttoaThirdPartyClaimforwhichSubrecipientisjointlyliablewithMLE(orwouldbeifjoinedintheThirdPartyClaim),Subrecipientshallcontributetotheamountofexpenses(includingattorneys'fees),judgments,finesandamountspaidinsettlementactuallyandreasonablyincurredandpaidorpayablebyMLEinsuchpropodionasisappropriatetoreflecttherelativefaultofSubrecipientontheonehandandofMLEontheotherhandinconnectionwiththeeventsthatresultedinsuchexpenses,judgments,finesorsettlementamounts,aswellasanyotherrelevantequitableconsiderations.TherelativefaultofSubrecipientontheonehandandofMLEontheotherhandshallbedeterminedbyreferenceto,amongotherthings,thePadies'relativeintent,knowledge,accesstoinformationandopportunitytocorrectorpreventthecircumstancesresultinginsuchexpenses,judgments,finesorsettlementamounts.Subrecipient'scontributionamountinanyinstanceiscappedtothesameextentitwouldhavebeencappedunderWashingtonlawifithadsoleliabilityintheproceeding.SECTION16:SUBRECIPIENTDEFAULTSubrecipientwillbeindefaultunderthisAgreementupontheoccurrenceofanyofthefollowingevents:16.1Subrecipientfailstoperform,observeordischargeanyofitscovenants,agreementsorobligationsunderthisAgreement;16.2Anyrepresentation,warrantyorstatementmadebySubrecipientinthisAgreementorinanydocumentsorreportsrelieduponbyMLEtomeasurethedeliveryofservices,theexpenditureoffundsortheperformancebySubrecipientisuntrueinanymaterialrespectwhenmade;16.3Subrecipient(a)appliesfororconsentstotheappointmentof,ortakingofpossessionby,areceiver,custodian,trustee,orliquidatorofitselforallofitsproperty,(b)admitsinwritingitsinability,orisgenerallyunable,topayitsdebtsastheybecomedue,(c)makesageneralassignmentforthebenefitofitscreditors,(d)isadjudicatedabankruptorinsolvent,(e)commencesavoluntarycaseundertheFederalBankruptcyCode(asnoworhereafterineffect),(f)filesapetitionseekingtotakeadvantageofanyotherlawrelatingtobankruptcy,insolvency,reorganization,winding-up,orcompositionoradjustmentofdebts,(g)failstocontrovertinatimelyandappropriatemanner,oracquiescesinwritingto,anypetitionfiledagainstitinaninvoluntarycaseundertheBankruptcyCode,or(h)takesanyactionforthepurposeofeffectinganyoftheforegoing;or16.4Aproceedingorcaseiscommenæd,withouttheapplicationorconsentofSubrecipient,inanycourtofcompetentjurisdiction,seeking(a)theliquidation,dissolutionorwinding-up,orthecompositionorreadjustmentofdebtsofSubrecipient,(b)theappointmentofatrustee,receiver,custodian,liquidator,orthelikeofSubrecipientorofalloranysubstantialpartofitsassets,or(c)similarreliefinrespecttoSubrecipientunderanylawrelatingtoMLE123-122SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page16of64 bankruptcy,insolvency,reorganization,winding-up,orcompositionoradjustmentofdebts,andsuchproceedingorcasecontinuesundismissed,oranorder,judgment,ordecreeapprovingororderinganyoftheforegoingisenteredandcontinuesunstayedandineffectforaperiodofsixtyconsecutivedays,oranorderforreliefagainstSubrecipientisenteredinaninvoluntarycaseundertheFederalBankruptcyCode(asnoworhereafterineffect).SECTION17:INDEMNIFICATIONSubrecipientshallholdharmless,saveharmless,indemnify,anddefendattheSubrecipient'sexpensetheStateofWashington,Commission,itofficers,employees,successorsandassignsagainstanyandalldamagesand/orlossesarisingoutofSubrecipient'suseof,orpresenceoractivityin,thefacilities,includingthosearisingoutoftheuseoroperationofequipmentorfacilitiesorasaresultoftheconductofSubrecipient'sprograms,orfromtheconductofSubrecipient'semployeesoragents,ordamagesorvandalismtofacilitiesbythird-parties,contractedorparticipatinginSubrecipient'sprograms,eventsoractivities.SECTION18:LIABILITYINSURANCE18.1LIABILITYINSURANCE-IfrequiredinthespecialtermsandconditionssubrecipientshallobtainandkeepinforceduringthetermofthisAgreement,acombinedsinglelimitbodilyinjuryandpropertydamageinsurancepolicyintheminimumamountof$1,000,000namingWashingtonStateParksCommissionasanadditionalinsuredagainstanyliabilityarisingoutofSubrecipient'soritsagents,employees,orassigns.SubrecipientshallprovidetoCommission,acertificateevidencingsuchinsurancecoverageandshallprovide30dayswrittennoticepriortoanychangesintheamountorcancellationofsaidpolicy.•Subrecipientshallbuyandmaintainpropertyinsurancecoveringallrealpropertyandfixtures,equipment,andtenantimprovementsandbetterments.Suchinsuranceshallbewrittenonanall-risksbasisand,ataminimum,covertheperilsinsuredunderISOspecialcausesoflossFormCP1030,andcoverthefullreplacementcostofthepropertyinsured.Suchinsurancemayhavecommerciallyreasonabledeductibles.•Anycoinsurancerequirementinthepolicyshallbewaived.•Stateshallbeincludedasaninsuredandalosspayeeunderthepropedyinsurancepolicy.18.2AUTOMOBILEINSURANCE--Subrecipientshallmaintainbusinessautoliabilityand,ifnecessary,commercialumbrellaliabilityinsurancewithalimitnotlessthan$1,000,000peraccident.Suchinsuranceshallcoverliabilityarisingoutof"AnyAuto."BusinessautocoverageshallbewrittenonISOformCA0001,orsubstituteliabilityformprovidingequivalentcoverage.Ifnecessary,thepolicyshallbeendorsedtoprovidecontractualliabilitycoverage.SubrecipientwaivesallrightsagainstStatefortherecoveryofdamagestotheextenttheyarecoveredbybusinessautoliabilityorcommercialumbrellaliabilityinsurance.18.3INDUSTRIALINSURANCECOVERAGE--SubrecipientshallprovideorpurchaseindustrialinsurancecoverageforthemselvestheiremployeesasrequiredbyLaborandIndustriespriortopedormingworkunderthisAgreement.CommissionwillnotbeMLE123-122SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page17of64 responsibleforpaymentofindustrialpremiumsorforanyotherclaimorbenefitforSubrecipient,oranysubcontractororemployeeofSubrecipient,whichmightariseundertheindustrialinsurancelawsduringtheperformanceofdutiesandservicesunderthisagreement.Subrecipient,itsemployeesandagentsperformingunderthiscontract,arenotemployeesofCommission.18.4CERTIFICATEOFINSURANCE/NAMINGWASHINGTONSTATEASADDITIONALINSURED:AcurrentCertificateofInsurancemustbesubmittedwiththegrantapplicationform.ThecedificatemustnameWashingtonStateParksandRecreationCommissionasanadditionalinsured,andtheCertificateHolderandcontainaprovisionthattheinsurancewillnotbecanceledforanyreasonexceptafterthidy(30)dayswrittennotiœ.FacilitiesmustbeinsuredbycarrierslicensedinoreligibletodobusinessinWashington,andmustmaintainapplicableCommercialGeneralLiability,AutomobileLiability,andWorker'sCompensationcoverage.GovernmententitieswillneedtoincludealetterfromtheirChiefFinancialOfficerstatingiftheyareself-insuredorprovideacertificateofinsuranceasstatedbelow."SECTION19:REMEDIES19.1IntheeventSubrecipientisindefaultunderSection16-SubrecipientDefaultMLEmay,atitsoption,pursueanyoralloftheremediesavailabletoitunderthisAgreementandatlaworinequity,including,butnotlimitedto:(a)terminationofthisAgreementunderSection22-Termination,(b)reducingorwithholdingpaymentforworkorWorkProductthatSubrecipienthasfailedtodeliverwithinanyscheduledcompletiondatesorhasperformedinadequatelyordefectively,(c)requiringSubrecipienttoperform,atSubrecipient'sexpense,additionalworknecessarytosatisfyitsperformanceobligationsormeetperformancestandardsunderthisAgreement,(d)initiationofanactionorproceedingfordamages,specificperfomiance,ordeclaratoryorinjunctiverelief,or(e)exerciseofitsrightofrecoveryofoverpaymentsunderSection20-RecoveryofOverpayments(whichisinadditiontotheremediesprovidedinSection91-Overpayment),ofthisAgreementorsetoff,orboth.Theseremediesarecumulativetotheextenttheremediesarenotinconsistent,andMLEmaypursueanyremedyorremediessingly,collectively,successivelyorinanyorderwhatsoever.19.2IntheeventMLEterminatesthisAgreementunderSection22.1-TerminationforConvenience,Section22.2TerminationforInefficiency,Section22.3-TerminationBecauseofNon-AppropriationorProjectlneligibility,orSection22.4-TerminationforDefault,Subrecipient'ssolemonetaryremedywillbe(a)forworkcompensableatastatedrate,aclaimforunpaidinvoiæsforworkcompletedandacceptedbyMLE,forworkcompletedandacceptedbyMLEwithinanylimitssetforthinthisAgreementbutnotyetinvoiced,forauthorizedexpensesincurred,lessanyclaimsMLEhasagainstSubrecipient,and(b)fordeliverable-basedwork,aclaimforthesumdesignatedforcompletingthedeliverablemultipliedbytheperœntageofworkcompletedonthedeliverableandacceptedbyMLE,forauthorizedexpensesincurred,lesspreviousamountspaidforthedeliverableandanyclaimsthatMLEhasagainstSubrecipient.InnoeventwillMLEbeliabletoSubrecipientforanyexpensesrelatedtoterminationofthisAgreementorforanticipatedprofits.IfpreviousamountspaidtoSubrecipientexceedtheamountduetoSubrecipientunderthisSection19.2,SubrecipientshallpromptlypayanyexcesstoMLE.MLE123-122SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page18of64 SECTION20:RECOVERYOFOVERPAYMENTSInadditiontotheremediesprovidedinSection9.7-Overpayment,ifpaymentstoSubrecipientunderthisAgreement,oranyotheragreementbetweenMLEandSubrecipient,exceedtheamounttowhichSubrecipientisentitled,MLEwillnotreimburseanyfurtherclaims.Inaddition,MLEwillrequirerepaymentofanyoverpaymentsasreflectedinSection9.7ofthisagreement.may,afternotifyingSubrecipientinwriting,withholdfrompaymentsdueSubrecipientunderthisAgreement,suchamounts,oversuchperiodsoftimes,asarenecessarytorecovertheamountoftheoverpayment.SECTION21:LIABILITYTHESUBRECIPIENTSHALLBELIABLEFORINCIDENTAL,CONSEQUENTIAL,OROTHERINDIRECTDAMAGESARISINGOUTOFORRELATEDTOTHISAGREEMENT,REGARDLESSOFWHETHERTHELIABILITYCLAIMISBASEDINCONTRACT,TORT(INCLUDINGNEGLIGENCE),STRICTLIABILITY,PRODUCTLIABILITYOROTHERWISE.NEITHERPARTYWILLBELIABLEFORANYDAMAGESOFANYSORTARISlNGSOLELYFROMTHETERMINATION,EXPIRATION,ORSUSPENSIONOFTHISAGREEMENTINACCORDANCEWITHITSTERMS.SECTION22:TERMINATION22.1TerminationforConvenience.TheSubrecipientmayterminatethisAgreementatanytimeuponthirty(30)dayspriorwrittennoticetoMLE;provided,however,thattheSubrecipientshall,withinthirty(30)daysofsuchtermination,reimburseMLEforallfundscontributedbyMLEtotheProject;providedfurtherthatuntiltheSubrecipienthasfullyreimbursedMLEforsuchfunds,theSubrecipientshallcomplywiththetermshereof.Delinquentpaymentsshallbearinterestattherateof12percent(12%)perannum,ifsuchrateshallexceedthemaximumrateallowedbylaw,thenassuchmaximumrate,andshallbepayableondemand.Afterninety(90)daysMLEmayturnanydelinquentdebtoverforcollection.22.2TerminationBecauseofInefficiency.Useoffederalfundsdemandsgoodstewardship.MLEinanongoingbasiswillbemonitoringtheperformanceofthesubrecipientthroughthesubrecipient'srepodingintotheMLEStatementofActivityRepodingsystem.IfinMLE'sopinion,thesemetricsdemonstratepoorstewardshiptheAgreementwillbeterminated.Iffeasible,MLEmayworkwiththeSubrecipientandgivetheSubrecipientanoppodunitytoimprovethemetricstowhatMLEbelievesisahealthymetric.22.3TerminationBecauseofNon-AppropriationorProjectIneligibility.MLE,asprovidedinSection33-ForceMajeure,maymodifyorterminatethisAgreementandatanytimeupon30dayspriorwrittennoticetotheSubrecipient,maymodifyorterminatethisAgreementif:a.MLEfailstoreceivefundingorallotments,appropriations,limitations,orotherexpenditureauthorityatlevelssufficienttopayfortheallowablecostsoftheProjecttobefundedhereunderorshouldanystatelaw,regulationorguidelinebemodified,changedorinterpretedinsuchawaythattheProject,oranyportionoftheProject,isnolongereligibleforfacilitygrantfunds.MLE123-122SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page19of64 b.IntheeventinsufficientfundsareappropriatedforthepaymentsunderthisAgreementandtheSubrecipienthasnootherlawfullyavailablefunds,thentheSubrecipientmayterminatethisAgreementattheendofitscurrentfederalfiscalyear,withnofurtherliabilitytoMLE.TheSubrecipientshalldeliverwrittennoticetoMLEofsuchterminationnolaterthan30daysfromthedeterminationbytheSubrecipientoftheeventofnon-appropriation.MLEshallpayforallauthorizedProjectcostsexpendeduptothedateofwrittennotiœoftermination.22.4TerminationforDefault.MLE,atanytimeupon30dayspriorwrittennoticeofdefaulttotheSubrecipient,maymodifyorterminatethisAgreementif:a.Thedesignandimplementation,oftheProjectisnotpursuedwithduediligence;orb.TheProjectisnotpermissibleunderfederal,state,orlocallaw;orc.TheSubrecipient,doesnotabidebythenondiscriminationandaffirmativeactionprovisionsofthisAgreement;ord.TheSubrecipient,withoutthepriorwrittenapprovalofMLEusesthefundsprovidedbyMLEhereundertopursueanyprojectotherthantheProjectdescribedinthefinalprojectapprovedbyMLE;ore.DuringthetermofthisAgreement,theSubrecipientfailstopedormanyobligationorrequirementofthisAgreement.f.TheSubrecipientdefaultsunderanyotheragreementbetweentheParties.22.5RightsandRemedies.a.TheSubrecipientshall,within30daysofitsreceiptofanotiœofdefault,reimburseMLEforallfundscontributedbyMLEtotheProject.Further,MLEshallhaveanyandallrightsandremediesavailableatlaworinequity.b.IntheeventthatSubrecipienthasmateriallyfailedtocomplywiththisAgreementandsuchnon-complianœhasresultedintheFederalFundingAgencyterminatingMLE'sgrantorcauseorrequiresMLEtoreturnfundstotheFederalFundingAgency,SubrecipientwillreturntoMLEanamountequaltothefundswhichMLEisnotreimbursedfororisrequiredtoreturntoFederalFundingAgency.SECTION23:NONAPPROPRIATIONMLE'sobligationtopayanyamountsandothelwisepedormitsdutiesunderthisAgreementisconditioneduponMLEreceivingfunding,appropriations,limitations,allotments,orotherexpenditureauthoritysufficienttoallowMLE,intheexerciseofitsreasonableadministrativediscretion,tomeetitsobligationsunderthisAgreement.SECTION24:AMENDMENTSThetermsofthisAgreementmaynotbealtered,modified,supplementedorothenNiSSamended,exceptbywrittenagreementoftheParties.MLE123-122SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page20of64 Thisagreementmaybeamendedonlybymutualagreementofthepartiesinwriting.Formalwrittenamendmentofthecontractisrequiredforchangingthetermsandconditionsspecificallystatedintheoriginalagreementandanyprioramendments,includingbutnotlimitedto:•Budgetrevisions•Scopeofwork•Changeinduedates•Extensionsoftheperiodofperformance•AnyotherrevisionsdeterminedmaterialbyMLESECTION25:NOTICEExceptasotherwiseexpresslyprovidedinthisAgreement,anynoticestobegivenrelatingtothisAgreementmustbegiveninwritingbyemail,personaldelivery,orpostageprepaidmail,toaParty'sAuthorizedRepresentativeatthephysicaladdressortosuchotheraddressesaseitherPartymayindicatepursuanttothisSection24-Amendments.Anynoticesoaddressedandmailedbecomeseffectivefive(5)daysaftermailing.Anynoticegivenbypersonaldeliverybecomeseffectivewhenactuallydelivered.SECTION26:SURVIVALAllrightsandobligationsofthePartiesunderthisAgreementwillceaseuponterminationofthisAgreement,otherthantherightsandobligationsarisingunderSection11-GoverningLawandConsenttoJurisdiction,Section13-OwnershipofWorkProduct,Section20-RecoveryofOverpayments,Section21-LimitationofLiability,andSection26-SuivivalhereofandthoserightsandobligationsthatbytheirexpresstermssurviveterminationofthisAgreement;provided,however,thatterminationofthisAgreementwillnotprejudiœanyrightsorobligationsaccruedtothePadiesunderthisAgreementpriortotermination.SECTION27:SEVERABILITYThePartiesagreethatifanytermorprovisionofthisAgreementisdeclaredbyacourtofcompetentjurisdictiontobeillegalorinconflictwithanylaw,thevalidityoftheremainingtermsandprovisionswillnotbeaffected,andtherightsandobligationsofthePadieswillbeconstruedandenforcedasiftheAgreementdidnotcontaintheparticulartermorprovisionheldtobeinvalid.SECTION28:COUNTERPARTSThisAgreementmaybeexecutedinseveralcounterparts,allofwhichwhentakentogethershallconstituteoneagreement,notwithstandingthatallPartiesarenotsignatoriestothesamecounterpad.EachcopyoftheAgreementsoexecutedconstitutesanoriginal.SECTION29:coMPLIANCEWITHLAW29.1CompliancewithLawGenerally.Subrecipientshallcomplywithallfederal,stateandlocallaws,regulations,executiveordersandordinancesapplicabletoSubrecipientandtheAgreement.MLE123-122SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page21of64 29.2PenaltyofPerjury.ByitsexecutionofthisAgreement,SubrecipientcertifiesunderpenaltyofperjuryunderthelawsofthestateofWashingtonthetruthfulness,completeness,andaccuracyofanystatementorclaimithasmade,itmakes,itmaymake,orcausestobemadethatpertainstothisAgreement.29.3TaxCompliance.Subrecipienthascompliedwiththetaxlawsofthisstateandtheapplicabletaxlawsofanypoliticalsubdivisionofthisstate.Subrecipientshall,throughoutthedurationofthisAgreementandanyextensions,complywithalltaxlawsofthisstateandallapplicabletaxlawsofanypoliticalsubdivisionofthisstate.ForthepurposesofthisSection29.3-TaxCompliance,"taxlaws"includes:(i)Alltaxlawsofthisstate;(ii)AnytaxprovisionsimposedbyapoliticalsubdivisionofthisstatethatappliedtoSubrecipient,toSubrecipient'sproperty,operations,receipts,orincome,ortoSubrecipient'sperformanceoforcompensationforanyworkperformedbySubrecipient;(iii)AnytaxprovisionsimposedbyapoliticalsubdivisionofthisstatethatappliedtoSubrecipient,ortogoods,services,orproperty,whethertangibleorintangible,providedbySubrecipient;and(iv)Anyrules,regulations,charterprovisions,orordinancesthatimplementedorenforcedanyoftheforegoingtaxlawsorprovisions.AnyfailuretocomplywiththeprovisionsofthisSection29-CornplianceWVithLawconstitutesamaterialbreachofthisAgreement.AnyfailuretocomplywithSubrecipient'scertificationsshallconstituteamaterialbreachofthisAgreement.AnyfailuretocomplyshallentitleMLEtoterminatethisAgreement,topursueandrecoveranyandalldamagesthatarisefromthebreachandtheterminationofthisAgreement,andtopursueanyoralloftheremediesavailableunderthisAgreement,atlaw,orinequity,includingbutnotlimitedto:29.3.1TerminationofthisAgreement,inwholeorinpart,thisisinadditiontoanyremediesavailableunderSection22-Termination.29.3.2OffsettingagainstanyamountowedtoSubrecipient,andwithholdingofamountsothenvisedueandowingtoSubrecipient,inanamountequaltoState'ssetoffright,withoutpenalty;and29.3.3Initiationofanactionorproceedingfordamages,specificpedormance,declaratoryorinjunctiverelief.MLEmayrecoveranyandalldamagessufferedastheresultofSubrecipient'sbreachofthisAgreement,includingbutnotlimitedtodirect,indirect,incidentalandconsequentialdamages,costsofcure,andcostsincurredinsecuringreplacementServicesandapplications.ThestateofWashingtonmaytakeanyandallactionspermittedbylawrelativetothecollectionoftaxesduetothestateofWashingtonorapoliticalsubdivision,including(i)garnishingtheSubrecipient'scompensationunderthisAgreementor(ii)exercisingarightofsetoffagainstSubrecipient'scompensationunderthisAgreementforanyamountsthatmaybedueandunpaidtothestateofWashington.Theseremediesarecumulativetotheextenttheremediesarenotinconsistent,andMLEmaypursueanyremedyorremediessingly,collectively,successively,orinanyorderwhatsoever.MLE123-122SubrecipientAgreement-BoatingProgram(FFAGrantAward)Page22of64
