DocuSignEnvelopeID:49E549C4-2CCC-41DC-96DF-4C5673218EC7TRAININGTRACKERTrainingTrackerPortalAgreementThisAgreement")isbyandbetweenentitydescribedbelow("Customer"),andFrontLinePublicSafetySolutions,LLC,anIllinoislimitedliabilitycompany("FrontLine")(eacha"Pady";andcollectively,the"Parties").1.ACCESSANDUSE.SubjecttoandconditionedonCustomer'spaymentofFees(asdefinedbelow)andcompliancewithallothertermsandconditionsofthisAgreement,FrontLineherebygrantstoCustomeralimitednon-exclusive,non-transferable,non-sublicensablerighttoaccessandusethePortalduringthetermofthisAgreement.2.FEESANDPAYMENTTERMS.CustomeragreestopaytoFrontLinefeesintheamountsandonthetermsdescribedintheinvoicesissuedbyFrontLine("Fees").UnlessotherwiseagreedbythePartiesinwriting,allFeesaredueandpayablewithinthirty(30)daysofthedateofinvoice.FrontLinehastherighttosuspendCustomer'saccesstothePortalshouldCustomerdefaultinthepaymentofFees,oranypartthereof.3.CUSTOMERCONTENT;CUSTOMERREPRESENTATIONSANDWARRANTIES.Customerownsallright,titleandinterestinandtoanyandalldata,information,content,materialorworksofauthorshipthatCustomermakesavailabletoFrontLineorthatCustomeroritsthirdpartyusersSubmitorenterintothePortaliscollectively"CustomerContent".CustomerherebygrantstoFrontLine,itslicensors,serviceprovidersandcontractors,anon-exclusive,sublicensable,perpetual,irrevocable,worldwide,royalty-freelicensetouse,host,reproduce,copy,distribute,display,publish,andcreatederivativeworksofCustomerContentinanyandallwaysnecessaryfortheprovisionofthePortalanditsfunctionalitytoCustomerandforallotherlegitimatebusinesspurposesofFrontLine.FrontLinecovenantstowithitsPrivacyPolicyathttps://www.frontlinepss.com/privacy-policy,incorporatedhereinbyreference.4.USERESTRICTIONS.ThePortal,togetherwithallenhancements,modifications,edits,additions,adaptionsorderivativeworksofCustomerContentmadebyFrontLineorthePortalinaccordancewiththelicensegrantedtoitinSection2orbyCustomerviaCustomer'suseofthePortalarecollectively"FrontLineProperty".CustomerwillnotuseFrontLinePropertyforanypurposesbeyondthescopeoftheaccesstothePortalgrantedinthisAgreement.ThenumberofuserswillbedeterminedandlimitedassetforthintheCustomer'sinvoice.CustomerwillcontinuetohaveaccesstothePortaluntiltheFrontlineremovesauthorization.CustomerisresponsibleforupdatingthePortalonanychangestoauthorizedusersintheeventofemployeetermination.5.INTELLECTUALPROPERTY.CustomeracknowledgesandagreesthatFrontLineanditslicensorsandserviceprovidersaretheownersofallright,titleandinterestinandtoallFrontLineProperty.TheFrontLinePropertymaybeusedonlyinaccordancewiththetermsandconditionsofthisAgreement.6.CANCELLATION,TERMANDTERMINATION.ThisAgreementwillremainineffectforsolongasCustomeraccessesthePortal.FrontLinereservestherighttoterminateorsuspendaccesstothePortalwithoutnoticeorliabilityifithasreasontobelievethatCustomerisinbreachofanytermorconditionofthisAgreementorupontheterminationorexpirationofthedurationofPortalaccessforwhichFrontLinehasbeenpaid.ThetermsofthefollowingSectionswillsurviveanyterminationorexpirationofthisAgreement:3,4,5,6,7,8,9,11and12.7.LIMITATIONOFLIABILITY.INNOEVENTWILLFRONTLINE'SAGGREGATELIABILITYUNDERORRELATEDTOTHISAGREEMENT,REGARDLESSOFTHETHEORYOFLIABILITYANDWHETHERINANACTIONINCONTRACT,TORTORNEGLIGENCE,EXCEEDFEESPAIDBYCUSTOMERTOFRONTLINEDURINGTHESIX(6)MONTHPERIODIMMEDIATELYPRECEDINGTHECLAIM.8.FRONTLINEWARRANTY.THEPORTALISPROVIDEDTOCUSTOMER"ASIS."FRONTLINEGIVESNOREPRESENTATIONSORWARRANTIES,EXPRESSORIMPLIED,RELATEDTOTHEPORTALORANYFRONTUNEPROPERTY.FRONTLINEHEREBYDISCLAIMS,ANDCUSTOMEREXPRESSLYWAIVES,ALLREPRESENTATIONSANDWARRANTIES,lNCLUDINGWITHOUTLIMITATIONTHEIMPLIEDWARRANTIESOFMERCHANTABlUTY,NONINFRINGEMENTANDFITNESSFORAPARTICULARPURPOSE.THEPORTALMAYBESUBJECTTOLIMITATIONS,DELAYS,ANDOTHERPROBLEMSINHERENTINTHEUSEOFTHEINTERNETANDELECTRONICCOMMUNICATIONS.FRONTLINEISNOTRESPONSIBLEFORANYDELAYS,DELIVERYFAILURESOROTHERDAMAGERESULTINGFROMSUCHPROBLEMS.9.GOVERNINGLAW.ThisAgreementisgovernedbyandconstruedinaccordancewiththeinternalLawsoftheStateofIllinois.Anylegalsult,action,orproceedingarisingoutoforrelatedtothisAgreementorthelicensesgrantedhereunderwillbeinstitutedexclusivelyinthefederalorstatecourtsinDuPageCounty,Illinois,andeachPartyirrevocablysubmitstotheexclusivejurisdictionofsuchcourtsinanysuchsuit,action,orproceeding.l0.ENTIREAGREEMENT;SUCCESSORSANDASSIGNS.ThisAgreement,togetherwithanyotherdocumentsincorporatedhereinbyreferenceandallagreementsbetweenthePartiesregardingpaymentofFees,constitutestheentireagreementofthePartieswithrespecttothesubjectmatterofthisAgreementandsupersedesallpriorandcontemporaneousunderstandings,agreements,andrepresentationsandwarranties,withrespecttosuchsubjectmatter,andwillbindandinuretothebenefitofthePartiesandtheirsuccessorsandassigns.DocuSignedBenLairdFROÌÕÑËcirainingTrackerCustomerFRONTLINEPublicSafetySolutions4/12/2022Date630.519.5463|www.frontlinepss.com|info@frontlinepss.com
