1. Call to Order—10:02am
2. General Event and Rental Updates
Events are getting back to normal, lots of reservations coming in. Bloom use is very heavy,
overbooked at times. There are many scheduling considerations for Bloom including time
overlaps and time to work up the ground. Some renters have decided to rent in as -is
condition in the evenings, as there isn't staff to work the ground for the later rides.
3. Self Promoted Events Business
Patriot Night will be held on July 3rd as the 4" is on a Monday. The city plans to hold events
in the adjacent park during the day. CASA is looking into holding their cornhole tournament
on grounds during the same time. It could be a win-win for all, as KVEC would benefit from
the alcohol sales if we have a beer garden open. A lodging tax grant was awarded for
$22,750 — up from the prior year. The offer has been accepted for the headlining act at
$35,000. The headliner will be announced at the end of January with tickets on sale at the
beginning of February. The fireworks show will be back on for '22 and Kady is working on
safety prep for the event. Commissioner Wachsmith said he has received lots of positive
feedback about the event and community buy -in is huge. Per Kady, the event broke even last
year which is really encouraging since it was only the second year.
4. Approve contract with 2022 Patriot Night Under the Lights headlining artist
Commissioner Wachsmith verified the handwritten information on the proposal had been
reviewed — yes per Kady, she sent the agreement to the prosecutors' office of verification and
approval. Commissioner Wachsmith stated the contract read very well.
Commissioner Osiadacz made a motion to approve the contract as written, Commissioner
Wachsmith seconded. Motion passes 2-0.
5. Sponsor Business
The Rodeo Board signed off on the Legends Casino sponsorship of the South grandstands
and signage placement. Legends has also agreed to be a sponsor of Patriot Night again for
2022. The sponsorship check will be received either the end of this month or beginning of
January. Kady is working to obtain sponsorship/branding of other fair -side facilities
hopefully in the future.

6. Special Projects
A health and safety grant of $250,000 from WSDA was approved to pave the Armory
parking lot. Kady is trying to coordinate it being done prior to fair but we have until 2023 to
complete the project.
Kady is working with Patti to coordinate construction of the Bloom lean-to addition. Kady is
also working with the Cascade Cow Cutters to lessen the impact on their shows.
Kady will be meeting with Dan on the Rodeo Board for developing the project and punch list
for 2022.
IT is still working with Ednetics on security camera selection and implementation. The grant
extension for -that project was -approved.
OTHER BUSINESS
There will be a meeting tonight in Western Town Shop 6 about the Shady Acres move out.
Commissioner Osiadacz, Patti and other representatives will be available for discussion with
community members at that time.
The Alder Street project is ongoing. Kady is meeting with Patti, CWU, City and State agencies
as appropriate. They have spoken about widening the entry way and communication has gone
well.
The bowling alley is on hold per Commissioner Wachsmith.

9. Independent Contractor:
It is agreed that Artist and Purchaser each signs this Agreement as an independent contractor and not as employee of the other. This contact shall not in any
way be construed so as to create a partnership, employer/employee relationship orloint venture between the parties, nor shall Artist for any reason by its
signature hereof be held liable in whole or in part for any obligation of Purchaser or which may be incurred by Purchaser In Its carrying out any of the
provisions hereof or otherwise.

Purchaser hereby indemnifies and hold Artist, as well as Artist's agents, representatives, principals, employees, contractors, officers and directors
'Indemnitees' harmless from and against any loss, damage, or expense, Including reasonable attorney's fees incurred or suffered by or threatened against
Artist or any of the Indemnitees in connection with or as a result of:
(a) any act or failure to act by Purchaser, its employees, agents, representatives, contractors, officers andlordirectors 'Purchaser Parties'
(b) Purchaser's and/or Purchaser Parties' breach of any of the warranties and representations made by Purchaser hereunderor in any addendum or rider(s)
attached hereto;
(c) Purchaser's andlor Purchaser Parties' breach of any of the terms hereof and/or of any addendum and/orrider(s) attached hereto;
(d) any claim for personal Injury or property damage or other brought by or on behalf of any third party as a result of or in connection with the engagement,
which claim does not result from the active and willful negligence of Artist.

12. Dispute Resolution,
This Agreement and all questions arising hereunder shall be governed by, and construed In accordance with, the laws and decisions of Tennessee without
giving effect to the principles thereof relating to conflicts of law. Each of the parties hereto (a) Imavocably agrees that the Federal Courts located in the State of
Tennessee w the State Courts of Tennessee, as applicable, shall have sole and exclusive jurlsdictlon over any suit or other proceeding arising out of or based
upon this Agreement, (b) submits to the venue and jurisdiction of such courts and (c) Irrevocably consents to personal jurisdiction by such courts.
13. conflict of Laws:
Nothing In this Agreement shall require Elie commission of any act contrary to law or to any rules or regulations of any union, guild or similar body having
jurisdiction over the services and personnel to be furnlshed by the Pure baser to Artist hereunder. If there is atonflict between any provision of this Agreement
and any law, ru[a or regulation, such law, rule or regulation shall prevolI and this Agreement shall be curtalled, modified and/or limited only to the extent
neoessary to eliminate such conflict. Artist agrees to comply with all regutetlons and requirements of any unions) that may have jurisdiction over any of tha
a aid materials, facilities, and personnel to be furnished by Purchaser, of which Artist is advised by Purchaser, in writing, prior to arrival at the performance
venue.
14. United Talent Agency, LLC as Agent
It Is agreed that United Talent Agency, LLC'Agent' is not a party to the contract and acts herein only as Elia agent for Artist. As such, Agent Is not responsible
for any act of commission or omission on the part of elther Purchaser or ArtIst. In furtherance thereof and for the benefit of Agent, it is agreed that neither
Artist or Purchaser will name or join Agent as a party in any civil action or suit arising out of, In connection with, or related to any act(s) of commission or
a mission of Purchaser or Artist hereunder. It at anytime there shelf be a controversy between Purchaser and Artist with respect to the monies for the
performance(s) covered hereunder which are held by Agent in its trust aceount'Trust Funds' Agent may upon notice to Purchaser and Artist eilher: (I) hold the
Trust Funds until otherwise directed by a written instrument signed by Purchaser and Artist or by -an order, decree orjudgment by a court of competent
jurlsdlction which, by lapse or otherwise, shall no longer be or shall not be subject to appeal or review, or, (ii) deposit the Trust Funds in any court of competent
jurlsdicilon pending the Onal determination of any dispute among the parties hereto. Upon delivery of the Trust Funds in accordance herewith, the obligations
of the Agent shall cease with respect thereto and 11 shall not be required to perform any further acts whawoever pursuant to this Agreement,
15, Assignment/ Transfer:
This Agreement: (a) shall not be assigned or transferred without the written consent of both parties; (b) contains the sole and complete understanding ofthe
parties hereto with respect to the subject matter hereof, and, (e) may not be antiarsded; auppiementoolf-varled or -discharged, except by a written Instrument,
signed by both parties The person executing this Agreement on Purchasers behalf warrants his/her authority to do so. The tenms,'Purchaser and'Artist' as
used herein shalt Include and apply to the singular, the plural and all genders.
16. Counterparts:
This Agreement may be executed In any number of countarpons, all of which to ken together shall constitute one single agreemetit between the parties. The
parties agree that tfansmisston to the other party of this Agreem ant with its facsimile signatures shall suffice to bind the party transmitting the same to this
Agreement In the sarns manner as if an orlglnaf signature had been delivered. without limitation of the foregoing, each party who transmits this Agreement
with its facsimile signature covenants to deliver the orlglnal thereof to the other party as soon as practicable thereafter.
17. Waiver
No delay or omission by either party to exercise any right or power it has under this Agreement shall Impair or be construed as a waiver of such right or power
A waiver by elther party of any breach or covenant shall not be construed to be a waiver of any succeediag breach or any other covenant. All waivers must be
in wrlting and slgned by the party waiving Its rights.
18. Confidentiality:
The terms of this Agreement, as wall as correspondence and documentation related to this Agreement, are confidential to the parties and may not be
disclosed to any third parties without the prior written consent of the partles hereto, except as disclosure may be required to pro feastunal advisors or by law or
aourtarder, or for oaf rying out the purposasof this Agreement. Further, the parties shall treat as confidential all information, data and documents acquired by
each other relating to the business affairs ofihe other, except us such Information may already be In the public domain. Notwithstanding anything to the
cant rarycontained herein, If Artist is subject to a recording contract which mandates disclosure of show -and touring•related informatlon and documentation
to the record label as part of that contract, then any disclosures made by Artiat (or Arttsfa agent or representative) in compllance therewith (Inoluding,without
limitation, this Agreement and documentation ancillary herelo), shall be permitted and shall not be deemed a breach of the confidentlality provislon(s) hereof
by Afill st (or Artist's agent or representative).
19. Security and Insurance:

(a) Purchaser agrees to provide security personnel and take all security measures to ensdre the safety of Artlst at all times during the engagement hereunder.
Purchaser's failure to provide such security and/or to ensure Artist's safety shall be a material breach of this Agreement and governed by the terms of
Paragraph 4 herein.
(r'7) On the date of the contracted performance and through completion of Artiat's load -out, Purchaser shall have vaIId, current and appropriate commerci a]

20. Licenses:
Purchaser shall be responsible for acquiring and paying for all licenses, permits and authorizations required to be obtained for this performance and
any permitted exploitation thereof, including without limitation, anyand all union, guild, music publisher, record comparry, performing rights societyand public
authority permissions, consents and licenses. All such licenses, permits and authorizations shal✓ he vatid and In effect throughout the Term of this Agreement

Notwithstanding anything to the contrary contained herein: (I) In no evIl either party be Mable for any Incidental, specla I or consequential damages
(inctuding, without limitation, any Eust profits or loss of business, whether foreseeable or not), occasioned by any cause whatsoever; and (3) in no event shall
Artist's IiabiNty to Purchaser hereunder exceed the amount of the deposits and/or fees pald to Artist hereunder.

CONTRACT ADDENDUM
Producer: EC TOURING, INC.

(Outdoor Show)
1. CONFLICT WITH CONTRACT: All terms of this Addendum shall supersede any conflicting terms in the Contract/Producer rider, solely to
the extent of conflict.
2. CANCELLATION: There are no cancellation privileges for this contract by either party unless such cancellation is due to a material breach
of the contract, force majeure, or inclement weather.
3. MERCHANDISING: Except as may otherwise be stated in the agency -issued agreement ("Contract Face"), Producer shall pay twenty
percent (20%) of merchandise sales to venue, less any tax, however Producer shall only be required to pay ten percent (10%) to venue for
sales derived from cd's/dvd's and books, less any tax and Producer shall provide all necessary sellers.
4. RADIUS PROTECTION FOR PERFORMANCE AND PROMOTION: Except as my otherwise be stated on the contract face, Artist /
Producer shall not perform publicly within a radius of 150 miles from the Location listed above for a period beginning from the time of
confirmation/acceptance of Buyer's offer, and running until 30 days following the Performance Date, unless Producer obtains Buyer's
express written consent. Such consent shall not be unreasonably withheld.
5. SOUND LEVEL CONTROL: It is an express condition of this contract that the Buyer shall have control of the maximum sound level
volume at all times, in consultation with Producer. And Producer's sound engineer shall reasonably cooperate with Buyer to achieve a
satisfactory maximum level. THIS WILL BE STRICTLY ENFORCED.
6. MEET REET 1 MARKETING: Subject to the terms of the Contract Face and Producer/Artist Rider, Artist agrees to conduct a meet &
greet with no more than 30 individuals at a time convenient for Artist. The meet & greet will be well organized and run smoothly and
quickly. Event may request up to 30 photos signed by Artist. Artist agrees to assist in promotions and marketing for the event as their
schedule allows. Buyer may request Artist interviews, radio and video liners, meet & greet passes for contest winners, and merchandise
giveaways. Producer and Artist will limit on-site promotions to official Engagement sponsors and media partners, unless otherwise agreed.
In the event Artist has any sponsorship and/or related obligations, Buyer and Producer will work in good faith to reasonably accommodate
any such obligations without unduly interfering with Engagement sponsor and media partner rights.
7. ADVANCE WITH BUYER: Producer's representative shall contact E=RIC i'+IIARCUSE (@, 615-347-5801 , not less than two (2) weeks prior
to the Performance Date to advance all production and technical aspects related to Artist's performance. Producer shall make reasonable
efforts to supplement any of their required production specifications with any equipment already provided by Buyer. Buyer shall make best
efforts to accommodate as much production equipment as possible, subject to safety and structural limitations. In no event shall Buyer be
required to use all of Producer's supplied production. If Producer requires any additional production equipment, which Buyer is not
otherwise obligated to provide, such requests shall be subject to Buyer's approval. Additional equipment, unless otherwise previously
agreed upon, (including backline, in -ear monitors, artist specified consoles, moving lights, and any other non-standard equipment) is to be
provided by Producer and installed in accordance with venue safety protocols, to which Producer is made aware of in a separate writing.
TAX & INSURANCE INFORMATION/PAYMENT: Producer shall complete and return the proper tax form (WT -11, W-9 or W4 -NA which
has been supplied to artists booking agency). All cash requests are subject to Buyer's approval. Producer shall maintain its current
insurance policy with limits to be not less than $1 million per occurrence and $2 million aggregate, and Producer shall have reasonable
opportunity to cure any breach of policy limits. Upon request, Producer shall provide proof of such insurance. Producer shall be responsible
for paying all of its own applicable taxes or dues in connection with the compensation received from Buyer, including, but not limited to, any
employment withholding tax, union dues, and pension plans. For clarification, Buyer shall remain responsible (as stated under the
applicable law) for withholding any tax on the compensation paid from Buyer to Producer (e.g., Buyer shall withhold any non-resident
entertainer tax). In the event the Producer contracts with Buyer as an individual, as opposed to a legal entity, Buyer will require a COI
(Certificate of Insurance) as detailed in this paragraph. If Producer contracts directly as an individual, they acknowledge that they shall
carry their own general liability and workers compensation insurance as required by law in order to perform at this event. Producer's failure
to comply with any workers compensation obligation imposed on Producer by applicable law shall be considered a breach of this
agreement and Purchaser may, as its sole right and remedy, cancel the engagement as a result thereof (subject to Producer's reasonable
opportunity to cure some upon timely, separate, and written notice from Purchaser).Artist/Producer further acknowledges that they must
provide a COI to Romeo Entertainment Group/Buyer within ten (10) days of written request by Buyer. For clarification, It is expressly
understood and agreed that the parties hereto are acting as Independent contractors with respect to one another and not as partners, co -
venturers, joint venturers, employee -employer, agency or other affiliate relationship and, as such, neither party (including their respective
contractors, agents, or employees) shall be eligible for the other's worker's compensation insurance benefits.
CATERING: All catering requirements and requests must be mutually agreed upon between Producer and Buyer. All special food
requests and allergy information should be submitted within two weeks prior to the Performance Date.
10. FORCE MAJEURE: If either Party's obligations under this agreement are rendered impossible, hazardous or is otherwise prevented or
impaired for reasons beyond a Party's control including, without limitation, a venue accident, a venue interruption, or failure as related to
the venue, act(s) of God, riots, strikes, labor difficulties, epidemics, earthquakes, any act or order of any public authority, and/or any other
cause or event including, but not limited to, acts of terrorism, similar or dissimilar, beyond either Party's control, then both Party's obligation
with respect to the performance of the Contract shall be excused and neither Party shall have any liability to the other in connection
therewith.
11. INCLEMENT WEATHER: Notwithstanding anything contained to the contrary herein, inclement weather shall not be deemed a Force
Majeure event and Buyer shall remain liable for payment to Producer of the full guarantee plus all other compensation due hereunder if the
performance(s) is rendered impossible, infeasible or unsafe by such weather conditions. For clarification, Buyer shall remain responsible
for all other terms and conditions of this Agreement, including, without limitation accommodations, transportation and expense
reimbursements for Artist and touring party, only as previously negotiated and agreed to on the contract face and, where applicable, such
costs are actually incurred.
12. PERFORMANCE TIME: Artist shall perform at the stage location as set forth in the Agreement. In the event of inclement weather or
Buyer's scheduling or logistic difficulties, Buyer shall have the right to delay Artist's performance for a reasonable time period from the
scheduled performance time set forth in the Agreement, subject to the approval of the Producer, which will not be unreasonably withheld
"Delay"). In the event a "Delay" cannot be agreed upon despite reasonable efforts of both parties, Producer shall, nonetheless, remain
entitled to the full Guarantee due under the Agreement.
In the event that a non-performance is due to Producer or Artist's negligence, any deposit or monies previously paid to Producer shall be
refunded to Buyer within a reasonable time (unless the parties agree to apply any such amounts to a mutually agreed reschedule date) and
Buyer and Producer/Artist shall engage in good faith efforts to determine a mutually approved reschedule time for the Engagement, In the
event Buyer and Producer/Artist are unable to determine a mutually agreed rescheduled time, each party shall, have no further obligation
in relation to the Engagement except pursuant to any payment obligations that may remain despite a non-performance (e.g., as set forth in
paragraph fifteen (15) herein or as may be due as a result of Purchaser's uncured material breach).
In the event that a material delay (for clarification, not a "Delay") is due to Artist or Producer's sole negligence or intentional conduct, Buyer
may be entitled to request a reduction in the Guarantee, provided that any grant of a reduction shall be dependent upon mutual agreement
between all parties.
13. LIMITED LIABILITY: Buyer shall not be liable to Artist for any injury or damage to Artist or the Artist's equipment, unless such injury or
damage is caused by the negligence or intentional conduct of Buyer, its agents, employees, contractors, or volunteers. Artist shall remove
all of Artist's equipment and personal effects from the stage location and dressing rooms within a reasonable time following performance,
unless prevented or prohibited from doing so through no fault of the Artist/Producer.
14 INDEMNIFICATION: Producer agrees to indemnify and hold harmless Buyer and Buyer's officers, agents and employees from any loss,
damage, or expenses as a result of any third party claim for death, personal injury, or property damage where such claim is the direct
result of Producer's or Artist's negligence or intentional wrongful act or omission (including reasonable outside attorneys' fees, expenses,
and liabilities incurred in the defense of any such claims) where such claim is reduced to a final adverse judgment by a court of competent
jurisdiction.
15. PHOTOGi3APHY[TAPING: Producer and Artist acknowledges that photography, videotaping and audio taping by the general public are
impossible to completely control. Notwithstanding the foregoing, Buyer shall use reasonable efforts to prevent any professional grade or
excessive recording (audio or video) and photography by the general public. The parties recognize the prevalent use of" salariphone"
cameras and, subject to Buyer's obligations set forth herein, agree that such use shall not be deemed a breach of the Agreement.
16. CHOICE OF LAWS VENUE: The choice of law and choice of venue shall be the City, County and State in which the performance is to
take place.
17. COVID-19: The parties agree and understand that the COVID-19 pandemic creates unique health and safety issues that could prevent
this engagement from occurring. With full knowledge of this situation, the parties hereby agree to engage in good faith to discuss any then
current circumstances caused by the COVID-19 pandemic that may affect the engagement and shall abide by the guidelines outlined below.
a. If any state, federal, or county governmental entity cancels/denies permits (e.g„ ban on mass gatherings) this shall be a Force
Majeure event and all parties shall bear their own costs and risk and all deposits shall be promptly refunded to Purchaser. The parties
shall work in good faith to try and reschedule the engagement.
b. If any state, federal, or county governmental entity requires a reduction in venue capacity or imposition of other COVID-19 measures
(e.g., no camping, temperature checks, staggered entry) that Purchaser decides makes the show impossible the Purchaser shall have
the right to attempt to reschedule the engagement, propose new deal terms for the existing engagement (e.g. two shows in the same
day, reduced guarantee) or cancel the event. If Purchaser makes a determination of impossibility under this clause 31 days or more
prior to the engagement Producer shall promptly refund any deposit monies paid. If Purchaser makes a determination of impossibility
under this clause within 30 days or less of the performance date, Producer shall have the right to retain ten (10%) of the artist's
guarantee to cover expenses and any remaining deposit monies shall be promptly refunded to Purchaser.
c. Poor ticket sales are NOT an excuse to cancel.

A.) ADVERTISING: ARTIST will receive one -hundred percent (100%) �t b ling in ANY and
ALL press releases, advertisements and other publicity including, but not limited to, radio, television, ad
mats, newspapers, programs, fliers, signs, lobby boards, and marquees. No other name or photograph
shall appear in larger type with respect to size, thickness, boldness, and prominence of type accorded
EASTON CORBIN. The official photograph to be used in all publications and/or advertisements will be
sent to PURCHASER by arrangements with ARTIST and/or ARTIST'S representative. NO OTHER
PHOTOGRAPHS ARE PERMITTED.

C.) PUBLICITY: PURCHASER will use only publicity material provided by ARTIST and/or
ARTIST'S representative and further agrees that all advertising and publicity is subject to ARTIST
and/or ARTIST'S manager's approval, prior to release. If any assistance is needed with this material,
please contact ARTIST'S publicist.
D.) INTERVIEWS AND APPEARANCES: ARTIST and/or ARTIST'S publicist reserves the
right of approval, in writing, of any and all radio, television, newspaper, and/or magazine interviews
made in conjunction with PERFORMANCE. PURCHASER further agrees not to commit EASTON
CORBIN to any personal appearances, interviews, photos, meet and greets, or any other type of
promotional appearances without prior written consent of ARTIST'S publicist.
III. ADMISSIONS TO PERFORMANCE
A.) ADMISSIONS: Admission for PERFORMANCE hereunder shall not be restricted due to race,
religion, color, creed, of the elements thereof.
B.) COMPLIMENTARY TICKETS: PURCHASER shall provide twenty-five (25)
complimentary tickets and/or cover charges, if applicable, per show segment of PERFORMANCE.
These seats shall be located in the center of the house within the first twenty (20) rows. Any unused
tickets will be returned and may be placed on sale the day of PERFORMANCE,
IV. OPENING ACTS
A.) The appearance of another act or acts on the same bill as ARTIST shall be subject to ARTIST and/or
ARTIST'S manager approval. Length of said act's(s) set shall be predetermined to allow for adequate
time to rearrange the stage between performances and still allow ARTIST to perform entire show at
designated time.
B.) PURCHASER shall indemnify and hold ARTIST harmless from any and all liability for damage to any
and all equipment owned by, placed on the stage by, or used by any other acts.
C.) ARTIST shall, in ARTIST'S sole discretion, determine whether any opening act(s) shall use any of
ARTIST'S equipment.
UNLESS SUCH IS DIRECTLY DUE TO

V. SPONSORSHIP

E.) ASSIGNMENT: PURCHASER shall not have the right to assign this agreement or any provision
thereof. Nothing herein contained shall be construed as to constitute the parties hereto as a partnership
or joint venture, or that the ARTIST shall be liable in whole or in part for any obligation that may be
incurred by PURCHASER on PURCHASER'S carrying out, or failing to carry out, any provisions
hereof or otherwise. The person executing this agreement on PURCHASER'S behalf warrants his
authority to do so.
F.) CHANGE OF LAW FORUM: In the event of any default, dispute, or breach of this agreement
requiring court action, the prevailing party shall be entitled to recover reasonable attorney's fees,
expensed and court costs. The parties hereto consent to venue in Davidson County, State of Tennessee,

G.) MISCELLANEOUS: PURCHASER shall secure and continually maintain comprehensive general
liability insurance, including promoter liability coverage (with a financially responsible insurance
company having a current A.M. Best's rating of not less than A Excellent) as respects to each concert
event, facility and site of performance (including, without limitation, load -in to load -out), to protect
against any and all bodily injury, property damage, personal injury, liquor liability, any claims related
to The American Disabilities Act and third party claims in the enforceable amount of not less than One
Million Dollars ($1,000,000) per occurrence with any deductible to paid by PURCHASER.

VIII. AGREEMENT
A.) This Rider, and the aforesaid contract, constitute the entire agreement between the parties hereto and
may not be changed. Agreement shall be construed in accordance with the laws of the State of
Tennessee. Nothing in this agreement shall require the commission of any act contrary to law or
PERFORMANCES hereunder or any element thereof, and wherever or whenever there is any conflict
between any provision of this agreement, and any such law, rule or regulation, then that law, rule or
regulation prevails, and this agreement shall be curtailed, modified, or limited only to the extent
necessary to eliminate such conflicts.
B.) If any provision of the agreement shall be prohibited by law, or by court decree, or by impossibility of
PERFORMANCE, that provision shall be ineffective to the extent of such prohibition without in any
way invalidating or affecting the remaining provisions of the agreement.
C.) The captions in this agreement are inserted for convenience of reference only, are not part of this
agreement, and in no way define, describe, or limit the scope or intent of this agreement.

B.) PURCHASER and/or PURCHASER'S representative agree that any changes regarding stage call times,
personnel of production requirements (ours or other parties') will be subject to approval by ARTIST or
ARTIST'S representative.
C.) PURCHASER and/or PURCHASER'S representative must be present from first call time of the day
until completion of load -out.
D.) Please forward any and all information contained within to the appropriate parties concerned (staging,
sound, catering, etc.).

X. BASIC PRODUCTION NOTES
TRANSPORTATION/PARKING:
1.) PURCHASER will ensure that ARTIST'S bus and any other vehicles used by ARTIST for
transportation to venue will have clear access to and from PERFORMANCE venue. This will
include payment of any towing costs incurred as a result of PURCHASER'S failure to comply with
the terms of this paragraph.
2.) Parking should be provided as close to dressing room and/or loading dock as possible and should be
able to accommodate parking for one (1) tour bus at 45' long by 8' wide, pulling behind a 15' long
trailer. If parking is available only on the street, space for bus and trailer MUST be blocked off
prior to arrival. Please allocate seventy-five feet (75') of length for tour bus to ensure trailer door
can be opened and gear can be properly off-loaded.
3.) All parking areas will have dry, clear passage to and from both the stage and/or dressing room
areas.
4.) One (1) 120 volt, 50 amp, single phase electrical services is needed for bus shore power. Standard
5 -pin NEMA 14-50r connection. This service must both be located within seventy-five feet (75') of
the bus parking area so that EC Touring bus driver can use his or her own cable to reach. An
experienced electrician, familiar with the venue and power service, must be present when this shore
power is connected and metered.
B.) DRESSING ROOMS: PER ADVANCE
1.) Two (2) clean, well -lit, lockable dressing rooms are required. These dressing rooms should have a
restroom as well as shower facilities (mirrors, hot water, soap, and 24 bath towels). Dressing rooms
should be heated or air-conditioned in order to maintain a temperature between 65 and 75 degrees

Fahrenheit (with a window that opens, if possible). 110v electrical power is needed in both of these
rooms for instrument tuning. A sofa, table, and chairs are requested. ARTIST will not be required
to share this room with any other performers or crew. For dressing room catering requirements, see
Catering Rider (section XVII).
2.) ARTIST needs a room in the backstage area that is able to accommodate up to fifty (50) people for
ARTIST'S "meet and greet" and fan club either before or after the PERFORMANCE at Tour
Manager's discretion.
3.) It is understood that some venues will not have these facilities. Please advise ARTIST'S tour
manager upon advancement.
C.) BAND EQUIPMENT:
ARTIST reserves the option to use any and all of ARTIST'S own equipment. No assumptions
should be made regarding the use of ARTIST'S and/or ARTIST'S band's equipment by any other
acts.
2.) PURCHASER will ensure that the stage is completely cleaned and cleared of any and all equipment
before ARTIST'S arrival, with the exception of sound and. lighting equipment directly associated
with this PERFORMANCE.
3.) ARTIST and/or ARTIST'S representative will determine the placement of any and all equipment
owned by, placed on the stage by, or used by any and all other acts.

XI:. STAt-FE REQUIREMENTS
NOTE: Upon ARTIST's arrival, the stage should be clear of any and all equipment and obstructions not
directly related to or required for the ARTIST's PERFORMANCE.
A.) STAGE:
- Minimum usable stage dimensions are thirty-two feet (32') wide (excluding sound wings)
by twenty-four feet (24') deep of solid, interlocking construction. In some situations, a 24'w x 24'd
stage may be used, ONLY AFTER CONFIRMING WITH ARTIST's PRODUCTION MANAGER
TO BE ACCEPTABLE. Stage should be four feet (4') high and have stair units installed on each
side PRIOR to ARTIST's arrival.
- Minimum upstage trim height from deck floor to truss or deck floor to grid must be 15' to
accommodate artist backdrop

- If PA system is NOT flown, PA wings should be installed on each side of the stage, separate from
the main stage performance area. Production wings should be added to the stage whenever possible
to ensure that ARTIST's monitor world and guitar world positions are at level height with stage.
Minimum dimensions for both production wings are 8' wide x 8' deep (for information on
PLYWOOD for offstage production wings on outdoors shows, see paragraph D in this Section)
- If stage is OUTDOORS, then it must be COVERED BY A LOAD-BEARING ROOF WITH THE
SAME DIMENSIONS AS THE STAGE. Outdoor stages must also have appropriately -sized wind
walls installed on upstage and stage left/ stage right sides of the deck to protect personnel and
equipment from wind -related damage.
B.) RISERS:
EC Touring will need the following 2 risers provided, pending stage size and ARTIST position in line-up if
event is a festival. Please advance with production manager at least thirty (30) days prior to PERFORMANCE
to determine if needed.
Drum Riser (upstage right): 8'w x 8'd x18"'h - (EC Touring will provide drum rug)
Steel Riser (upstage left): 8'w x 8'd x 18"h // 6'w x 6'd x 18"h is also acceptable
Both risers must be on lockable wheels if quick moves are required on stage to accommodate other acts.
Please ensure that both risers are skirted on the front and sides. Upstage edges of risers do not require
skirting.
C.) POP-UP TENTS:
EC Touring requires that four (4) 8' x 8' pop up tents with walls be provided on outdoor shows. Locations will
be (2) at Front of House Audio Mix, (1) at Monitor World Stage Left, and (1) at Guitar World Stage Right.
Please ensure that if monitor world and guitar world are located on stage wings, that these tents are
appropriately sized to to ft on said wings and cover all equipment on the wings.
D.) PLYWOOD:
EC Touring requires that if any of it's equipment is to be placed on grass, dirt, mud, gravel, or any other
surface that is not dry, level, and made of concrete during outdoor shows, that PURCHASER will, at
PURCHASER's sole cost and expense, provide up to twenty-five (25) sheets of/z inch -thick plywood, each
measuring four feet (4') wide by eight feet (8') long. All sheets should be of sturdy construction and free of
breaks, cracks, or holes. These sheets may, depending on venue, be used for the following positions: FOH
Audio Mix, Monitor World Stage Left, Guitar World Stage right, ARTIST's bus entrance doors, ARTIST's
trailer doors, and for a "plywood road" from ARTIST's trailers to the stage loading area. Please advance final
number ofplywood-sheets with production manager.

E.) NOTES;
1.) Completion of performance stage is expected NO LATER THAN ONE (1) HOUR PRIOR to
earliest production call. ARTIST'S production normally takes three (3) hours to load -in,
followed by (1) hr of sound check. These four (4) total hours start AFTER staging, sound, and
lights are in place. Ideally, the stage and associated risers should be built the day before the
PERFORMANCE.
2.) The performance stage, all sound wings, and all associated risers should be solidly constructed, free
from holes and soft spots; and be incapable of any movement or motion.
3.) Back of stage should not be closer than four feet (4') to back wall of venue.
4.) Stage must be clear of any building overhangs.
5.) For outdoor performances, in addition to the above, the stage must have a secure load-bearing roof
that covers the entirety of the staging area for protection of ARTIST and the equipment from rain,
sun, and extreme temperatures prior to and during the PERFORMANCE.
6.) THREE (3) ROLLS OF 6M VISQUEEN (measuring 20' X 200') are required to cover all stage
equipment, FOH Audio/ lighting equipment, and all house and monitor electronics.
7.) All stair units should have handrails and be lighted.
8.) Sound check will require a minimum of one (1) hour, and EC Touring FOH Engineer will use PA
system at show volume for entire duration of this sound check.
9.) Upon ARTIST'S arrival and through completion of sound check, the venue shall remain
completely closed to PUBLIC.
10.) Ten (10) black hand towels and one (1) case of at least 24 ruom temperature bottled waters should
be available for use on stage AT LEAST 30 MINUTES PRIOR to sound check start time. These can be
part of the 4 cases of bottled water specified in the Catering section of this rider (Section XVII),
provided they can be provided on time.
Xli. POWER. REQUIREMENTS
Tour Audio acka e: Minimum rating of 100A draw; 3-phase power service required. 5 -wire CAMLOCK or
5 -wire Bare Tails connections only (on power service side). Venue must have at least one (1) electrician onsite
during load -in and load -out who is qualified and able to connect and/or disconnect power connections to any

and all venue power services. Tour audio power distro will be located in monitor world and will power all of
monitor world, stage baekline, and FOH Audio.
EC TOURING audio department travels with one (1) section of fifty foot (50') long 2ot 5 -wire Feeder
(CAMLOCK-to-CAMLOCK connections), as well as one (1) section of ten foot (10') long 2ot 5 -wire Feeder
(CAMLOCK-to-CAMLOCK connections), bare tails to CAMLOCK adapter (2ot), five (5) "T's, and two (2)
female CAMLOCK turnarounds.
Busses: One (1) 120 volt (Five Wire), 50 amp, single phase electrical service needed for bus shore power.
This service must be located within seventy-five feet (75') of bus parking area in order for EC Touring bus
driver to use his or her own cable to reach. An experienced electrician, familiar with the venue and power
service, must be present when this shore power is connected and metered.
XIII. SOUND REQUIREMENTS
PURCHASER understands and agrees that "state of the art" equipment is to be used in order to maintain the
high standards of ARTIST'S sound reproduction. PURCHASER will provide, at PURCHASER'S sole cost
and expense, said "state of the art" equipment for PERFORMANCE. PURCHASER may obtain a list of
preferred sound contractors and acceptable equipment from ARTIST'S production manager.
A.) FOH SOUND REQUIREMENTS:
EC TOURING carries a Midas Pro2C console at FOH and a Midas Pro2C console at monitor world. In the
event (A'a fly -date, AVID PROFILES at both FOH and MONITORS are the required consoles. AVID SC48
may be used ror MONIJ'ORS, but ONLY if a total of 32 balanced outputs are made available on the console
(i.e. by way of installing 2 x 16 -channel output cards).
1.) PA should consist of a high-quality stereo system. If possible, please provide a flown
three-way or four-way stereo line array system. PA should be able to achieve full -
range (31Hz to 15kHz) coverage of ENTIRE audience listening area, with as close to
equal frequency response across all audience listening areas in the venue as possible.
2.) Proprietary boxes are NOT acceptable. Acceptable brands and models include JBL
VTX, JBL VerTec, L'Acoustics K1, K2, or VDOSC, Meyer, Adamson, d&b, or
equivalent.
3.) PA system must be able to achieve 105dB A -weighted of continuous program material
WITHOUT DISTORTION, as measured from the furthest audience listening position
in the venue (with relation to the stage).
4.) Speaker system should be "flown" whenever possible.
5.) Outboard gear to be advanced with Production Manager,

6.) Front of house mix position should be located on center with the performance stage at
a distance no closer than fifty feet (50') and no farther than ninety feet (90') from the
stage. When a center location is not possible, it is critical that the position be located
directly in front of the sound wings, on axis with the main PA. There must be no
physical obstructions between the stage and the console. FOH position should be
appropriately blocked off from general public access, either by use of barricade,
interlocking bike rack, or construction of a "FOR platform". If platform is necessary,
the minimum acceptable dimensions for total FOH footprint are 8' wide by 6' deep.
7.) ARTIST'S production manager will determine the placement of the house speaker
system. PURCHASER understands and agrees that speaker stacks located behind the
downstage microphone line are unacceptable. Please discuss any seating kill problems
with ARTIST'S production manager upon advance.
B.) MONITORS & WIRELESS REQUIREMENTS (FLY DATES):
EC TOURING carries a Midas Pro2C console at FOH and a Midas Pro2C at monitor world; in addition, EC
TOURING also carries its own wireless IEM rig, wireless handheld microphones, stage monitors for center
wedge mix and side fills, microphones, mic stands, XLR cabling, stage boxes, power distro, and stage power.
In the event of a fly date, please see sound requirements below:
Preferred consoles are AVID Profile for FOH, and either Avid Profile or AVID SC48 for
monitor world (SC48 is only acceptable for monitor world if it has two 16 -channel output
cards installed for a total of 32 accessible outputs).
1.) Eight (8) Shure PSM1000 ear units with required combiners, packs, and antennas.
2.) Two (2) PSM600 hardwired ear packs, each with stereo cable
3.) One (1) Mono 3 -way side fill system set up downstage, able to be placed at head
height.
4.) Inbound Wireless: 2 x Shure UR4D units (i.e. 4 channels TOTAL of UR41)
wireless) with 4 x hand held microphones (UR2). We will provide our own Heil PR35 RF
Capsules for 2 of these channels, and SM58 RF capsules are required for the other 2. All
wireless units, handhelds, and packs MUST be in wireless frequency bands matched with
one -another.
5.) Backline Wireless: 5 x Shure ULX-D single receiver units with 9 x ULX-D body pack
transmitters. ULX-D units should NOT be racked together, as they will be placed in each
musician's location and will therefore be spread out amongst the stage. All body pack
transmitters must include TA4F-1/4" TS adapters to ensure proper connections to ARTIST
instruments. All wireless units and packs MUST be in wireless frequency bands matched
with one -another.

C.) SYSTEM SET-UP TIME:
PURCHASER will ensure that the sound system is SET-UP and OPERABLE a minimum of six
(6) hours prior to the start of the PERFORMANCE. It is also understood and agreed that ARTIST may
check and/or tune the sound system during said period of six (6) hours prior to start of the
PERFORMANCE at a time solely determined by ARTIST.
D.) SYSTEM TECHNICIAN:
PURCHASER will provide a technician familiar with the sound system for both the house and
monitor systems from load -in until the end of the PERFORMANCE. This technician will have the
sound system in working order by ARTIST'S designated load -in time and will maintain the system in
working order throughout the PERFORMANCE.
E.) SYSTEM CONTROL:
ARTIST'S representative will, at all times, have complete control over sound mixing and house
volume.
F.) SOUND SYSTEM ADEQUACY:
PURCHASER specifically understands and agrees that the sound system must be adequate, in
ARTIST'S sole opinion, and that, should said sound system not be of a quality and power capacity
deemed adequate by ARTIST, ARTIST may, at ARTIST'S sole option, refuse to perform until said
sound system is deemed by ARTIST to be adequate. Should the sound system not be deemed to be
adequate at the time of the PERFORMANCE, ARTIST may refuse to perform and any amounts due to
ARTIST for the PERFORMANCE will be paid to ARTIST regardless of ARTIST'S refusal to perform.
XIV. 1LI:GHTING, REQUIREMENTS
PURCHASER agrees to provide, at PURCHASER'S sole cost and expense, adequate stage lighting,
accessories, and lighting technician(s). PURCHASER will ensure that the following is provided for ARTIST
during the PERFORMANCE:
A.) LIGHTING TECHNICIAN:
EC Touring does NOT travel with aE ground lighting package or a tour LD. PURCAHSER will, at
PURCHASER'S sole cost and expense, provide a qualified lighting technician to set-up, verify, and
operate an adequate lighting package during entire duration of ARTIST performance.
B.) POWER:
All Iighting elements, whether involving dimmers or not, should be powered by an isolated power
service that is SEPARATE from the audio power service. This includes being isolated from the 3-phase
power service that EC Touring will use for its own tour audio power distribution.

C.) DIMMERS:
Dimmers should be "state of the art" quality and of more than sufficient numbers and power to cover
necessary lighting instruments as well as any added special effects lighting.
D.) FOLLOW -SPOTS:
PURCHASER will 12rovide, at PURCHASER'S sole cost and expense, at least two (2) follow -spots,
each of an appropriate size, lumen rating, and throw to match venue specifications. Please also provide
sufficient quantity of operators to control each follow -spot for the entire duration of ARTIST
performance. Final decisions regarding follow -spots to be determined with production manager
upon advance.
E.) TRUSS:
Minimum truss requirements call for the safe and proper rigging of an upstage and downstage truss,
each of an appropriate width to match the performance area of the stage. Downstage truss should be
flown out at least 4' AWAY from the downstage edge as to adequately light ARTIST and performers'
faces even if they are standing on the downstage lip. Upstage truss should be flown at minimum 15'
above upstage edge to accommodate EC Touring cloth backdrop (see next section). Upstage truss
should hang just BEHIND upstage edge (off deck) if at all possible.
F.) BACKDROP:
EC TOURING requires that production company provide a truss or pipe capable of hanging a 40'W x
20'H blow -through cloth backdrop weighing 25lbs. Minimum trim height to hang is 15' upstage.
Minimum width of truss or pipe to hang is 32'.
EC TOURING will provide the above-mentioned cloth blow -through backdrop.
NOTE: IfARTIST is the actprior to headline artist, production company must provide the truss
or pipe to be able to hang the 40'WX 20'H251b blow through backdrop at appropriate stage
depth to allow use of backdrop during ARTIST's set (i.e. in front of headliner's backdrop/
upstage wall/ etc)
NOTE: Black Backdrop should be supplied by production company venue to conceal backstage
sightline.
G.) LIGHTING SYSTEM SET-UP TIME: PURCHASER will ensure that the lighting system is
SET-UP and OPERABLE, ready to focus, at least six (6) hours prior to start of PERFORMANCE.
H.) SYSTEM TECHNICIAN: PURCHASER agrees to provide two (2) skilled lighting technicians
familiar with the lighting system from load -in until end of PERFORMANCE to set up, focus, and
operate lighting system per instructions from ARTIST'S representative.

XV. LOCAL LABOR

A.) STAGEHANDS: There should be no overlap between duties of stagehands, security and ushers.
Maintaining a consistent crew is critical in order to ensure that a smooth load -in and load -out are
possible. All stagehands MUST be English-speaking and completely sober for the entire work day from
ARTIST arrival until end of load -out. CLOSE -TOED SHOES ARE REQUIRED FOR ALL
STAGEHANDS TO WEAR FROM FOR ALL OF LOAD -IN, SHOW CALL, AND ALL OF
LOADOUT
B.) ELECTRICIANS: Unless electrician is a separate labor call (building staff, contract electrician,
required union electrician, etc), this position can be filled and included as one of the stagehands call.
Electrician MUST be trained, qualified, experienced, English-speaking, and completely sober for the
entire work day from ARTIST arrival until end of load -out.
C.) SPOT OPERATORS: Requires experienced personnel, NO TRAINEES. All spot operators MUST
be English speaking and completely sober for the entire work day from ARTIST arrival until end of
load -out. Production company must install working C1earCom (with all required belt packs,
one-piece ear headsets, and cabling) between all Follow -Spot locations and the Iighting technician
operating the lights during ARTIST performance
D.) RUNNER: Runner should be of legal age to operate a carat their disposal all daylong. Runner's
vehicle should be in good working order and must be capable of carrying up to eight (8) adults
comfortably. The runner should have no overlapping duties, such as running for the caterer or the
venue. The runner must be able to handle money and be responsible for the money handled.
E.) FORKLIFT OPERATOR: If venue load -in/ load -out logistics require that a forklift and forklift
operator be used to transport gear, then the forklift will be in excellent operating condition and will
have forklift extensions available that will be able to lift an assembled 8'w x 8'd riser onto the stage if
need be. Forklift operator MUST be trained, qualified, experienced, English speaking, and completely
sober for the entire work day from ARTIST arrival until end of load -out.

XVI. SECURITY PER ADVANCE
A.) SECURITY GUARDS: PURCHASER will guarantee at least two (2) security guards for stage,
dressing rooms, and bus protection of ARTIST and ARTIST'S band and crew, their instruments and
property from the time of load -in until load -out is completed after PERFORMANCE. This security
will also include "FRONT OF STAGE" security during PERFORMANCE.

PURCHASER at PURCHASER'S sole cost and expense. The decision of ARTIST to grant autographs
will be at ARTIST'S sole discretion. Under NO circumstances will PURCHASER commit ARTIST to
signing.

XVIII. ADDITIONAL TERMS
A.) INCLEMENT WEATHER: SEE ADDENDUM #—

1.) In the event of rain or other weather conditions which might interfere with the
PERFORMANCE, the parties will mutually determine whether PERFORMANCE will proceed.
However, in the event that the PERFORMANCE is not held by reason of any such weather
condition, PURCHASER shall pay ARTIST FULL AMOUNT provided for in the contract between

parties. PURCHASER understands and agrees the ARTIST WILL NOT PERFORM ON A WET
STAGE.
2.) Notwithstanding the provision in the paragraph above, in the case of an outdoor PERFORMANCE,

B.) RECORDING: PURCHASER will not permit the audio and/or visual recording or the audio and/or
visual broadcast of all or any part of the PERFORMANCE without the express prior written consent of
ARTIST and/or ARTIST'S manager. No portion of this PERFORMANCE may be broadcast,
recorded, filmed, taped, or emhodied in any form, for any purpose, without the prior written consent of
ARTIST and/or ARTIST'S manager. PURCHASER will deny entrance to any person carrying any

C.) MERCHANDISE/SALES AND FAN CLUB: PERMITTED BY AUDIENCE
1.) ARTIST and/or ARTIST'S representative shall have the sod and ive right, though not the
obligations, to sell ARTIST'S products. PURCHASER further agrees and warrants that there shall be
no sales or other distribution of recordings and/or other souvenir materials/products other than by
ARTIST and/or ARTIST'S representative at the PERFORMANCE without the prior written consent of
ARTIST'S manager. �E'E ADDENDUM # __�&_
2.) PURCHASER agrees to provide adequate space for ARTIST'S representative to vend ARTIST'S
products and enroll fans into ARTIST'S fan club. ARTIST and/or ARTIST'S representative, at
ARTIST and/or ARTIST'S representative's sole discretion, will determine location of ARTIST'S
vending and fan club enrollment area. PURCHASER will provide ARTIST and/or ARTIST'S
representatives with four (4) eight -foot (8') long heavy-duty tables and tent or coverage for the use
in displaying and selling ARTIST'S products and enrolling ARTIST'S fans into fan club. 110v
electrical power is needed wherever ARTIST and/or ARTIST'S representative determines location to
be.
3.) ARTIST and/or ARTIST'S representative may sell ARTIST'S products and enroll fans into club,
before, during, and after PERFORMANCE.
