StateofWashingtonDepartmentofEcologyPage17of22AgreementNo:SWMCLCP-2123-KiCoSW-00045ProjectTitle:KiCoSW-00045LitterandIllegalDumpCleanupandPreventionProjectRecipientName:KITTITASCOUNTYSOLIDWASTEThedecisionofECOLOGYfromanappealwillbefinalandconclusive,unlesswithinthirty(30)daysfromthedateofsuchdecision,theRECIPIENTfurnishestotheDirectorofECOLOGYawrittenappeal.ThedecisionoftheDirectorordulyauthorizedrepresentativewillbefinalandconclusive.Thepartiesagreethatthisdisputeprocesswillprecedeanyactioninajudicialorquasi-judicialtribunal.AppealsoftheDirector'sdecisionwillbebroughtintheSuperiorCourtofThurstonCounty.ReviewoftheDirector'sdecisionwillnotbetakentoEnvironmentalandLandUseHearingsOffice.Pendingfinaldecisionofadispute,theRECIPIENTagreestoproceeddiligentlywiththeperformanceofthisAgreementandinaccordancewiththedecisionrendered.NothinginthisAgreementwillbeconstruedtolimittheparties'choiceofanothermutuallyacceptablemethod,inadditiontothedisputeresolutionprocedureoutlinedabove.12.ENVIRONMENTALDATASTANDARDSa)RECIPIENTshallprepareaQualityAssuranceProjectPlan(QAPP)foraprojectthatcollectsorusesenvironmentalmeasurementdata.RECIPIENTSunsureaboutwhetheraQAPPisrequiredfortheirprojectshallcontacttheECOLOGYProgramissuingthegrantorloan.IfaQAPPisrequired,theRECIPIENTshall:•UseECOLOGY'sQAPPTemplate/ChecklistprovidedbytheECOLOGY,unlessECOLOGYQualityAssurance(QA)officerortheProgramQAcoordinatorinstructsotherwise.•FollowECOLOGY'sGuidelinesforPreparingQualityAssuranceProjectPlansforEnvironmentalStudies,July2004(EcologyPublicationNo.04-03-030).•SubmittheQAPPtoECOLOGYforreviewandapprovalbeforethestartofthework.b)RECIPIENTshallsubmitenvironmentaldatathatwascollectedonaprojecttoECOLOGYusingtheEnvironmentalInformationManagementsystem(EIM),unlesstheECOLOGYPrograminstructsotherwise.TheRECIPIENTmustconfirmwithECOLOGYthatcompleteandcorrectdatawassuccessfullyloadedintoEIM,findinstructionsat:http://www.ecy.wa.gov/eim.c)RECIPIENTshallfollowECOLOGY'sdatastandardswhenGeographicInformationSystem(GIS)dataiscollectedandprocessed.GuidelinesforCreatingandAccessingGISDataareavailableat:https://ecology.wa.gov/Research-Data/Data-resources/Geographic-Information-Systems-GIS/Standards.RECIPIENT,whenrequestedbyECOLOGY,shallprovidecopiestoECOLOGYofallfinalGISdatalayers,imagery,relatedtables,rawdatacollectionfiles,mapproducts,andallmetadataandprojectdocumentation.13.GOVERNINGLAWThisAgreementwillbegovernedbythelawsoftheStateofWashington,andthevenueofanyactionbroughthereunderwillbeintheSuperiorCourtofThurstonCounty.14.INDEMNIFICATIONECOLOGYwillinnowaybeheldresponsibleforpaymentofsalaries,consultant'sfees,andothercostsrelatedtotheprojectdescribedherein,exceptasprovidedintheScopeofWork.TotheextentthattheConstitutionandlawsoftheStateofWashingtonpermit,eachpartywillindemnifyandholdtheotherharmlessfromandagainstanyliabilityforanyorallinjuriestopersonsorpropertyarisingfromthenegligentactoromissionofthatpartyorthatparty'sagentsoremployeesarisingoutofthisAgreement.15.INDEPENDENTSTATUSTheemployees,volunteers,oragentsofeachpartywhoareengagedintheperformanceofthisAgreementwillcontinuetobeemployees,volunteers,oragentsofthatpartyandwillnotforanypurposebeemployees,volunteers,oragentsoftheotherparty.TemplateVersion12/10/2020 StateofWashingtonDepartmentofEcologyPage18of22AgreementNo:SWMCLCP-2123-KiCoSW-00045ProjectTitle:KiCoSW-00045LitterandIllegalDumpCleanupandPreventionProjectRecipientName:KITTITASCOUNTYSOLIDWASTE16.KICKBACKSRECIPIENTisprohibitedfrominducingbyanymeansanypersonemployedorotherwiseinvolvedinthisAgreementtogiveupanypartofthecompensationtowhichhe/sheisotherwiseentitledtoorreceiveanyfee,commission,orgiftinreturnforawardofasubcontracthereunder.17.MINORITYANDWOMEN'SBUSINESSENTERPRISES(MWBE)RECIPIENTisencouragedtosolicitandrecruit,totheextentpossible,certifiedminority-owned(MBE)andwomen-owned(WBE)businessesinpurchasesandcontractsinitiatedunderthisAgreement.ContractawardsorrejectionscannotbemadebasedonMWBEparticipation;however,theRECIPIENTisencouragedtotakethefollowingactions,whenpossible,inanyprocurementunderthisAgreement:a)Includequalifiedminorityandwomen'sbusinessesonsolicitationlistswhenevertheyarepotentialsourcesofgoodsorservices.b)Dividethetotalrequirements,wheneconomicallyfeasible,intosmallertasksorquantities,topermitmaximumparticipationbyqualifiedminorityandwomen'sbusinesses.c)Establishdeliveryschedules,whereworkrequirementspermit,whichwillencourageparticipationofqualifiedminorityandwomen'sbusinesses.d)UsetheservicesandassistanceoftheWashingtonStateOfficeofMinorityandWomen'sBusinessEnterprises(OMWBE)(866-208-1064)andtheOfficeofMinorityBusinessEnterprisesoftheU.S.DepartmentofCommerce,asappropriate.18.ORDEROFPRECEDENCEIntheeventofinconsistencyinthisAgreement,unlessotherwiseprovidedherein,theinconsistencyshallberesolvedbygivingprecedenceinthefollowingorder:(a)applicablefederalandstatestatutesandregulations;(b)TheAgreement;(c)ScopeofWork;(d)SpecialTermsandConditions;(e)Anyprovisionsortermsincorporatedhereinbyreference,includingthe"AdministrativeRequirementsforRecipientsofEcologyGrantsandLoans";(f)EcologyFundingProgramGuidelines;and(g)GeneralTermsandConditions.19.PRESENTATIONANDPROMOTIONALMATERIALSECOLOGYreservestherighttoapproveRECIPIENT'scommunicationdocumentsandmaterialsrelatedtothefulfillmentofthisAgreement:a)Ifrequested,RECIPIENTshallprovideadraftcopytoECOLOGYforreviewandapprovalten(10)businessdayspriortoproductionanddistribution.b)RECIPIENTshallincludetimeforECOLOGY'sreviewandapprovalprocessintheirprojecttimeline.c)Ifrequested,RECIPIENTshallprovideECOLOGYtwo(2)finalcopiesandanelectroniccopyofanytangibleproductsdeveloped.Copiesincludeanyprintedmaterials,andalltangibleproductsdevelopedsuchasbrochures,manuals,pamphlets,videos,audiotapes,CDs,curriculum,posters,mediaannouncements,orgadgetswithamessage,suchasarefrigeratormagnet,andanyonlinecommunications,suchaswebpages,blogs,andtwittercampaigns.Ifitisnotpracticaltoprovideacopy,thentheRECIPIENTshallprovideadescription(photographs,drawings,printouts,etc.)thatbestrepresentstheitem.AnycommunicationsintendedforpublicdistributionthatusesECOLOGY'slogoshallcomplywithECOLOGY'sgraphicrequirementsandanyadditionalrequirementsspecifiedinthisAgreement.BeforetheuseofECOLOGY'slogocontactECOLOGYforguidelines.RECIPIENTshallacknowledgeinthecommunicationsthatfundingwasprovidedbyECOLOGY.20.PROGRESSREPORTINGTemplateVersion12/10/2020 StateofWashingtonDepartmentofEcologyPage19of22AgreementNo:SWMCLCP-2123-KiCoSW-00045ProjectTitle:KiCoSW-00045LitterandIllegalDumpCleanupandPreventionProjectRecipientName:KITTITASCOUNTYSOLIDWASTEa)RECIPIENTmustsatisfactorilydemonstratethetimelyuseoffundsbysubmittingpaymentrequestsandprogressreportstoECOLOGY.ECOLOGYreservestherighttoamendorterminatethisAgreementiftheRECIPIENTdoesnotdocumenttimelyuseoffunds.b)RECIPIENTmustsubmitaprogressreportwitheachpaymentrequest.Paymentrequestswillnotbeprocessedwithoutaprogressreport.ECOLOGYwilldefinetheelementsandfrequencyofprogressreports.c)RECIPIENTshalluseECOLOGY'sprovidedprogressreportformat.d)QuarterlyprogressreportswillcovertheperiodsfromJanuary1throughMarch31,April1throughJune30,July1throughSeptember30,andOctober1throughDecember31.Reportsshallbesubmittedwithinthirty(30)daysaftertheendofthequarterbeingreported.e)RECIPIENTmustsubmitwithinthirty(30)daysoftheexpirationdateoftheproject,unlessanextensionhasbeenapprovedbyECOLOGY,allfinancial,performance,andotherreportsrequiredbytheAgreementandfundingprogramguidelines.RECIPIENTshallusetheECOLOGYprovidedcloseoutreportformat.21.PROPERTYRIGHTSa)CopyrightsandPatents.WhentheRECIPIENTcreatesanycopyrightablematerialsorinventsanypatentablepropertyunderthisAgreement,theRECIPIENTmaycopyrightorpatentthesamebutECOLOGYretainsaroyaltyfree,nonexclusive,andirrevocablelicensetoreproduce,publish,recover,orotherwiseusethematerial(s)orproperty,andtoauthorizeotherstousethesameforfederal,state,orlocalgovernmentpurposes.b)Publications.WhentheRECIPIENTorpersonsemployedbytheRECIPIENTuseorpublishECOLOGYinformation;presentpapers,lectures,orseminarsinvolvinginformationsuppliedbyECOLOGY;oruselogos,reports,maps,orotherdatainprintedreports,signs,brochures,pamphlets,etc.,appropriatecreditshallbegiventoECOLOGY.c)PresentationandPromotionalMaterials.ECOLOGYshallhavetherighttouseorreproduceanyprintedorgraphicmaterialsproducedinfulfillmentofthisAgreement,inanymannerECOLOGYdeemsappropriate.ECOLOGYshallacknowledgetheRECIPIENTasthesolecopyrightownerineveryuseorreproductionofthematerials.d)TangiblePropertyRights.ECOLOGY'scurrenteditionof"AdministrativeRequirementsforRecipientsofEcologyGrantsandLoans,"shallcontroltheuseanddispositionofallrealandpersonalpropertypurchasedwhollyorinpartwithfundsfurnishedbyECOLOGYintheabsenceofstateandfederalstatutes,regulations,orpoliciestothecontrary,oruponspecificinstructionswithrespecttheretointhisAgreement.e)PersonalPropertyFurnishedbyECOLOGY.WhenECOLOGYprovidespersonalpropertydirectlytotheRECIPIENTforuseinperformanceoftheproject,itshallbereturnedtoECOLOGYpriortofinalpaymentbyECOLOGY.Ifsaidpropertyislost,stolen,ordamagedwhileintheRECIPIENT'spossession,thenECOLOGYshallbereimbursedincashorbysetoffbytheRECIPIENTforthefairmarketvalueofsuchproperty.f)AcquisitionProjects.ThefollowingprovisionsshallapplyiftheprojectcoveredbythisAgreementincludesfundsfortheacquisitionoflandorfacilities:1.RECIPIENTshallestablishthatthecostisfairvalueandreasonablepriortodisbursementoffundsprovidedforinthisAgreement.2.RECIPIENTshallprovidesatisfactoryevidenceoftitleorabilitytoacquiretitleforeachparcelpriortodisbursementoffundsprovidedbythisAgreement.Suchevidencemayincludetitleinsurancepolicies,Torrenscertificates,orabstracts,andattorney'sopinionsestablishingthatthelandisfreefromanyimpediment,lien,orclaimwhichwouldimpairtheusesintendedbythisAgreement.g)Conversions.RegardlessoftheAgreementexpirationdate,theRECIPIENTshallnotatanytimeconvertanyequipment,property,orfacilityacquiredordevelopedunderthisAgreementtousesotherthanthoseforwhichassistancewasoriginallyapprovedwithoutpriorwrittenapprovalofECOLOGY.SuchapprovalmaybeconditioneduponpaymenttoECOLOGYofthatportionoftheproceedsofthesale,lease,orotherconversionorencumbrancewhichmoniesgrantedpursuanttothisAgreementbeartothetotalacquisition,purchase,orconstructioncostsofsuchproperty.TemplateVersion12/10/2020 StateofWashingtonDepartmentofEcologyPage20of22AgreementNo:SWMCLCP-2123-KiCoSW-00045ProjectTitle:KiCoSW-00045LitterandIllegalDumpCleanupandPreventionProjectRecipientName:KITTITASCOUNTYSOLIDWASTE22.RECORDS,AUDITS,ANDINSPECTIONSRECIPIENTshallmaintaincompleteprogramandfinancialrecordsrelatingtothisAgreement,includinganyengineeringdocumentationandfieldinspectionreportsofallconstructionworkaccomplished.Allrecordsshall:a)Bekeptinamannerwhichprovidesanaudittrailforallexpenditures.b)Bekeptinacommonfiletofacilitateauditsandinspections.c)ClearlyindicatetotalreceiptsandexpendituresrelatedtothisAgreement.d)BeopenforauditorinspectionbyECOLOGY,orbyanydulyauthorizedauditrepresentativeoftheStateofWashington,foraperiodofatleastthree(3)yearsafterthefinalgrantpaymentorloanrepayment,oranydisputeresolutionhereunder.RECIPIENTshallprovideclarificationandmakenecessaryadjustmentsifanyauditsorinspectionsidentifydiscrepanciesintherecords.ECOLOGYreservestherighttoaudit,orhaveadesignatedthirdpartyaudit,applicablerecordstoensurethatthestatehasbeenproperlyinvoiced.Anyremediesandpenaltiesallowedbylawtorecovermoniesdeterminedowedwillbeenforced.Repetitiveinstancesofincorrectinvoicingorinadequaterecordsmaybeconsideredcausefortermination.AllworkperformedunderthisAgreementandanypropertyandequipmentpurchasedshallbemadeavailabletoECOLOGYandtoanyauthorizedstate,federalorlocalrepresentativeforinspectionatanytimeduringthecourseofthisAgreementandforatleastthree(3)yearsfollowinggrantorloanterminationordisputeresolutionhereunder.RECIPIENTshallproviderightofaccesstoECOLOGY,oranyotherauthorizedrepresentative,atallreasonabletimes,inordertomonitorandevaluateperformance,compliance,andanyotherconditionsunderthisAgreement.23.RECOVERYOFFUNDSTherightoftheRECIPIENTtoretainmoniesreceivedasreimbursementpaymentsiscontingentuponsatisfactoryperformanceofthisAgreementandcompletionoftheworkdescribedintheScopeofWork.AllpaymentstotheRECIPIENTaresubjecttoapprovalandauditbyECOLOGY,andanyunauthorizedexpenditure(s)orunallowablecostchargedtothisAgreementshallberefundedtoECOLOGYbytheRECIPIENT.RECIPIENTshallrefundtoECOLOGYthefullamountofanyerroneouspaymentoroverpaymentunderthisAgreement.RECIPIENTshallrefundbycheckpayabletoECOLOGYtheamountofanysuchreductionofpaymentsorrepaymentswithinthirty(30)daysofawrittennotice.Interestwillaccrueattherateoftwelvepercent(12%)peryearfromthetimeECOLOGYdemandsrepaymentoffunds.AnypropertyacquiredunderthisAgreement,attheoptionofECOLOGY,maybecomeECOLOGY'spropertyandtheRECIPIENT'sliabilitytorepaymonieswillbereducedbyanamountreflectingthefairvalueofsuchproperty.24.SEVERABILITYIfanyprovisionofthisAgreementoranyprovisionofanydocumentincorporatedbyreferenceshallbeheldinvalid,suchinvalidityshallnotaffecttheotherprovisionsofthisAgreementwhichcanbegiveneffectwithouttheinvalidprovision,andtothisendtheprovisionsofthisAgreementaredeclaredtobeseverable.25.STATEENVIRONMENTALPOLICYACT(SEPA)RECIPIENTmustdemonstratetoECOLOGY'ssatisfactionthatcompliancewiththerequirementsoftheStateEnvironmentalPolicyAct(Chapter43.21CRCWandChapter197-11WAC)havebeenorwillbemet.Anyreimbursementsaresubjecttothisprovision.26.SUSPENSIONWheninthebestinterestofECOLOGY,ECOLOGYmayatanytime,andwithoutcause,suspendthisAgreementoranyportionthereofforatemporaryperiodbywrittennoticefromECOLOGYtotheRECIPIENT.RECIPIENTshallresumeperformanceonthenextbusinessdayfollowingthesuspensionperiodunlessanotherdayisspecifiedbyECOLOGY.TemplateVersion12/10/2020 StateofWashingtonDepartmentofEcologyPage21of22AgreementNo:SWMCLCP-2123-KiCoSW-00045ProjectTitle:KiCoSW-00045LitterandIllegalDumpCleanupandPreventionProjectRecipientName:KITTITASCOUNTYSOLIDWASTE27.SUSTAINABLEPRACTICESInordertosustainWashington'snaturalresourcesandecosystems,theRECIPIENTisfullyencouragedtoimplementsustainablepracticesandtopurchaseenvironmentallypreferableproductsunderthisAgreement.a)Sustainablepracticesmayincludesuchactivitiesas:useofcleanenergy,useofdouble-sidedprinting,hostinglowimpactmeetings,andsettinguprecyclingandcompostingprograms.b)Purchasingmayincludesuchitemsas:sustainablyproducedproductsandservices,EPEATregisteredcomputersandimagingequipment,independentlycertifiedgreencleaningproducts,remanufacturedtonercartridges,productswithreducedpackaging,officeproductsthatarerefillable,rechargeable,andrecyclable,100%post-consumerrecycledpaper,andtoxicfreeproducts.FormoresuggestionsvisitECOLOGY'swebpage,GreenPurchasing,https://ecology.wa.gov/Regulations-Permits/Guidance-technical-assistance/Sustainable-purchasing.28.TERMINATIONa)ForCauseECOLOGYmayterminateforcausethisAgreementwithaseven(7)calendardayspriorwrittennotificationtotheRECIPIENT,atthesolediscretionofECOLOGY,forfailingtoperformanAgreementrequirementorforamaterialbreachofanytermorcondition.IfthisAgreementissoterminated,thepartiesshallbeliableonlyforperformancerenderedorcostsincurredinaccordancewiththetermsofthisAgreementpriortotheeffectivedateoftermination.FailuretoCommenceWork.ECOLOGYreservestherighttoterminatethisAgreementifRECIPIENTfailstocommenceworkontheprojectfundedwithinfour(4)monthsaftertheeffectivedateofthisAgreement,orbyanydatemutuallyagreeduponinwritingforcommencementofwork,orthetimeperioddefinedwithintheScopeofWork.Non-Performance.TheobligationofECOLOGYtotheRECIPIENTiscontingentuponsatisfactoryperformancebytheRECIPIENTofallofitsobligationsunderthisAgreement.IntheeventtheRECIPIENTunjustifiablyfails,intheopinionofECOLOGY,toperformanyobligationrequiredofitbythisAgreement,ECOLOGYmayrefusetopayanyfurtherfunds,terminateinwholeorinpartthisAgreement,andexerciseanyotherrightsunderthisAgreement.Despitetheabove,theRECIPIENTshallnotberelievedofanyliabilitytoECOLOGYfordamagessustainedbyECOLOGYandtheStateofWashingtonbecauseofanybreachofthisAgreementbytheRECIPIENT.ECOLOGYmaywithholdpaymentsforthepurposeofsetoffuntilsuchtimeastheexactamountofdamagesdueECOLOGYfromtheRECIPIENTisdetermined.b)ForConvenienceECOLOGYmayterminateforconveniencethisAgreement,inwholeorinpart,foranyreasonwhenitisthebestinterestofECOLOGY,withathirty(30)calendardayspriorwrittennotificationtotheRECIPIENT,exceptasnotedbelow.IfthisAgreementissoterminated,thepartiesshallbeliableonlyforperformancerenderedorcostsincurredinaccordancewiththetermsofthisAgreementpriortotheeffectivedateoftermination.Non-AllocationofFunds.ECOLOGY'sabilitytomakepaymentsiscontingentonavailabilityoffunding.Intheeventfundingfromstate,federalorothersourcesiswithdrawn,reduced,orlimitedinanywayaftertheeffectivedateandpriortothecompletionorexpirationdateofthisAgreement,ECOLOGY,atitssolediscretion,mayelecttoterminatetheAgreement,inwholeorpart,orrenegotiatetheAgreement,subjecttonewfundinglimitationsorconditions.ECOLOGYmayalsoelecttosuspendperformanceoftheAgreementuntilECOLOGYdeterminesthefundinginsufficiencyisresolved.ECOLOGYmayexerciseanyoftheseoptionswithnonotificationorrestrictions,althoughECOLOGYwillmakeareasonableattempttoprovidenotice.Intheeventofterminationorsuspension,ECOLOGYwillreimburseeligiblecostsincurredbytheRECIPIENTthroughtheeffectivedateofterminationorsuspension.ReimbursedcostsmustbeagreedtobyECOLOGYandtheRECIPIENT.InnoTemplateVersion12/10/2020 StateofWashingtonDepartmentofEcologyPage22of22AgreementNo:SWMCLCP-2123-KiCoSW-00045ProjectTitle:KiCoSW-00045LitterandIllegalDumpCleanupandPreventionProjectRecipientName:KITTITASCOUNTYSOLIDWASTEeventshallECOLOGY'sreimbursementexceedECOLOGY'stotalresponsibilityundertheAgreementandanyamendments.IfpaymentshavebeendiscontinuedbyECOLOGYduetounavailablefunds,theRECIPIENTshallnotbeobligatedtorepaymonieswhichhadbeenpaidtotheRECIPIENTpriortosuchtermination.RECIPIENT'sobligationtocontinueorcompletetheworkdescribedinthisAgreementshallbecontingentuponavailabilityoffundsbytheRECIPIENT'sgoverningbody.c)ByMutualAgreementECOLOGYandtheRECIPIENTmayterminatethisAgreement,inwholeorinpart,atanytime,bymutualwrittenagreement.d)InEventofTerminationAllfinishedorunfinisheddocuments,datastudies,surveys,drawings,maps,models,photographs,reportsorothermaterialspreparedbytheRECIPIENTunderthisAgreement,attheoptionofECOLOGY,willbecomepropertyofECOLOGYandtheRECIPIENTshallbeentitledtoreceivejustandequitablecompensationforanysatisfactoryworkcompletedonsuchdocumentsandothermaterials.NothingcontainedhereinshallprecludeECOLOGYfromdemandingrepaymentofallfundspaidtotheRECIPIENTinaccordancewithRecoveryofFunds,identifiedherein.29.THIRDPARTYBENEFICIARYRECIPIENTshallensurethatinallsubcontractsenteredintobytheRECIPIENTpursuanttothisAgreement,thestateofWashingtonisnamedasanexpressthirdpartybeneficiaryofsuchsubcontractswithfullrightsassuch.30.WAIVERWaiverofadefaultorbreachofanyprovisionofthisAgreementisnotawaiverofanysubsequentdefaultorbreach,andwillnotbeconstruedasamodificationofthetermsofthisAgreementunlessstatedassuchinwritingbytheauthorizedrepresentativeofECOLOGY.EndofGeneralTermsandConditionsTemplateVersion12/10/2020
