AGREEMENTNowTHEREFORE,inconsiderationofthemutualpromises,covenants,andconditionssetforthherein,thepartiesheretoherebyagreeasfollows:LSCOPE:ThisParticipatingAddendumcoversthecompetitiveprocurementforCopiersandManagedPrintServicesledbytheStateofColoradoforusebystateagenciesandotherentitieslocatedintheParticipatingStateauthorizedbythatstate'sstatutestoutilizestatecontractswiththepriorapprovaloftheState'schiefprocurementofficial.Thefollowingproductsandservicesareincludedinthiscontractportfolio:•GroupA-MFD,A3•GroupB-MFD,A4•GroupC-ProductionEquipment•GroupD-Single-functionPrinters•GroupF-Scanners•Supplies•Software2.PARTICIPATION:UseofspecificNASPOValuePointcooperativecontractsbyagencies,politicalsubdivisionsandotherentities(includingcooperatives)authorizedbyanindividualstate'sstatutestousestatecontractsaresubjecttothepriorapprovaloftherespectiveStatechiefprocurementofficial.IssuesofinterpretationandeligibilityforparticipationaresolelywithintheauthorityoftheStatechiefprocurementofficial.PursuanttothisParticipatingAddendum,theMasterAgreementmaybeutilizedbythefollowing("PurchasingEntities"or"Purchasers"):(a)WASHINGTONSTATEAGENCIEs.AllWashingtonstateagencies,departments,offices,divisions,boards,andcommissions.(b)WASHINGTONSTATEINSTITUTIONSOFHIGHEREDUCATION(COLLEGES).AnythefollowingspecificinstitutionsofhighereducationinWashington:•Stateuniversities-i.e.,UniversityofWashington&WashingtonStateUniversity;•Regionaluniversities-i.e.,CentralWashingtonUniversity,EasternWashingtonUniversity,&WesternWashingtonUniversity•EvergreenStateCollege;•Communitycolleges;and•Technicalcolleges.(c)MCUAPARTIES.TheMasterAgreementalsomaybeutilizedbyanyofthefollowingtypesofentitiesthathaveexecutedaMasterContractUsageAgreement(MCUA)withEnterpriseServices:•Politicalsubdivisions(e.g.,counties,cities,schooldistricts,publicutilitydistricts,ports)intheStateofWashington;•Federalgovernmentalagenciesorentities;•Public-benefitnonprofitcorporations(i.e.,§501(c)(3)nonprofitcorporationsthatreceivefederal,state,orlocalfunding);and•Federally-recognizedIndianTribeslocatedintheStateofWashington.PARTICIPATINGADDENDUM-No.06619:CoPIERS&MANAGEDPRINTSERVICESPage2(Rev.2019-12-01)USA-SEC-2020-SllCA-107350 ByplacinganorderunderthisParticipatingAddendum,eachPurchasingEntityagreestobeboundbythetermsandconditionsofthisParticipatingAddendum,includingtheMasterAgreement.EachPurchasingEntityshallberesponsibleforitscompliancewithsuchtermsandconditions.3.PARTICIPATINGSTATEMODIFICATIONSORADDITIONSTOMASTERAGREEMENT:3.1.WASHINGTON'SELECTRONICBUSINEssSOLUTIONS(WEBS)SYSTEM:Withinseven(7)daysofexecutionofthisParticipatingAddendum,contractorshallregisterintheWashingtonStateDepartmentofEnterpriseServices'ElectronicBusinessSolutions(WEBS)SystematWEBS.Contractorshallensurethatallofitsinformationthereiniscurrentandaccurateandthat,throughoutthetermoftheMasterAgreement,ContractorshallmaintainanaccurateprofileinWEBS.3.2.WA5HINGTON'SSTATEWIDEPAYEEDESK:Tobepaidforcontractsales,contractorsmustregisterwithWashington'sStatewidePayeeDesk.Washingtonstateagenciescannotmakepaymentstoacontractoruntilitisregistered.Registrationmaterialsareavailablehere:ReceivingPaymentfromtheState.3.3.CONTRACTSALEsREPORTING:ContractorshallreporttotalcontractsalesquarterlytoEnterpriseServices,assetforthbelow.(a)REPORTING.ContractorshallreportquarterlyContractsalesinEnterpriseServices'ContractSalesReportingSystem.EnterpriseServiceswillprovidecontractorwithaloginpasswordandavendornumber.(b)DATA.EachsalesreportmustidentifyeveryauthorizedPurchasingEntitybynameasitisknowntoEnterpriseServicesanditstotalcombinedsalesamountinvoicedduringthereportingperiod(i.e.,salesofanentireagencyorpoliticalsubdivision,notitsindividualsubsections).The"Miscellaneous"optionmaybeusedonlywithpriorapprovalbyEnterpriseServices.Uponrequest,ContractorshallprovidecontactinformationforallauthorizedPurchasingEntitiesspecifiedhereinduringthetermofthisParticipatingAddendum.RefersalesreportingquestionstothePrimaryContactsetforthbelow.Iftherearenocontractsalesduringthereportingperiod,Contractormustreportzerosales.(c)DUEDATESFORCONTRACTSALESREPORTING.QuarterlyContractSalesReportsmustbesubmittedelectronicallybythefollowingdeadlinesforallsalesinvoicedduringtheapplicablecalendarquarter:ForCalendarQuarterEndingContractSalesReportDueMarch31April30June30July31September30October31December31January313.4.VENDORMANAGEMENTFEE:ContractorshallpaytoEnterpriseServicesavendormanagementfee("VMF")of1.5percentonthepurchasepriceforallcontractsales(thepurchasepriceisthetotalinvoicepricelessapplicablesalestax)authorizedbythisParticipatingAddendum.(a)ThesumowedbyContractortoEnterpriseServicesasaresultoftheVMFiscalculatedasfollows:PARTiclPATINGADDENDUM-No.06619:CoPIERS&MANAGEDPRINTSERVICESPage3(Rev.2019-12-01)USA-SEC-2020-SllCA-107350 AmountowedtoEnterpriseServices=Totalcontractsalesinvoiced(notincludingsalestax)x.0150.(b)TheVMFmustberolledintoContractor'scurrentpricing.TheVMFmustnotbeshownasaseparatelineitemonanyinvoiceunlessspecificallyrequestedandapprovedbyEnterpriseServices.(c)EnterpriseServiceswillinvoiceContractorquarterlybasedoncontractsalesreportedbyContractor.ContractorshallnotremitpaymentuntilitreceivesaninvoicefromEnterpriseServices.Contractor'sVMFpaymenttoEnterpriseServicesmustreferencethefollowing:•ThisWashingtonMasterContractNumber:06619•TheNASPOMasterAgreementNumber:140603•TheyearandquarterforwhichtheVMFisbeingremitted,and•Contractor'snameassetforthinthisContract,ifnotalreadyincludedonthefaceofthecheck.(d)Contractor'sfailureaccuratelyandtimelytoreporttotalnetsales,tosubmitusagereports,orremitpaymentoftheVMFtoEnterpriseServices,maybecauseforsuspensionorterminationofthisParticipatingAddendumortheexerciseofanyotherremediesasprovidedbylaw.(e)EnterpriseServicesreservestheright,uponthirty(30)daysadvancewrittennotice,toincrease,reduce,oreliminatetheVMFforsubsequentpurchases.(f)ForpurposesoftheVMF,thepartiesagreethattheinitialmanagementfeeisincludedinthepricing.Therefore,anyincreaseorreductionofthemanagementfeemustbereflectedincontractpricingcommensuratewiththeadjustment.3.5.CONTRACTORREPRESENTATIONSANDWARRANTIEs:ContractormakeseachofthefollowingrepresentationsandwarrantiesasoftheeffectivedateofthisParticipatingAddendumandatthetimeanyorderisplacedpursuanttotheMasterContract.If,atthetimeofanysuchorder,contractorcannotmakesuchrepresentationsandwarranties,Contractorshallnotprocessanyordersandshall,withinthree(3)businessdaysnotifyEnterpriseServices,inwriting,ofsuchbreach.(a)WAGEVIOLATIONS.Contractorrepresentsandwarrantsthat,duringthetermofthisMasterContractandthethree(3)yearperiodimmediatelyprecedingtheawardoftheMastercontract,itisnotdetermined,byafinalandbindingcitationandnoticeofassessmentissuedbytheWashingtonDepartmentofLaborandIndustriesorthroughaciviljudgmententeredbyacourtoflimitedorgeneraljurisdiction,tobeinwillfulviolationofanyprovisionofWashingtonstatewagelawssetforthinRCWchapters49.46,49.48,or49.52.(b)PAYEQUALITY.Contractorrepresentsandwarrantsthat,amongitsworkers,similarlyemployedindividualsarecompensatedasequals.Forpurposesofthisprovision,employeesaresimilarlyemployediftheindividualsworkforthesameemployer,theperformanceofthejobrequirescomparableskill,effort,andresponsibility,andthejobsareperformedundersimilarworkingconditions.Jobtitlesalonearenotdeterminativeofwhetheremployeesaresimilarlyemployed.Contractormayallowdifferentialsincompensationforitsworkersbasedingoodfaithonanyofthefollowing:asenioritysystem;ameritsystem;asystemthatmeasuresearningsbyPARTiclPATINGADDENDUM-No.06619:COPIERS&MANAGEDPRINTSERVICESPage4(Rev.2019-12-01)USA-SEC-2020-SllCA-107350 quantityorqualityofproduction;abonafidejob-relatedfactororfactors;orabonafideregionaldifferenceincompensationlevels.Abonafidejob-relatedfactororfactorsmayinclude,butnotbelimitedto,education,training,orexperiencethatis:consistentwithbusinessnecessity;notbasedonorderivedfromagender-baseddifferential;andaccountsfortheentiredifferential.Abonafideregionaldifferenceincompensationlevelmustbeconsistentwithbusinessnecessity;notbasedonorderivedfromagender-baseddifferential;andaccountfortheentiredifferential.Notwithstandinganyprovisiontothecontrary,uponbreachofwarrantyandContractor'sfailuretoprovidesatisfactoryevidenceofcompliancewithinthirty(30)days,EnterpriseServicesmaysuspendorterminatethisParticipatingAddendumandMasterContractandanyPurchaserhereundersimilarlymaysuspendorterminateitsuseoftheMasterContractand/oranyagreemententeredintopursuanttothisParticipatingAddendum.(c)OCIOPOLICY8eSECURITYCOMPUANCE.Contractorrepresentsandwarrantsthatitshallcomply,totheextentapplicable,withtheWashingtonOfficeofthechiefInformationOfficer(OCIO)statewideinformationtechnologypolicies141.10-SecuringInformationTechnologyAssetsStandardsand188-Accessibility,asapplicable,forPurchasingEntityandforContractor'sProduct(s)procuredbyPurchasingEntity.SuchpoliciesarelocatedontheOClOwebsiteathttps://ocio.wa.gov//policies.PriortofinalexecutionofaWashingtonStateAgency'sOrderwithacontractor,theContractor'sProduct(s),asimplementedbytheWashingtonStateAgency,maybesubjecttoasecuritydesignreviewperformedbyWashingtonconsolidatedTechnologyServicestoensurecompliancewithOClOPolicy141.10-SecuringInformationTechnologyAssetsStandards.(d)GREEN/SUSTAINABLE.ContractorrepresentsandwarrantsthatcontractorshallendeavortosupplyanddeliverygoodsinalignmentwiththeStateofWashington'sgreen/sustainabilitystrategywhich,ataminimumisdesignedtominimizetheuseofunnecessaryproductpackaging,reducetheuseoftoxicchemicals,andofferPurchasers,wherepracticable,'greenproducts'thatprovideequivalentperformance.3.6.COMPUANCEWITHLAW;TAXEs,LICENSES,&REGISTRATION:Contractorshallcomplywithallapplicablelaw.Priortomakinganysaleshereunder,ifContractorisnotalreadyregistered,ContractorshallregistertoconductbusinessintheStateofWashingtonandpromptlyacquireandmaintainallnecessarylicensesandregistrationsandpayallapplicabletaxesandfees.Inaddition,forallsalestoPurchasersintheStateofWashington,ifContractordoesnotcurrentlydoso,contractorshallcalculate,collect,andremit,asappropriate,theapplicablestateandlocalsalestaxonallinvoices.3.7.CONTRACTOR'sSALESAUTHORITY;PURCHASEORDERS;&INVOICES:(a)CONTRACTOR'sSALESAUTHORITY.PursuanttothisParticipatingAddendum,contractorisauthorizedtoprovideonlythoseProductssetforthintheMasterAgreementasconditionedbythisParticipatingAddendum.ContractorshallnotrepresenttoanyPurchasingEntityhereunderthatithasanyauthoritytosellanyothermaterials,supplies,servicesand/orequipment.(a)INVOICES.ContractormustprovideaproperlycompletedinvoicetoPurchasingEntity.Allinvoicesaretobedeliveredtotheaddressindicatedinthepurchaseorder.Eachinvoicemustincludethe:PARTiciPATINGADDENDUM-No.06619:COPIERS&MANAGEDPRINTSERVICESPage5(Rev.2019-12-01)USA-SEC-2020-SllCA-107350 LocalDealerNetworkutilizedforthisParticipatingAddendum,and,uponrequest,promptlyprovideEnterpriseServiceswithsuchlistandanyupdates.•CONTRACTORRESPONSIBILITYFORLocALDEALERNETWORK.ContractorshallberesponsibletoensurethatallrequirementsoftheMasterAgreement(including,butnotlimitedto,insurancerequirements,indemnification,Washingtonstatebusinessregistration,etc.)flowdowntoanyandallLocalDealerNetwork.InnoeventshalltheexistenceofasubcontractbetweencontractoranditssubcontractoroperatetoreleaseorreduceContractor'sliabilitytotheParticipatingStateoranyPurchaserforanybreachoftheMasterAgreementorthisParticipatingAddendum.AstoParticipatingStateandPurchasershereunder,Contractorshallhavefullandcompleteresponsibilityandliabilityforanyactoromissionbycontractor'sLocalDealerNetwork.•PURCHASERPAYMENTREGARDINGCONTRACTOR'SLocALDEALERNETWORK.Notwithstandinganyprovisiontothecontrary,thepartiesunderstandandagreethatforanycontractsalesorserviceprovidedpursuanttotheMasterAgreementandthisParticipatingAddendum,PurchaserpaymentshallbemadedirectlytoContractorastheawardedvendorpursuanttothecompetitiveprocurement;provided,however,that,intheeventanysuchsalesorservicesareperformedbyaLocalDealerNetworkforContractor,ContractormayinstructsuchPurchasertomakepaymentforsuchsalesorservicestoContractor'sidentifiedLocalDealerNetwork.RegardlessofwhethercontractorinstructsaPurchasertomakesuchpaymenttocontractor'sLocalDealerNetwork,contractorshallremainresponsibleforperformance.•CONTRACTSALESREPORTING.Notwithstandinganyprovisiontothecontrary,contractorshallreporttoEnterpriseServicestotalcontractsales,delineatedbypurchaser,madebyeachindividualLocalDealerNetworkandalsoreporttotalcontractsales,delineatedbypurchaser,onaconsolidatedContractor'roll-up'basis.ContractorshallmaintainrecordssupportingsuchreportsinaccordancewiththeMasterAgreement'srecordsretentionrequirements.7.SHOWROOMEQUIPMENT:UponrequestbyaPurchasers,showroomEquipmentforGroupsA,B,andCmaybeconvertedtoapurchase,lease,orrentalprovidingthefollowingconditionsaremet:(a)ThemetercountonGroupAandGroupBDevicesdoesnotexceed10,000copiestotal(i.e.black-and-whiteandcolorcombined);andthemetercountonGroupCDevicesdoesnotexceed50,000copiestotal(i.e.black-and-whiteandcolorcombined);(b)TheDevicemustbediscountedbyatleast5%offtheMasterAgreementpricingforthatsameDevice;andthePurchasingEntityandthecontractormustindicateontheOrderthattheDeviceisashowroommodel.8.SOFTWARE:Purchasersthatacquiresoftwareshallbesubjecttothelicenseagreementsdistributedwithsuchsoftware.Softwaresubscriptionsshallnotbesubjecttoautomaticrenewals.Purchasersshallhavetheoptiontofinancesoftwaresubscriptionsbyutilizingcontractorleaseandrentalrates.Notwithstandingtheforegoing,intheeventofaconflictinlanguagebetweenanenduserlicenseagreement(EULA)andtheMasterAgreement,thelanguageintheMasterAgreementwillsupersedeandcontrol.Inaddition,anylanguageinaEULAwhichviolatesaparticipatingstate'sconstitutionorPARTICIPATINGADDENDUM-No.06619:COPIERS&MANAGEDPRINTSERVICESPage7(Rev.2019-12-01)USA-SEC-2020-SIICA-107350
