RATIFYING PURCHASE AND SALE AGREEMENT AND POST CLOSING ACTIONS
AND IMPROVEMENTS AGREEMENT AND AUTHORIZING CHAIRMAN
SIGNATURE ON CLOSING DOCUMENTS
WHEREAS: On May 17,2021, the Kittitas County Board of Commissioners entered into a
Purchase and Sale Agreement with the Trust for Public Land for the purchase of
approximately 226.11acres of land and two associated senior water rights; and
WHEREAS: The Purchase and Sale Agreement states that the County has no obligation to
purchase the property until a number of contingencies have been met, including
the adoption by the Kittitas County Board of Commissioners of a resolution
authorizing the purchase; and
WHEREAS: An additional contingency identified in the Purchase and Sale Agreement is that
the County has received funding from the Department of Ecology to fund the
majority of the subject price; and
WHEREAS: On May 17,2021, the Kittitas County Board of Commissioners entered into a
separate agreement with the current owners of the subject property to memorialize
post-closing actions and commitments by Kittitas County; and
WHEREAS: A public hearing was held, after due notice, on June 1,2021 at2:00 pm to discuss
the authorization of such purchase, and whether the purchase was in the interest of
the County.
NOW THEREFORE, BE IT RESOLVED, Kittitas County shall purchase property from the
seller, as contemplated in the Purchase and Sale Agreement that is hereby ratified;
and
BE IT FURTHER RESOLVED, once all contingencies in the Purchase and Sale Agreement
have been met, the Chair of the Kittitas Board of County Commissioners is
authorized to execute any further documents, on behalf of Kittitas County,
necessary to close the transaction; and
BE IT FURTHER RESOLVED, after Kittitas County shall implement the post-closing actions
and improvements in the Post Closing Actions and Improvements Agreement that
is hereby ratified, after Kittitas County closes the transaction.
