PROFESSIONALSERVICESAGREEMENTThisAgreementismadebyandbetweenKittitasCounty(hereinafter"theCounty")andHeatherSeibert(hereinafter"Contractor").TheCountyandContractoragreeasfollows:GeneralConditions;ExhibitA(ScopeofWork);ExhibitB(Compensation);ExhibitC(ProofofInsurance).copiesofwhichareattachedheretoandincorporatedhereinbythisreferenceasfullyasifsetforthherein.ThetermofthisAgreementshallcommenceontheApril19,2021andcontinueuntilcompletionoftheproject.AnypartymayterminatethisAgreementbygivingthirty(30)days'noticeinwritingeitherpersonallydeliveredormailedpostage-prepaidbycertifiedmail,returnreceiptrequested,totheparty'slastknownaddressforthepurposesofgivingnoticeunderthisparagraph.ContractoracknowledgesandbysigningthisAgreementagreesthattheIndemnificationprovisionssetforthinParagraphs7(IndependentContractor),9(Taxes),15(DefenseandIndemnityAgreement),21(Patent/CopyrightInfringement)and24(Confidentiality),aretotallyandfullypartofthisAgreementandhavebeenmutuallynegotiatedbytheparties.ProfessionalServicesAgreement(rev.09/24/2018)Page1of17
