FLOOD CONTROL ZONE DISTRICT ADVISORY COMMITEES BYLAWS REVISION Mark Cook requested the Board of County Commissioners consider two (2) revisions to the Flood Control Zone District Advisory Committee Bylaws. The first update is something staff has recently encountered while working during Covid outbreaks, and the revision is to allow cancellation of a regular meeting with advanced notice. The second is to begin the implementation of ranking criteria that Director Cook and Arden Thomas have worked together to develop. Vice -Chairman Laura Osiadacz made a motion to approve the bylaws as presented with Commissioner Cory Wright seconding said motion. BENSON ROAD VACATION Mark Cook gave background on the public right of way in the Plat of "Timber Valley", stating that the Right of Way is obsolete in this private subdivision, splitting the lot owner's parcels. Discussion was held. Staff was directed to prepare enabling documents to schedule a public hearing at the next agenda session. INTERLOCAL AGREEMENT WITH STATE PARKS- GINKGO PARKING LOT IMPROVEMENT, DESIGN, CONSTRUCTION Mark Cook requested the Board of County Commissioners to consider an Interlocal Agreement with State Parks for the design and construction of the parking at Ginkgo Petrified Forest State Park along Vantage Highway. Discussion was held. Staff was directed to prepare enabling documents for consideration at the next agenda session. 2021-03-22 MINUTES OTHER BUSINESS: Mark Cook stated that ongoing conversations with the Upper Kittitas County Traffic Committee has brought forth the need to gather comments from Upper County residents affected by traffic issues. Mark Cook continued that staff would like to use an online survey via Survey Monkey and publish the link on the County Website. Mark Cook added that along with the survey, staff would draft and send out a brochure directing residents to the online survey, helping staff get a better understanding of issues and attain contact information from affected residents. Mark Cook requested direction in contacting IT to help with the website additions. Vice -Chairman Laura Osiadacz stated she would like to have the survey posted on BOCC site under "Committees", and on the county homepage under "Hot Topics". Vice - Chairman Laura Osiadacz added she is in agreement that the online survey will present the best result and is the least labor-intensive option to receive answers from Upper County residents. BRIEFING SUMMARY: • Each year the Flood Control Zone District Advisory Committee reviews the Advisory Committee Bylaws. • The Advisory Committee is recommending two changes for 2021: 1) clarification that regularly scheduled meetings can be canceled with advance notice and 2) the Advisory Committee recommends a Capital Facility Plan and utilizes evaluation criteria for this purpose. • Bylaw revisions must be approved by the Board of County Commissioners. BACKGROUND: The Flood Control Zone District Advisory Committee reviewed its bylaws during a special meeting held on March 10, 2021. The Advisory Committee approved a motion to recommend two bylaw changes to the Board of County Commissioners: 1) clarification that regularly scheduled meetings can be canceled with advance notice and 2) the Advisory Committee recommends a Capital Improvement Plan to the Board of County Commissioners and utilizes evaluation criteria supporting project selection. The bylaws specify that changes must be approved by the Advisory Committee and the Board of County Commissioners. DISCUSSION: The proposed bylaw changes reflect current (COVID 19 impacted meeting schedules) and proposed practices of the Advisory Committee. Specifying that project prioritization criteria will be adopted and utilized each year to develop the Capital Facility Plan reflects the goal of the advisory committee to utilize a transparent and defensible process to evaluate and prioritize potential flood alleviation projects. Article 2 — Purpose of the Advisory Committee: Support of ongoing prioritization of the Flood Control Zone District annual capital facility planning; work planning elements; and give recommendations to the Board of County Commissioners. Article 3 — Membership and Structure: As established by Resolution 2017-183, the Advisory Committee is composed of seven members as follows: Two (2) Rate Payers from Commissioner District 1 Three (3) Rate Payers from Commissioner District 2 Two (2) Rate Payers from Commissioner District 3 The Advisory Committee shall elect both a chair and vice -chair. A formal vote to fill these positions shall be taken at the first advisory committee meeting of each year. The chair of the Advisory Committee shall set the agenda, approve previous meeting minutes, and guide the conduct of the public meeting. The vice -chair shall perform the duties of the chair in the chair's absence. The meeting shall be guided by Robert's Rules of Order. Four (4) members shall serve two-year terms and three (3) members shall serve a one-year term. Subsequent terms will be for a two year period. Term length will be randomly selected in each Commissioner District. Should a member miss two (2) consecutive unexcused or four (4) total unexcused meetings in one year, such member will be removed from the advisory committee upon a majority recommendation from the committee. Should a member resign from the advisory committee, new applications will be submitted and the Board of County Commissioners shall select a new rate payer from that Commissioner District. Terms of the committee shall begin January 1, 2019. Article 4 — Termination: Removal — If the Kittitas County Flood Control District Advisory Committee members determine by a majority vote that a member should be removed; the Chair of the Committee shall report that recommendation to the Board of County Commissioners for its consideration. Resignation — Resignations by members shall be submitted, in writing, to the Committee Chair or Clerk. They will forward a copy of the resignation to the Board of County Commissioners. Reasons for dismissal — The Board of County Commissioners may remove a member when it is determined it is in the best interest of the Committee or the county to do so. Article 5 — Meetings: The Advisory Committee shall meet once a month on the fourth (4a') Wednesday of each month in the Commissioner's Auditorium at the Kittitas County Courthouse at 5:30pm. Anyone who wishes to voice an opinion, information or concerns to the Committee may attend meetings and time will be allotted at the beginning of meetings as appropriate to assure public participation. Items may be placed on a meeting agenda by any Committee member or by county staff. Members shall be provided with a copy of the agenda and supporting materials in advance of the meeting. Staff from Kittitas County Public Works shall be the Clerk of the Committee and will be responsible for taking and documenting the minutes from all meetings of the Advisory Committee. These minutes will then be approved at a future meeting and placed on the Kittitas County website. The majority of the appointed committee members will constitute a quorum for the transaction of all business at meetings. Each Committee member will be entitled to one (1) vote on all issues presented at meetings at which the member is present. Simple majority vote is the primary decision—making method. The committee's goal for a primary decision—making method is consensus. Majority is defined as a simple majority of the appointed committee members. Article 6 — Capital Facility Plan: The Kittitas County Flood Control Zone District Advisory Committee shall each year recommend an annual and 6six-year Capital Facility Plan to the Board of County Commissioners. This Capital Facility Plan will be developed utilizing project evaluation criteria. Ranked projects that are reviewed and adopted each year by the Committee. :em=bers. Article 6-7 — Amendment to Bylaws: The Kittitas County Flood Control Zone District Advisory Committee shall periodically review the bylaws and may propose amendments to the bylaws. Any recommendations agreed upon by thesimple majority of the members shall be forwarded to the Board of County Commissioners for approval. Article 7-8 — Adoption: Bylaws are in full force and effect when adopted and approved by the Kittitas County Flood Control Zone District Advisory Committee and the Board of County Commissioners. KITTITAS COUNTY DEPARTMENT OF PUBLIC WORKS PUBLIC WORKS — BOARD OF COUNTY COMMISSIONERS STUDY SESSION STAFF REPORT STUDY SESSION DATE: March 22, 2021 TOPIC: Benson Road Vacation Request ACTION REQUESTED: Prepare Enabling Legislation and Schedule the Public Hearing LEAD STAFF: Mark R. Cook RECOMMENDATION: Prepare enabling legislation and schedule the required public hearing. BRIEFING SUMMARY: • Dedicated plat public right of way inside a private subdivision. • Road was never built. Lot owner desires clearing title and having full use of the property. Public Works (PW) supports the requested vacation with no value for the vacated right of way. BACKGROUND: Within the plat of "Timber Valley"; large portions of Little Creek Road and Timber Valley Road were not constructed. A portion of Nelson Creek Road was also not constructed. The property owner of lots 100-103 and 87-90, has dedicated public right of way separating his lots (see EXHIBIT 1). Because that the right of way is dedicated for public use, Public Works is required to vacate pursuant to county code and state law. DISCUSSION: The requested vacation preserves access to an adjoining parcel as thirty (30) feet are reserved for a future private driveway. The action allows parcels 87-103 to be joined and the property owner is no longer burdened by the right of way. PW is proposing that no value be assigned to the right of way as no improvements have been created impacting any Road Fund expenditures. A subsequent record of survey by the property owner will clear title and allow full use of the proponent's property. PW supports the requested vacation of a portion of Nelson Creek Road and a portion of Little Creek Road (legal description attached as EXHIBIT 2). FISCAL IMPACTS: The applicant has paid PW's vacation application fee of $4,205.00. Cook RECOMMENDATION: Direct staff prepare enabling documents for Board consideration. BRIEFING SUMMARY: • State Parks is requesting Public Works (PW) design parking lot improvements to Ginko State Park and administer construction of the project. • PW is preparing to improve Vantage Highway in front of Ginko. • Vantage Highway improvements are anticipated to have some impact on the existing parking lot. • This is a unique opportunity to improve the parking lot in conjunction with our Vantage Highway improvement project. • A draft interlocal agreement is attached as EXHIBIT 1. BACKGROUND: PW is improving Vantage Highway from Vantage to the top of the grade. The entrance to Ginko State Park will likely be impacted by PW improvements to Vantage Highway. State Parks has desired improvements to the existing parking lot for some time and is now requesting design and construction support. DISCUSSION: Improvements to Ginko State Park will facilitate better traffic circulation and allow for improvements to stormwater discharges from the existing parking lot. PW has the expertise and capacity to support parking lot design and construction services at Ginko State Park that will complement our current scheduled improvements to Vantage Highway. FISCAL IMPACTS: PW will obtain cost recovery from State Parks for parking lot design efforts. Total design and construction services are estimated to cost $130,411. Page 2 of 4 Public Works "Work Session Staff Report", 2021 EXHIBIT 1: DRAFT INTERLOCAL WITH STATE PARKS — GINKO PARKING LOTIMPROVEMENTS Page 3 of 4 Public Works "Work Session Staff Report", 2021 INTERLOCAL AGREEMENT BETWEEN KITTITAS COUNTY DEPARTMENT OF PUBLIC WORKS AND WASHINGTON STATE PARKS FOR THE DESIGN AND CONSTRUCTION OF A PARKING LOT AT GINKO STATE PARK This Interlocal Agreement is made and entered into this day of , 2021, by and between Kittitas County (hereinafter the "COUNTY") and Washington State Parks (hereinafter the "STATE PARKS"). RECITALS WHEREAS, the Interlocal Cooperation Act, as amended, and codified in Chapter 39.34 of the Revised Code of Washington ("RCW"), provides for public agencies to enter into agreements for joint or cooperative action authorized under that chapter; and WHEREAS, Kittitas County and Washington State Parks are public agencies within the meaning of chapter 39.34 RCW; and WHEREAS, Kittitas County is improving Vantage Highway summer of 2021 from mile post 21.25 to milepost 27.51 and will be impacting the parking lot at Ginko State Park; and WHEREAS, Kittitas County has the expertise and experience designing parking lot improvements and is offering to design improvements at Ginko State Park in conjunction with 2021 Vantage Highway improvements; and WHEREAS, State Parks desires utilizing the County's design expertise and has sufficient funding supporting the design of parking lot improvements to Ginko State Park; and WHEREAS, State Parks desires having the County administer the construction parking lot improvements and has sufficient funding for construction and project administration; NOW THEREFORE, it is agreed as follows TERMS 1. Legal Basis. This Agreement is entered into pursuant to Chapter 39.34 (the Interlocal Cooperation Act). 2. Purpose. The purpose of this agreement is for the COUNTY and STATE PARKS to work cooperatively to perform the Scope of Work identified in Exhibit A and for the COUNTY to provide design and construction services to STATE PARKS for the completion of the tasks identified in Exhibit A along with the fee estimate for service Interlocal Agreement between State Parks and Kittitas County Public Works for Ginko State Park Parking Lot Improvements identified in Exhibit B. It is anticipated that STATE PARKS will accept the final bid ready plans and specifications upon satisfaction that the Scope of Work has been completed and authorize construction of parking lot improvements administered by the County. 3. Term of Agreement. The term of this Agreement shall be from its effective date through December 31, 2021 or as otherwise agreed to by the parties as provided in Section 14 or terminated as provided in Section 16. 4. Payment. Payment shall be made on a reimbursable basis for costs incurred by the COUNTY to complete the scope of work identified in Exhibit A (Ginko State Park Parking Lot Improvements design and construction management. Payment for satisfactory performance shall not exceed $130,411.00 unless the parties mutually agree in writing to a higher amount. 5. Billing Procedure. The COUNTY shall submit invoices monthly. Invoices are to be sent to: STATE PARKS (c/o Mr. Brian Patnode, 270 9' Street NE, Suite 200, East Wenatchee, WA 98802) and will be paid within thirty (30) days of receipt by STATE PARKS. Upon expiration of the Agreement, any claim for payment not already made shall be submitted within thirty (30) days after the expiration date or termination of the Agreement, whichever is earlier. 6. Contract Management. The Agreement Administrator for each of the parties shall be responsible for and shall be the contact person for all communications and billings regarding the performance of this Agreement. The Agreement Administrator for STATE PARKS is Mr. Brian Patnode, 270 9`s Street NE, Suite 200, East Wenatchee, WA 98802. The Agreement Administrator for the COUNTY is: Josh Fredrickson, PE, 411 North Ruby Street, Suite 1, Ellensburg, WA 98926. Telephone: 509-962-7523. Maintenance of Record. Each parry hereto agrees to maintain books, records and documents using accounting procedures which accurately reflect all direct and indirect costs related to the performance of services described herein. Each party may examine the other party's books and records to verify the accuracy of invoices. Each party's fiscal management system shall include the capability to provide accurate and complete disclosure of all costs invoiced under this Agreement. All books, records, documents and other materials relevant to this agreement will be retained for six years after expiration of the Agreement, and the Office of the State Auditor and any persons duly authorized by Interlocal Agreement between State Parks and Kittitas County Public Works for Ginko State Park Parking Lot Improvements the parties shall have full access and the right to examine any of these materials during this period. Each party will utilize reasonable security procedures and protections to assure that records and documents provided by the other parry are not erroneously disclosed to third parties. 8. Indemnification. Each party agrees to be responsible and assume liability for its own wrongful and/or negligent acts or omissions, or those of its officers, agents or employees to the fullest extent provided by the law, and further agrees to save, indemnify, defend and hold harmless the other parry from any and such liability arising out of the performance of this Agreement. In the case of negligence of more than one party, any damages allowed shall be levied in proportion to the percentage of the negligence attributable to each party. This indemnification paragraph shall survive the termination of this Agreement. 9. Assignment. This Agreement cannot be assigned, transferred or any portion subcontracted by either party hereto without the prior written consent of the other party, which consent shall not be reasonably withheld. 10. Future Support. Neither parry to this Agreement makes any commitment to future support and assumes no obligation for future support of any activity contracted for herein, except as may be expressly set forth in this Agreement. 11. Compliance with Laws. Each party hereto, in its performance of this Agreement, agrees to comply with all applicable local, State and Federal laws and ordinances. 12. Relationship of the Parties. In the performance of the work herein contemplated (Exhibit A), the parry performing the work is an independent contractor with the authority to control and direct the performance of the details of the work; however, the work contemplated herein shall be subject to the general rights of inspection and review of the party requesting the work be done, to secure the satisfactory completion thereof. 13. Jurisdiction. Any legal dispute between the parties to this Agreement shall be governed by the laws of the State of Washington, and any action to enforce this Agreement shall be brought in Kittitas County, Washington. 14. Modification. The provisions of this Agreement may be modified or amended only by written mutual agreement of the parties, executed by personnel authorized to bind each of the parties. A failure by either party to exercise its rights under this Agreement shall not preclude that party from subsequent exercise of such rights and shall not constitute a waiver of any other rights under this Agreement unless stated to be such in a writing signed by an authorized representative of the party and attached to the original Agreement. 16. Termination. This Agreement shall remain in full force and effect until terminated on December 31, 2021, by mutual written agreement of the parties, or by written notice of termination given by one party to the other at least thirty (30) days prior to the date of such termination; or upon final acceptance of Exhibit A deliverables by STATE PARKS. 17. Agreement Not for Benefit of Third Parties. This Agreement is entered into solely for the benefit of the parties hereto and vests no rights in, or is it enforceable by, any third parties. 18. Severability. If any provision of this Agreement or any provision of any document incorporated by reference shall be held invalid, such invalidity shall not affect the other provisions of this Agreement which can be given effect without the invalid provision, if such remainder conforms to the requirements of applicable law and the fundamental purpose of this agreement, and to this end the provisions of this Agreement are declared to be severable. 19. Filing. This Agreement shall be filed with the Kittitas County Auditor, or, alternatively, listed by subject on each or either party's website or other electronically retrievable public source pursuant to Revised Code of Washington 39.34.040. Cook, PE Director EXHIBIT A SCOPE OF WORK Ginkgo State Park Parkin¢ Lot Improvement Vantage Highway Milepost 25.75 Washington State Parks (STATE) desires to make improvements to their parking lot serving Ginkgo State Park adjacent to Vantage Highway. The parking lot is located at approximate milepost 25.75 on the north side of Vantage Highway. The parking lot is currently gravel with one access at the eastern side, a solar powered charging station and pit toilet are also on the site. The project is to be completed in two phases. Phase I includes engineering and design of the parking lot improvement. Phase II is construction support of said improvements. Phase II will be authorized by Washington State Parks providing work can be completed by June 30, 2021. Kittitas County Public Works (KCPW), shall provide professional services to the Washington State Parks for the Ginkgo State Park Parking Lot Improvement project (PROJECT) as outlined in the Work Task descriptions below. The following general provisions/assumptions have been made: A. Work conducted will meet STATE design standards. B. It is anticipated that one (1) bid package including plans and estimate will be prepared for all elements of the PROJECT. C. Specifications for construction will use Washington Department of Transportation Standard Specifications for Road, Bridge, and Municipal Construction 2021. D. Project specific specifications are not anticipated. E. All necessary permits will be obtained by STATE F. The STATE shall pay all fees for permitting, advertising or other associated fees necessary for the PROJECT. G. No federal funds shall be used in design or construction of the PROJECT. H. All calculations, analyses, design, plans, specifications, and other project work will be prepared in English units. The use of metric units for any aspect of the work will not be required. I. It is understood and agreed that tasks may be added or deleted from the scope of services by mutual agreement between the STATE and KCPW. J. Construction is to be completed by KCPW. Kittitas County Public Works agrees to perform the following services: ENGINEERING DESIGN, PLANS, ESTIMATE AND CONSTRUCTION SUPPORT 411 N. Provide complete project management necessary to deliver the PROJECT within mutually agreed expectations, including progress reports, schedule updates, and invoice preparation. 2. Attend meetings with the STATE regarding technical aspects of the work. It is anticipated up to two (2) meetings may be held at mutually agreed location. 3. Perform field visit necessary to confirm aspects of the design. 4. Submit preliminary plans, design assumptions and cost estimate. 5. Based on approved preliminary plans and estimate, finalize, submit and review 90% plans and estimate with the STATE. 6. Based on approved 90% plans and attached cost estimate, finalize, and submit 100% plans and cost estimate to the STATE. 7. Perform in-house quality control and assurance review. 8. Furnish electronic copies of the final plans and estimate in .pdf format. 9. Prepare and submit Engineer's Opinion of Cost. Deliverables: PHASE I— Preliminary plans and cost estimate Plans, cost estimate at 90% and Final completion Electronic copies of final plans and estimate in .pdf format PHASE II — Based on availability of KCPW resources, Equipment, material, and labor to construct improvements outlined on the design documents. Construction management ADDITIONAL SERVICES For services not included in the Scope of Work, the STATE may request KCPW complete additional services, as mutually agreed, at the rates in affect at the time of service. TIME OF PERFORMANCE: ENGINEERING DESIGN, PLANS, ESTIMATE, AND BIDDING PHASEI- All work described in the Scope of Services above shall begin upon authorization to proceed and be completed no later than April 23, 2021. PHASE II — At the request of the STATE, construction work is to be complete by June 30, 2021. FEE FOR SERVICES: For the services furnished by KCPW as described above, STATE agrees to pay KCPW the fees as set forth herein.
