federalandstatestatutesandregulations,andthetermsandconditionsofthefederalawardsetforthinAttachment1ofthisAgreement.2.BUDGET,REIMBURSEMENT,ANDTIMELINEa.WithinthetotalGrantAgreementAmount,travel,subcontracts,salaries,benefits,printing,equipment,andothergoodsandservicesorotherbudgetcategorieswillbereimbursedonanactualcostbasisunlessotherwiseprovidedinthisAgreement.b.ThemaximumamountofallreimbursementrequestspermittedtobesubmittedunderthisAgreement,includingthefinalreimbursementrequest,islimitedtoandshallnotexceedthetotalGrantAgreementAmount.c.IftheSubrecipientchoosestoincludeindirectcostswithintheBudget(Attachment2),anindirectcostrateagreementnegotiatedbetweenthefederalcognizantagencyforindirectcostsandtheSubrecipientestablishingapprovedindirectcostrate(s)asdescribedin2CFR200.414andAppendixVilto2CFR200mustbesubmittedtotheDepartment.However,under2CFR200.414(f),iftheSubrecipienthasneverreceivedanegotiatedindirectcostrateagreementestablishingfederallynegotiatedrate(s),theSubrecipientmaynegotiatearatewiththeDepartmentorchargeademinimisrateof10%ofmodifiedtotaldirectcosts.TheSubrecipient'sactualindirectcostratemayvaryfromtheapprovedrate,butmustnotexceedtheapprovednegotiatedindirectcostratepercentageforthetimeperiodoftheexpenditures.IfaSubrecipientchoosestochargethe10%deminimisrate,butdidnotchargeindirectcoststoprevioussubawards,arequestforapprovaltochargeindirectcostsmustbesubmittedtotheDepartment'sKeyPersonnelforapprovalwithanexplanationforthechange.d.Fortravelcosts,theSubrecipientshallcomplywith2CFR200.474andshouldconsulttheirinternalpolicies,stateratessetpursuanttoRCW43.03.050andRCW43.03.060asnowexistingoramended,andfederalmaximumratessetfodhathttp://www.qsa.qov,andfollowthemostrestrictive.Iftravelcostsexceedsetstateorfederallimits,travelcostsshallnotbereimbursedwithoutpriorwrittenapprovalbyDepartmentKeyPersonnel.e.ReimbursementrequestswillincludeaproperlycompletedStateA-19InvoiceFormandReimbursementSpreadsheet(intheformatprovidedbytheDepartment)detailingtheexpendituresforwhichreimbursementissought.ReimbursementrequestsmustbesubmittedtoReimbursements@mil.wa.qovnolaterthantheduedateslistedwithintheTimeline(Attachment2).ReimbursementrequesttotalsshouldbecommensuratetothetimespentprocessingbytheSubrecipientandtheDepartment.Ifthereimbursementrequestisn'tsubstantialenough,theSubrecipientshouldrequestpriorwrittenapprovalfromDepartmentKeyPersonneltowaivetheduedateintheTimeline(Attachment2)andonceapprovedsubmitthosecostsonthenextscheduledreimbursementduedatecontainedintheTimeline(Attachment2).f.Receiptsand/orbackupdocumentationforanyapproveditemsthatareauthorizedunderthisAgreementmustbemaintainedbytheSubrecipientconsistentwithrecordretentionrequirementsofthisAgreement,andbemadeavailableuponrequestbytheDepartment,andfederal,state,orlocalauditors.g.AnyrequestforextensionofaduedateintheTimeline(Attachment2)willbetreatedasarequestforAmendmentoftheAgreement.ThisrequestmustbesubmittedtoDepartmentKeyPersonnelsufficientlyinadvanceoftheduedatetoprovideadequatetimeforDepartmentreviewandconsideration,andmaybegrantedordeniedwithintheDepartment'ssolediscretion.h.AllworkunderthisAgreementmustendonorbeforetheGrantAgreementEndDate,andthefinalreimbursementrequestmustbesubmittedtotheDepartmentwithin45daysaftertheGrantAgreementEndDate,exceptasothenNiseauthorizedbywrittenamendmentofthisAgreementandissuedbytheDepartment.i.Nocostsforpurchasesofequipment/supplieswillbereimburseduntiltherelatedequipment/supplieshavebeenreceivedbytheSubrecipient,itscontractor,oranynon-federalentitytowhichtheSubrecipientmakesasubaward,andisinvoicedbythevendor.DHS-FEMA-HSGP-SHSP-FFY18Page3of38KittitasCountySheriffsOffice,E21-187 j.Failuretosubmittimely,accurate,andcompletereportsasrequiredbythisAgreement(including,butnotlimitedto,thosereportsintheTimeline[Attachment2])willprohibittheSubrecipientfrombeingreimburseduntilsuchcompletereportsaresubmittedandtheDepartmenthashadreasonabletimetoconductitsreview.k.FinalreimbursementrequestswillnotbeapprovedforpaymentuntiltheSubrecipientiscurrentwithallrepodingrequirementscontainedinthisAgreement.I.AwrittenamendmentwillberequirediftheSubrecipientexpectscumulativetransfersamongprojectbudgets,asidentifiedintheWorkPlanandBudget(Attachment2),toexceed10%oftheGrantAgreementAmount.Anyadjustmentstoprojecttotalsotherthanincompliancewiththisparagraphwillnotbereimbursed.m.SubrecipientsshallonlyusefederalawardfundsunderthisAgreementtosupplementexistingfundsandwillnotusethemtoreplace(supplant)non-federalfundsthathavebeenbudgetedforthesamepurpose.TheSubrecipientmayberequiredtodemonstrateanddocumentthatthereductioninnon-federalresourcesoccurredforreasonsotherthanthereceiptorexpectedreceiptoffederalfunds.3.REPORTINGa.Witheachreimbursementrequest,theSubrecipientshallrepodhowtheexpenditures,forwhichreimbursementissought,relatetotheWorkPlan(Attachment2)activitiesintheformatprovidedbytheDepartment.b.Withthefinalreimbursementrequest,theSubrecipientshallsubmittotheDepartmentKeyPersonnelafinalreportdescribingallcompletedactivitiesunderthisAgreement.c.TheSubrecipientshallcomplywiththeFederalFundingAccountabilityandTransparencyAct(FFATA)andrelatedOMBGuidanceconsistentwithPublicLaw109-282asamendedbysection6202(a)ofPublicLaw110-252(see31U.S.C.6101note)andcompleteandreturntotheDepartmenttheFFATAFormlocatedathttp://mil.wa.qovlemergency-management-division/qrants/requiredqrantforms,whichisincorporatedbyreferenceandmadeapadofthisAgreement.d.SHSPandUASISubrecipientsshallparticipateintheStakeholderPreparednessReview(SPR)process,formerlyknownastheStatePreparednessRepod.4.EQUIPMENTANDSUPPLYMANAGEMENTa.TheSubrecipientandanynon-federalentitytowhichtheSubrecipientmakesasubawardshallcomplywith2CFR200.318-200.326whenprocuringanyequipmentorsuppliesunderthisAgreement,2CFR200.313formanagementofequipment,and2CFR200.314formanagementofsupplies,toinclude,butnotlimitedto:i.UponsuccessfulcompletionofthetermsofthisAgreement,allequipmentandsuppliespurchasedthroughthisAgreementwillbeownedbytheSubrecipient,orarecognizednon-federalentitytowhichtheSubrecipienthasmadeasubaward,forwhichacontract,subrecipientgrantagreement,orothermeansoflegaltransferofownershipisinplace.ii.Allequipment,andsuppliesasapplicable,purchasedunderthisAgreementwillberecordedandmaintainedintheSubrecipient'sinventorysystem.iii.Inventorysystemrecordsshallinclude:A.descriptionofthepropertyB.manufacturer'sserialnumber,modelnumber,orotheridentificationnumber;C.thesourceoffundingfortheequipment,includingtheFederalAwardIdentificationNumber(FAIN)D.CatalogofFederalDomesticAssistance(CFDA)numberE.whoholdsthetitleF.acquisitiondateG.costoftheequipmentandthepercentageoffederalparticipationinthecostH.location,useandconditionoftheequipmentatthedatetheinformationwasreported,andDHS-FEMA-HSGP-SHSP-FFY18Page4of38KittitasCountySheriffsOffice,E21-187 l.dispositiondataincludingthedateofdisposalandsalepriceoftheproperty.iv.TheSubrecipientshalltakeaphysicalinventoryoftheequipmentandreconciletheresultswiththepropertyrecordsatleastonceeverytwoyears.AnydifferencesbetweenquantitiesdeterminedbythephysicalinspectionandthoseshownintherecordsshallbeinvestigatedbytheSubrecipienttodeterminethecauseofthedifference.TheSubrecipientshall,inconnectionwiththeinventory,verifytheexistence,currentutilization,andcontinuedneedfortheequipment.v.TheSubrecipientshallberesponsibleforanyandalloperationalandmaintenanceexpensesandforthesafeoperationoftheirequipmentandsuppliesincludingallquestionsofliability.TheSubrecipientshalldevelopappropriatemaintenanceschedulesandprocedurestoensuretheequipment,andsuppliesasapplicable,arewell-maintainedandkeptingoodoperatingcondition.vi.TheSubrecipientshalldevelopacontrolsystemtoensureadequatesafeguardstopreventloss,damage,andtheftoftheproperty.Anyloss,damage,ortheftshallbeinvestigated,andareportgeneratedandsenttotheDepartment.vii.TheSubrecipientmustobtainandmaintainallnecessarycedificationsandlicensesfortheequipment.viii.IftheSubrecipientisauthorizedorrequiredtosellthepropedy,propersalesproceduresmustbeestablishedandfollowedtoensurethehighestpossiblereturn.Fordisposition,ifuponterminationorattheGrantAgreementEndDate,whenoriginalorreplacementsuppliesorequipmentacquiredunderafederalawardarenolongerneededfortheoriginalprojectorprogramorforotheractivitiescurrentlyorpreviouslysupportedbyafederalawardingagency,theSubrecipientmustcomplywiththefollowingprocedures:A.ForSupplies:Ifthereisaresidualinventoryofunusedsuppliesexceeding$5,000intotalaggregatevalueuponterminationorcompletionoftheprojectorprogramandthesuppliesarenotneededforanyotherfederalaward,theSubrecipientmustretainthesuppliesforuseonotheractivitiesorsellthem,butmust,ineithercase,compensatethefederalgovernmentforitsshare.Theamountofcompensationmustbecomputedinthesamemannerasforequipment.B.ForEquipment:1)Itemswithacurrentper-unitfair-marketvalueof$5,000orlessmayberetained,sold,orotherwisedisposedofwithnofurtherobligationtothefederalawardingagency.2)Itemswithacurrentper-unitfair-marketvalueinexcessof$5,000mayberetainedorsold.TheSubrecipientshallcompensatethefederalawardingagencyinaccordancewiththerequirementsof2CFR200.313(e)(2).ix.RecordsforequipmentshallberetainedbytheSubrecipientforaperiodofsixyearsfromthedateofthedisposition,replacement,ortransfer.Ifanylitigation,claim,orauditisstartedbeforetheexpirationofthesix-yearperiod,therecordsshallberetainedbytheSubrecipientuntilalllitigation,claims,orauditfindingsinvolvingtherecordshavebeenresolved.b.TheSubrecipientshallcomplywiththeDepartment'sPurchaseReviewProcess,whichisincorporatedbyreferenceandmadepartofthisAgreement.Noreimbursementwillbeprovidedunlesstheappropriateapprovalhasbeenreceived.c.Allowableequipmentandsupplycategoriesfor18HSGParelistedontheAuthorizedEquipmentList(AEL)locatedontheFEMAwebsiteathttp://www.fema.qovlauthorized-equipment-list.ItisimportantthattheSubrecipientandanynon-federalentitytowhichtheSubrecipientmakesasubawardregardtheAELasanauthorizedpurchasinglistidentifyingitemsallowedunderthespecificgrantprogramandincludesitemsthatmaynotbecategorizedasequipmentaccordingtothefederal,state,local,andtribaldefinitionsofequipment.TheSubrecipientissolelyresponsibleforensuringpurchaseditemsunderthisAgreementareauthorizedasalloweditemsbytheAELattimeofpurchase.DHS-FEMA-HSGP-SHSP-FFY18Page5of38KittitasCountySheriffsOffice,E21-187 partofafederalagencyoranemployeeoftheFederalgovernmentincarryingouttheprovisionsoftheStaffordAct.A.14LIMITATIONOFAUTHORITY-AUTHORIZEDSIGNATUREThesignatoriestothisAgreementrepresentthattheyhavetheauthoritytobindtheirrespectiveorganizationstothisAgreement.OnlytheDepartment'sAuthorizedSignaturerepresentativeandtheAuthorizedSignaturerepresentativeoftheSubrecipientorAlternatefortheSubrecipient,formallydesignatedinwriting,shallhavetheexpress,implied,orapparentauthoritytoalter,amend,modify,orwaiveanyclauseorconditionofthisAgreement.Anyalteration,amendment,modification,orwaiverofanyclauseorconditionofthisAgreementisnoteffectiveorbindingunlessmadeinwritingandsignedbybothparties'AuthorizedSignaturerepresentatives.Further,onlytheAuthorizedSignaturerepresentativeorAlternatefortheSubrecipientshallhavesignatureauthoritytosignreimbursementrequests,timeextensionrequests,amendmentandmodificationrequests,requestsforchangestoprojectsorworkplans,andotherrequests,certificationsanddocumentsauthorizedbyorrequiredunderthisAgreement.A.15LOSSORREDUCTIONOFFUNDINGIntheeventfundingfromstate,federal,orothersourcesiswithdrawn,reduced,orlimitedinanywayaftertheeffectivedateofthisAgreementandpriortonormalcompletionorenddate,theDepartmentmayunilaterallyreducetheworkplanandbudgetorunilaterallyterminateallorpadoftheAgreementasa"TerminationforCause"withoutprovidingtheSubrecipientanopportunitytocure.Alternatively,thepartiesmayrenegotiatethetermsofthisAgreementunder"AmendmentsandModifications"tocomplywithnewfundinglimitationsandconditions,althoughtheDepartmenthasnoobligationtodoso.A.16NONASSIGNABILITYNeitherthisAgreement,noranyclaimarisingunderthisAgreement,shallbetransferredorassignedbytheSubrecipient.A.17NONDISCRIMINATIONTheSubrecipientshallcomplywithallapplicablefederalandstatenon-discriminationlaws,regulations,andpolicies.Nopersonshall,onthegroundsofage,race,creed,color,sex,sexualorientation,religion,nationalorigin,maritalstatus,honorablydischargedveteranormilitarystatus,ordisability(physical,mental,orsensory)bedeniedthebenefitsof,orotherwisebesubjectedtodiscriminationunderanyproject,program,oractivity,funded,inwholeorinpad,underthisAgreement.A.18NOTICESTheSubrecipientshallcomplywithallpublicnoticesornoticestoindividualsrequiredbyapplicablelocal,stateandfederallawsandregulationsandshallmaintainarecordofthiscompliance.A.19OCCUPATIONALSAFETYlHEALTHACTandWASHINGTONINDUSTRIALSAFETY/HEALTHACT(OSHA/WISHA)TheSubrecipientrepresentsandwarrantsthatitsworkplacedoesnoworwillmeetallapplicablefederalandstatesafetyandhealthregulationsthatareineffectduringtheSubrecipient'sperformanceunderthisAgreement.Totheextentallowedbylaw,theSubrecipientfurtheragreestoindemnifyandholdharmlesstheDepartmentanditsemployeesandagentsfromallliability,damagesandcostsofanynature,including,butnotlimitedto,costsofsuitsandattorneys'feesassessedagainsttheDepadment,asaresultofthefailureoftheSubrecipienttosocomply.A.20OWNERSHIPOFPROJECT/CAPITALFACILITIESTheDepadmentmakesnoclaimtoanycapitalfacilitiesorrealpropertyimprovedorconstructedwithfundsunderthisAgreement,andbythissubawardoffundsdoesnotandwillnotacquireanyownershipinterestortitletosuchpropedyoftheSubrecipient.TheSubrecipientshallassumeallliabilitiesandresponsibilitiesarisingfromtheownershipandoperationoftheprojectandagreestoindemnifyandholdtheDepartment,theStateofWashingtonandtheUnitedStatesgovernmentharmlessfromanyandallcausesofactionarisingfromtheownershipandoperationoftheproject.A.21POLITICALACTIVITYNoportionofthefundsprovidedhereinshallbeusedforanypartisanpoliticalactivityortofurthertheelectionordefeatofanycandidateforpublicofficeorinfluencetheapprovalordefeatofanyballotissue.DHS-FEMA-HSGP-SHSP-FFY18Page15of38KittitasCountySheriffsOffice,E21-187 A.22PROHIBITIONAGAINSTPAYMENTOFBONUSORCOMMISSIONTheassistanceprovidedunderthisAgreementshallnotbeusedinpaymentofanybonusorcommissionforthepurposeofobtainingapprovaloftheapplicationforsuchassistanceoranyotherapprovalorconcurrenceunderthisAgreementprovided,however,thatreasonablefeesorbonafidetechnicalconsultant,managerial,orothersuchservices,otherthanactualsolicitation,arenotherebyprohibitedifotherwiseeligibleasprojectcosts.A.23PUBLICITYTheSubrecipientagreestosubmittotheDepartmentpriortoissuancealladvertisingandpublicitymattersrelatingtothisAgreementwhereintheDepartment'snameismentioned,orlanguageusedfromwhichtheconnectionoftheDepartment'snamemay,intheDepartment'sjudgment,beinferredorimplied.TheSubrecipientagreesnottopublishorusesuchadvertisingandpublicitymatterswithoutthepriorwrittenconsentoftheDepartment.TheSubrecipientmaycopyrightoriginalworkitdevelopsinthecourseoforunderthisAgreement,however,pursuantto2CFRPart200.315,FEMAreservesaroyalty-free,nonexclusive,andirrevocablelicensetoreproduce,publishorotherwiseuse,andtoauthorizeotherstousetheworkforgovernmentpurposes.PublicationresultingfromworkpedormedunderthisAgreementshallincludeanacknowledgementofFEMA'sfinancialsuppod,byCFDAnumber,andastatementthatthepublicationdoesnotconstituteanendorsementbyFEMAorreflectFEMA'sviews.A.24RECAPTUREPROVISIONIntheeventtheSubrecipientfailstoexpendfundsunderthisAgreementinaccordancewithapplicablefederal,state,andlocallaws,regulations,and/ortheprovisionsoftheAgreement,theDepartmentreservestherighttorecapturefundsinanamountequivalenttotheextentofnoncompliance.SuchrightofrecaptureshallexistforthelifeoftheprojectfollowingAgreementtermination.RepaymentbytheSubrecipientoffundsunderthisrecaptureprovisionshalloccurwithin30daysofdemand.IntheeventtheDepartmentisrequiredtoinstitutelegalproceedingstoenforcetherecaptureprovision,theDepartmentshallbeentitledtoitscostsandexpensesthereof,includingattorneyfeesfromtheSubrecipient.A.25RECORDSa.TheSubrecipientagreestomaintainallbooks,records,documents,receipts,invoicesandallotherelectronicorwrittenrecordsnecessarytosufficientlyandproperlyreflecttheSubrecipient'scontracts,subawards,grantadministration,andpayments,includingalldirectandindirectcharges,andexpendituresintheperformanceofthisAgreement(the"records").b.TheSubrecipient'srecordsrelatedtothisAgreementandtheprojectsfundedmaybeinspectedandauditedbytheDepadmentoritsdesignee,bytheOfficeoftheStateAuditor,DHS,FEMAortheirdesignees,bytheComptrollerGeneraloftheUnitedStatesoritsdesignees,orbyotherstateorfederalofficialsauthorizedbylaw,forthepurposesofdeterminingcompliancebytheSubrecipientwiththetermsofthisAgreementandtodeterminetheappropriateleveloffundingtobepaidundertheAgreement.c.TherecordsshallbemadeavailablebytheSubrecipientforsuchinspectionandaudit,togetherwithsuitablespaceforsuchpurpose,atanyandalltimesduringtheSubrecipient'snormalworkingday.d.TheSubrecipientshallretainandallowaccesstoallrecordsrelatedtothisAgreementandthefundedproject(s)foraperiodofatleastsix(6)yearsfollowingfinalpaymentandclosureofthegrantunderthisAgreement.Despitetheminimumfederalretentionrequirementofthree(3)years,themorestringentStaterequirementofsix(6)yearsmustbefollowed.A.26RESPONSIBILITYFORPROJECT/STATEMENTOFWORKlWORKPLANWhiletheDepartmentundertakestoassisttheSubrecipientwiththeproject/statementofwork/workplan(project)byprovidingfederalawardfundspursuanttothisAgreement,theprojectitselfremainsthesoleresponsibilityoftheSubrecipient.TheDepadmentundertakesnoresponsibilitytotheSubrecipient,ortoanythirdparty,otherthanasisexpresslysetoutinthisAgreement.Theresponsibilityforthedesign,development,construction,implementation,operationandmaintenanceoftheproject,asthesephrasesareapplicabletothisproject,issolelythatoftheSubrecipient,asisresponsibilityforanyclaimorsuitofanynaturebyanythirdpanyrelatedinanywaytotheproject.DHS-FEMA-HSGP-SHSP-FFY18Page16of38KittitasCountySheriffsOffice,E21-187 Conductingasingleorprogram-specificauditincompliancewith2CFRPart200SubpadFisamaterialrequirementofthisAgreement.Intheabsenceofavalidclaimofexemptionfromtheauditrequirementsof2CFRPart200SubpartF,theSubrecipient'sfailuretocomplywithsaidauditrequirementsmayresultinoneormoreofthefollowingactionsintheDepartment'ssolediscretion:apercentageoffederalawardsbeingwithhelduntiltheauditiscompletedinaccordancewith2CFRPart200SubpartF;thewithholdingordisallowingofoverheadcosts;thesuspensionoffederalawardsuntiltheauditisconductedandsubmitted;orterminationofthefederalaward.A.29SUBRECIPIENTNOTEMPLOYEEThepartiesintendthatanindependentcontractorrelationshipwillbecreatedbythisAgreement.TheSubrecipient,and/oremployeesoragentsperformingunderthisAgreementarenotemployeesoragentsoftheDepartmentinanymannerwhatsoever.TheSubrecipientwillnotbepresentedas,norclaimtobe,anofficeroremployeeoftheDepartmentbyreasonofthisAgreement,norwilltheSubrecipientmakeanyclaim,demand,orapplicationtoorforanyrightorprivilegeapplicabletoanofficeroremployeeoftheDepartmentoroftheStateofWashingtonbyreasonofthisAgreement,including,butnotlimitedto,Workmen'sCompensationcoverage,unemploymentinsurancebenefits,socialsecuritybenefits,retirementmembershiporcredit,orprivilegeorbenefitwhichwouldaccruetoacivilserviceemployeeunderChapter41.06RCW.ItisunderstoodthatiftheSubrecipientisanotherstatedepartment,stateagency,stateuniversity,statecollege,statecommunitycollege,stateboard,orstatecommission,thattheofficersandemployeesareemployedbytheStateofWashingtonintheirownrightandnotbyreasonofthisAgreement.A.30TAXES,FEESANDLICENSESUnlessotherwiseprovidedinthisAgreement,theSubrecipientshallberesponsiblefor,payandmaintainincurrentstatusalltaxes,unemploymentcontributions,fees,licenses,assessments,permitchargesandexpensesofanyotherkindfortheSubrecipientoritsstaffrequiredbystatuteorregulationthatareapplicabletoAgreementpedormance.A.31TERMINATIONFORCONVENIENCENotwithstandinganyprovisionsofthisAgreement,theSubrecipientmayterminatethisAgreementbyprovidingwrittennoticeofsuchterminationtotheDepartmentKeyPersonnelidentifiedintheAgreement,specifyingtheeffectivedatethereof,atleastthidy(30)dayspriortosuchdate.ExceptasotherwiseprovidedinthisAgreement,theDepadment,initssolediscretionandinthebestinterestsoftheStateofWashington,mayterminatethisAgreementinwholeorinpartbyprovidingten(10)calendardayswrittennotice,beginningontheseconddayaftermailingtotheSubrecipient.Uponnoticeofterminationforconvenience,theDepartmentreservestherighttosuspendallorpartoftheAgreement,withholdfurtherpayments,orprohibittheSubrecipientfromincurringadditionalobligationsoffunds.Intheeventoftermination,theSubrecipientshallbeliableforalldamagesasauthorizedbylaw.TherightsandremediesoftheDepartmentprovidedforinthissectionshallnotbeexclusiveandareinadditiontoanyotherrightsandremediesprovidedbylaw.A.32TERMINATIONORSUSPENSIONFORCAUSEintheeventtheDepadment,initssolediscretion,determinestheSubrecipienthasfailedtofulfillinatimelyandpropermanneritsobligationsunderthisAgreement,isinanunsoundfinancialconditionsoastoendangerperformancehereunder,isinviolationofanylawsorregulationsthatrendertheSubrecipientunabletoperformanyaspectoftheAgreement,orhasviolatedanyofthecovenants,agreementsorstipulationsofthisAgreement,theDepartmenthastherighttoimmediatelysuspendorterminatethisAgreementinwholeorinpart.TheDepartmentmaynotifytheSubrecipientinwritingoftheneedtotakecorrectiveactionandprovideaperiodoftimeinwhichtocure.TheDepartmentisnotrequiredtoallowtheSubrecipientanopportunitytocureifitisnotfeasibleasdeterminedsolelywithintheDepadment'sdiscretion.AnytimeallowedforcureshallnotdiminishoreliminatetheSubrecipient'sliabilityfordamagesorotherwiseaffectanyotherremediesavailabletotheDepartment.IftheDepartmentallowstheSubrecipientanoppodunitytocure,theDepartmentshallnotifytheSubrecipientinwritingoftheneedtotakecorrectiveaction.Ifthecorrectiveactionisnottakenwithinten(10)calendardaysorasotherwisespecifiedbytheDepadment,orifsuchcorrectiveactionisdeemedbytheDepartmenttobeinsufficient,theAgreementmaybeterminatedinwholeorinpad.DHS-FEMA-HSGP-SHSP-FFY18Page18of38KittitasCountySherifPsOffice,E21-187 TheDepadmentreservestherighttosuspendallorpartoftheAgreement,withholdfurtherpayments,orprohibittheSubrecipientfromincurringadditionalobligationsoffundsduringinvestigationoftheallegedcompliancebreach,pendingcorrectiveactionbytheSubrecipient,ifallowed,orpendingadecisionbytheDepartmenttoterminatetheAgreementinwholeorinpart.Intheeventoftermination,theSubrecipientshallbeliableforalldamagesasauthorizedbylaw,including,butnotlimitedto,anycostdifferencebetweentheoriginalAgreementandthereplacementorcoverAgreementandalladministrativecostsdirectlyrelatedtothereplacementAgreement,e.g.,costofadministeringthecompetitivesolicitationprocess,mailing,advedisingandotherassociatedstafftime.TherightsandremediesoftheDepartmentprovidedforinthissectionshallnotbeexclusiveandareinadditiontoanyotherrightsandremediesprovidedbylaw.IfitisdeterminedthattheSubrecipient:(1)wasnotindefaultormaterialbreach,or(2)failuretoperformwasoutsideoftheSubrecipient'scontrol,faultornegligence,theterminationshallbedeemedtobea"TerminationforConvenience".A.33TERMINATIONPROCEDURESInadditiontotheproceduressetfodhbelow,iftheDepartmentterminatesthisAgreement,theSubrecipientshallfollowanyproceduresspecifiedintheterminationnotice.UponterminationofthisAgreementandinadditiontoanyotherrightsprovidedinthisAgreement,theDepartmentmayrequiretheSubrecipienttodelivertotheDepartmentanypropertyspecificallyproducedoracquiredfortheperformanceofsuchpadofthisAgreementashasbeenterminated.Iftheterminationisforconvenience,theDepartmentshallpaytotheSubrecipientasanagreeduponprice,ifseparatelystated,forproperlyauthorizedandcompletedworkandservicesrenderedorgoodsdeliveredtoandacceptedbytheDepartmentpriortotheeffectivedateofAgreementtermination,theamountagreeduponbytheSubrecipientandtheDepartmentforcompletedworkandservicesand/orequipmentorsuppliesprovidedforwhichnoseparatepriceisstated,partiallycompletedworkandservicesand/orequipmentorsuppliesprovidedwhichareacceptedbytheDepartment,(iii)otherwork,servicesand/orequipmentorsupplieswhichareacceptedbytheDepartment,and(iv)theprotectionandpreservationofproperty.Failuretoagreewithsuchamountsshallbeadisputewithinthemeaningofthe"Disputes"clauseofthisAgreement.Iftheterminationisforcause,theDepartmentshalldeterminetheextentoftheliabilityoftheDepartment.TheDepartmentshallhavenootherobligationtotheSubrecipientfortermination.TheDepartmentmaywithholdfromanyamountsduetheSubrecipientsuchsumastheDepartmentdeterminestobenecessarytoprotecttheDepartmentagainstpotentiallossorliability.TherightsandremediesoftheDepartmentprovidedinthisAgreementshallnotbeexclusiveandareinadditiontoanyotherrightsandremediesprovidedbylaw.Afterreceiptofanoticeoftermination,andexceptasotherwisedirectedbytheDepartmentinwriting,theSubrecipientshall:a.StopworkundertheAgreementonthedate,andtotheextentspecified,inthenotice;b.Placenofurtherordersorcontractsformaterials,services,supplies,equipmentand/orfacilitiesinrelationtothisAgreementexceptasmaybenecessaryforcompletionofsuchportionoftheworkundertheAgreementasisnotterminated;c.AssigntotheDepartment,inthemanner,atthetimes,andtotheextentdirectedbytheDepartment,alloftherights,title,andinterestoftheSubrecipientundertheordersandcontractssoterminated,inwhichcasetheDepartmenthastheright,atitsdiscretion,tosettleorpayanyorallclaimsarisingoutoftheterminationofsuchordersandcontracts;d.Settlealloutstandingliabilitiesandallclaimsarisingoutofsuchterminationofordersandcontracts,withtheapprovalorratificationoftheDepartmenttotheextenttheDepartmentmayrequire,whichapprovalorratificationshallbefinalforallthepurposesofthisclause;e.TransfertitletotheDepartmentanddeliverinthemanner,atthetimes,andtotheextentdirectedbytheDepartmentanypropertywhich,iftheAgreementhadbeencompleted,wouldhavebeenrequiredtobefurnishedtotheDepartment;f.CompleteperformanceofsuchpartoftheworkasshallnothavebeenterminatedbytheDepartmentincompliancewithallcontractualrequirements;andDHS-FEMA-HSGP-SHSP-FFY18Page19of38KittitasCountySheriffsOffice,E21-187 ATTACHMENT2185HSPInvestmentandRegionalProjectInvestmentJustificationWashingtoniscomprisedof39countieswithgeographyincludingforests,mountains,islands,rainforests,rivers,lakes,andplains.TheU.S.BureauofEconomicAnalysisrankedWashington13of50statesforgrossdomesticproductin2017;severalworld-classorganizationsheadquartertheiroperationswithinthestate.Washingtonhasmarine,aviation,rail,androadtransportationinfrastructuretosupportitspositionasabustlingtradecenter.ApproximatelyhalfofWashington's7.5millionpopulationlivesintheSeattlemetropolitanarealocatedalongthePugetSound.Thisareaisthecenteroftransportation,business,andindustryandisthefastestgrowingregioninthestate.Overthree-fourthsofthestate'spopulationlivesindenselysettledurbanizedareas.UnderstandingWashington'spopulationiscriticalinordertomitigatevulnerabilities,respondtoincidents,andeffectivelyconcentraterecoveryefforts.Washingtonissubjecttotennaturalhazardsandsevenhuman-causedhazards.TheTHIRAfocusesoneightofthoserisks:earthquake,tsunami,flood,biological[communicabledisease],wildfire,radiological,cyberincident,andterrorism.Planning,training,andexerciseeffortsarebeingrestructuredtoencompasstheentirespectrumofcatastrophicincidentswithinthiscontext.Washingtonsawfewsignificantchangesinthe2017CapabilitiesAssessment.-PublicInformationandWarning,whichhadbeenconsistentlyamongthestate'shighest-ratedcapabilitiessincethebeginningofcorecapability-basedSPRreporting,nolongerispresentasatop-ratedcapability.-ThelowestratedcapabilitieswereEconomicRecovery,HealthandSocialServices,CommunityResilience,andHousing-allessentialduringacatastrophicincident.-ThestrongestcapabilitieslieinResponseandlowestratedcapabilitieslieinRecovery.The2017SPRresultsrepeatedtheoverarchingthemeofprioryears:Stakeholdersateverylevelstruggletosustainemergencyresponsecapabilitieswithdwindlingresourcesandaresignificantlychallengedtoprepareforcatastrophicdisasters.Sincetheearly2000's,emergencymanagementfundingatthestateandlocallevelshavereducedsignificantlycausinganincreaseddependenceonfederalgrantstomeetnecessaryemergencymanagementrequirements.Asaresult,manyareasareinasustainmentmodewhenitcomestoemergencymanagementcapabilityandcapacity.Investment#3-RegionalHomelandSecurityProjectsTheStateisdividedinto9HomelandSecurityRegions,madeupof39counties,whichdifferinmanyrespectsincludinggeography(frommarinetodesert),majorindustry(fromlargebusinesstoagricultural),andpopulation(fromdenseurbansettingstoruralareas).EachRegiondevelopsprojectstoaddresstheirspecificrisksandhazardswhichsustainpreviouslybuiltcapabilitiesorcloseidentifiedgaps.Whilethecommunitiesmaydiffer,emergencymanagementprioritiesaresimilaracrossthestateandmostinitiativescanbetiedbacktobuildingregionalcapabilitytorespondandrecover,andbein"astateofreadiness"throughplanning,training,equipping,orexercising,shouldanaturalorhuman-causedcatastrophicincidentoccur.Ascommunicatedinthe2017THIRA,CapabilitiesEstimation,&SPR,gapshavebeenidentifiedinthefollowingcorecapabilities.DHS-FEMA-HSGP-SHSP-FFY18Page34of38KittitasCountySheriffsOffice,E21-187
