May20213version11KITTITASCOUNTYSHERIFFBysigningthisAgreementoractivatingaNumiPrepaidMastercard®cardonbehalfofanindividual,FacilityherebyacknowledgesandagreestocomplywithallthetermsandconditionscontainedinthisFacilityAgreement.PURPOSEistoensurethattheCardProgramisdistributedandadministeredinamannerthatcomplieswiththeFinancialRegulations.CapitalizedtermsusedbutnotdefinedhereinhavethemeaningsetforthinthesectionofthisAgreemententitled"Definitions".APPLICABILITYistoFacility,andallFacility'spersonnel,contractors,andagentsthatadministertheCardProgramfororonbehalfofFacility.THECARDPROGRAM.ByparticipationintheCardProgram,FacilitywillbeabletoreturninmatetrustfundsandotherpropertytopersonsreleasedfromincarcerationthroughtheuseofprepaidNetworkBrandedcards.ThisAgreementestablishestherequirementsandstandardsapplicabletoFacilityinparticipatingintheCardProgram.CARDHOLDERFEES.ThefeesassociatedwiththeCardProgram(s)coveredbythisAgreementareattachedasExhibitBandincorporatedhereinbyreference.FacilityacknowledgesthatithasselectedtheCardProgram(s)foritsconstituents.FacilityfurtheracknowledgesthatithasreviewedallofitsoptionsandalternativestotheCardProgramselectedandhaschosentheProgram(s)attachedheretoasExhibitB.CARDPROGRAMSUBSIDIES.AtanytimeaFacilitymayselectaCardProgramthatprovidesfortheFacilitycoveringalloraportionofthetotalcostoftheCardProgramsuchthattheCardholderfeesarereducedoreliminated.IntheeventthataFacilityselectssuchaCardProgram,thetermsofpaymenttoNumiforthesecostsareoutlinedinExhibitC,ifapplicable.MANDATORYCARDDISTRIBUTIONGUIDELINES&PROCEDURESOperatingGuidelines.NumiacceptsFacilityasanindependentdistributoroftheCardssubjecttothetermsandconditionsofthisAgreement.FacilitywillcomplywithapplicableFinancialRegulations,includingbutnotlimitedtoregulationssetforthbytheOfficeofForeignAssetsControl(OFAC).FacilitywillcooperatewithNumitotheextentnecessaryinordertoensurecontinuedcompliancewiththeFinancialRegulations.FacilityacknowledgesthatFinancialRegulationsaresubjecttochange,andshouldamaterialchangetotheseregulationsoccur,NumiwillnotifyFacilityofthatchangeandFacilitywillcomplywiththeFinancialRegulations,aschanged.CONFIDENTIALANDPROPRIETARYINFORMATION:ThecontentofthisdocumentcontainsProprietaryInformationandisnotreleasablewithouttheexpressconsentofNumiFinancial.Page1of11 May2020Version11Receipts.FacilitymusthaveallCardholderssignthefederallyrequiredPrepaidCardReceipt("PCR")fortheirCard(SeeExhibitA)ortheSignatureReceiptimplementedthroughthefacility'ssoftwareprovider.TheTermsandConditions,asrequiredbelow,mustalwaysaccompanytheCarduponCardissuance.IntheeventthatFacilityutilizestheSignatureReceiptinsteadofthePCR,theCardholdersmustsigntheSignatureReceiptuponreleaseandbeforebeingprovidedwiththeirCard.TheSignatureReceiptmustcontainthefollowinglanguageorlanguagesubstantiallysimilartothelanguageoutlinedbelow:"IherebyauthorizeandrequestthereturnofmyfundsontheNumiPrestigeMastercard®andconfirmreceiptoftheCardholderAgreement.IunderstandtheCardisactiveandtheremaybefeesassociatedwiththeuseoftheCard.ThosefeesarelistedintheCardholderAgreement..IfurtherunderstandthatImaychoosenottousethecardandcanrequestacheckbemailedtomeinaccordancewiththetermssetforthintheCardholderAgreement."Toestablishcompliancewithfederalrequirements,NumimayrequesttheapplicablePCRortheSignatureReceiptfromFacilityforuptotwo(2)yearsaftertheexecutionoftherequiredreceiptbyanyCardholder.Assuch,Facilityisrequiredtoretainthesereceiptsforaperiodoftwo(2)years.CardRegistration.WhendisbursingfundsusingCards,FacilitywillcollectandsubmittoNumithefollowinginformation:(a)Cardholder'sfullnameanddateofbirtharerequiredtobecollectedforallCardholders;(b)UponNumi'srequest,theCardholder'sAddress,PhoneNumber,SocialSecurityNumberand/orotheridentifyingdocumentmayberequestedtoensurecompliancewiththeFinancialRegulations.FacilitywillalsocollectandsubmitsuchadditionalinformationthatNumirequiresfromtimetotimeinordertoensurecompliancewiththeFinancialRegulations.DeliveryofTerms&ConditionstoEachCardholder.FacilitymustobtainaPCRand/orSignatureReceiptandalsodistributetheCardholderTermsandConditionsandothersupportingdocumentationrequiredbyNumitoeveryindividualreceivingaCard.NumiwillprovideFacilitywithtrainingregardingthedistributionoftheCardholderTermsandConditionsandsupportingdocumentationandFacilitywillabidebysuchtrainingtoensurethatthesematerialsareprovidedtotheCardholdersasrequired.CardOrdering.NumiwillmanagethereplenishmentofCardinventorysuchthatthereisalwaysatleastoneweekofestimatedCardrequirementsonhandateachFacilitylocation,basedona90daytrailingactivationrate.CONFIDENTIALANDPROPRIETARYINFORMATION:ThecontentofthisdocumentcontainsProprietaryInformationandisnotreleasablewithouttheexpressconsentofNumiFinancial.Page2of11 flUrni"NumireservestherighttonotdeliveranyadditionalCardstoFacility,andtocancelorlockanyandallCardsatFacility,ifFacility(i)failstomakeanypaymentpursuanttotheCardProgram,includingbutnotlimitedtoreimbursingIssuingBankforfundsloadedontoCards,or(ii)otherwisefailstocomplywiththetermsandconditionsofthisAgreement.NumiwillperiodicallyshipCardstoFacility'sdesignatedlocations.Cardordersmustbesignedforuponarrival.TheCardsarefinancialinstrumentsand,assuch,theFacilitymustensurethattheCardsareplacedatthetimeofreceiptinasecurestorageareaandthatproperphysicalandproceduralsecuritypoliciesareimplementedandfollowedtoensurethetrackingandmonitoringoftheCards.CardSecurity.TheCardsmustbehandledbyFacilityinaccordancewithsecurityrequirementsestablishedbyFinancialRegulations,includingpoliciesandguidelinesofMastercard®,thelssuingBank,andindustrybestpractices.ThesesecurityrequirementsareincorporatedintothisAgreementbyreferenceandmustbeimplementedbyFacilityatalllocationsthatstoreanddistributetheCards.FacilitywillmaintainphysicalsecurityoftheCardsatalltimes.FacilitywillstoretheCardsinacontrolledenvironment,suchasasafeorlockedstoragedevice,withaccesslimitedtoemployeeswhohavesuccessfullypassedbackgroundscreeningchecks.CardinventoryissubjecttoauditbyNumiortheIssuingBankwithatleast10daysadvancenotice.FacilitywilldeliveracompletedcertifiedinventoryreporttoNumiatleastonceperyear,oranytimeuponNumi'srequest,thataccountsforallCards.FacilitywillmaintainaninventorylogofthenumberofCardsspoiled(e.g.cardsthatcannotbeusedduetodamage,tamperingorexpiration).FacilitywillpromptlyreponanyinventorydiscrepancytoNumiviaanelectronicmailcommunicationtocorrections@numifinancial.comorbycontactingNumiat760-444-5525.Facilitywillproduceanyoftheabove-mentioneddocumentationuponNumi'srequestatanytimeduringtheaudit.CardReturnorDestruction.NumimayrequestthereturnofunusedCardsininventoryfordestructionforreasonsincluding,butnotlimitedto,thefollowing:(a)Cardsarecompromisedortamperedwith;(b)Cardstockexpired;(c)Cardsaredamagedordefective;or(d)CardProgramisterminatedUponreceiptofarequestfromNumi,FacilitywillsecurelypackageanyCardstobereturnedandwillincludeacompletedinventorylogwiththeshipment.Alternatively,atthedirectionofNumi,FacilitymaydestroyanydefectiveordamagedCards,andcertifytheirdestructionbyanymethodspecifiedintheMastercard®guidelines(currentlyavailableathttp://www.Mastercard.us/terms-of-use.html).AtemplateforcedifyingtheCard'sdestructionisCONFIDENTIALANDPROPRIETARYINFORMATION:ThecontentofthisdocumentcontainsProprietaryInformationandisnotreleasablewithouttheexpressconsentofNumiFinancial.Page3of11 availableuponrequestbyelectronicmailtocompliance@numifinancial.com,orbycontactingNumiat760-444-5525.MailingCardsProhibited.MailingCardsisstrictlyprohibitedunderthetermsofthisAgreement.DONOTmailactivatedcards.Thisisforyourprotection.MailingactivatedCardsputstheFacilityandtheCardrecipientsatriskforpotentialfraudandsecurityissues.NumiwillnotberesponsibleforanyfraudulentactivityorsecurityissuesthataredirectlyorindirectlyrelatedtothemailingofactivatedCards.Sincethisisnotanapprovedpractice,FacilitymustdefendandfullyindemnifyNumiforanycosts,claimsorlossesarisingoutoforrelatedtothemailingofCards.IftheFacilitywouldliketomailcardstoindividuals,thencontactNumiimmediatelytoobtainaCardProgramthatisdesignedformaileddistribution.SystemSecurity.Neitherpartywilltransmitordisseminatetotheotherparty,theotherparty'sserviceproviders,ortheirrespectivenetworksorsystemsanyviruses,Trojanhorses,worms,timebombs,cancelbots,orothercomputerprogrammingroutines(collectively,"Viruses")thatareintendedtodamage,detrimentallyinterferewith,surreptitiouslyinterceptorexpropriateanysystem,data,orpersonalinformation.Eachpartywillusethen-currentindustrystandardsecurityandantivirustoolstodetectandeliminateViruses.LoadLimits.UnlessotherwiseauthorizedinwritingbyNumi,theCardProgram(s)coveredbythisAgreementallowstheFacilitytodisburseuptoatotalof$9,999perCardholderininmatetrustfundsupontheinmate'sreleasefromtheFacility.ReimbursementofLoadedFunds.Facility,orFacility'sassignedFiduciaryBankingAgent,mustensurethatthereareadequatefundsavailableandaccessibletoIssuingBanktocovertheFacility'sdailyCardloadingactivity.IfaFacilitychoosestohavetheobligationsofthissectionperformedbyaFiduciaryBankingAgent,boththeFacilityandtheFiduciaryBankingAgentmustexecuteacopyofthisAgreementwithNumi.Inaddition,Facility,orFacility'sFiduciaryBankingAgent,mustexecutetheseparateACHauthorizationagreement.TheACHauthorizationwillremaininfullforceandeffectuntilNumireceiveswrittennoticeofterminationasrequiredinthisAcknowledgment.Uponreceiptofthenoticeoftermination,NumiwillinformtheIssuingBankthatisperformingtheACHactivitiesofsuchtermination.FacilityunderstandsthattheunsuccessfulcollectionoffundsbyIssuingBankwillresultintheimmediatesuspensionoftheCardProgramatFacilityuponnoticebyNumiofthebreachofthisfundingobligation,andNumiwillhavetheunilateralrighttosuspendorterminatetheCardProgramattheFacility.TheFacility,orFacility'sassignedFiduciaryBankingAgent,agreesitwillnotinitiateareturnorstoppay,withtheirbank,foranyACHsettlementitemfortheCardloadingactivity.IftheFacilityorFacility'sassignedFiduciaryBankingAgenthasanyissues,objectionsordiscrepanciesregardingtheamountsoftheACHitems,theFacilityshouldcontactNumidirectlytoresolve.CONFIDENTIALANDPROPRIETARYINFORMATION:ThecontentofthisdocumentcontainsProprietaryInformationandisnotreleasablewithouttheexpressconsentofNumiFinancial.Page4of11 ODFI.FacilityauthorizestheOriginatingDepositoryFinancialInstitution(ODFI)designatedbyNumionbehalfofIssuingBanktoinitiateaDAILYACHdebitentryfortheentirebalanceofalldailyCardloadactivitybyFacility.ThedailyACHwillbedebitedfromthebankaccountprovidedordesignatedbyFacilityintheseparateACHagreementbetweenNumiandFacility.IntheeventthatFacilityfailstoauthorizetherequiredorotherwisedefaultsonitsfundingobligationsunderthisAgreement,FacilityacknowledgesthatitisliableforthefundsoutstandingandbothNumiorODFImaypursueacollectionaction.UnauthorizedFacilityActivities.NumihastheunilateralriqhttosuspendorterminatetheCardProgramiftheFacilityfailstopedormitsdutiesasoutlinedherein,orothenNÍSefailstocomplywiththeFinancialRequlationsortherequirementssetforthinthisAqreement.AbreachofanyofthedutiessetforthbelowshallconstituteanunauthorizedFacilityActivityandabreachofthisAgreement.•DeliveryoftheCardholderAgreement.•DeliveryofCardholdereducationalmaterials.•Delivery,executionandstorageofthePrepaidCardReceipt("PCR").•Delivery,executionandstorageoftheSignatureReceipt,ifapplicable.•Inventorysecurity.•MailingCardswithoutobtainingpriorwrittenapprovalfromNumi.•IssuingtwoormoreCardstothesameindividualwithoutfirstnotifyingNumiinwriting.•ActivatingaCardonanydayotherthanthedaythecardistobeprovidedtotheCardholder.IfNumideterminessuchafailureexists,NumiwillnotifyFacilityinwriting,and,ifreasonablycapableofbeingcorrected,Facilitywillhave3businessdaysafterthereceiptofnotificationtocorrectthefailurebeforeNumiterminatestheCardProgram.IfNumideterminesthattheviolationcannotbecuredwithintherequiredtimeframe,NumihastherighttoterminateorsuspendtheCardProgramimmediately.DesignatedCardProgramUse.InadditiontoinmatereleaseCardprograms,NumicanprovideCardprogramsdesignedforspecificapplicationssuchastrustfunddisbursementstoFriendsandFamily,WorkReleaseprograms,andotheragencydisbursementactivities.UseofaCardProgramforitsunintendedpurposeisaviolationofthisAgreement.PleasecontactNumiifyouareinterestedinadditionalCardprograms.Training.Facility,withtheassistanceofNumiasneeded,willprovidesufficienttrainingforallemployees,representatives,contractorsorotherindividualsconductingtheCardProgramtoensurecompliancewiththeFinancialRegulationsandthisAgreement.CONFIDENTIALANDPROPRIETARYINFORMATION:ThecontentofthisdocumentcontainsProprietaryInformationandisnotreleasablewithouttheexpressconsentofNumiFinanciaLPage5of11 (1UfYllMay2020ersion11CustomerService.NumiisresponsibleforprovidingcustomerserviceforissuesrelatedtotheCardProgramtobothFacilityandtheCardholders.FacilitywillcooperatewithNumiinprovidingcustomerservicetoCardholdersandwillprovidesuchinformationanddocumentsinFacility'spossessionorcontrolthatNumireasonablyrequestsfromtimetotimeinconnectionwithprovidingcustomerservicetoCardholders.FacilityunderstandsandacknowledgesthatNumi'sCardProgramisacomplexcombinationofhardwareandsoftwarethatishostedbyandinterfacedwithotherserviceproviders,assuch,operationalfailures,malfunctionsandothererrorsmayoccurresultingin,amongotherthings,Cardaccessdenialsand/ordelays,andperiodsofsuspendedservicetoFacilityandCardholders.FacilitywillnotifyNumiand/orterminalsoftwareproviderofCardProgramrelatedoperationalissuesimmediately,andNumiwillusecommerciallyreasonableeffortstominimizesuchissues.GENERALPROVISIONS.AdvertisingandMarketingMaterials.FacilitywillonlyuseProgramMaterialsprovidedbyNumiinconnectionwithitsconductoftheCardProgram.FacilitywillnotalterormodifyanyProgramMaterialswithouttheexpresspriorwrittenconsentofNumi.AuditRights.FacilityacknowledgesthatMastercard®,IssuingBankandanyregulatoryauthorityoranygovernmentalagencywithjurisdictionoverNumiorIssuingBank,totheextentrequiredbysuchauthorityoragency,mayperformanexaminationofFacilitywithrespecttotheCardProgramandFacility'scompliancewithitsobligationshereunder.Numimayperformone(1)on-siteauditofFacilitypercalendaryear,upon10dayspriorwrittennoticetoFacility.AsNumideterminesinitsdiscretion,NumimaypelformanyadditionalauditsofFacilitywithoutnotice,providedthatsuchauditsdonotunreasonablyinterferewiththeFacility'soperationofthejail,detentioncenterorcorrectionalfacility.Facilitywillcooperateandprovideanyinformationthatmayberequiredinconnectionwithanysuchexaminationoraudit.FacilitywillalsoprovideanyinformationthatMastercard®,anyregulatoryauthorityoranygovernmentalagencywithjurisdictionoverNumiorIssuingBankrequiresinconnectionwithanexaminationofNumiorIssuingBankorthatmayberequiredfromtimetotimewithrespecttothefinancialconditionandsecurityandbusinesspracticesofFacility.ChangestoCardProgram.AsbetweenFacilityandNumi,FacilityagreesthatNumiortheCardIssuingBankmayinitssolediscretion,duetoregulatory,market,economicorotherfactors,modifyanyaspectoftheCardProgramincludingcardprogrampricing,Cardholderfees,CardholdereducationmaterialsandCardholderidentificationrequirements.NoticeofanyCardProgrammodificationwillbeprovidedinwritingtotheFacilitypriortoanysuchmodificationtakingeffect.UponreceiptofwrittennoticeofaCardProgrammodificationFacilityherebyagreestoabidebysuchmodificationsinconnectionwithitsobligationsasoutlinedinthisAgreement.CONFIDENTIALANDPROPRIETARYINFORMATION:ThecontentofthisdocumentcontainsProprietaryInformationandisnotreleasablewithouttheexpressconsentofNumiFinancial.Page6of11 May2020version11Confidentiality.FacilityagreestokeepallinformationabouttheCardProgram,theCardsandtheCardholdersaccessed,obtainedorcollectedinconnectionwiththeCardProgram(the"Information")confidentialatalltimesexceptasrequiredbylaw.Inaddition,FacilitymaynotuseordisclosetheInformationexcepttoconducttheCardProgramandtodisclosetheInformationtothoseofitsdirectors,officers,agents,andemployeeswhohaveareasonableneedtoknowitinordertoconducttheCardProgram.PriortodisclosingthisInformation,however,FacilitywillinformthepersontoreceivetheInformationofitsconfidentialnatureandtheobligationsofnondisclosureandconfidentialityasdefinedhereinandFacilitywillberesponsibleforanybreachofsuchobligationsbysuchperson.FacilityacknowledgesthatitisnotauthorizedtoretainanyInformation.TheforegoingdoesnotapplytoinformationthatFacilityaccessesorreceivesexclusivelyintheordinarycourseofitsbusinessofoperatingajail,detentioncenter,orcorrectionalinstitution.Subjecttoallapplicablestateandfederalbankingregulationsandexcepttotheextentasrequiredbylaw,subpoena,orcourtorder,NumishallkeepallpersonallyidentifiableinformationabouttheCardholdersobtainedorcollectedinconnectionwiththeCardProgram(the"PersonallyIdentifiableinformation")confidentialatalltimes.EntireAgreement.ThisAcknowledgmentsupersedesanyandallpriorwrittenororalagreementsorotherwrittencorrespondencebetweenthepartiesandconstitutestheentireagreementbetweenNumiandFacility.MutualIndemnification.Facilityagreestothefullestextentofthelawthatexceptfortheamount,ifany,ofdamagecontributedto,causedby,orresultingfromthenegligenceorbreachofthisAgreementbyNumi,FacilitywillindemnifyandholdharmlessNumi,itsofficers,employeesandagentsfromandagainstanyandallliability,damage,claims,demands,costs,judgments,fees,attorneys'feesorlossarisingdirectlyoutofthenegligentactsoromissions,Cardand/orCardProgrammisuse,and/ortheft,orfrombreachofthisAgreementbyFacility,Facility'spersonnel,orthirdpartiesunderthedirectionorcontrolofFacility,andtoprovidedefenseforanddefend,atitssoleexpense,anyandallclaims,demandsorcausesofactiondirectlyorindirectlyarisingoutoftheactsoromissionsreferredtointhisparagraphandtobearallothercostsandexpensesrelatedthereto.WiththeexceptionofanyissuedirectlyorindirectlyrelatedtotheFacility'sunauthorizedmailingofCards,Numiagreestothefullestextentofthelawthatexceptfortheamount,ifany,ofdamagecontributedto,causedby,orresultingfromthenegligenceorbreachofthisAgreementbyFacility,NumiwillindemnifyandholdharmlesstheFacility,itsofficers,employeesandagentsfromandagainstanyandallliability,damages,claims,demands,costs,judgments,fees,attorneys'feesorlossarisingdirectlyoutofthenegligentactsoromissionsorbreachofthisAcknowledgmentbyNumi,Numi'spersonnelorthirdpartiesunderthedirectionorcontrolofNumi,andtoprovidedefenseforanddefend,atitssoleexpense,anyandallclaims,demandsorcausesofactiondirectlyorindirectlyarisingoutoftheactsoromissionsreferredtointhisparagraphandtobearallothercostsandexpensesrelatedthereto.CONFIDENTIALANDPROPRIETARYINFORMATION:ThecontentofthisdocumentcontainsProprietaryInformationandisnotreleasablewithouttheexpressconsentofNumiFinancial.Page7on1 May2020version11PressReleases/Publicity.NumiandFacilityeachagreenottoissueanypressreleaseorpublicstatementsregardingFacility'sparticipationintheCardProgramwithouttheother'spriorconsent.(FacilitiesbasedinFlorida-pleasestrikethisSectionandrefertoExhibitE)PublicRecordsRequest.UponreceiptbyFacilityofapublicrecordsrequestforacopyofthisAgreementoranyothercardprogrammaterials,FacilityherebyagreestoinformNumiinwritingofanysuchrequestpriortoprovidinganyoftherequestedmaterialstothepartyinitiatingthepublicrecordsrequest.(FacilitiesbasedinFlorida-pleaseignorethisSectionandrefertoExhibitE)ReleaseMethods.Facilityhastheauthority,initssoleandabsolutediscretion,tochoosewhichmethodormethodsareusedtoreturninmatetrustfundbalances.TotheextentFacilityutilizesdigitalpaymentsandprepaidcardsforthispurpose,tolimitconsumerconfusionandallowforNumitoprovidepropercustomersupport,solongasthisAgreementisinplace,FacilitywilluseNumiasitsexclusivepaymentsolutionproviderforsuchprepaidcards.TermofNon-DisclosureObligation.TheobligationsofnondisclosureandconfidentialityundertakenhereinwillcontinueforaslongasFacilitywishestoutilizeNumiproductsforanypurpose,orlongerifrequiredbyFinancialRegulations.Termination.ThisAgreementmaybeterminatedbyFacilitywithorwithoutcausebyprovidingninety(90)dayswrittennoticetoNumi.NumimayterminatetheCardProgramandthisAgreementimmediatelyifamaterialbreachofthisAgreementisnotcuredwithin(3)businessdaysofreceiptofwrittennoticeofsuchbreachfromNumi.NumimayalsoterminatethisAgreementiftheissuingBankoranyregulatoryauthorityorgovernmentalagencywithjurisdictionoverIssuingBank,theCardProgram,orNumirequestssuchtermination.Upontermination,FacilitywillreturnallunusedCardinventoryandCardholdereducationmaterialstoNumi.Definitions•"Agreement"meansthisFacilityAgreement.•"Card"meansaNumiPrestigePrepaidMastercard®cardissuedthroughtheCardProgram.•"CardholderAgreement"meansthetermsandconditionsagreementthatmustbedistributedtotheCardholderbytheFacilityinconnectionwithCarduse.TheCardholderAgreementisattachedasExhibitB.•"Cardholder"meansanindividualwhoreceivesaCard.•"CardProgram"meanstheNumiPrestigePrepaidMastercard®program.CONFIDENTIALANDPROPRIETARYINFORMATION:ThecontentofthisdocumentcontainsProprietaryInformationandisnotreleasablewithouttheexpressconsentofNumiFinancial.Page8of11
