Adjourn Created on 2/21/2020 8:18:38 AM KITTITAS COUNTY PUBLIC WORKS STUDY SESSION MINUTES COMMISSIONERS' AUDITORIUM, 205 WEST 5TH ROOM 109 - ELLENSBURG Regular Meeting MONDAY 1:30 PM FEBRUARY 24, 2020 Board members present: Chairman Brett Wachsmith, Vice -Chairman Laura Osiadacz, Commissioner Cory Wright Others: Mark Cook, Candie Leader, Public Works; Dan Carlson, Calvana Carper, Lindsey Ozbolt, Community Development Services; Jason Eklund, Jesse Potts, IT; Six (6) Members of the Public At 1:30 pm Chairman Brett Wachsmith opened the Public Works Study Session. REQUEST TO APPROVE AN AIRPORT USE AGREEMENT WITH AIRPAC AIRLINES, INC. Mark Cook clarified that the item being presented for consideration is an airport task that staff was working on prior to the hiring of the new Airport Director. Mark Cook gave background on the use agreement and explained that staff felt it was appropriate to enter into a use agreement to collect monetary fees to support the maintenance of Bowers Field. Mark Cook continued that he reached out to Century West Engineering to see what other airports in the region charge for these types of agreements. Mark Cook added that staff felt a per landing fee was the correct route to go. Discussion was held. Vice -Chairman Laura Osiadacz made a motion to approve Resolution 2020-029 Approving an Airport Use Agreement with AirPac Airlines, Inc. Chairman Cory Wright seconded the motion. Motion passed 3-0. REQUEST TO APPROVE A NOTICE OF CALL FOR SEALED BIDS FOR THE UPPER KITTITAS COUNTY MAINTENANCE FACILITY Mark Cook gave background on the project and stated that the bid package is now ready to be advertised for contractors to submit sealed bids. Mark Cook stated that the project wili be advertised for three (3) weeks with the bid opening on March 19th, 2020. Discussion was held. Vice -Chairman Laura Osiadacz made a motion to approve the Notice of Call for Sealed Bids for the Upper Kittitas County Maintenance Facility. Commissioner Cory Wright seconded the motion. Motion passed 3-0. STOUGARD LANE NAMING DISCUSSION Mark Cook stated that recently a private road name application was submitted from Kayla Carlson requesting the use of Stougard Lane to be used within a private development that was completed by Kayla 2020-02-24 MINUTES Carlson's father, Mike Stougard. Mark Cook explained the process of road naming and working in conjunction with KITTCOM in the approval of roads being established in Kittitas County. Mark Cook referenced the Public Works' road naming standards specifically page three (3) number eight (8) outlining surname use. Mark Cook continued that the request did not meet the standards and KITTCOM denied the use of Stougard Lane which Public Works supported. Mark Cook added that he felt it was appropriate for Kayla Carlson to address the Board of County Commissioners on the request. Kayla Carlson spoke on the issue. Discussion was held. Chairman Brett Wachsmith asked the Board for direction to be given. Vice -Chairman Laura osiadacz made a motion to approve the use of Stougard .Lane as requested. Commissioner Cory Wright seconded the motion. Motion passed 3-0. PUBLIC FACILITY AWARDS FOR 2020 Mark Cook explained the process by Conference of Governments (COG) in awarding the public facility funding. Mark Cook stated that COG recommended funding the economic development groups but did not award any other funding due to updates that were omitted on the application. Mark Cook continued that a second call for applications was done and those projects were reviewed and scored. Mark Cook added that the recommendations for the remaining applications were over allocated and staff went back to COG to explain the amount of funding available. Mark Cook stated that at the most recent meeting COG made recommendations within the allowed funding amount but declined to fund the Fire District No. 1 project along with the Snoqualmie Pass Utility District (SPUD) project. Mark Cook explained the recommended funding amounts and added that the Board of County Commissioners (BOCC) does have the authority to amend the recommendation. Mark Cook continued that the SPUD project is important due to the new water right it is creating for Kittitas County and suggested the BOCC consider using two hundred and fifty thousand dollars ($250,000) of reserve funding to go towards the project. Discussion was held. Commissioner Cory Wright made a motion to approve the recommendation by COG and award two hundred and fifty thousand ($250,000) to SPUD. vice -Chairman Laura Osiadacz seconded the motion. Motion passed 3-0. FLOODPLAINS BY DESIGN Mark Cook stated that he had been participating in a group for Floodplain by Design revamping the program. Mark Cook gave background on the group and explained that he received a call from Bob Carey two (2) weeks ago requesting his commitment to the group. Mark Cook continued that with his work load he had not been able to attend the scheduled meetings and conference calls. Mark Cook requested direction from the Board of County Commissioners on the level of participation they would like to see from him. Discussion was held. AND PCALG 208 LEASING COMPANY, LLC ("Airpac"), a company authorized to do business in the State of Washington (collectively referred to as the "parties"); and WHEREAS, Airpac is a certified airline cargo service provider which intends to provide cargo services under contract for UPS (United Parcel Service) at the Kittitas County Bowers Field Airport ("Airport"), and the parties hereto desire to set forth the operating privileges and responsibilities of Airpac at the Airport; and WHEREAS, this Airport Use Agreement herein referred to as the "Agreement" is made in accordance with Chapter 19.04 of the Kittitas County Code ("KCC") and is subject to said code, as amended; and NOW THEREFORE, in consideration of the mutual promises made in this Agreement, the parties agree as follows: 1. PREMISES: The County hereby agrees to allow Airpac access to Bowers Field for the delivery of cargo to UPS employees for distribution. 2. PURPOSE: The purpose of this Agreement is to allow Airpac access to the Airport premises for the purposes of the delivery of cargo to the residents of Kittitas County. 3. TERM: The term of this Agreement shall be for one (1) year and will commence on the date of last signature of the parties hereto. This Agreement may, at the option of Airpac and acceptance by the County, be renewed from year to year in accordance with the terms and conditions herein specified. 4. USAGE FEE: Airpac shall pay to the County the total sum often dollars ($10.00) per landing for the first 100 landings in a one-year period and then five dollars ($5.00) for every landing thereafter in the same year. A monthly payment is due within ten days (10 days) from the last day of the month. Airpac shall provide a landing record with each payment. 5. ADJUSTMENT OF USAGE FEE: Following the completion of the initial term of this agreement, the County shall have the right to readjust the usage fee by negotiation with Airpac for any year-to-year renewal term, but it is agreed that the fee shall not exceed twenty percent (20%) of the previous year's fee. PAGE ' KITTITAS COUNTY AIRPORT USE AGREEMENT 6. PRENUSES ACCESS: For the duration of this Agreement, Airpac employees, agents, contractors, and invitees shall have ingress to and egress from the Airport and the Airport premises. The primary aeronautical access point shall be the West drive-thru gate. Kittitas County may allow a single additional access pedestrian access point during the duration of this agreement. Airpac acknowledges and accepts full responsibility for compliance with all applicable rules and regulations of the Federal Aviation Administration as set forth from time to time relating to Airpac's use of the airport. Airpac fully understands and acknowledges that any security or access measures deemed necessary by the parties for the protection of any Airport premises, or equipment and property and access to the Airport through the Airport premises shall be the sole responsibility of Airpac and shall involve no cost to the County, unless agreed upon otherwise. 7 OPERATING CERTIFICATES: Airpac shall provide the Kittitas County Department of Public Works with copies of all current operating certificates and other documents relating to Airpac authority to continue its operations at the Airport as the County may reasonably request. S. DISCLAIMER: Airpac agrees to accept all Airport premises on an "as is" basis. Further, the County hereby disclaims, and Airpac accepts such disclaimer, of any warranty, either express or implied of the condition and usability of any of the Airport premises. The County shall not be under any duty or obligation to Airpac to repair or maintain the Airport premises, or any portion thereof, or any facilities or equipment constructed thereon. The County shall not be responsible or liable to Airpac for any claims for compensation for any losses, damages, or injury, including lost profits, sustained. by Airpac resulting from failure of any water supply, heat, air conditioning, electrical power, or sewer or drainage facility, or caused by the natural physical conditions on the Airport, whether on the surface or underground, including stability, moving, shifting, settlement of ground, or displacement of materials by fire, water, windstorm, tornado, act of God, or state of war, civilian commotion or riot, or any other cause or peril beyond the control of the County, except to the extent covered by the County's insurance. 9. RULES AND REGULATIONS: Airpac agrees to comply with all pertinent rules and regulations of the federal, state and local governments, as well as the rules, regulations, ordinances, and minimum standards of the Airport, as are presently in effect and may in the future be adopted. The rules, regulations, ordinances and minimum standards of the Airport are made a part of this Agreement and shall have the same effect as though written herein. A copy of the Kittitas County Airport Standards is on file in the office of the Kittitas County Department of Public Works. 10. INSURANCE: Airpac shall obtain and maintain in force during the term of this Agreement a liability insurance policy, which provides protection for bodily injury (including death) and property damage. Said insurance shall provide coverage by Airpac to any employees or permittees of Airpac and shall name the County as an additional insured. PAGE 2 KITTITAS COUNTY AIRPORT USE AGREEMENT a. Liability insurance policy shall have the following provisions, at a minimum: i. Premises liability coverage in an amount not less than $1,000,000 each occurrence. ii. Provide for not less than thirty (30) days in advance a written notice to Kittitas County regarding any material change or termination of the policy. b. Airpac hereby releases the County of and from every and all right, claim and demand that Airpac may hereafter have against County, its successors or assigns, arising out of or in connection with any loss or losses occasioned by fire and such items as are included under the normal extended coverage clauses of insurance policies, and does hereby waive all rights of subrogation in favor of insurance carriers against County arising out of any losses occasioned by fire and such items as are included under the normal extended coverage clauses of fire insurance policies, and sustained by Airpac in or to the said Airport premises. c. Airpac shall provide the County with a copy of said insurance policy upon reasonable request by the County. 11. INDEMNIFICATION: Each party herein shall defend, indemnify, and hold the other party, its successors and assigns, and the respective directors, officers, employees, insurers, agents and representatives of the other party completely harmless from and against any and all claims, suits, demands, actions, liabilities, losses, damages, judgments, or fines arising by reason of injury or death of any person, or damage to any property, including all reasonable costs for investigation and defense thereof (including, but not limited to, attorney fees, court costs and expert fees) of any nature whatsoever arising out of that party's conduct at the Airport, or in its use or occupancy of the Airport premises, regardless of where the injury, death, or damage may occur, except to the extent such injury, death, or damage is caused by the negligent act or omission or willful misconduct of the other party. Any personal property of Airpac or of others placed in the Airport premises or placed anywhere on the Airport shall be at the sole risk of Airpac or the owners thereof and the County shall not be liable for any loss or damage, except to the extent such loss or damage was caused by the negligence of the County. The provisions of this Section shall survive the expiration or termination of this Agreement. 12, AIRPORT TRAFFIC: It is understood and agreed that the Airpac's use of the Airport premises shall not unreasonably interfere or restrict the use of aircraft landings, take -offs, storage of aircraft, taxiing, and movement of ground vehicles. Airpac shall comply with all rules and regulations of the Federal Aviation Administration, Washington State Department of Transportation Aeronautics Division, and the Kittitas County Airport Standards. 13. FIREARMS: Hunting or discharging of firearms will not be permitted on or from said Airport premises. PAGE 3 KITTITAS COUNTY AIRPORT USE AGREEMENT 14. NOTICES: Any notice given by one party to the other in connection with this agreement shall be in writing and shall be sent by certified or registered mail, return receipt requested as follows: a. If to the County, addressed to: Kittitas County Department of Public Works 411 N. Ruby, Suite #1 Ellensburg, Washington 98926 b. If to Airpac, addressed to: Airpac Airlines Mailing Address: 7277 Perimeter Road South #106 5005 E Anderson Ave Seattle, Washington 98108 Fresno CA 93727 Notice shall be deemed to have been received on the third day after the date of mailing. 15. ATTORNEY FEES: In the event that the County shall bring suit to recover any usage fees due hereunder, or for breach of any provision of this Agreement, or if Airpac shall bring any action for any relief against County, declaratory or otherwise, arising out of this Agreement, the prevailing party shall recover reasonable attorney fees and costs which shall be determined and taxed by the court as part of the costs of such action. 16. RIGHTS OF THE U.S. GOVERNMENT: The County holds title to the Kittitas County Bowers Field Airport partially by virtue of a deed from the United States Government. A copy of said deed is available for inspection at the office of the Kittitas County Department of Public Works, hereto and made a part of this instrument as though fully set forth herein. Airpac agrees that it will do nothing which will cause the County to be in violation of the terms of said deed. Airpac fiu-thermore agrees that it has had ample opportunity to review said deed and is aware of all of the terms and conditions therein. 17. ASSIGNMENT: This Agreement is for Airpac only and cannot be transferred or assigned without first obtaining the written consent of the County, 18. BANKRUPTCY: It is further agreed and understood that in case of the insolvency or bankruptcy of Airpac, or any assignment for the benefit of creditors or the appointment of a receiver for the Airpac, this Agreement shall be immediately terminated and shall be of no further force and effect, and that the Trustee in Bankruptcy, Receiver, or Assignee for the benefit of creditors shall not have any rights whatsoever in the Airport premises. 19. DEFAULT: In the event that one of the parties herein fails to comply with any commitments, duties or responsibilities under this Agreement, or any of its conditions or terms as herein stated, the non -breaching party must give written notice to the breaching party of the breaching party's failure to comply. If such condition is not corrected within ten (10) days from the date of notice, the non -breaching party may choose to terminate this Agreement. PAGE 4 KITTITAS COUNTY AIRPORT USE AGREEMENT 20. MODIFICATION OR TERMINATION: It is understood by the parties that the County may modify the terms of this Agreement in whole or in part if any regulation governing airports or county property is amended in a way that impacts the County's ability to comply with the terms stated and contemplated herein. For the purposes ofthis section, "regulation" is defined to include, but is not limited to: case law interpreting any rule or regulation; any federal rules and regulations, including Federal Aviation Administration rules and regulations; state rules and regulations; and local rules, regulations and ordinances. a. In the event that County shall elect to modify or terminate this Agreement, County shall do so only upon one hundred twenty (120) days written notice, notifying Airpac that the Agreement to which this applied is being so modified or terminated. b. Upon receipt of such notification, and in the event the notification specified modification of the Agreement short oftermination, Airpac shall have sixty (60) days in which to notify the County of Airpac's intention to continue the Agreement as modified or of Airpac's intention to treat the Agreement as terminated. c. In the event that Airpac elects to treat the Agreement as terminated, all usage fees shall be pro -rated to the date Airpac shall have restored the premises to the County in accordance with the terms of this Agreement governing Airpac's duties to restore the premises to County upon expiration of the Agreement term. d. It is further agreed that neither such modification or termination of this Agreement, in whole or in part, shall give rise to any cause of action for damages or any other form of relief by Airpac against County or any successor of Airpac. e. In the event of such modification or termination, Airpac understands that other than a refund of any paid usage fees prorated to the date Airpac has restored the Airport premises to County, Airpac shall have no claim for compensation as occasioned by said modification or termination. 21. CONDITION OF PREMISES: Airpac warrants and agrees that in its use of the Airport premises it shall not commit waste and that it will keep said Airport premises in a safe, sanitary, neat, presentable, and otherwise good condition, and in general shall comply with all the applicable governmental rules, ordinances and regulations as may be required or imposed by such authorities on said premises and shall comply with any direction pursuant to law of any public officer or officers who shall be empowered to enforce local, state and federal rules, regulations and ordinances upon the Lessee with respect to the said Airport premises or the use, occupancy, or control thereof and shall not suffer any improper or offensive use of said Airport premises. Upon termination or expiration of this Agreement, should the Airport premises not be left in such condition, normal wear and tear excepted, the County may repair the Airport premises and seek reimbursement from Airpac in any manner allowed by law PAGE 5 KITTITAS COUNTY AIRPORT USE AGREEMENT 22. RIGHT TO REVIEW: Pursuant to KCC 19.04.240(2)(h) and KCC 19.04.250(1), the County or its designee shall have the right to review Airpac's records as they pertain to this Agreement. Such review may occur with or without notice, and may include, but is not limited to, on-site inspection by County agents or employees, inspection of all records or other materials which are reasonable and pertinent to the Agreement and its performance. 23. NON -EXCLUSIVITY: Nothing in this Agreement shall be construed to grant exclusive access to the Airport premises to Airpac. 24. WAIVER: No assent, express or implied, by either party to any breach of any of the other's covenants, agreements, conditions or terms hereof shall be deemed or taken to be a waiver of any succeeding breach of any covenant, agreement, condition or term hereof. 25. VENUE: In the event of any litigation between County and Airpac arising out of this Agreement, the venue for such action shall lie in Kittitas County, notwithstanding any contrary provision of the Revised Code of Washington. 26. APPLICABILITY: The covenants, agreements, terms and conditions contained in this Agreement shall apply to and be binding upon County and Airpac and their respective heirs, executors, administrators, successor and assigns. 27. INTEGRATION: Exhibits and Recitals are incorporated herein by this reference. This Agreement embodies the entire agreement between the parties with respect to the subject matter herein contained. No amendments or modifications hereof shall be enforceable unless in writing, signed by the party to be charged. PURPOSE: The purpose of this Agreement is to allow Airpac access to the Airport premises for the purposes of the delivery of cargo to the residents of Kittitas County. 3. TERM: The term of this Agreement shall be for one (1) year and will commence on the date of last signature of the parties hereto. This Agreement may, at the option of Airpac and acceptance by the County, be renewed from year to year in accordance with the terms and conditions herein specified. 4. USAGE FEE: Airpac shall pay to the County the total sum often dollars ($10.00) per landing for the first 100 landings in a one-year period and then five dollars ($5.00) for every landing thereafter in the same year. A monthly payment is due within ten days (10 days) from the last day of the month. Airpac shall provide a landing record with each payment. 5. ADJUSTMENT OF USAGE FEE: Following the completion of the initial term of this agreement, the County shall have the right to readjust the usage fee by negotiation with Airpac for any year-to-year renewal term, but it is agreed that the fee shall not exceed twenty percent (201/6) of the previous year's fee. PREMISES ACCESS: For the duration of this Agreement, Airpac employees, agents, contractors, and invitees shall have ingress to and egress from the Airport and the Airport premises. The primary aeronautical access point shall be the West drive-thru gate. Kittitas County may allow a single additional access pedestrian access point during the duration of this agreement. Airpac acknowledges and accepts full responsibility for compliance with all applicable rules and regulations of the Federal Aviation Administration as set forth from time to time relating to Airpac's use of the airport. Airpac fully understands and acknowledges that any security or access measures deemed necessary by the parties for the protection of any Airport premises, or equipment and property and access to the Airport through the Airport premises shall be the sole responsibility of Airpac and shall involve no cost to the County, unless agreed upon otherwise. 7. OPERATING CERTIFICATES: Airpac shall provide the. Kittitas County Department of Public Works with copies of all current operating certificates and other documents relating to Airpac authority to continue its operations at the Airport as the County may reasonably request. 8. DISCLAIMER: Airpac agrees to accept all Airport premises on an "as is" basis. Further, the County hereby disclaims, and Airpac accepts such disclaimer, of any warranty, either express or implied of the condition and usability of any of the Airport premises. The County shall not be under any duty or obligation to Airpac to repair or maintain the Airport premises, or any portion thercof or any facilities or equipment constructed thereon. The County shall not be responsible or liable to Airpac for any claims for compensation for any losses, damages, or injury, including lost profits, sustained by Airpac resulting from failure of any water supply, heat, air conditioning, electrical power, or sewer or drainage facility, or caused by the natural physical conditions on the Airport, whether on the surface or underground, including stability, moving, shifting, settlement of ground, or displacement of materials by fire, water, windstorm, tornado, act of God, or state of war, civilian commotion or riot, or any other cause or peril beyond the control of the County, except to the extent covered by the County's insurance. 9. RULES AND REGULATIONS: Airpac agrees to comply with all pertinent rules and regulations of the federal, state and local governments, as well as the rules, regulations, ordinances, and minimum standards of the Airport, as are presently in effect and may in the future be adopted. The rules, regulations, ordinances and minimum standards of the Airport are made a part of this Agreement and shall have the same effect as though written herein. A copy of the Kittitas County Airport Standards is on file in the office of the Kittitas County Department of Public Works. 10. INSURANCE: Airpac shall obtain and maintain in force during the term of this Agreement a liability insurance policy, which provides protection for bodily injury (including death) and property damage. Said insurance shall provide coverage by Airpac to any employees or permittees of Airpac and shall name the County as an additional insured. PAGE 2 KITTITAS COUNTY AIRPORT USE AG REEMENT a. Liability insurance policy shall have the following provisions, at a minimum: i. Premises liability coverage in an amount not less than $1,000,000 - each occurrence. ii. Provide for not less than thirty (30) days in advance a written notice to Kittitas County regarding any material change or termination of the policy. b. Airpac hereby releases the County of and from every and all right, claim and demand that Airpac may hereafter have against County, its successors or assigns, arising out of or in connection with any loss or losses occasioned by fire and such items as are included under the normal extended coverage clauses of insurance policies, and does hereby waive all rights of subrogation in favor of insurance carriers against County arising out of any losses occasioned by fire and such items as are included under the normal extended coverage clauses of fire insurance policies, and sustained by Airpac in or to the said Airport premises. c. Airpac shall provide the County with a copy of said insurance policy upon reasonable request by the County. 11. INDEMNIFICATION: Each party herein shall defend, indemnify, and hold the other party, its successors and assigns, and the respective directors, officers, employees, insurers, agents and representatives of the other party completely harmless from and against any and all claims, suits, demands, actions, liabilities, losses, damages, judgments, or fines arising by reason of injury or death of any person, or damage to any property, including all reasonable costs for investigation and defense thereof (including, but not limited to, attorney fees, court costs and expert fees) of any nature whatsoever arising out of that party's conduct at the Airport, or in its use or occupancy of the Airport premises, regardless of where the injury, death, or damage may occur, except to the extent such injury, death, or damage is caused by the negligent act or omission or willful misconduct of the other party. Any personal property of Airpac or of others placed in the Airport premises or placed anywhere on the Airport shall be at the sole risk of Airpac or the owners thereof, and the County shall not be liable for any loss or damage, except to the extent such loss or damage was caused by the negligence of the County. The provisions of this Section shall survive the expiration or termination of this Agreement. 12. AIRPORT TRAFFIC: It is understood and agreed that the Airpac's use of the Airport premises shall not unreasonably interfere or restrict the use of aircraft landings, take -offs, storage of aircraft, taxiing, and movement of ground vehicles. Airpac shall comply with all rules and regulations of the Federal Aviation Administration, Washington State Department of Transportation Aeronautics Division, and the Kittitas County Airport Standards, 13. FIREARMS: Hunting or discharging of firearms will not be permitted on or from said Airport premises. PAGE 3 KITTiTAS COUNTY AIRPORT USE AGREEMENT 14. NOTICES: Any notice given by one parry to the other in connection with this agreement shall be in writing and shall be sent by certified or registered mail, return receipt requested as follows: a. ATTORNEY FEES: In the event that the County shall bring suit to recover any usage fees due hereunder, or for breach of any provision of this Agreement, or if Airpac shall bring any action for any relief against County, declaratory or otherwise, arising out of this Agreement, the prevailing party shall recover reasonable attorney fees and costs which shall be determined and taxed by the court as part of the costs of such action. 16. RIGHTS OF THE U.S. GOVERNMENT: The County holds title to the Kittitas County Bowers Field Airport partially by virtue of a deed from the United States Government. A copy of said deed is available for inspection at the office of the Kittitas County Department of Public Works, hereto and made a part of this instrument as though fully set forth herein. Airpac agrees that it will do nothing which will cause the County to be in violation of the terms of said deed. Airpac furthermore agrees that it has had ample opportunity to review said deed and is aware of all of the terms and conditions therein. 17. ASSIGNMENT: This Agreement is for Airpac only and cannot be transferred or assigned without first obtaining the written consent of the County. 18. BANKRUPTCY: It is further agreed and understood that in case of the insolvency or bankruptcy of Airpac, or any assignment for the benefit of creditors or the appointment of a receiver for the Airpac, this Agreement shall be immediately terminated and shall be of no further force and effect, and that the Trustee in Bankruptcy, Receiver, or Assignee for the benefit of creditors shall not have any rights whatsoever in the Airport premises. 19. DEFAULT: In the event that one of the parties herein fails to comply with any commitments, duties or responsibilities under this Agreement, or any of its conditions or terms as herein stated, the non -breaching party must give written notice to the breaching party of the breaching party's failure to comply. If such condition is not corrected within ten (10) days from the date of notice, the non -breaching party may choose to terminate this Agreement. PAGE 4 KITTITAS COUNTY AIRPORT USE AG REEMENT 20. MODIFICATION OR TERMINATION: It is understood by the parties that the County may modify the terms of this Agreement in whole or in part if any regulation governing airports or county property is amended in a way that impacts the County's ability to comply with the terms stated and contemplated herein. For the purposes ofthis section, "regulation" is defined to include, but is not limited to: case law interpreting any rule or regulation; any federal rules and regulations, including Federal Aviation Administration rules and regulations; state rules and regulations; and local rules, regulations and ordinances. a. In the event that County shall elect to modify or terminate this Agreement, County shall do so only upon one hundred twenty (120) days written notice, notifying Airpac that the Agreement to which this applied is being so modified or terminated. b. Upon receipt of such notification, and in the event the notification specified modification of the Agreement short of termination, Airpac shall have sixty (60) days in which to notify the County of Airpac's intention to continue the Agreement as modified or of Airpac's intention to treat the Agreement as terminated. c. In the event that Airpac elects to treat the Agreement as terminated, all usage fees shall be pro -rated to the date Airpac shall have restored the premises to the County in accordance with the terms of this Agreement governing Airpac's duties to restore the premises to County upon expiration of the Agreement term. d. It is further agreed that neither such modification or termination of this Agreement, in whole or in part, shall give rise to any cause of action for damages or any other form of relief by Airpac against County or any successor of Airpac. e. In the event of such modification or termination, Airpac understands that other than a refund of any paid usage fees prorated to the date Airpac has restored the Airport premises to County, Airpac shall have no claim for compensation as occasioned by said modification or termination. 21. CONDITION OF PREMISES: Airpac warrants and agrees that in its use of the Airport premises it shall not commit waste and that it will keep said Airport premises in a safe, sanitary, neat, presentable, and otherwise good condition, and in general shall comply with all the applicable governmental rules, ordinances and regulations as maybe required or imposed by such authorities on said premises and shall comply with any direction pursuant to law of any public officer or officers who shall be empowered to enforce local,. state and federal rules, regulations and ordinances upon the Lessee with respect to the said Airport premises or the use, occupancy, or control thereof and shall not suffer any improper or offensive use of said Airport premises. Upon termination or expiration of this Agreement, should the Airport premises not be left in such condition, normal wear and tear excepted, the County may repair the Airport premises and seek reimbursement from Airpac in any manner allowed by law. RIGHT TO REVIEW: Pursuant to KCC 19.04.240(2)(h) and KCC 19.04.250(1), the County or its designee shall have the right to review Airpac's records as they pertain to this Agreement. Such review may occur with or without notice, and may include, but is not limited to, on-site inspection by County agents or employees, inspection of all records or other materials which are reasonable and pertinent to the Agreement and its performance. 23. NON -EXCLUSIVITY: Nothing in this Agreement shall be construed to grant exclusive access to the Airport premises to Airpac. 24. WAIVER: No assent, express or implied, by either party to any breach of any of the other's covenants, agreements, conditions or terms hereof shall be deemed or taken to be a waiver of any succeeding breach of any covenant, agreement, condition or term hereof. 25. VENUE: In the event of any litigation between County and Airpac arising out of this Agreement, the venue for such action shall lie in Kittitas County, notwithstanding any contrary provision of the Revised Code of Washington. 26. APPLICABILITY: The covenants, agreements, terms and conditions contained in this Agreement shall apply to and be binding upon County and Airpac and their respective heirs, executors, administrators, successor and assigns. 27. INTEGRATION: Exhibits and Recitals are incorporated herein by this reference. This Agreement embodies the entire agreement between the parties with respect to the subject matter herein contained. No amendments or modifications hereof shall be enforceable unless in writing, signed by the party to be charged. If it is not a through street but is broken by intervening land uses, and is laid out at a distance point in similar location, the same name would be used. in cases of this nature when approval of new subdivision is considered, the grid system indicates street names needed. The figure below illustrates the correct name placement of roads located in an addressing grid. Assessors Plat Map The Kittitas County Assessor's plat maps should not be used as an accurate resource for identifying road names. Plat maps often show private roads that were not constructed, duplicate road names, or road names that have been changed. The establishment of a private road name must follow the department of Public Works road naming standards and be approved by the Public Works Director. New Road Name Application Process F The private road name application requires five suggested road names and an attached map indicating the road location, parcels serviced by the road, driveway location for each structure and at least one crossroad. The residents residing on the road to be named should reach a consensus on the name choices. Agreement is indicated by a signature and parcel number of each resident of the road appearing on the road name application form. if consensus cannot be reached, residents may submit individual road name applications. The complete road name application and associated fee are submitted to the Public Works Department. The Address Coordinator will select a suggested road name based on these suggestions, and submit it to the Director of Public Works, Community Development Services and KITTCOM for approval. The Director of Public Works is the final approving authority of all private road names. The decision will be based on the completed road name application, and comments and recommendations provided through the review process. All public road names will be changed and/or established by ordinance through the public hearing process as required by the Kittitas County Board of County Commissioners. Department of Public Works Road Name Standards I. The road name should not duplicate an existing road name recognized by Kittitas County. 2. The road name shall not be used if the pronunciation sounds similar to an existing road name, even if the spelling is different. Example: Larsen — Larson - Larsan, Cook - Cooke, Marion—Maryann. 3. A road that is a continuation of an existing road, regardless of ownership, will be issued the same name. 7. The road name should take into consideration the geographical location of the road. Example: Hilltop Road should not be used for a road located in a valley. S. The use of family surnames should be avoided unless they represent some historical significance to the location of the road. 9. The road name may not be a possessive form of the word. 10. Use only accepted suffixes. Do not use more than one suffix. Example: Valley Way Road. 11. Road names must be simple to pronounce, in the opinion of the review jurisdiction. 12. Cardinal directions shall not be used in the name. Directions are used only to designate the portion of an existing road. Example: North Road, East Fort Road, Northstar Drive. 13. No curse words or derogatory terms shall be used for road names. 14. All road names shall be of the commonly acceptable spelling, according to a standard dictionary. 3 15. Road names shall not contain any punctuation or special characters. Only alphabetical symbols A through Z and blank spaces may be used in road names. 16. The road name shall not start with a number. Example: Three Queens Loop. BRIEFING SUMMARY: • The 2020 Public Facility Fund grant awards have been re-evaluated by the Council of Governments (CoG) pursuant to Board (County Commissioners — BOCC) remand. • The annual principal and interest payment for Shady Brook trailer park ($122,007.50) has been removed from 2020 available funding leaving $825,992 for award. • CoG recommends the following: $450,000 City of Cie Elum; $151,375 City of Kittitas and $224,617 to City of Ellensburg. • The Snoqualmie Pass Public Utility District was not recommended for funding. • Kittitas Valley Event Center was not recommended for funding after initially being recommended to receive $200,000. BACKGROUND: Initial CoG awards went to Kittitas County Chamber of Commerce ($92,000) and to CenterFuse ($60,000). Owing to mistakes made by PW during initial project scoring, 2019 changes were not forwarded to CoG members. Unknowingly, CoG advanced a recommended funding list exceeding remaining funds owing to the previously awarded for economic development (Chamber and CenterFuse). The BOCC remanded the proj ect back to CoG for reconsideration. DISCUSSION: On February 19, 2020 CoG met discussing remanded projects for funding consideration. CoG elected to deny funding Snoqualmie Pass Public Utility District and Fire Station 1 requests and removed recommended funding for the Kittitas Valley Event Center. In 2018, CoG adopted a policy maintaining a fund reserve for project allocation. BRIEFING SUMMARY: • The Director of Public Works has been working with state floodplain managers for the past year supporting the Nature Conservancy and the Floodplain by Design grant program. • The Director if part of the policy group. • Several working groups have been created from approximately 30 participants statewide. • Owing to recent workload impacts, the Director has not been able to fully participate in ongoing revisions to the program. • Recently, the Nature Conservancy contacted the Director requesting commitment to the ongoing program revision process. The Nature Conservancy is challenging state floodplain managers to devise the program for long term sustainability. Recently, PW has been unable to fully participate owing to workload impacts. DISCUSSION: The Nature Conservancy desires ongoing participation from PW. Two individuals represent the east side of the state in this process (Yakima County and Kittitas County). PW presents an eastside perspective that is unique in the process. The group worked to prepare materials for legislators during the previous legislative session. INTRODUCTION This document provides an update on the Organizational Development effort for the future of the Floodplain by Design (FbD) Partnership. The purpose of the Organizational Development effort is to increase the scale, effectiveness, and sustainability of collaborative efforts to make integrated floodplain management the norm in Washington State This document is intended to provide an update on the status of the planning effort and inform discussion and evaluation of potential organizational options.. 3. STATUS OF PLANNING PROCESS A large community of interested parties has come together around Floodplains by Design. The process for developing this organizational development plan actively engaged this community through a tiered approach. FbD Management Team: representatives of Ecology, PSP, and TNC met approximately two times per month to coordinate the planning process. Strategy Group: A group of 19 people representing different organizations, geographies, and interests has been convened to guide the planning process and provide insights to establish the functions and structure of the organization. The Strategy Group has met three times from March — April 2019. Two more meetings of the strategy Group are scheduled on June 10 and 20. Floodplain Leaders Group: This is a larger group of approximately 40 people that are leading integrated floodplains management efforts. This group was invited to a workshop in April with the Strategy Group to discuss the purpose, characteristics and functions of the FbD Partnership. This group will be invited to another meeting with the Strategy Group on June 20. FbD Network: This group represents interested parties who have joined the Floodplains by Design listsery and have attend the approximately bi-annual FbD workshops. This group has been invited to a workshop on May 28, 2019 which will include opportunities to learn about the organizational development effort and provide input. 3. KEY FINDINGS TO DATE Characteristics The Nature Conservancy has functioned like a backbone organization for the FbD Partnership, coordinating actions at the state -level to support local integrated floodplain management planning and projects. Research indicates there are a set of fundamental characteristics that make a backbone organization supporting collaborative work successful. That work requires trusting relationships with many different organizations and individuals and the ability to acknowledge and respect diverse perspectives. • Local, regional, and state connectivity—the partnership must continuously engage with local organizations in a meaningful way so that the work at the state level is informed by local needs and priorities and that state policies and programs supports local integrated floodplain management efforts. • Credibility across multiple technical disciplines—integrated floodplain management requires technical expertise in multiple disciplines including biology, ecology, hydrology, and engineering. In order to support that work, the backbone organization needs staff and participants on boards that are knowledgeable and credible in these areas. • Stable funding—the backbone organization itself needs a stable funding stream and it needs to be able to work with partners to find innovative ways to leverage and effectively use grants and other funds to promote the vision of integrated floodplain management. • Exercise authority and coordinate across silos—to effect systems change the backbone organization needs to be able to exercise authority. That can be authority derived from its own credibility, knowledge, and relationships and from any legal or regulatory authority that could be granted the organization as part of a state agency. The backbone organization is also critical in coordinating the efforts of partners to exercise their own authorities to leverage and maximize impact. Functions The following key functions of the backbone organization were developed through the planning process. These functions represent the areas of work for the state-wide FbD Partnership. The functions align well with the focus areas and actions articulated in the 5 -Year Strategy for Washington State floodplain. Support continued learning & share lessons learned across the network • Policy: Reform policy to foster integrated floodplain management • Funding: Increase and diversity funding for integrated floodplain planning and projects • Metrics/Measurement and Learning: Measure project implementation outcomes as well as systemic changes to inform adaptive management 4. ORGANIZATIONAL STRUCTURE There appears to be support emerging for an organizational model that continues the public-private structure of the current FbD Partnership, with staffing and support provided by the Department of Ecology, Puget Sound Partnership, other public agencies and non-profit organizations. There is potential for more organizations to be involved to expand capacity. There is strong support for TNC's continued engagement as well as interest in finding another non-profit organization to serve a central supporting role into the future. While TNC is recognized for providing leadership to FbD, the organization is looking for ways to transition that role to support expansion and resiliency of the partnership. TNC is prepared to continue to support policy reform and funding advocacy over the next several years. TNC can also potentially serve as a host, providing work space and other types of in-kind support during transition to a new non-profit lead. The potential organizational structure includes a Steering Committee and a set of Action Groups (see figure and table below). This structure expands the current FbD leadership with the intent of being more inclusive and diverse as well as leveraging the significant assets of partners. At the same time there is appreciation for the small and nimble structure that's existed to date. The structure and the groups within it should be designed toward a focus on action. The Steering Group sets the vision and direction for the partnership. The committee is designed to representative of different interests, types of organizations, and geographies. The Steering Group could have decision making authority in the following areas: • Approve and support the annual work plan of the backbone organization • Hold State Agency and Action Groups accountable for implementing Strategic Plan and annual work plans. • Approve FbD grant guidance and project ranking lists The Action Groups are established to accomplish the work of the partnership and organized by function.
