LT -2020-OO 1 -PSA-CHAM BER OF COMM ERCE PROFESSIONAL SERVICES AGREEMENT _ This Agreement dated as of January 01, 2O2O is made by and between Kittitas County (hereinafter "the County") and Kittitas County Chamber of bommerce (hereinafter "Contractor"). The County and Contractor agree as follows: General Conditions; Attachment #01 (Lodging Tax Application) Exhibit A (Scope of Work); Exhibit B (Metrics/Deliverables); Exhibit C (Budget). copies of which are attached hereto and incorporated herein by this reference as fully as if set forth herein. The term of this Agreement shall commence on the lstday of January 2O2O,and end on lhe 31st Day of Decemb er 2020. Any party may terminate this Agreement by giving thirty (30) days notice in writing either personally delivered or mailed posiage-prepaid Oy certineit mail, return receipt requested, to the party's tast known address for the'puiposes of giving notice under this paragraph. Contractor acknowledges and by signing this Agreement agrees that the lndemnification provisions set forth in Paragraphs 7 (lndepentent Contractor), g (Taxes),15 (Defense and lndemnity Agreement), 21 (PatenUCopyright lnfringement)'and 2.4 (Confidentiality), are totally and fully part of this Agreement and have been mutually negotiated by the parties.
