AgreementPROFESSIONALSERVICESAGREEMENTThisAgreementismadebyandbetweenKittitasCounty(hereinafter"theCounty")andCompassDirectHealthcare(hereinafter"Contractor").TheCountyandContractoragreeasfollows:GeneralConditions;ExhibitA(ScopeofWork);ExhibitB(Compensation);ExhibitC(ProofofInsurance).copiesofwhichareattachedheretoandincorporatedhereinbythisreferenceasfullyasifsetforthherein.ThetermofthisAgreementshallcommenceouba,andcontinueuntilcompletionoftheproject.AnypartymayterminatethisAgreementbygivingthirty(30)days'noticeinwritingeitherpersonallydeliveredormailedpostage-prepaidbycertifiedmail,retumreceiptrequested,totheparty'slastknownaddressforthepurposesofgivingnoticeunderthisparagraph.ContractoracknowledgesandbysigningthisAgreementagreesthattheIndemnificationprovisionssetforthinParagraphs7(IndependentContractor),9(Taxes),15(DefenseandIndemnityAgreement),21(Patent/CopyrightInfringement)and24(Confidentiality),aretotallyandfullypartofthisAgreementandhavebeenmutuallynegotiatedbytheparties.ProfessionalServicesAgreement(rev.09/24/2018)Page1of17 GENERALCONDITIONS1.ScopeofContractor'sServices:ContractoragreestopovidetotheCountyservicesandanymaterialssetforthintheprojectnarrativeidentifiedinExhibit"A"duringtheAgreementperiod.Nomaterial,labor,orfacilitieswillbefumishedbytheCounty,unlessotherwiseprovidedforintheAgreement.2.PerformanceofWork:Contractorshallperformworkinaccordancewith,andshallcomplywith,alloftheprovisionsofthisAgreement.Allworkshallcomplywithapplicablecodesandordinances.3.ScheduleofPerformance:UnlessdirectedotherwisebytheCounty,ContractorshallperformtheworkinaccordancewithanyschedulesmadeapartofthisAgreement.4.Definitions:4.1"AdditionalInsureds"meanstheCounty,itssuccessorsandassigns,andtherespectivedirectors,officers,employees,agentsandrepresentativesoftheCountyanditssuccessorsandassigns.4.2"Support"meansthefollowing:Contractor'sdirectors,officers,employees,agentsandrepresentatives;andsub-Contractorsofanytier;therespectivedirectors,officers,employees,agentsandrepresentativesofthesesub-Contractorsofanytier;andanyotherpersonorentityactingunderthedirectionorcontrolof,oronbehalfof,ContractororanyContractor'ssub-ContractorsofanytierinconnectionwithorincidenttotheperformanceoftheWorkorthisAgreement.4.3The"Work"meansallofthedutieslistedinExhibitAandtheperformanceofallotherobligations,underthisAgreementbyContractororitsSupport.5.AccountinqandPaymentforContractorServices:PaymenttotheContractorforservicesrenderedunderthisAgreementshallbeassetforthinExhibit"B".WhereExhibit"B"requirespaymentsbytheCounty,paymentshallbebaseduponbillings,supportedunlessotherwiseprovidedinExhibit"B",bydocumentationofunitsofworkactuallyperformedandamountseamed,includingwhereappopriate,theactualnumberofdaysworkedeachmonth,totalnumberofhoursforthemonth,andthetotaldollarpaymentrequested.UnlessspecificallystatedinExhibit"B"orapprovedinwritinginadvancebytheKittitasCountyBoardofCommissioners,theCountywillnotreimbursetheContractorforanycostsorexpensesincurredbytheContractorinperformanceofthisAgreement.Whererequired,theCountyshall,uponreceiptofappropriatedocumentation,compensatetheContractor,nomoreoftenthanmonthly,throughtheCountyvouchersystem,fortheContractor'sservicepursuanttothefeeschedulesetforthinExhibit"B".ProfessionalServicesAgreement(rev.09/24/2018)Page3of17 6.AssignmentandSubcontractinq:NoportionofthisAgreementmaybeassignedorsubcontractedtoanyotherindividual,firmorentitywithouttheexpressandpriorwrittenapprovaloftheCounty.7.IndependentContractor:TheContractor'sservicesshallbefumishedbytheContractorasanindependentContractorandnothinghereincontainedshallbeconstruedtocreatearelationshipofemployer-employeeormaster-servant,butallpaymentsmadehereunderandallservicesperformedshallbemadeandperformedpursuanttothisAgreementbytheContractorasanindependentContractor.TheContractoracknowledgesthattheentirecompensationforthisAgreementisspecifiedinExhibit"B"andtheContractorisnotentitledtoanyCountybenefitsincluding,butnotlimitedto:vacationpay,holidaypay,sickleavepay,medical,dental,orotherinsurancebenefits,oranyotherrightsorprivilegesaffordedtoKittitasCountyemployees.Contractorwilldefend,indemnifyandholdharmlesstheCounty,itsAdditionalInsureds,officers,agentsoremployeesfromanylossorexpense,includingbutnotlimitedtosettlements,judgments,setoffs,attomeys'feesorcostsincurredbyreasonofclaimsordemandsbecauseofbreachoftheprovisionsofthisparagraph.8.NoGuaranteeofEmployment:TheperformanceofallorpartofinisAgreementbythedentreetershallnotoperatetevestanyemploymentrightswhatsoeverandshallnotbedeemedtoguaranteeanyemploymentoftheContractororanyemployeeoftheContractororanysub-Contractororanyemployeeofanysub-ContractorbytheCountyatthepresenttimeorinthefuture.9.Taxes:TheContractorunderstandsandacknowledgesthattheCountywillnotwithholdFederalorStateincometaxes.WhererequiredbyStateorFederallaw,theContractorauthorizestheCountytomakewithholdingforanytaxesotherthanincometaxes(i.e.Medicare).AllcompensationreceivedbytheContractorwillbereportedtotheIntemalRevenueServiceattheendofthecalendaryearinaccordancewiththeapplicableIRSregulations.ItistheresponsibilityoftheContractortomakethenecessaryestimatedtaxpaymentsthroughouttheyear,ifany,andtheContractorissolelyliableforanytaxobligationarisingfromtheContractor'sperformanceofthisAgreement.TheContractorherebyagreestoindemnifytheCountyagainstanydemandtopaytaxesarisingfromtheContractor'sfailuretopaytaxesoncompensationeamedpursuanttothisAgreement.TheCountywillpaysalesandusetaxesimposedongoodsorservicesacquiredhereunderasrequiredbylaw.TheContractormustpayallothertaxesincluding,butnotlimitedto:BusinessandOccupationTax,taxesbasedontheContractor'sgrossornetincome,orpersonalpropertytowhichtheCountydoesnotholdtitle.TheCountyisexemptfromFederalExciseTax.ProfessionalServicesAgreement(rev.09/24/2018)Page4of17 10.RequlationsandRequirement:ThisAgreementshallbesubjecttoalllaws,rulesandregulationsoftheUnitedStatesofAmerica,andStateofWashington,andpoliticalsubdivisionsoftheStateofWashington,andtoanyotherprovisionssetforthhereinorintheattachedexhibits.11.RighttoReview:ThiscontractissubjecttoreviewbyanyFederalorStateauditor.TheCountyoritsdesigneeshallhavetherighttoreviewandmonitorthefinancialandservicecomponentsofthisprogrambywhatevermeansaredeemedexpedientbytheCounty.Suchreviewmayoccurwithorwithoutnotice,andmayinclude,butisnotlimitedto,on-siteinspectionbyCountyagentsoremployees,inspectionofallrecordsorothermaterialswhichtheCountydeemspertinenttotheAgreementanditsperformance,andanyandallcommunicationswithorevaluationbyservicerecipientsunderthisAgreement.TheContractorshallpreserveandmaintainallfinancialrecordsandrecordsrelatingtotheperformanceofworkunderthisAgreementfor6yearsaftercontracttermination,andshallmakethemavailableforsuchreview,withinKittitasCounty,StateofWashington,uponrequest.12.Modifications:12.1EitherpartymayrequestchangesintheAgreement.Anyandallagreedmodificationsshallbeinwriting,signedbyeachoftheparties.12.2TheCountymay,atanytime,bywrittennoticethereoftoContractor("ChangeNotice")makeschangesintheWorkwithinthegeneralscopeofthisAgreement,including,butnotlimitedto:(a)changesin,revisionsto,substitutionsfor,additionstoordeletionsofanyWork;(b)changesinschedule;and(c)acceleration,decelerationorsuspensionofperformanceofanyWork.12.3IfanychangeintheWorkcausesanincreaseordecreaseonContractor'scostof,orthetimerequiredfor,performanceoftheWork,anequitableadjustmentinthecompensationtoContractorandintheschedulefortheperformanceoftheWorkshallbemadetoreflectsuchanincreaseordecrease.12.4Notwithstandinganydisputeordelayinarrivingatamutuallyacceptableequitableadjustment,ContractorshallproceedinaccordancewithallChangeNotices.Contractormust,withinthirty(30)daysafterreceiptofanyChangeNoticethatdoesnotsetforthanyacceptableadjustment,submittotheCountyawrittenstatementsettingforthanyadjustmentclaimed.12.5IfanychangeresultsinadecreaseintheWorkperformed,ContractorshallbeentitledtocompensationassociatedwithchangingtheWork,suchasProfessionalServicesAgreement(rev.09/24/2018)Page5of17 revisingdesignalreadycompleted,revisingcalculationsalreadyperformed,andrevisingdocuments.13.TerminationforDefault:IftheContractordefaultsbyfailingtoperformanyoftheobligationsoftheAgreementorbecomesinsolventorisdeclaredbankruptorcommitsanyactofbankruptcyorinsolvencyormakesanassignmentforthebenefitofcreditors,theCountymay,bydepositingwrittennoticetotheContractorintheU.S.mail,postageprepaid,terminatetheAgreement,andattheCounty'soption,obtainperformanceoftheworkelsewhere.IftheAgreementisterminatedfordefault,theContractorshallnotbeentitledtoreceiveanyfurtherpaymentsundertheAgreementuntilallworkcalledforhasboonfullyporformed.AnyextracostordamagetotheCountyresultingfromsuchdefault(s)shallbedeductedfromanymoneydueorcomingduetotheContractor.TheContractorshallbearanyextraexpensesincurredbytheCountyincompletingthework,andalldamagesustained,orwhichmaybesustainedbytheCountybyreasonofsuchdefault.IfanoticeofterminationfordefaulthasbeenissuedanditislaterdeterminedforanyreasonthattheContractorwasnotindefault,therightsandobligationsofthepartlesshallbethesameasifthenoticeofterminationhadbeenissuedpursuanttotheTerminationforPublicConvenienceparagraphhereof.14.TerminationforPublicConvenience:TheGeuntymayterminatetheAgreementinwhelOOFinpâFtWhenevertheCountydetermines,initssolediscretionthatsuchterminationisinthebestinterestsoftheCounty.WhenevertheAgreementisterminatedinaccordancewiththisparagraph,theContractorshallbeentitledtopaymentforactualworkperformedatunitcontractpricesforcompleteditemsofwork.Intheeventofsuchtermination,anequitableadjustmentshallbemadeinthecompensationpayabletoContractor.Anequitableadjustmentinthecontractpriceforpartiallycompleteditemsofworkwillbemade,butsuchadjustmentshallnotincludeprovisionforlossofanticipatedprofitondeletedoruncompletedwork.TerminationofthisAgreementbytheCountyatanytimeduringtheterm,whetherfordefaultorconvenience,shallnotconstituteabreachofcontractbytheCounty.15.Defense&IndemnityAgreement:TheContractoragreestoandshalldefend,indemnifyandholdharmlesstheCounty,itsAdditionalInsureds,appointedandelectiveofficers,agentsandemployees,fromandagainstalllossorexpense,includingbutnotlimitedtojudgments,settlements,attomey'sfeesandcostsbyreasonofanyandallclaimsanddemandsupontheCounty,itsAdditionalInsureds,itselectedorappointedofficials,agents,oremployeesfordamagesbecauseofpersonalorbodilyinjury,includingdeathatanytimeresultingtherefrom,sustainedbyanypersonorpersonsandonaccountofdamagetopropertyincludinglossofusethereof,whethersuchinjurytopersonsordamagetopropertyisduetothenegligenceoftheProfessionalServicesAgreement(rev.09/24/2018)Page6of17 Contractor,itssub-Contractors,itselectedofficers,employeesortheiragents,exceptonlysuchinjuryordamageasshallhavebeenoccasionedbythesolenegligenceoftheCounty,itsAdditionalInsureds,appointedorelectedofficials,agents,oremployees.ItisfurtherprovidedthatnoliabilityshallattachtotheCountybyreasonofenteringintothiscontract,exceptasexpresslyprovidedherein.16.IndustrialInsuranceWaiverWithrespecttotheperformanceofthisAgreementandastoclaimsagainsttheCounty,itsAdditionalInsureds,officers,agentsandemployees,theContractorexpresslywaivesitsimmunityunderTitle51oftheRevisedCodeofWashington,theIndustrialInsuranceAct,forinjuriestoitsemployeesandagreesthattheobligationstoindemnify,defendandholdharmlessprovidedinthisagreementextendtoanyclaimbroughtbyoronbehalfofanyemployeeoftheContractor.ThiswaiverismutuallynegotiatedbythepartiestothisAgreement.17.VenueandChoiceofLaw:IntheeventthatanylitigationshouldariseconcemingtheconstructionorinterpretationofanyofthetermsofthisAgreement,thevenueofsuchactionoflitigationshallbeintheSuperiorCourtoftheStateofWashingtoninandfortheCountyofKittkas.ThisAgreementshallbegovemedbythelawoftheStateofWashington.18.WithholdingPayment:IntheeventtheContractorhasfailedtoperformanyobligationtobeperformedbytheContractorunderthisAgreementwithinthetimesetforthinthisAgreement,thentheCountymay,uponwrittennotice,withholdallmoniesdueandpayabletoContractor,withoutpenalty,untilsuchfailuretoperformiscuredorotherwiseadjudicated.19.FutureNon-AllocationofFunds:IfsufficientfundsarenotappropriatedorallocatedforpaymentunderthisAgreementforanyfuturefiscalperiod,theCountywillnotbeobligatedtomakepaymentsforservicesoramountsincurredaftertheendofthecurrentfiscalperiod.NopenaltyorexpenseshallaccruetotheCountyintheeventthisprovisionapplies.20.ContractorCommitments,WarrantiesandRepresentations:TheContractorrepresentsandwarrantstotheCountyasfollows:20.1TheContractorisdulyincorporated,validlyexistingandingoodstandingunderthelawsoftheStateofWashington,andhasallrequisitecorporatepowerandauthoritytoenterintoandtoperformitsobligationsunderthisAgreement.20.2TheContractorhastheauthoritytoexecutethisAgreement,tomaketherepresentationsandwarrantiessetforthinitandtoperformtheobligationsoftheContractorunderthisAgreementinaccordancewithitsterms.ProfessionalServicesAgreement(rev.09/24/2018)Page7of17 20.3ThisAgreementhasbeenvalidlyexecutedbyanauthorizedrepresentativeoftheContractorandconstitutesavalidandlegallybindingandenforceableobligationofContractor.20.4TheContractorhasorwillobtainpriortothecommencementdatesuchlicenses,permitsandotherauthorizationsfromfederal,stateandothergovemmentalauthorities,asarenecessaryfortheperformanceofitsobligationsunderthisAgreement.20.5TheContractorisnotinviolationofanyapplicablelaw,ordinanceorregulationtheconsequenceofwhichwillormaymateriallyaffectContractor'sabilitytoperformitsobligationsunderthisAgreement.TheContractorisnotsubjecttoanyorderorjudgmentofanycourt,tribunalorgovemmentalagencywhichmateriallyandadverselyaffectsitsoperationsorassetsintheStateofWashington,oritsabilitytoperformitsobligationsunderthisAgreement.20.6NoneoftherepresentationsorwarrantiesinthisAgreement,andnoneofthedocuments,statements,certificatesorschedulesturnishedortobefurnishedbyContractorpursuantheretoorinconnectionwiththeperformanceoftheobligationscontemplatedunderthisAgreement,containsorwillcontainanyuntruestatementofamaterialfactoromitsorwillomittostateamaterialfactnecessarytomakethestatementsoffactcontainedthereinnotmisleading.21.Patent/GopyriqhHofringementContractorwilldefendandindemnifytheCountyfromanyclaimedaction,causeordemandbroughtagainsttheCounty;totheextentsuchactionisbasedontheclaimthatinformationsuppliedbytheContractorinfringesanypatentorcopyright.TheContractorwillpaythosecostsanddamagesattributabletoanysuchclaimsthatarefinallyawardedagainsttheCountyinanyaction.Suchdefenseandpaymentsareconditioneduponthefollowing:21.1ContractorshallbenotifiedpromptlyinwritingbyCountyofanynoticeofsuchclaim.21.2Contractorshallhavetheright,hereunder,atitsoptionandexpense,toobtainfortheCountytherighttocontinueusingtheinformation,intheeventsuchclaimofinfringementismade,providednoreductioninperformanceorlossresultstotheCounty.22.Disputes:22.1GeneralDifferencesbetweentheContractorandtheCounty,arisingunderandbyvirtueoftheAgreementDocumentsshallbebroughttotheattentionoftheCountyattheearliestpossibletimeinorderthatsuchmattersmaybesettledorotherappropriateactionpromptlytaken.Exceptforsuchobjectionsasaremadeofrecordinthemannerhereinafterspecifiedandwithinthetimelimitsstated,therecords,orders,instructions,anddecisionsoftheKittitasCountyCommissionersshallbefinalandconclusive.ProfessionalServicesAgreement(rev.09/24/2018)Page8of17 22.2NoticeofPotentialClaimsTheContractorshallnotbeentitledtoadditionalcompensationwhichotherwisemaybepayable,ortoextensionoftimefor(1)anyactorfailuretoactbytheCounty,or(2)thehappeningofanyeventoroccurrence,unlesstheContractorhasgiventheCountyawrittenNoticeofPotentialClaimwithinten(10)daysofthecommencementoftheact,failure,oreventgivingrisetotheclaim,andbeforefinalpaymentbytheCounty.ThewrittenNoticeofPotentialClaimshallsetforththereasonsforwhichtheContractorbelievesadditionalcompensationorextensionoftimeisdue,thenatureofthecostinvolved,andinsofaraspossible,theamountofthepotentialclaim.Contractorshallkeepfullandcompletedailyrecordsoftheworkperformed,laborandmaterialused,andallcostsandadditionaltimeclaimedtobeadditional.22.3.DetailedClaimTheContractorshallnotbeentitledtoclaimanysuchadditionalcompensation,orextensionoftime,unlesswithinthirty(30)daysofthecompletionoftheportionoftheworkfromwhichtheclaimamse,andbeforefinalpaymentbytheCounty,theContractorhasgiventheCountyadetailedwrittenstatementofeachelementofcostorothercompensationrequestedandofallelementsofadditionaltimerequired,andcopiesofanysupportingdocumentsevidencingtheamountorextensionoftimeclaimedtobedue.23.OwnershipofItemsProduced:Allwritings,programs,data,publicrecordsorothermaterialspreparedbytheContractorand/oritsconsultantsorsub-Contractors,inconnectionwithperformanceofthisAgreementshallbethesoleandabsolutepropertyoftheCounty.24.ConfidentialityTheContractor,itsemployees,sub-Contractors,andtheiremployeesshallmaintaintheconfidentialityofallinformationprovidedbytheCountyoracquiredbytheContractorinperformanceofthisAgreement,exceptuponthepriorwrittenconsentoftheKittitasCountyProsecutingAttomeyoranorderenteredbyacourtafterhavingacquiredjurisdictionovertheCounty.ContractorshallimmediatelygivetotheCountynoticeofanyjudicialproceedingsseekingdisclosureofsuchinformation.ContractorshallindemnŒyandholdharmlesstheCounty,itsAdditionalInsureds,officials,agentsoremployeesfromalllossorexpense,including,butnotlimitedtosettlements,judgments,setoffs,attomeys'feesandcostsresultingfromContractor'sbreachofthisprovision.TotheextentthatanyinformationobtainedbytheContractorisrequiredtobesharedwithorprovidedtoothersbythetermsoftheStatementoftheWork,thisprovisionisnotbreachedbysuchacts.25.Notice:ProfessionalServicesAgreement(rev.09/24/2018)Page9of17 ExceptassetforthelsewhereintheAgreement,forallpurposesunderthisAgreement,exceptserviceofprocess,noticeshallbegivenbytheContractortothedepartmentheadofthedepartmentforwhomservicesarerendered,andtotheKittitasCountyCommissioners,205W5*Ave,Suite108,Ellensburg,WA98926.NoticetotheContractorforallpurposesunderthisAgreementshallbegiventotheaddressreflectedonthesignaturepage.NoticemaybegivenbydeliveryorbydepositingintheU.S.Mail,firstclass,postageprepaid.26.Severability:IfanytermorconditionofthisAgreementortheapplicationthereoftoanyperson(s)orcircumstancesisheldinvalid,suchinvalidityshallnotaffectotherterms,conditionsorapplicationswhichcanbegiveneffectwithouttheinvalidterm,conditionorapplication.Tothisend,thetermsandconditionsofthisAgreementaredeclaredseverable.27.Miscellaneous:27.1TheCounty'sfailureordelaytoinsistuponstrictperformanceofanyoftheprovisionsofthisAgreementortoexerciseanyrightsorremediesunderthisAgreementshallnotbeconstruedasawaiverorrelinquishmenttoanyextentofitsrighttoassertorrelyuponanysuchprovisions,rightsorremediesinthatoranyotherinstance;ratherthesameshallbeandremaininfullforceandeffect.27.2ThisAgreementembodiestheentireAgreementbetweentheCountyandContractor,andsupersedesanyandallprieragreements,regardingtheWork.Nochange,amendmentormodificationofanyprovisionsofthisAgreementshallbevalidunlesssetforthinawritteninstrumentsignedbythepartytobeboundthereby.27.3TherightsandremediesoftheCountysetforthinanyprovisionofthisAgreementareinadditiontoanddonotinanywaylimitanyotherrightsofremediesaffordedtotheCountybyanyotherprovisionsofthisAgreement,byanyofContractor'sSupportorbylaw.27.4TheheadingsofsectionsandparagraphsofthisAgreementareforconvenienceofreferenceonlyandarenotintendedtorestrict,affectorbeofanyweightintheinterpretationorconstructionoftheprovisionsofsuchsectionsorparagraphs.28.Waiver:WaiverofanybreachorconditionofthisAgreementshallnotbedeemedawaiverofanypriororsubsequentbreach.NotermsorconditionsofthisAgreementshallbeheldtobewaived,modifiedordeletedexceptbyaninstrument,inwriting,signedbythepartieshereto.29.Survival:Theprovisionsofparagraphs7,9,11,13,14,15,16,17,18,19,20,21,22,23,24,28,30,31,and32shallsurvive,notwithstandingtheterminationorinvalidityofthisAgreementforanyreason.ProfessionalSorviccoAgrocment(rev.09/24/2018)Page10of17
