various rates, discounts, packages, policies, and procedures governing the use ofthe
KVEC;and
WHEREAS, the Kittitas County Board of County Commissioners has the authority to ratify such
decisions by resolution; and
WHEREAS, KVEC has an interest in providing the facilities for the activities and events produced by
Kittitas County 4-H Program as it holds a significant benefit to enhancing the leadership
and development ofour local youth; and
WHEREAS, those enhancements in tum directly impact and better the experiences of the annual
Kittitas County Fair while also elevating the amount of youth participation; and
WHEREAS, KVEC recommends offering waivers and discounts for rental fees for Kittitas County
WSU Extension 4-H program events and adtivities held at the Kittitas Valley Event Center
within the means of the attached contract agreement; and
WHEREAS, these waivers and discounts of fees are pre-negotiated and agreed upon in a facility use
contract with WSU Extension and approved by the Kittitas Valley Event Center Director;
and
WHEREAS, Kittitas County Board of County Commissioners determine this to be in the public interest
of the community whereby the residents benefit from such actions;
NOW THEREFORE, BE IT RESOLVED that the Board of County Commissioners of Kittitas County,
Washington, hereby adopts the Kittitas Valley Event Center event waivers and discounts
for Kittitas County 4-H as described above and within the attached facility use agreement.

PART I
This is a License to Use agreement between Kittitas County, Kittitas Vatley Event Center (herein after referred to as "KVEC") and the
party named on line I.8.1 (herein afterrcferred to as "Licensee"). ln consideration ofthe mutual covenants and agreements stated in
Part I and Part II ofthis document and all attachments hereto, the parties agreo as follows;

KVEC hereby grants to Licensee, and Licensee hereby accepts, a license to use KVEC resources for the purpose of holding various
events, as described in I.B.E. This agreement is effective lrom January l, 2020 until Deoember 31,2022. Attachment A includes
information for 2020 only. Prior to November 30rh of each year, included in lhis agreement, information for the next year will be
amended to this contract as an additional attachment and signed by both parties.

fee and the purpose ofthe use ofsuch facilities are based, in part, upon attendance and activity, KVEC may, at its option,
renegotiate the terms if the activity is inconsisten! with the Event Activities, as stated in LB.7.

a. Commercial .A'ctivities/Admission: A Commercial Activity is defined as any event where spectators are charged an
admission fee to the contracted event. For Commercial Activities, total Rental Fees will be based on the minimum Rental
Fees listed inl.C,2, or 20olo of gross adrnission sales, whichever is greater, Proof of admission sales must be arranged with
the KVEC office no later than forty-eight (48) hours after the conclusion ofany evont taking place under the terms ofthis
agteement.
b. Concessions/Comme rcinl Vcndors: Licensee will be charged a flat license fse of $30.00 pcr day, per Vendor for all
outside Vendors used at events under the terms ofthis agroement. LicenseelVendor is responsible for removing all trash
andgrease,andprovidingownbladderforgraywater, Anadditional$l00.00willbechargedtoLicenseeiftrash,gray
water, and grease are not cleaned up and removed from the immediate areas used as agreed upon under the terms of
subordinate events to this agreement. Licensee shall ensurc thal any Vendors employed at events under the terms ofthis
agreement shall have acquired temporary special event business licenses through the City ofEllensburg. A map ofoutside

vendor locations, including licensee booth, must be provided to KVEC staffno less than three (3) business days prior to
contracted event.
Iree Exception: When school youth groups, or active 4-H clubs staffa booth and all proceeds go entirely to lhat
organization the daily Rental Fee shall be waived. KVEC staff will make the final decision whether I group is qualified,
and such approval shall not be unreasonably withheld,
o. RV Hook-ups and Dry Comping: KVEC oflers RV hookup spaces and vehiole camping or "dry'' (no utilities used) tent
carnping. Areas on the grounds will be designated as "hook up" or "dry" camping areas, and all vehicles occupying spaces
within those areas will be charged accordingly.
One designated camping coordinator must be responsible fot registering and collecting all fees from campers. KVEC will
provide an appropriate log sheet(s).
A copy of the completed log sheet must be providcd to the KVEC office within forty-eight (48) hours after the conelusion
of the event. Lessee will be bilted for all camping,
Utilities hookup to any barn, arena, building or any other non-designatcd area is strictly prohibited.
A dump station is available in the north RV lot and is available to Licensee's patrons only, and only in conjunction with
authorized events under thc tcrms of this agre€ment.
The RV/Dry Carnping spaces may be reservsd at the cost below and witl be available lbr use startang at l0 AM the day
prior to thc first Event Day, as stated in I.8.5: All Rates inolude applicable Sales and Lodging Tax,
RV Hookup l.'ee: Electric and Water (Seasonal)$15.00 per space per night
Dry Camping Fee: No Water or Electric $10.00 per space per night
d. Equine Stalls: KVEC will make available non-bedded Equine and Tack Stalls for use by Licensee 's attendees, if
applicable to the event.
One designated Stall coordinator must be responsible for registering and assigning all stalls. A copy ofthe completed stall
assignment log sheet must be provided to the KVF.C offtce at the conclusion of the event (within 3 days),
in return for barn and/or stall fees, oach and every group will be responsible for the maintenance and cleaning ofth€
barn(s) and or stall/pens to the satisfaction ofthe Event Center staffduring all activities covered under this agreement,
excluding the 4-H Jr, Horse Fair and the Kittitas County Fair.
Individuals are responsible for cleaning all refuse oul of stall/pens into the middle aisle to be removed by Event Center
staff, including washing down watls ofbarn(s) and/or stalls, ifneeded, separating garbage fiom animal refuse, and
disposing ofproperly, Ifabove areas are not clcaned thoroughly to the satisfaction ofEvent Center statt, a fee of
$10.00/stall or pen, eto. will be oharged to Licensee.
When wash racks are used, dl areas in and around the wash racks arc to bc clcaned. In addition, all manure in walking,
driving, and grass areas are to be removed by users. A fee of$65 per rnan hour to clean wash racks, walking areas, grass
areas, and driving areas, will be charged to the Licensee ifareas are not cleaned and maintained during and after the
activity is over.
e. Frir Stall, Pcns, Ties, and Cage Sct-up: Clubs, leaders, and superintendents will be responsiblo for assisting in
preparation and set up of pens, stalls, and cages for the County Fair, Horse Fair, and pte-shows. Event Center staff will tear
down, clean up pens and stall after closure of4-H Horse Fair and County Fair, (excluding poultry and rabbit cages cages
must be left clean and refuse disposed ofat designated refuse area).
lmmediately upon end ofevent, all signage, posters, flags, and special water systems (such as in the swine, rabbits, and
poultry areas) must be removed by participating clubs and/or leaders. Any articles, signage, posters, flags, etc. remaining
after event will be disposed ofunless prior anangements are made with Event Center staff.
f. Bagged Shavings: KVEC will NOT provide bagged shavings for the event, with the exception ofthe 4-H Jr. Horse Fair
and Kittitas Coung Fair.

7. This agreement will not be valid, nor will resewations be guaranteed by KVEC, until it is signcd first by the KVEC Director
and Licensee agreeing to the overarching terms, and subsequently by the Event Point ofContact for Licensee agreeing to the
details rogarding specific events,

l. KVEC may claim as liquidated damages all Reservation Fees held and money owed on invoices outstanding if Licensee
cancels an event according to the timeline posted in 1,E.2. Cancellation of this agreement or of any facilities or services must
be done in writing. Failuro to do so will result in Licensee being billed for thc full amount of Anticipated Fees.2' Licensee agr€es to pay as liquidated damages the following amounts for cancclling this agreement. ln return, KVEC agrees

PART II
ll.A, FACTLITIES ACCEPTANCE/DAMAGES: Licensee accepts the licensed premises in "as is" condition without any obligation
by KVtiC to aher or make changes in any of its physical facilities. Licensee may, at its own expense, make alterations,
installations, decorations and like items, provided it receivcs the prior writlen approval ofan authorized KVEC represcntative to
do so, Licensee agrees to pay for any reasonably required or requested special and additional services, facilities, equipment,
materials, technicians, etc., supplied by KVEC, at prevailing ratcs and conditions, as agreed upon at Event Agreement
execution, and to be paid in accordance with Section LD.3. A list of these rates may be obtained from the KVEC office.
Licensee agrees lo pay for any damage, beyond normal wear and tear, to any structure, landscaping, equipment, etc. that can be
attributed to the negligent acts or omissions ofLicensee, its officcrs, agents, employees, and registered volunteers who are
acting in good faith and within the scope of their official dutie s in the performance of this agreement. KVEC will bill all
attributed damages to the Licensee and will not be responsible for collection from individuals.
II.B STALL USE: KVEC's sole responsibility shall be to provide a non-bedded stall at the beginning of each occupation period,
and to clean the stalls at the end of that period. Interim stall care is the responsibilig of the Licensee/lndividual stall users.
Licenscc/lndividual stail uscrs aro responsible for providing rakes, shovels, wheelbarrows and other equipment. StalI counts for
the purpose ofbilling are to be verified by rcpresentatives ofboth the Licensee and KVEC for billing to Licensee at the end of
each occupation period.
ll.C. RULES AND RECULATIONS: Licensee covenants and agrees to abide by all applicable laws and regulations, and policies
and rulcs establishsd by KVEC and its authorized representatives to the extent they are not inconsistent with applicable law; to
provide any licenses and permits required to comply with federal, state, county and city laws, statutes, resolutions and
ordinances; and to incur no bills or obligations for labor, materials or otherwise for which KVEC may be or become liable.
II.D. INSURANCE: Licensee, on behalf of itselfi, its agents, partners, employees, membcrs, and insurers, releases and forever
discharges, and agrees to defend, indcmnify, and save and hold harmless KVEC, Kittitas County, State of Washington, and its
and their Board of Commissioners, agents, employees and all of its and lheir divisions and departments, by whatever name
known [herein "released parties"], from any and all claims, demands, debts, losses, obligations, actions, or causes ofaction, of
whatever nature or kind; whether relating to persons, property, business, or otherwise; which may arise from, or on account of,
or beinanywayrelatedtoanynegligentactoromissiononthepartoftheLicenseeoranyofitsagents,offtcers,employces,
or registered volunteers, who are acting in good faith and within the scope oftheir official duties in the performance ofthis
agreement, except to the extent that such claim arises in whole or in part as a result ofthe negligence, including gross
negligence, or intontional misconduct ofthe released parties referred to above.
In the evcnt litigation arises to enforce the terms ofthis agreement, the parties shall bear their own attorneys' fess and costs.
In connection herewith, Licensee agrees to secure insursnce and/or self-insurance for the respective dates, as specified in
I.8.6 rnd "Attachment A Event Dstes snd Schedules by Frcility", with coverage in the minimum amount noted below,
unless KVEC, in its sole discretion, spccilies otherwisc. The released partics shall be named a$ edditional insured in
said pollcy and certificstes ofinsurance shall be provided to KVEC as soon as practicsl after Agreement execution as
taken place, and annually thererfter, Ifsuch policies shall materially change, Liccnsee shall endeavor to noti! KVEC at
leastthirty(30)daysinadvanceoftheeffectivedateofsuohchange. Thisinsurancewill providebothgeneral liability

Minimum lnsurance Required: $3,000,000 per occurrence / $5,000,000 aggregate
Notwithstanding anything in the Agreement to the contrary, the patties expressly acknowledgc and agree (l) l,icensee and its
officers, employees, agents, and registered volunteers, while acting in good faith within the scope ofthelr official Licensee
duties, are covered by the State of Washington Self-lnsurance Liability Program (RCW 43, 19.766 et seq.) and the Tort Claims
Act (RCW 4.92.060 €t seq.). Successful claims 1o pay legal liabilities and defensc costs of the state resulting from tortious
conducl ofLicensee and its employees, officers, agents, and registered volunteers in the porformance oftheir official Licensee
duties in good failh under this Agreement will bc paid ftom the tort claims liability account as provided in RCW 4.92.130.
Notwithstanding anything in this Agreement to the contrary, thc cxtcnt of the tiability Licensee contractually assumes under
this Agreement is limited to those risks lor which Licensee is covered by the State of Washington Self-lnsurance Liability
Program and the Tort Claims Act, and (2) Licensee will only provide a defense to KVEC if the Office of the Attorney Gcneral
of the State of Washington determines that (a) covcrage for the costs of the sams ar€ within the scope of the coverage afforded
to the Licensee by the State of Washington Self-lnsurance Liability advantageous to Liccnsee and the State of Washington to
do so,

II.E, EXISTINC SYSTEMS: KVEC will furnish built-in public addtess systems and sound, heat or air conditioning, and light as
provided by existing equipment and fixtures in the licensed premises during activity hours only. Any additional facilities or
equipment requircd to furnish additional eleotrical current or sound to meet the needs ofLicensee will be paid for by Licensee,
provided, however, that none shall be installed unless agreod to by the authorized representative oIKVEC in advance. No
unauthorized hookups to any utilities shatl be allowed on premises without approval of KVEC.
Il.F. PARKINC: Dcslgnatcd parking for each event will be assigned by KVEC administration, Traffic control and RV/Camping
vcrificationisthcsolcrcsponsibilityoftheLicensee. IfduepreparationandcareisnotexercisedbyLicensee,KVECreserves
the right to provide reasonably needed personnel, atthe expense ofthe Licensee, to meet KVEC expectations oftraffic and
public safety needs. In all instances, fire lanes shall be kept open and parking shall not obstruct fire hydrants or fire stations.
II.G. MUSICAL ENTERTAINMENT: Licensees who fall under the definition of Commercial Activity and provide musical
entertainment, other than professional enterlainrnent, must provide KVEC a copy of ASCAP, BMl, and/or SESAC permils.
II.H. FORCE MAJEURE: In any case where either Party is unable to futfill its obligations because of fire or other unavoidable
casualty which is outside the alt'ected Party's reasonnble control, the conlract with respect to the affected event(s) shall
terminate. If such termination occurs before lhe license begins, KVEC wilt refund to l,icensee any Reservation Fee heretofore
paid bv Licensee aftcr dcducting from such Rcs*vation Fee any expenses incurred to that time by KVEC in connection with
the affected event agreement. ln the event such termination occurs during thc terrn ofthis license, Licensee wi 11 pay to KVEC a
proratc portion ofthe consideration plus any expenses incuned by KVEC to that time in connection with the affected event
agreement; nnd KVEC will refund any part ofthe consideration already paid by the Licensee which exceeds such amount. In
the event ofsuch termination, the Parties hereby waive any claim for damages or compensation which rnight arise out ofsuch
force majeure.
ILL DEMOLITION, RECONSTRUCT{ON: KVEC reserves the right, notwithstanding any clause in a Faoility License Agreement,
and without penalty, to cancel that agreement if KVEC wishes to develop or renovate any portion of the facilities. Notification
ofcancellation shall be in writing and shall be timely. In the event that a Facilities Lease Agreement is cancclled for this
reason, l,iccnsce shall be refunded in whole, any Reservation Fee or other consideration provided to secure the use ofa space or
facility.
Il.J, TICKETS: IfLicensee'suseofthelicensedpremisesinvolvesaneventforwhichticketsaresoldtothepubtic,thentheevent
will be defined as a Commerciat Activity and subject to the Commercial Use license fee of twenty percent (207o) of ticket sales.
The manner ofpurchasing, selling and acaounting for such tickets shall be set forth by KVEC, unless otherwise agreed to
herein above, 501 Non-profits are exempt from the Commercial Use License Fee.
II.K. PROMOTION AND ADVERTISING: KVEC shall havc no responsibility, of whatever nature or kind, to promote or advertise
in any manner whatsoever the Event(s), Neither Licensee nor any of its agents or employees shall, in any promotion or
advertisement for the Event or otherwise, in any way state, suggest, or imply that KVEC or any of its employees, agents, or
departrnents, is in any way affrliated with the Event(s). This restriction shall not prohibit statements which indicate merely
where the event is to be held, All advertisements or promotions whether in visual or audible form that include the facility
name shall use "Kittitas Valley F,vent Center". KVEC is not authorized to use the marks, logos, or brand olLicensee without
lhe express witten permission of an authorized representative of WSU.
ILL. PERSONNEL: lt shall bc thc responsibility of Licensee to provide all personnel needed during the Term, except that KVEC has
therighttoprovidepersonnel fordesignatedpositions. Licenseeagreestopayforanyreasonablyrequiredservices,facilities,
equipment, materials, technicians, security, electricians, or olher psrsons, services, or items provided by KVEC in orderto
properlyoperatethepremisesduringauthorizedEvents. Suchshall bepaidforattheprevailingratesatthctime ofthc
activity(s) or as otherwise specified herein and shall, where appropriate, include overtime pay. tf KVEC determines that all or
any ofthe personnel qr other items listed herein are nseded to operate the premises, such determination shall be conclusive as
between the parties, and Licensee, and its agents and employ€es, shall in no wsy intcrfere with the personnel designated by
KVEC. Nothing herein shall be deemed to render KVEC responsible for the Event(s). ln addition to all other pcrsonnel
Licensee desires to have present, it shall specifically be the responsibility of Licensee to €nsuro that adequate omsrgency
medical personnel is present at all times during the Event(s). Seven (?) days prior to the beginning of the Event, Licensee shall
inform KVEC of the emergency medical personnel it is to supply. Prior to the Event(s), KVEC shall noti$ Licensee of the
personnel to be supplied by KVEC. Nothing herein shall be construed to sreate an employer/employee relationship or
partnership between KVEC and Licensee or any other person or entity mentioned hereunder and no such other pgison or entity

shall have any claim, of whatever nature or kind, for any employment benefits of whatever nature or kind against KVF,C.

II.M. EVENT MONITORING; KVEC ressrves the right of entry onto the licensed prcmiscs for the purpose of monitoring
compliance with all stated policies and conditions ofthe license agreement. Further, KVEC reserves the right of entry to
perform repairs or improvements providing that the entry shall notunreasonably interfere with Licensce's operation oftheir
event. KVEC reserves the right to determinc a condilion of emergency and to act accordingly.
II.N. ALCOHOL: Licensee is responsible for complying with all laws ofthe State of Washington and the City of Ellensburg
concerning thc consumption ofalcoholic beverages on public property.

ILP. ASSICNMENT: No portion of this license, or any rights or responsibilities thereunder, may be assigned or delegated by either
Party without the prior writte n approval of the other Party. Licensee has no right to sublet any portion of lhe premises without
the prior written approval of KVEC,
II.Q. DISCRIMINATION: The Parties, in the execution of this agreement, shall in no way discriminate in any manner on the basis
ofsex, race, national origin, sexual orientation, religion, age, disability, or other legally protected oharaoteristic, and shall abide
by atl applicable state, federal, and local laws governing same.
II.R. AMENDMENTS AND REVISION: This Contract cannot be amended, modified, supplemented, or rescinded except in writing
signed by KVEC and Licensee. No waiver of any provision of this Contract shall be valid unless such waiver is in writing and
signed by KVEC, Further, such waiver or failure to enforce a clause of this agreement shall not be construed to be a permanent
waiver offuture rights unless specifically stated such in writing and signed by the authorized representatives ofthe Parties.
ILS. BINDING: This Contract shall be binding upon and inure to the benefit of the parties hereto and their respective succcssors
and assigns.
ll,T. ENFORCEMENT: The failure by either Party to enforcc at any time any of the provisions of this License Agreement, or any
rights with respeit thereto, or to exercise any election herein provided shall in no way be considered to be a waiver ofany such
provisions, rights, or elections, or in any manner affeot the validity ofthis License Agreement, and shall not preclude that Paqy
from availing itselfof such at any time.
Il.U. VENUE AND CHOICE OF LAW: In the event that any litigation should arise concerning the construction or interpretaiion of any of
the tsrms of this Agreement, the venue of such action of litigation shall be in the Superior Court of the State of Washington in and for
thc County of Kittitas. This Agrccmcnt shall bc govcrncd by thc lnw of thc Stntc of Wnshington.
II.V. ADA COMPLIANCE: Thc Partics will cstablish and implement policies and procedures, take all needed steps, and provide all
nec€ssary personnel to ensure that the Activity(s) are accessible to individuals with disabilities as required by law, This will
include, but not be limiled to, informing individuals with disabilities of accessible areas in and leatures of the premises.
II.W. ACTIVITIES AND ADVERTISING: The Licensee shall keep all activities and advertising matters within the space designated
and shall place no advertising on the outside of the permanent buildings without the KVEC's permission. All advertiscmcnt
that includes KVEC as the location must announce or list the facility location as "Kittitas Valley Event Center", unless
express wriften permission is obtained from KVEC to use other marks.
II.X. TERM: The tcrm of this agreement shall commence on the date both signatures are obtained in the 'oApproval of Agreement"
seotion,andcontinueforaperiodofthree(3)yearsunlessterminatedsoonerasprovidedherein. Upontheexpirationofthe
term, this agreement shall cease unless explicilly extended via modification executed by the parties.
This Liconse Agreement constitutes the entire understanding and agreement among the parties hereto with respect to thc subjcct
matter hereofand contains all ofthe agreements among the parties with respecl to the subject matter and supers€des and
replaces all agreements, both oral and written. There are no other affangements, understandings, restriotions, representations,
or warrantics among the parties hereto.
