KITTITAS COUNTY HEALTH IMPROVEMENT NETWORK <br />2018-2019 <br />KITTITAS COUNTY HEALTH IMPROVEMENT NETWORK <br />BOARD OF DIRECTORS <br />MEMORANDUM OF AGREEMENT <br />This Memorandum of Agreement sets out the terms by which the Board for the Kittitas County <br />Health Network (KCHN) commits to management and leadership of the Network. <br />Board Purpose <br />The Network purpose is to improve population health through cross-sector collaboration and <br />systems integration utilizing the Community Health Improvement Plan as the guiding <br />implementation document. As a Board member I agree to adhere to Board Responsibilities, to <br />consider how my own organization and those in my network can align with the KCHN purpose, <br />and serve as a vocal champion of cross-sector collaboration in the community. <br />KCHN Board Responsibilities <br />Annually review the organization's mission and purpose; Review organization policies to ensure <br />specific outcomes; Review programs and services to ensure they are tied to specific outcomes; <br />Apply data to inform strategy development; Encourage connections between groups to ensure <br />coordination and efficiency; Apply guidelines for ensuring ethical behavior and resolving ethical <br />conflicts; Develop a well-defined structure of effective committees which clear purposes and <br />tasks; Understand legal requirements and restrictions for Boards and the organizations and <br />communicate to full Board; Define and apply articles of incorporation and by-laws; Develop a <br />strategic direction for Board and organization; Develop a process and timeline for Board <br />recruitment based on specific criteria and needs; Require an organizational annual report; <br />Select and evaluate the Executive Director; Approve all contracts and policies for the <br />organization; Oversee effectiveness of programs and services; Create, approve and monitor <br />Board policy; Finalize and approve annual Board and organization budgets; Ensure annual audit <br />of organization accounts. <br />KCHN Executive Board Duties <br />Monitor achievement of strategic plan and objectives; Monitor organization policies; Review <br />preliminary budgets; Plan agenda for Board meetings; Ensure standing and ad hoc committees <br />are meeting their objectives and are prepared for Board presentations; Oversee financial <br />management, procedures/controls, budget and audit; Ensure compliance with all organizational <br />policies and laws; Act on behalf of the Board for on-demand activities that occur between <br />meetings, presented later to the Board for review; Ensure adequate financial controls and <br />report any irregularities to the full Board; Recommend financial guidelines to the Board; Work <br />with staff to design financial reports appropriate for the Board; Recommend selection of an <br />auditor; Review job descriptions and establish salary structure for organization. <br />1
