Dear Commissioners Osiadacz, O'Brien and Wright:
The Kittitas County Board of Commissioners entered into a Professional Services Agreement
(''Agreemeut") wi t h our fi rm s o n D ecember 3 0? 20 13, for a scope of wo r k w ith an ini t ia l term e11d i ng
o n May 31, 20 14., wh ich has since been s ubj ect to. a num be r of extens io ns as ou r work on w ater
r e . o urce matters ce nti nues. Th e late t exten sion was fro m June 3 0 20 18 to D ecem be r Jl, 2 0 18.
Section 12 of the Agreement allows for written mod ification . We propose to exte nd t he te r m of our
sco pe of work until Decem ber 31 2 01 9, und er the same scope of work and terms and conditions of
th e o ri gin a l Agreement, w ith the excepti on that tJ1 e monthly fee is reduced to $8 ,000 . We will
cont in ue to provide the co un ty wi th monthl y inv o ices including time and subject descriptions.
We believe that significant progress has been made under the original scope of work and that this
term extension will enable Kittitas County to complete several water banking transactions , necessary
permitting, addressing legislative issues, and other actions relating to water resource management
issues.
A proposed modification is attached for your review and approval. Please contact us if you

SEVENTH MODIFICATION TO PROFESSIONAL SER VICES AGREEMENT
This Modification to Professional Services Agreement is made by and between Kittitas
County (hereinafter "the Cou nty") and Plauche and Carr LLP (Peter Dykstra) and Bill Clarke
(hereinafter eollectively "Contractort'). The County and Contractor agree as follows:
The County and Contractor entered into a Professional Services Agreement on December 30,
2014. The initial term for the Agreement included an end date of May 31, 2014. Exhibit Bis
hereby modified pursuant to Section 12 of the Agreement to provide an end date of December
31, 2019, and a monthly fee of $8,000. All other provisions of the Agreement shall remain
