BOARD OF DIRECTORS
MEMORANDUM OF AGREEMENT
This Memorandum of Agreement sets out the terms by which the Board for the Kittitas County
Health Network (KCHN) commits to management and leadership of the Network.
Board Purpose
The Network purpose is to improve population health through cross -sector collaboration and
systems integration utilizing the Community Health Improvement Plan as the guiding
implementation document. As a Board member I agree to adhere to Board Responsibilities, to
consider how my own organization and those in my network can align with the KCHN purpose,
and serve as a vocal champion of cross -sector collaboration in the community.
KCHN Board Responsibilities
Annually review the organization's mission and purpose; Review organization policies to ensure
specific outcomes; Review programs and services to ensure they are tied to specific outcomes;
Apply data to inform strategy development; Encourage connections between groups to ensure
coordination and efficiency; Apply guidelines for ensuring ethical behavior and resolving ethical
conflicts; Develop a well-defined structure of effective committees which clear purposes and
tasks; Understand legal requirements and restrictions for Boards and the organizations and
communicate to full Board; Define and apply articles of incorporation and by-laws; Develop a
strategic direction for Board and organization; Develop a process and timeline for Board
recruitment based on specific criteria and needs; Require an organizational annual report;
Select and evaluate the Executive Director; Approve all contracts and policies for the
organization; Oversee effectiveness of programs and services; Create, approve and monitor
Board policy; Finalize and approve annual Board and organization budgets; Ensure annual audit
of organization accounts.
KCHN Executive Board Duties
Monitor achievement of strategic plan and objectives; Monitor organization policies; Review
preliminary budgets; Plan agenda for Board meetings; Ensure standing and ad hoc committees
are meeting their objectives and are prepared for Board presentations; Oversee financial
management, procedures/controls, budget and audit; Ensure compliance with all organizational
policies and laws; Act on behalf of the Board for on -demand activities that occur between
meetings, presented later to the Board for review; Ensure adequate financial controls and
report any irregularities to the full Board; Recommend financial guidelines to the Board; Work
with staff to design financial reports appropriate for the Board; Recommend selection of an
auditor; Review job descriptions and establish salary structure for organization.

Member Benefits
Through cross -sector collaboration member organizations will enter contracts and grants
individually and collectively for the benefit of the Network whenever possible.
Duration of the Agreement
This Agreement will be in effect from July 1, 2018 through June 30, 2019, will be renewed
annually, and may be updated at any time through consensus of the Board at any regularly
scheduled Board meeting.
