SECONDAMENDMENTTOAGREEMENTBETWEENKITTITASCOUNTYANDWASTEMANAGEMENTOFWASHINGTON,INC.THISFIRSTAMENDMENTTOAGREEMENT("FirstAmendment")isenteredintoasofFebruary17,2017("EffectiveDate")byandbetweenKittitasCounty("County")andWasteManagementofWashington,Inc.("Company").RECITALSA.CountyandCompanyarepartiestothatcertainAgreementforOperationofTransferStations,HaulingandDisposalofMunicipalSolidWaste,HaulingofInert,DemolitionDebrisWaste,andHauling,ProcessingandMarketingofRecyclableseffectiveJuly1,2010(the"Agreement");B.CountyandCompanyamendedtheAgreementonJuly1,2015,extendingthetermoftheAgreementandadjustingfeesandcompensation;andC.CountyandCompanynowdesiretofurtheramendtheAgreement.AGREEMENTNOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesmutuallyagreeasfollows:1.TransferStationOperations;Tires.SectionVII(C)(viii)isherebyamendedasfollows(additionsinunderlineanddeletionsinstrikethrough):Tires.TheCompanyshalldirectcustomerstostacktiresneatlyandshallberesponsibleformaintainingtiresinaneatandorderlyfashion.TheCompanyshallaccepttires,asdefinedherein,atLowerCountyandUpperCountytransferstationsfromthepubliccommercialandagriculturalsources,andshallsegregatetiresfromMSWandotherwastes.LowerCountyTransferStation.TheCompanyshallloadtiresintotoploadcontainersprovidedbytheCountyatLowerCountyTransferStation.TheCountymayarrangetiresincontainerstomaximizeloading.TheCountywillarrangeforsupplyingtheremovaloffullcontainersoftires.Thereisnopayitemforthiswork.AllcostincurredbytheCompanyinregardtotiresatLowerCountyTransferStationshallbeconsideredincidentaltotheoperationofthetransferstations.Page1of3 UpperCountyTransferStation.TheCompanyshallloadtiresintotoploadcontainersatUpperCountyTransferStationandtransfertoLowerCountyTransferStation.TheCompanyshallbepaidbytheCountyforsuchserviceattheratesetforthinSectionV(C),YardWasteFee.2.FullForceandEffect.ExceptasotherwiseprovidedinthisSecondAmendment,allothertermsandprovisionsoftheAgreement,asamended,shallremaininfullforceandeffect.INWITNESSWHEREOF,thisSecondAmendmentiseffectiveasoftheEffectiveDate.KITTITASCOUNTYBy:Name:Title:Date:By:Name:Title:Date:By:Name:Title:Date:ATTEST:By:Page2of3 Title:WASTEMANAGEMENTOFWASHINGTON,INC.By:Name:Title:Date:Page3of3
