Resolution Adopting and Authorizing Execution of <br />Second Amendment of Amended and Restated Development Agreement <br />Page 1 of 2 <br /> BOARD OF COUNTY COMMISSIONERS <br /> COUNTY OF KITTITAS <br /> STATE OF WASHINGTON <br /> <br />RESOLUTION NO. 2026-________ <br /> <br />RESOLUTION ADOPTING AND AUTHORIZING THE CHAIR’S SIGNATURE TO <br />THE SECOND AMENDMENT OF <br />THE AMENDED AND RESTATED DEVELOPMENT AGREEMENT <br />BY AND BETWEEN KITTITAS COUNTY, WASHINGTON AND SUNCADIA RESORT <br />LLC RELATING TO THE DEVELOPMENT COMMONLY KNOWN AS <br />SUNCADIA MASTER PLANNED RESORT <br /> <br />WHEREAS: Kittitas County and Suncadia Resort LLC’s predecessors in interest previously <br />entered into that certain Amended and Restated Development Agreement as <br />defined in that certain Second Amendment of Amended and Restated Development <br />Agreement By and Between Kittitas County, Washington and Suncadia Resort LLC <br />Relating to the Development Commonly Known as Suncadia Master Planned <br />Resort, a copy of which is attached hereto and incorporated herein by reference (the <br />“Second Amendment”). <br />WHEREAS: Kittitas County and Suncadia Resort LLC have reached agreement regarding those <br />amendments to the Development Agreement set forth in the Second Amendment. <br />WHEREAS, A public hearing was held on February 17, 2026, and the public was provided due <br />notice and opportunity to provide testimony on the proposed development <br />agreement; and <br /> <br /> NOW, THEREFORE, BE IT RESOLVED, that the Board of Kittitas County <br />Commissioners, after due deliberation and in the best interest of the public, does hereby adopt and <br />authorize Chair signature on the Second Amendment. <br /> DATED this ______ day of _______________, 2026, at Ellensburg, Washington <br /> <br />KITTITAS COUNTY <br /> <br />____________________________________ <br />By: Cory Wright, Chairman <br /> <br />____________________________________ <br />By: Brett Wachsmith, Vice-Chairman <br /> <br />___________________________________ <br />By: Laura Osiadacz, Commissioner <br /> <br />
