TERMS AND CONDITIONS OF SALE AND USE <br />THESE TERMS AND CONDITIONS OF SALE AND USE (this "Agreement') are entered into made effective as of <br />September 18, 2025 (the "Effective Date") by and between Integrity Communications Solutions, LLC, a Colorado <br />limited liability company with its principal address at 4040 E. Bijou Street Suite 120, Colorado Springs, CO 80909 <br />("Integrity"); Command Sourcing, Inc., a California corporation with its principal address at 6100 Horseshoe Bar <br />Road, Suite A228, Loomis, CA 95650 ("Command"); and Kittitas County Sheriff's Office, Kittitas County, <br />Washington with its principal address at 205 W 5th Ave, Suite 1, Ellensburg, WA 98926 ("Customer" or "County"). <br />WHEREAS Command wishes to sell to Customer certain IQ Radar, Model BLDS60-A product(s), a biometric life <br />detection radar unit manufactured by Integrity (the "Integrity Equipment"), and in connection with that sale the <br />parties wish to agree on certain terms and conditions that apply to the sale and use of the Integrity Equipment. <br />NOW THEREFORE Integrity, Command and Customer hereby agree as follows: <br />Integrity Equipment. <br />1.1. Installation. Customer elects to engage Integrity to carry out installation, subject to an additional charge to <br />be agreed upon in writing prior to work commencement. <br />1.2. Integrity Assistance. On installation of the Integrity Equipment, Integrity will provide basic training to <br />Customer's designated personnel. The Integrity Equipment will be configured to generate alerts directly to <br />Customer's designated personnel based on pre-set biometric and motion thresholds, as provided in the applicable <br />documentation. <br />1.3. Maintenance; Alteration. Customer will notify Integrity in writing if the Integrity Equipment fails to operate <br />according to its specifications. Integrity will use commercially reasonable efforts to maintain and repair the Integrity <br />Equipment so that it functions in the ordinary course. Integrity shall be responsible for costs and expenses incurred <br />by Integrity to maintain and repair Integrity Equipment that is not functioning as a result of ordinary wear and tear <br />from proper use. Integrity reserves the right to charge Customer a reasonable service fee for all other costs and <br />expenses incurred by Integrity in the maintenance and repair of the Integrity Equipment. Customer shall not, without <br />Integrity's prior written consent, make any changes or substitutions to the Integrity Equipment. <br />1.4. Relocation of Integrity Equipment: Integrity Equipment is delivered for use only at the project location <br />agreed to in writing by Integrity and Command (" Proiect Location"). Customer may relocate the Integrity Equipment <br />to a new Project Location so long as Customer notifies Integrity and Command in writing (email is sufficient) prior <br />to relocating the Integrity Equipment and identifies the new Project Location in reasonable detail (including, if <br />requested, a pin drop location). Relocation of Integrity Equipment may cause service shortfalls or failures in the <br />Monitoring Services and may require reconfiguration of the Integrity System. Notwithstanding any approval by <br />Integrity, Customer assumes all risks incurred as a result of the relocation of Integrity Equipment. <br />2. Monitoring Services. Monitoring Services — General. Integrity will provide its standard monitoring <br />services ("Monitoring Services") in connection with the Integrity Equipment, during the Service Period as provided <br />in Section 5.1 below and subject to Customer's maintenance at all times of Integrity's connection by internet to the <br />Integrity Equipment. Promptly after the Effective Date, Integrity will assist Customer with the installation and <br />configuration of the Integrity Equipment according to Integrity's standard procedures. Authorized Use of <br />Monitoring Services. Customer may permit those authorized employees and personnel designated by Customer <br />("Authorized Users") to access and use the Software and the Monitoring Services only as permitted under this <br />Agreement and in accordance with the Documentation. Customer shall be exclusively responsible for the <br />supervision, management and control of its use of the Software and the Monitoring Services. To access and use <br />the Monitoring Services, Authorized Users must accept the terms of use applicable to the Integrity Portal and the <br />Integrity App (as amended by integrity from time to time, the "Electronic Terms of Use"). Customer is solely <br />responsible for the selection and training of its Authorized Users, for obtaining all consents and giving all notices <br />required to be obtained or given by Customer to Authorized Users under applicable laws, and for all acts and <br />omissions that occur under such person's access credentials. Customer acknowledges that any breach of the <br />Electronic Terms of Use by an Authorized User will be deemed a breach of this Agreement by Customer. Integrity <br />4925-8427-0182\11 <br />
