PROFESSIONAL SERVICES AGREEMENT <br />This Agreement is made by and between Kittitas County (hereinafter "the County") <br />and CompassDirect Healthcare (hereinafter "Contractor or "CompassDirect Healthcare <br />The County and Contractor agree as follows: <br />General Conditions; Exhibit (Amended Scope of Work); Exhibit B (Amended <br />Compensation); Exhibit C (Proof of Insurance) <br />copies of which are attached hereto and incorporated herein by this reference as fully as if <br />set forth herein. <br />The term of this Agreement shall commence on November 1, 2025 and continue until <br />completion of the project, Kittitas County Board of County Commissioners Resolution 2022- <br />072, contract number SH22-011 Amendment No. 4, to hire a qualified Clinical Staff Member <br />to provide care and prompt access to medical needs when necessary to those incarcerated <br />at the Kittitas County Jail utilizing the Washington State Healthcare Authority MOUD/MAUD <br />in Jails funding with an expected termination date of June 30, 2026 unless notified in <br />advance of any extension or depleted. funds. Any party may terminate this Agreement by <br />giving thirty (30) days' notice in writing either personally delivered or mailed postage -prepaid <br />by certified mail, return receipt requested, to the party's last known address for the purposes <br />of giving notice under this paragraph, subject to section 14 in the General Conditions. <br />Contractor acknowledges and by signing this Agreement agrees that the <br />Indemnification provisions set forth in Paragraphs 7 (Independent Contractor), 9 (Taxes), <br />15 (Defense and Indemnity Agreement), 21 (Patent/Copyright Infringement) and 24 <br />(Confidentiality), are totally and fully part of this Agreement and have been mutually <br />negotiated by the parties. <br />Professional Services Agreement (rev. 09/24/2018) <br />Page 1 of 17 <br />
