Addendum I To Inmate Telephone Agreement This Addendum Number 1 adds to and modifies the Inmate Telephone Agreement dated August 18, 2020 ("Contract') previously entered into between ICittitas County Sheriff's Office of Ellensburg, Washington (collectively, the "Customer") and Consolidated Telecom, Inc. ("CTEL") (hereinafter the "Contractor") (collectively, the "Parties"). RECITALS A. The Parties entered into the Contract in order to install, and maintain an Inmate Telephone System and interrelated hardware and software, the inmate pay telephones, and interrelated equipment, a copy of the Contract is attached as Exhibit A and incorporated by reference; and B. The Parties wish, through this Addendum, to extend the existing contract term and increase payment per chirp or text message from .01 cent to .02 cents, increase the commission on all remote video visitation revenue from 20% to 30%, increase the commission of tablet and kiosk revenue from 20% to 30%, and increase the telephone commission from 42% to 65%. CONTRACT Now, therefore the Parties agree as follows: 1. Section 7 of the contract is amended to extend the contract until August 13,2028. A three (3) year extension. 2. Section 1 of the contract is amended to include .02 cents on every chirp/text message and not .01 cent, 30% commission of tablet revenue, and raise the telephone commission from 42% to 65% commission. 3. Section 12F Shall charge as follows ➢ .02 cents paid on every chirp/text. ➢ 30% commission on video visitation revenue. ➢ 30% commission of tablet and kiosk usage. ➢ 65% commission on telephone revenue. C. ENTIRE AGREEMENT / ADDENDUM This Addendum and the Contract represents the entire and integrated agreement between the parties here to and supersedes all prior negotiations, representations or agreement, either written or oral. This Agreement may be amended, modified, or added to only by both Parties.
