LT.2O25-OO8 LAUGHING HORSE ARTS FOUNDATION <br />2025 TODGING TAX SERVICES AGREEMENT <br />BETWEEN KITTITAS COUNTY AND LAUGHING HORSE ARTS FOUNDATION <br />dbA ELLENSBURG MUSIC FESTIVAL <br />This Contract, effective January 1,,2025, is made and entered into by and between KITTITAS <br />couNTY acting as agent for and on behalf of the CoNSoLIDATED LoDGING TAX COMMITTEE <br />("County"), and LAUGHING HORSE ARTS FOUNDATION dba ELLENSBURG MUSIC FESTIVAL <br />("Contractor") for the 2025 ELLENSBURG MUSIC FESTIVAL ("Event"). <br />WHEREAS, the purpose of this Agreement is to provide for activities and expenditures <br />designed to increase tourism, and; <br />WHEREAS, the constituent members of the Consolidated Lodging Tax Committee are Kittitas <br />County, City of Roslyn, City of Cle Elum, and the City of Ellensburg (the cities are individually and <br />collectively referred to in this Agreement as "City"); <br />NOW THEREFORE, in consideration of the terms and conditions contained herein, or <br />attached and incorporated and made a part hereof, the County and the Contractor mutually agree <br />as follows: <br />Section 1. Scope of Work. <br />a. Contractor shall provide the services and staff described in its Application for Lodging Tax <br />Funds submitted to the Lodging Tax Advisory Committee, attached hereto as Exhibit "A" <br />which is attached hereto and incorporated herein by this reference. <br />b. To perform the services described in Paragraph (a) above, and in accordance with this <br />Agreement, Contractor shall furnish the following: personnel, labor and supervision; <br />technical, professional and other services. All such services, property and other items <br />furnished or required to be furnished, together with all other obligations performed, or <br />required to be performed, by Contractor under this Agreement are collectively referred to <br />herein as "Services." <br />c. Contractor shall commence, perform and complete such Services in accordance with Exhibit <br />"8" which is attached hereto and incorporated herein by this reference. <br />Section 2. Pavment. <br />As full compensation for the satisfactory performance of the Contractor's Services the County <br />will make payment to the Contractor on a reimbursement basis only, as receipts/invoices for <br />any items including marketing and /or advertising are submitted to the County, not to exceed <br />the total sum of twenty-two thousand dollars (522,000.00) (CLTAC funding). <br />a <br />_2025 County Lodging Tax Funding Agreement Poge 7
