COMMERCIAL BUILDING LEASE <br />THIS LEASE, dated for reference purposes only on the day of , 2022, <br />is made and entered into, to commence on the 1 st day of , 20_, by and <br />between KITTITAS COUNTY, a subdivision of the State of Washington, hereinafter referred to as <br />the LESSOR, and C.R. Wales Investments LLC, a Washington Limited Liability Company, <br />hereinafter referred to as the LESSEE. <br />WITNESSETH: <br />Lessor does hereby lease to Lessee, and Lessee hereby leases from Lessor, that <br />certain real property (parcel numbers 18374, 133734, 193734, and 043734) legally described <br />in EXHIBIT "A" (legal description) annexed hereto and by this reference incorporated herein <br />(the "Property"). Said Premises are located in the City of Ellensburg, County of Kittitas, State <br />of Washington. <br />This Lease is made in accordance with chapters 2.81 KCC, Ch. 36.34 RCW; and Ch. <br />59.12 RCW, and is subject to the terms, covenants and conditions herein set forth. Lessee <br />covenants as a material part of the consideration for this Lease to keep and perform each and <br />all of the said terms, covenants and conditions by it to be kept and performed. <br />TERM. The term of this Lease shall be for five (5) years and will commence on the 1 St day <br />of January, 2023 and terminate on the last day of January 2028, except as provided <br />hereunder. <br />2. USE. <br />a. Lessee, during the term of this Lease, shall use the Premises for a bowling alley, <br />restaurant, bar and entertainment facility. The Premises includes three (3) tax <br />parcels; 133734, 183734 and 043734. The Lessor shall have the right to use the <br />parking areas on Parcels 133734 and 043734 (hereinafter the "Parking Lots") during <br />the term of this lease. Lessor shall not be required to compensate Lessee for the <br />use of the Parking Lots. This right of use of the Parking Lots will last for the entire <br />term of the lease and, assuming Lessor exercises the option to purchase set forth <br />below in section 4, for an additional two (2) years after the termination of this lease. <br />After the end of the seven (7) years of free use Lessor shall have the first option to <br />lease the Parking Lots by paying market rent for the lease of the Parking Lots. Any <br />such lease of the parking lots shall be reduced to writing and shall be for a term not <br />to exceed 15 years.. The Lessor shall have the right to use the meeting rooms within <br />the building on Parcel Number 183734 for up to 24 days per year of the lease term. <br />This right of use of the Meeting Rooms will last for the entire term of the lease and, <br />assuming Lessor exercises the option to purchase set forth below in section 4, for an <br />additional two (2) years after the termination of this lease.
