<br />2.3 Conference of Governments (COG). The Kittitas County COG is the existing intergovernmental advisory
<br />forum through which the Parties coordinate Consortium matters. For Consortium purposes, each Party other
<br />than Central Washington University shall have its representatives delegated to COG to serve as that Party's
<br />appointed Consortium representative(s) under this Agreement. Central Washington University shall appoint one
<br />representative for Consortium purposes. COG is not a Party to this Agreement, does not create a separate
<br />public entity, and has recommendation-only authority unless the Parties expressly provide a written
<br />authorization under this Agreement.
<br />2.4 COG Coordination Responsibilities. COG shall:
<br />• Convene and facilitate Consortium coordination meetings and provide a forum for the Parties to
<br />discuss regional legislative, regulatory, appropriations, and funding priorities.
<br />• Coordinate development, review, prioritization, and periodic updating of the Countywide Platform.
<br />• Review TFG reports, work products, policy updates, funding strategies, and recommendations.
<br />• Make recommendations regarding regional advocacy priorities, subject to the independent approval
<br />authority of each Party.
<br />2.5 Kittitas County Administrative Responsibilities. Kittitas County shall:
<br />• Execute and administer the County-TFG contract, subject to applicable procurement, contracting,
<br />payment, ethics, public records, and other requirements.
<br />• Receive, process, and pay TFG invoices as permitted by the County-TFG contract and available
<br />appropriations; invoice Parties in accordance with this Agreement; and maintain financial records
<br />relating to Consortium revenues, expenditures, invoices, reimbursements, and approved costs.
<br />• Provide reasonable financial reporting to the Parties and administrative support to COG as needed for
<br />Consortium coordination.
<br />2.6 Party Responsibilities. Each Party shall identify a primary staff representative and an authorized executive-
<br />level, elected, appointed, or other representative for Consortium coordination and policy direction, consistent
<br />with Section 2.3. Each Party shall provide the County and COG written notice of any change in its appointed
<br />representative(s) or the scope of delegated authority. Each Party shall participate in good faith; timely provide
<br />information reasonably necessary for requested services; review materials related to its projects or priorities;
<br />obtain its own required approvals; and pay invoices issued under this Agreement.
<br />2.7 Property. The Consortium does not anticipate acquiring, holding, or disposing of real or personal property.
<br />Property a Party uses to perform its responsibilities under this Agreement remains that Party's property. If
<br />property is proposed to be acquired for the joint undertaking, the Parties must first approve in writing the
<br />acquisition, title, custody, use, and disposition of that property, consistent with chapter 39.34 RCW.
<br />3. GOVERNANCE, COUNTYWIDE PLATFORM, AND INDIVIDUAL PARTY RIGHTS.
<br />3.1 Meetings and Records. Regularly scheduled COG meetings shall constitute Consortium meetings unless the
<br />Parties agree otherwise during a regular COG meeting and the agreement is recorded in the COG minutes.
<br />COG shall schedule meetings and make agendas available in accordance with chapter 42.30 RCW, including
<br />RCW 42.30.070, RCW 42.30.077, and RCW 42.30.080, as applicable. A quorum consists of representatives
<br />from a majority of the Parties. COG shall prepare or cause to be prepared written minutes of Consortium
<br />proceedings as part of the regular COG minutes, identifying recommendations, votes when taken, and written
<br />authorizations received.
<br />3.2 Recommendations and Votes. Each Party has one vote. Unless this Agreement requires a different
<br />standard, a Consortium recommendation may be made by a majority vote of the Parties represented at a
<br />meeting with a quorum. A nonresponse, abstention, or silence does not constitute approval or authorization by a
<br />Party.
<br />3.3 Approval of Countywide Positions and Directions to TFG. No regional advocacy position, legislative request,
<br />appropriations request, funding request, public statement, or other Countywide Platform action shall be
<br />represented as supported by a Party unless that Party affirmatively approves or authorizes its inclusion in
<br />writing. The County may direct TFG on a shared matter only upon written direction or documented meeting
<br />approval from each Party that will be identified as supporting the matter or will bear a cost beyond its fixed-fee
<br />allocation. A Party may support all, some, or none of the Countywide Platform priorities.
