<br />2. APPLICATION OF PERCENTAGE SHARES. The percentage shares above apply to the fixed TFG fee and to
<br />collectively authorized reimbursable expenses, optional services, shared liabilities, final-accounting obligations,
<br />and other Consortium-wide costs, unless the cost is attributable to one or more Parties or the Parties otherwise
<br />unanimously agree in writing.
<br />3. QUARTERLY BILLING PROCESS.
<br />TFG will submit one quarterly invoice to Kittitas County.
<br />Kittitas County will review and pay the invoice in accordance with the County-TFG contract and County
<br />payment procedures.
<br />The County may invoice Parties in advance for estimated quarterly shares as provided in Section 4.3.
<br />If the County pays before collecting advance funds, the County will invoice each Party within ten (10) calendar
<br />days after County payment for its allocated share.
<br />Each Party shall pay the County within thirty (30) calendar days following the County invoice date.
<br />The County will apply reimbursements only to Consortium expenses and maintain records supporting those
<br />payments.
<br />4. INITIAL OCTOBER-DECEMBER 2026 PERIOD. The intended fixed fee for the initial period from October 1,
<br />2026, through December 31, 2026, is $68,100, subject to confirmation in the final County-TFG contract. If TFG
<br />invoices a different amount for the initial partial-year period, the allocations will be adjusted proportionally unless
<br />the Parties approve another allocation in writing.
<br />5. RENEWAL. If the continuing Parties approve a written renewal under Section 6.2, the renewal must specify
<br />the renewal term, the County-TFG Contract status, the scope of services, the fixed fee, the Party-specific
<br />allocations, the billing schedule, and any approved reimbursable-expense or optional-service authority. The
<br />County has no obligation to seek, execute, or fund a renewal of the County-TFG Contract unless all required
<br />County approvals have been obtained and advance contributions required by the County have been received.
