12.2 <br />12.3 <br />12.4 <br />12.5 <br />The county may, at any time, by written notice thereof to contractor ("change <br />Notice,,) makes changes in the work within the generat scope of this <br />Agreement, incl,uding, but not timited to: (a) changes in' revisions to' <br />substitutions for, additions to or deietions of any work; (b) changes in <br />schedute; and (c) accel,eration, deceteration or suspension of performance of <br />anyWork. <br />lf any change in the work causes an increase or decrease on contractor's cost <br />of, or the time required for, performance of the work, an equitable adjustment <br />in the compensatlon to contractor and in the schedute for the performance of <br />the work shatL be made to reftect such an increase or decrease' <br />Notwithstanding any dispute or del.ay in arriving at a mutual'[y acceptabLe <br />equitabl.e adjustment, contractor shatl. proceed in accordance with atL change <br />Notices. The contractor must, within thirty (30) days after receipt of any <br />change Notice that does not set forth any acceptable adjustment' submit to <br />theCountyaWr|ttenstatementsettingforthanyadjustmentclaimed. <br />lf any change resutts in a decrease in the work performed, contractor shat[ be <br />entiil.ed to compensation associated with changing the work, such as revising <br />design already compLeted, revising caLcutations al.ready performed, and <br />revising documents. <br />13. Termination for Default: <br />lf the contractor defaul.ts by fail.ing to perform any of the obLigations of the Agreement or <br />becomes insotvent or is decl.ared bankrupt or commits any act of bankruptcy or insotvency or <br />makes an assignment for the benefit of creditors, the county may, by depositlng written <br />notice to the Contractor in the U.S. mail., postage prepaid, terminate the Agreement' and at <br />the county's option, obtain performance of the work el'sewhere' lf the Agreement is <br />terminated for defau[t, the contractor shaLl, not be entitted to receive any further payments <br />under the Agreement untiL aLl. work caLled for has been ful'Ly performed' Any extra cost or <br />damage to the county resul.ting f rom such default(s) shat[ be deducted f rom any money due <br />or coming due to the contractor.
