21.7 ln the perforunance of thls Agreement, Contractor will not dlscrlmlnate against any
<br />employee or appllcant for employment on the grounds of age, race, creed color, natlonal origin,
<br />citizenshlp or immlgration status, se& sexual orientation, marital status, honorably dlscharged veteran or
<br />military status, or the presence of any sensory mental or physical disabllity or the use of a tralned dog
<br />guide or service animal by a person with a disability; provlded that the prohlbltion agalnst discrlmlnation
<br />because of such dtsablllty shall not apply if the particular disability prevents the proper performance of
<br />the particular worker involved. Contractor shall ensure that applicants are employed, and that employees
<br />are treated durlng employment, wlthout discriminatlon because of thelr agg racg creed color, national
<br />origin, citlzenship or irnrnigratlon status, sex, sexual orientation, marltal status, honorably discharged
<br />veteran or military status, or the presence of any sensory, mental or physical disability or the use of a
<br />trained dog gulde or selice animal by a person wlth a dlsabllity. Such requirements-apply, wlthout
<br />limltation, to the followlng: employment, promotion, demotion, transfer, recultment or recruitrnent
<br />advertlsin& layoff ortermination, rates of pay orotherforms of compensation, and programs for trainin&
<br />including apprentlceshlps. Contractor shall take such action with respect to thls Agreement as may be
<br />required to ensure full compllance wlth local, state and federal laws prohibltlng dlscrimlnatlon ln
<br />employment.
<br />2L.2 Contractor will not discrlmlnate against any recipient of anyseMces or benefits provided
<br />for under thls Agreement on the grounds of age, race, creed, color, national origin, cltizenshlp or
<br />immlgration status, sex, sexual orlentation, marital status, honorably discharged veteran or military
<br />status, or the presence of any sensory, mental or physical dlsabllity or the use of a tralned dog guide or
<br />servlce animal by a person with a disabiltry.
<br />21.3 lf any assignment and/or subcontractlng has been authorized by the Countv, said
<br />assignment or subcontract shall lnclude appropriate safeguards against discrimination.
<br />22, Wafuen The waiver of any default or breach of thls Agreement or the failure of a party to
<br />enforce any provision hereof or to exercise any rlght or privilege hereunder, shall not be deemed to waive
<br />any prior or subsequent default or breach, the enforcement of any provlslon hereof, or the exerclse of
<br />any right or prlvilege hereunder, unless otherwlse stated in a wrltlng, signed by the partles hereto.
<br />23. Headlnrs: The headings of sectlons and paragraphs of this Agreement are for convenience
<br />of reference only and are not intended to restrlct, affect, or be of any welght in the lnterpretation or
<br />constructlon of the provlslons of such sectlons or paragraphs,
<br />24. Sufvlval: Theprovisionsof paragraphs2,3,4,6,8,g,L0,t3,L4,t5,L6,LZ,tg,20,22,24,
<br />and 28 of these Generat Terms and Conditions shall survive the completion, expiration, termination or
<br />cancellation of this Agreement for any reason.
<br />25. Comohf,q Asreement This Agreement constitutes the entire agreement between the parties
<br />and supersedes any and all other agreements, understandings, negotlatlons and discussions, oral or
<br />written, express or lmplled, regarding the work to be perforrned hereunder. The parties agree that no
<br />other representations, lnducements, promises, agreements, or warranties relatingto this Agreement, oral
<br />or otherwise, have been made between the parties. Except as provided elsewhere in this Agreameht, no
<br />modification or waiver of this Ag[eement shall be valld or binding unless in writing and signed by the
<br />parties.
<br />26. SeverablllF: lf any term or condition of this Agreement or the appllcation thereof to any
<br />person(s) or clrcumstances is held lnvalld, such invalidEy shall not affect other terms, conditions or
